I never stated what the float was. I stated outstanding and authorized. I am sure authorized hasn't changed and the os can only go up or stay the same without a buyback or reverse split. I will call the transfer agent tomorrow to check on float. As of may of 2013 they had the float listed at 37.5 million on the otcmarkets website, which those numbers are only updated by the company. I find it hard to believe that not one share was added to the float since may 2013.

What do you call it when a note gets converted and those shares get dumped? Guess you are right those have been filed but once converted they are common stock and get dumped and bam DILUTION

yup can be sold a a discount then turned around and dumped at current pps.
OS of 121. Their AS is 500 million so do the math....500 minus 121= 379million. So they have 370 million left of the total authorized shares that they can dump before the AS needs to be increased. Yes you have to notify share holders when you increase the AS but you do not have to notify when you put some of that 379 million left in the treasury onto the free market. and this float u claim has not been updated since may of 2013
from their lates amended report page f4 i believe:
Common stock: $0.001 par value; 500,000,000 shares authorized; 108,970,000 and 94,150,000 shares issued and outstanding at July 31, 2013 and 2012, respectively
Authorized= shares allowed to issue
Outstanding= shares of that authorized issued
If you are authorized to have 500 million shares and have an outstanding of 250 million...you still have 250 million to go before you reach your max authorized.
You DON'T have to file anything to dump that last 250 million because it DOES NOT change the authorized count. you have to account for them in you Q report but you DO NOT need to file seperatly for this.
Yes an amendment is filed when adding to the authorized shares. if you are adding to the outstanding nothing needs to be filed. they can kill the float with the remaing OS without filing a dang thing.
Dilution:
The selling of newly issued shares. The basis in which the entire stock market revolves around is the issuance of shares to acquire the capital to sustain and allow a company to grow. This is arguably the worst of the six 'thieves', as it is 100% legal, even when done with 'less than good' intentions and done thru misrepresentation. The less 'blue chip' a company is, the more likely the dilution will not bear fruit.
Enter the 'lifestyle' stock.
Lifestyle stocks (and they are VERY plenty, especially in Pinksheet issues) are stocks with good/great sounding stories, usually in the form of press releases. First and foremost, they provide CEO's with high salaries, regardless of CEO performance. They also provide the company with capital to support their own lives, using such guises as travel, meals, and entertainment as expenses. Automotive (BMW, Mercedes...you get the idea) expenses are common. Real-estate also falls into the classification as a company necessity, 'stated' as a necessity for temporary housing for out-of-town clients, even if the 'client' may be a high school sweetheart from a different city. Shortly put, watch CAREFULLY and CLOSELY for lifestyle stocks. You can only profit from them once you are FULLY knowledgeable in their 'scam'.

First off the choice of tequila is nasty. Second, have you bought stock in these companies? Are these companies trying to establish a brand and you are trying to validate them as a company for investment? Your argument is weak and really an apples to oranges comparison.

Of course it doesn't make or break a company like this. My point is that it is a window into how management manages. If they just had the website up without the PR, it would be a work in progress , no big deal. They PR'd that a completed website(completed construction per PR) was up. Now to make a big deal, like they did, and not be ready for the launch shows that they are trying too hard to put out news. Why would a company rush to put out news? Because they want to pop the share price to assist in the dilution of shares. They announced that they are proactivly searching for more funds; what is more proactive then pumping the pps to unload shares?
Sorry, no games here. They would have been better not going with the website this times as well. Holding enough, not trying to get lower shares... Just a disappointed shareholder.
So that's it? A pos website that they made no attempt to fix? Go to the site map... What the hell is that? Absolutely no pics of product? These guys are brilliant... And that's all we are getting because they "completed construction". Past tense... Done... Is it me or was there an address of Florida?... What a joke... And file late just to throw the cherry on top.... Wow if this don't stink of something fishy. I guess those that think this website is up and fully functional just want it to be so bad that having trouble being unbiased towards a turd when it is sitting under their noise. It's only your business, why would you want to check the website out before you launch?
How it could pertain to their day to day business:
"Hey should we check this pallet of drinks to make sure there is no bacteria?" Says warehouse worker.
"No, just ship it you troll" said Toby
See the attention to detail they lack. Can't run a good business without detail.

The website construction and launch , or lack there of, shows the attention to detail management has...If the launch of the website went this crappy who is to say the launch of the beverage will be any better?

It is a very basic website that a highschool kid could construct. Very unprofessinal to not have the home page working. Delayed Q report ....want to launch before they reveal all the dilution?

Agree with this comment. Why trade away the equity of the company for penny's on the dollar? If you have orders lined up there are plenty of venture capitals out there that would give actual debt loans.
