The Company reported that the action of the CEO is in line with his declaration to establish policy that routinely pays a Stock Dividend of at least 1% on a quarterly basis.
As stated on March 1st 2009, "It will be the intent of the Company to reward our shareholders on a quarterly basis for their continued interest and support, as well as establishing policy designed to encourage a longer term investment posture," said Sorrentino. In July, 2009 the Company brought on our new CFO, Peter Katzburg. He brought with him the projects of "Energy City, South Carolina." We intend to discuss in more detail our involvement with these projects as we enter into the New Year.

Through its fiscal advisor and placement agent, Rukos Security Advice A.G. of Frankfurt, Germany (“Rukos”), under several Regulation S offerings during June and July 2007, the Registrant has sold the following restricted securities:
In July, 37,500,000 Units at $0.02 per Unit for a total of $750,000 with each Unit comprised of one share of common stock, a three year “A” warrant at $0.03 and a three year “B” warrant at $0.04 if the “A” warrant is exercised.
At the time of such unregistered offering the Registrant’s common stock was trading at $0.02 on the NASDAQ: OTCBB. Rukos purchased the units in each offering on behalf of clients, all of whom are non-US persons as defined in Rule 902(o) under the Securities Act of 1933, as amended. No commissions were paid in connection with these sales.
The proceeds of this financing will be used for general working capital purposes, including, but not limited to, funding the Registrant’s obligations under the Farmout Agreement. After the offerings described above, the Registrant has a total of 136,280,671 shares issued and outstanding as of July 31, 2007.
On December 6, 2004, the Company signed a Farmout Agreement to potentially acquire an 80% interest in a Hydrocarbon Concession to explore the 2,456,452 hectares (approximately 5,986,000 acres) in the Alto Parana Block, Alto Parana Province, Paraguay. Details of the Farmout Agreement are filed on Form 8-K with the SEC.
As of June 30, 2007, the Corporation is awaiting the approval of the Paraguay government. In connection with the Farmout Agreement, the Company engaged a consultant who will be compensated with 5,000,000 shares of Company stock payable in installments as work proceeds.

EXISTING SEISMIC AND WELL LOG DATA RE-EXAMINED
Recently, a team of noted Houston geophysicists re-examined the existing seismic and well log data from the Mallorquin #1, Ines #1 & 2 wells, and the Asunción #1 and #2 wells which were drilled on the neighboring San Pedro Block. Utilizing interactive geological techniques and software that were not available a decade ago when these well were drilled, the geophysicists were able to more accurately image the structural and stratigraphic relationships.
The newly processed seismic data improved the structural interpretation and provided insight into the thickness and development of Devonian and older strata in the basin. The reprocessed data indicates that the Mallorquin Prospect of the Block has the potential for significant reserves of oil and gas from porous and permeable sandstone reservoirs in the Permian and Carboniferous strata and for large gas reserves from Devonian and Silurian sandstone strata. Their findings show the likelihood that the Permian and some Pennsylvanian sands are channel deposits which can be efficiently developed utilizing horizontal wells for completion. Additional high resolution seismic surveys are planned to map these channels for development.

08/02/07 - ITEM 1.01 ENTRY INTO A DEFINITIVE MATERIAL AGREEMENT.
On May 2, 2007, the Registrant entered into a farmout agreement (the “Farmout Agreement”) with Meta Petroleum Ltd. with respect to the development of an oil concession on approximately 7,000 hectares of land in the Republic of Colombia. The Farmout Agreement was executed for Meta Petroleum Ltd. by its specially appointed representative Richard Torres Utria. The Farmout Agreement gave the Registrant a 50% interest in the concession, conditioned upon and effective upon its completion of the drilling of four oil wells on the concession at the Registrant’s expense. The Registrant was required to bear 50% of the operating costs of the concession after the completion of the initial four wells.
ITEM 3.03 MATERIAL MODIFICATION TO THE RIGHTS OF SECURITIES HOLDERS.
Effective June 4, 2007, the Registrant affected a one for three reverse stock split on the issued and outstanding shares. The number of shares which the Registrant is authorized to issue remaining unchanged at 200,000,000 shares, 190,000,000 Common shares and 10,000,000 Preferred Shares. The reverse stock split and the authorization to issue all classes of shares and warrants and all Agreements cited herein were approved by the written consent of the holders of a minimum of 62% of the Registrant's issued and outstanding shares and the Registrant's Board of Directors. Meta Petroleum CEO Says ParaFin Announcement False
Wednesday, May 16, 2007 - Meta Petroleum has renounced a press release issued by ParaFin Corporation on May 1, 2007 as false and without basis. In a May 1st press release, ParaFin stated that it had signed a farmout agreement with "Meta Petroleum Ltd." to acquire a 50% working interest in a hydrocarbon concession and operating oil field in the Republic of Colombia, South America.
Jan Veldwijk, Meta's Chief Executive Officer, stated, "We were shocked when we were informed of the press release issued by ParaFin Corporation. Neither the management nor shareholders of Meta have ever met anyone from ParaFin Corporation, much less entered into an agreement to sell a portion of our interests. ParaFin's press release is totally without merit and we can only speculate as to the motivation behind the announcement."
Meta Petroleum is one of the fastest growing companies in Colombia and was recently recognized as one of Colombia's top 1,000 companies by two leading Colombian business magazines. Since commencement of operations in 2002, Meta has rapidly increased production from its heavy oil field to more than 18,000 barrels of oil per day. The company's heavy oil field, generally referred to as the Rubiales Field, is located in the Meta Department of Colombia.
"We are disappointed by ParaFin's actions and will pursue any and all remedies available to us resulting from this false and misleading announcement," Veldwijk noted.
