But of course, the dilution that will place in long run
won't effect MIMV much. That is if MIMV is the real deal.
All indicators and DD, says that this is the case.
I have yet to see any red flags here.
All these filings concerning O/S are dealing with typical employee
and management perks and compensation. The good news is MIMV is on Monster.com hiring and growing it's company.
And at this stage Shares in company is main part of it's current compenstaion plan.

I do look forward to MIMV generating more publicity and start some

Longterm MIMV is Promising and to me, worth the investment. Especially with two quality products out there in a billion dollar industry, MIMVI LINK,and now, MIMVI ECHO.
Also MIMV is currently developing a range of advertising products to meet the needs of advertisers and publishers alike. Not to mention what it's working on with Microsoft.
Some Dilution will rear it's ugly head, but that is par for the course.
I see MIMV as a strong buyout candidate. But Can CEO Kasian Franks let go of another one of his babies ( SEEQPOD was his first ), I don't know. Either way he is on record stating MIMV projected PPS is 2-3 dollar range!
With MIMV you can't lose. MIMV's technology and the fact that is a LEADER in it's field of Mobile Search Discovery is Not something you could say about most penny stocks.

1. Kasian Franks:
Franks was born and raised in Berkeley California. At UC Berkeley, he studied Computer Science and Software Engineering. While at UC Berkeley, Franks consulted for Genentech and eventually started his own company in 1993, The Berkeley Integration Group, which later landed Genentech as its first client. While working with Genentech, Franks helped develop and manage the Pharmaceutical Recipe Builder (PRB), a toolset for construction and revision control of genetic “recipes” used to design breast cancer, asthma and blood clotting drugs (HER2, DNASE and Protein A).[1]
Franks worked as software engineer and product developer specializing in pattern matching algorithms and tools for companies and organizations such as Sun Microsystems, Oracle, Motorola, Tivo, mPower, and X-Mine. Franks worked at the U.S. Department of Energy’s Lawrence Berkeley National Laboratory (LBNL), Life Sciences Division, as a Genomic Research Scientist from 2002–2005, where, along with Raf Podowski, and Connie Myers, he developed the technology behind SeeqPod. Franks began to study biomimetics along with pattern matching in data and nature. This led to 5 patents in the area of search and discovery. Later he went on to start SeeqPod Inc. a music search, discovery and pattern matching company in which the U.S. Department of Energy, along with Lawrence Berkeley National Laboratory, holds a 5% stake. Under Steven Chu and Lawrence Berkeley National Lab, Franks and SeeqPod won a 2008 R&D 100 Award for biomimetic search engines.

The agreement also involves Microsoft making investments in Mimvi in the form of engineering services, software, and cash.
6. Kasian Franks Gives Presentation Live on PalTalk
Franks made a POINT of saying that MSFT is providing all the funding MIMV needs to get the MIMV/Windows 8 Mobile Search Platform online. He also said that MSFT approached MIMV over 8 months ago concerning this partnership. MSFT also was quite happy to associate themselves with MIMV by signing off on the press release and SEC 8-K with the joint venture mention of MIMV/MSFT.In addition, MSFT will continue to provide funds to link MSFT to the MIMV search platform. Also, this is NOT an exclusive deal. MIMV can and will make other deals with the big players. MIMV technology is greater than CHOMP, who was bought out for 50 million by APPLE, and QUIXEY who's valuation is about 90 million. Kasian values MIMV PPS at about 2-3 dollar range.

Although Microsoft (MSFT) posted strong numbers for its fiscal year 2012 fourth quarter (earning $0.73 per share, higher than the $0.62 that the Street expected and 6% higher than in the same quarter a year ago) its stock price continues to hover around the $30 price range that it has been mired in for a decade. This may be because its mobile division has continued to fail to meet expectations. However with the release of Windows Mobile 8, and through acquisitions and strategic partnerships, Microsoft is to moving to become a major presence in the white-hot mobile sector.
Microsoft is using the Windows Mobile 8 and Windows Azure platforms as the basis of its strategy to bolster its mobile business sector and is forging key relationships around mobile search and social search. I believe this strategy will generate significant mobile revenues and pull its stock price out of the ten year doldrums it has languished in.
Partnerships
In particular, Microsoft has just invested in Klout; a social media reputation start-up that has created a buzz with its service that works with several social networks. Microsoft has also started to integrate Klout data into Bing search results. The size of Microsoft's investment was not disclosed, but Klout CEO Joe Fernandez revealed in a blog post that "Microsoft has made a strategic investment in Klout and that we have signed a multi-year agreement where Bing will become one of Klout's most significant partners." Microsoft's investment in Klout will allow Microsoft to leverage its strategic investment partnership with Facebook.
Klout works by allowing users on social networks to rate each other and based on these ratings assigns users a score for their social media influence. If users have a Facebook (FB) account Bing will now include these Klout scores in the social sidebar that it displays. This investment and partnership with Klout in the social search niche, underscores Microsoft's commitment to enhancing Bing and Microsoft's overall search and recommendation capabilities.

Acquisitions
Microsoft announced last week that it had acquired PhoneFactor, a service that provides an additional layer of security during the authentication process. The additional step PhoneFactor offers involves using a phone to authenticate users when they sign in by a phone call, text or mobile app. This sort of multi-layer authentication is primarily an issue in business and enterprise environments.
PhoneFactor supports a number of enterprise integrations, including many which integrate with Microsoft technologies, like Active Directory, Windows Azure Active Directory, Office 365, IIS, SharePoint and Outlook Web Access. It works both on-site and in the cloud. Microsoft indicates that it will integrate PhoneFactor's technology deeper into its own technologies, providing it with another layer of security for enterprise solutions.
Overall Strategy
Microsoft's new strategic acquisitions and partnerships give it the technical means to develop myriad mobile-centric opportunities, one of which is its gigantic Android-related patent licensing deal with Samsung (SSNLF.PK) whereby Microsoft gets royalty revenue on every Android phone and tablet that Samsung sells. These deals will also enhance its relationship with Facebook and its apparently tenuous relationship with Yahoo (YHOO). Microsoft's $240 million investment in Facebook in 2007 gave it a share of the company and enabled its Bing team to power searches on the social networking site. In 2010 it started integrating Facebook friend data in search results. Likewise Microsoft's 2009 partnership deal with Yahoo gave the Bing team control of Yahoo's search. Yahoo's CEO, Marissa Mayer, recently met with Microsoft CEO Steve Ballmer about improving Yahoo's search advertising partnership.
Early reports on Windows 8 and Windows Mobile 8 have been favorable but execution will be critical to their ultimate success. As we have seen with Apple suffering over the Mapgate and Purple Haze affairs, it is all about delivering a perfectly seamless experience for the user. If Microsoft fails to do so, it will undermine its strategic relationships.
It is interesting to note that the company that was once known as the Evil Empire, Microsoft, is wooing small companies like Mimvi and Klout through investment and partnership agreements, whereas Google (GOOG) is engaged in battle against companies such as Vringo (VRNG) over search copyright issues.
Conclusion
Microsoft's technical partnership and investment deals with Klout and Mimvi underscore its commitment to enhancing its presence in the increasingly vital mobile search, social search and search advertising marketplaces. In particular, Mimvi and Klout will enable it to integrate new features of social search and mobile search into Bing and other Microsoft products in a compelling way for users and developers alike. While Bing has barely chipped away at Google's continued dominance in the desktop search market, the mobile search and social search arenas offer additional opportunities to gain market share and increase revenues. I remain positive about Microsoft's endeavors in these crucial growth areas and consider it a strong buy. Likewise I consider Mimvi a Strong Buy.

The mobile search environment remains hot as the revenue opportunity for mobile based search and recommendation is enormous. Mimvi has become a strong takeover target, especially as it has succeeded in recruiting several top executives from Google.

Facebook (FB) CEO Mark Zuckerberg helped build the Facebook revenue case by announcing that the company is looking to combine its dominance in the social media field with the increasingly lucrative mobile search sector. At the TechCrunch Disrupt 2012 Conference in San Francisco he shared the following:
- Facebook is already processing 1 billion search queries per day

Franks was born and raised in Berkeley California. At UC Berkeley, he studied Computer Science and Software Engineering. While at UC Berkeley, Franks consulted for Genentech and eventually started his own company in 1993, The Berkeley Integration Group, which later landed Genentech as its first client. BRIEF: Cellcom to market Nano-SIM for iPhone 5 [Globes, Tel Aviv, Israel]

Sept. 19--Cellcom Israel Ltd. (NYSE:CEL; TASE:CEL) is preparing for the unofficial arrival in Israel of the iPhone 5, following the global launch on Friday. The iPhone 5 uses a new kind of SIM card, the Nano SIM, instead of the Micro-SIM used in the iPhone 4, and standard SIM cards used in many mobile phones on the market.
Consumers who bought an iPhone 5 overseas will not be able to cut the SIM cards on the market to Nano SIM size, because of their various thicknesses. Instead, they will have to buy a new SIM card.
Cellcom will offer the Nano SIM at NIS 99 each, beginning tomorrow, so that customers will be ready for the iPhone 5, when they begin arriving in Israel on Sunday via private stores or by delivery services from the US. Mobile carriers are expected to compete in the market by selling Nano SIM card alongside Cellcom.
