"PUFFING STATEMENTS" are not recognized as necessarily fraudulent by the courts. But false representations in sale of franchises are fraudulent, unlike for instance, new or used cars.
BUYER BEWARE applies in most instances to sale of autos, etc, because the public is or can be deemed to know what in hell such things are.
I also doubt that a unit was "shipped" although if one was it went to someplace that had at least some tie in with "JIMBO" or GUDE OLE JIM, as MP referred to him once.
Historical statements are supposedly truthful, but I still do not believe them, coming from the CEO or anyone else at cdex.
cdex including BOD members, are not to be believed about ANYTHING at all. Most especially by any "DOCTORS" who happen to be on the BOD. They damn well know better.

Allegations from the court docket:
1. In brief, the franchisor, Any Test Franchising, Inc. (“ATF” or the “Franchisor”) sold to Plaintiffs franchises based upon extensive, unsupported, unsubstantiated and misleading representations of gross revenues, expenses and profits that were presented in website disclosures, internet presentations, discovery day slideshows, and spreadsheets.
2. The Franchisor also falsely represented that the business system that it had was proven; that franchisees could operate it as absentee owners; and that the break-even point of sales was $8,000 a month. Plaintiffs purchased franchises on the basis of these representations and invested hundreds of thousands of dollars in building out and equipping their labs.
3. The Atlanta outlets that ATF referred to in fact had been started by, and run by, Dr. Perlow. Those locations had at least one critical ingredient that franchisees did not have a physician who not only could authorize lab tests, but also who could funnel business to those walk-in labs. ...While the disclosure states that the company’s affiliate is the “originator of the business concept,” there is no disclosure that a physician owned and operated them.
The real story about Any Lab Test Now:
After opening their stores, the Plaintiffs discovered, to their horror, that the representations that had been made by the Defendants were false and fraudulent. In particular:
•
Any Lab test Now stores could not be operated by an absentee owner. Rather, they required the full time attention of a manager as well as a medical assistant.
•
The break even figure of $8,000.00 per month was illusory, and in fact the more realistic figure was $25,600.00
•
The revenues and profits disclosed in the financial information that was provided were grossly overstated and the expenses understated.
•
Margins on tests were not remotely as great as ATF represented.
•
At the time that Defendants were making these representations of average revenues for actual or projected stores, the actual franchisee results for 2008, on an average basis, were $52,512 per year or a little over a tenth of the average revenue projected on the spreadsheet.
•
Additionally, ATF misrepresented expenses: Actual lab fees were approximately one hundred and fifty percent (150%) higher than shown in the spreadsheet that was given to
prospective franchisees; salaries were much higher because ATF falsely represented that a store could be run by a single medical assistant when, in fact, it required a manager; and advertising, which was at least double ATF’s projections.
...
ATF knew that the representations it was making were false and misleading.
In fact, ATF specifically made those false and misleading representations to the Plaintiffs in order to induce them into entering into the franchise agreements, and it was successful in its efforts.
The franchise owner takes all the risk and pays thousands of dollars for the privilege of doing so.
Unless they can generate the traffic volume necessary to sustain itself,
it will soon go out of business, and lose the franchise fee.
The money is in selling the franchises.
Just another scheme like the share selling scheme of cdex, and the Med Director and BOD member of cdex is an INONIT.

How does that "any Lab Test now" scam work?
Simplicity itself.
They do have a real LAB or easy access to one or more where the blood samples or DNA wipings of the inside of the cheek are sent for testing.
But instead of setting up gathering points and hiring nurses to take the samples they instead sell "franchises" to suckers to set them up. They do furnish the sample gathering kits addressed to the laBS, AND THE FRANCHISEE HIRES HELP
Hungovers are hell. TODAY...VOLUME ZERO.
Good Ole JB, with naught to show except selling non real cancer dist to the OIL PATCH bunch, Doing a lying BK, getting more money from that same OIL PATCH bunch, finally discovered some V3s lying about, built by MP. Yanked them in reworked and repainted, and sold them to somebody.
Let the claim that they were built from scratch in record time by his matchlees workforce under his sterling leadership.
Added a couple weeks or a month or two to his cash stash, and then decided to try putting out an earnings story in the hope that newsuckers, seeing that, would generate some share volume.
It worked a bit, but not much. The LONGs actually laffed at it.
CFs get dumped into general expenses. Seldom or never reported is the reason. And Seldom moved to Alaska.
Quite righto, auld chappie. The 10 Q was composed by well known liars who was just smart enough to let others post about how great they were building manufacturing testing and shipping the V3s in "record" time.
And using only 2 or 3 braves and 4 Chiefs.

Just some comments: Over 14 years ago I purchased a penny stock (Loch)for about .22 a share with the dream of it paying for my son's college education one day and maybe a home for my wife and I. I found myself trusting in the stock to the point where I couldn't take my eyes off the computer screen. It consumed too much of my time and cause many days of anxiety. In the early days the stock price jumped to over $5.00 a share (should have sold but didn't) and then bottom to where it is today. Not wanting to go into the many reasons why the price is where it is today (much blame to go around), I can truly say that the last 14 years have been a learning process for me. It never feels good to lose hard earned money but I can say that I am a smarter investor because of this stock.
Valimed made a fool out of BAXA, and the other distributers, as did all of the other so called products Make fools of all other distributers that tried.
Nearly all of the LOYAL shareholders have deserted cdex.
Not even the talented CAP'N can TIE A PRETTY RIBBON on such a sorry sow of a story.

By now, if the middle eastern people feel that IF it is worthwhile, they will have reverse engineered the Valimed 3. Not being dumb, they would know that they can get no more from cdex.
Nor are they dumb enough to believe in the IG4. So it not very probable that any more money will come from the far east.
But I still believe that the oil patch people have some longer range plans. Maybe to take that lab test franchise SCAM public, etc. But who knows?? No Yo!!

If they have sold all of the V3s they had stashed AWAY THEY cannot make more even if someone was fool enough to buy any.
They have no more than 3 IG4s if that many, incomplete, according to their own words.
So how aRE THEY GONNA LAUNCH A MAJOR PRODUCT?? iT MATTERS NOT IF THEY ARE STILL ANSWERING THE TELEPHONES or leaving lights on. Or if tey filed the Q report after I reminded them it was about due.

They did not list the Valimed 3s as assets when they filed for BK.. either they considered them as misc junk or deliberately left them off as illegally hidden assets. Since they have sold them ...so they say.... to some middle east hospitals , I assume the latter is more likely.
CREDITORS likely have grounds to sue for the money. The BK court and the FEDs also could probably prosecute, if they gave a damn. But I doubt that either will happen.

They were slamming M. Phillips right and left at the time. But as it turns out, the only time that JB has sold anything of significance, it was the V3, which was lying rusting away in storage somewhere, and that was manufactured by that same M. Phillips, as CEO.
2,377,656 SHARES OF CLASS A COMMON STOCK sold by prospectus by CDEX but not FOR CDEX. But CDEX sold them at a cost of 20 K to the company. Doing a favor for "SOME" shareholders!!!! How generous!!! Back then it was selling at over 90 cents a share.
Anybody wanta bet that some INONITs wanted to sell them?? I would so bet, if I were a betting man.
Why not just dump them on the CEXI market?? What if they were gifts or bonus shares given to INONITs. They would still be restricted, and thus not eligible for trading on CEXI, that is why. Also dumping that many shares on a thinly traded stock, would immediately run the SP way down.
So do it by PROSPECTUS, Just as if CDEX were selling TREASURY shares.

The late GREAT COQUILLE looked into the expansion into europe and the far east. Found not much. Same O probs that happened in the good ole USA. Valimeds were converted to doorstops mostly.Not reliable, and not needed.

It is certainly obvious that the IG4 is a bust, even if it was EVER seriously expected to do anything other than sell PP shares.
Halfway into 2012 it was declared that it was ready to ship with firm orders for 17 and possibly over 20 more possibles. This was declared as true before a sitting Federal Court. With severe penalties for lying.
Here it is halfway through 2013, minus 14 days, and none of this has happened. But the BK has been declared fineto and the plan for "recovery " approved. The JUDGE has retired and a new Judge with no interest in persuing dead issues appointed.
So cdex has gotten away with the lies, but now running out of money. Again.

Well while still LOCH, Dr. BLAIR discovered a segment of the XRAY spectrum that was previously unknown.
This wavelength was found by him and possibly his underling Dr WADE, to be useful in seeing fume plumes rising outa the earth, from such as explosives in land mines.
ERGO, there is no reason that Dr. WADE, well taught by Dr.BLAIR, cannot discover a similar phenom in the UV part of the spectrum. Using this wavelength, that eminent scientist can use his discovery to do EVERYTHING that the IG4 is said to do. It is nothing short of magic, can see stuff w/o having to flourese anything, looking directly at substances and using the extensive library of images built into that IG4 to ID it all, reporting findings in near real time.
Just tell the IG4 what it is you wanta see, and it will show it to you. Be it pollution in the mixture, the saline solution, and whatever it is in the way of poison or meds is in there, what it is and how much of it is really there, if it is counterfeit or not. If some impaired hospital worker, nurse, orderly or even doctor has stolen some of it for his or her own purposes, and his or her ID. (THIS LAST FEATURE IS NOT YET QUITE PERFECTED, which is really the delay in getting the IG4 ready to ship.
Being IMAGINARY, there is no reason at all why cdex and that great and good and honest CEO cannot use this IMAGINARY device to sell REAL PP shares. After all that is where the money is. AND we all know, FOLLOW THE MONEY is how to get things known and done.
