Rat, SGMD (Hempistry Holdings) is about to take over the country!
Huge news. They are at the forefront with this. Get the patent!!!
Nothing.
Just a confirmation from schedule 13d to Form 3.
https://www.sec.gov/smallbusiness/goingpublic/officersanddirectors
Expect Huang to do the same no later than the end of the day tomorrow (2 business days from 5/10 filing)
IMO, with so many shares outstanding and no revs to back up those outstanding shares, a reverse split may well occur; which may have been Jimmy's plan all a long...issue as many shares as possible then RS.
I won't add more until I know for sure what's going on with SGMD. Once a split is announced, I'll buy at that pre split price and time.
IMO, with so many shares outstanding and no revs to back up those outstanding shares, a reverse split may well occur; which may have been Jimmy's plan all a long...Issue as may shares as possible then RS.
LOL.
Just accept the truth and move on...obviously you're not happy with the uplist.
Why not contact NUGS and tell them OTC made a mistake, better yet, contact OTC and tell them they've made a mistake. LMAO!
One thing's for certain, it doesn't take much for this to run (or be manipulated). A 250 share ask slap right at the close took this to a 6% gain. LOL
IMO, 2019 is the year of getting all the business deals done; then 2020 will be the beginning of all the revenue recognition from all the companies under the Hempistry Holdings umbrella.
This is not a short term play, it's going to moved at the speed of the American MJ/Hemp industry. Next on the docket is the SAFE Act.
Correct. Shares have been disclosed for almost 2 years.
I guess they are preparing/filing all documents in preparation of a Hempistry Holdings Inc. IPO or reverse merger.
I guess there are too many MJ companies to choose from. NUGS needs to do something big that gets some major attention/recognition. Based on this volume there appears to be just small money retailers buying.
Okay
The lack of volume shows no one is benefiting. 1,000,000 volume is just $35,000. No one is making any money here except the high frequency trading algorithms.
LOL, I thought it was just me.
Every time I buy a stock for the most part it drops. Must be how the algorithms are rigged...rigged by volume and money volume.
NUGS is QB!
Yeah Baby!
You beat me to it. LOL
On my TD Ameritrade feed, it shows NUGS' market cap at $35 million with 28.6 million shares outstanding. But their actual OS is 179,000,000 with a $217 million market cap.
These brokerage firms need to update their info so that the actual market cap is reflected. $35 mil vs. $217 mil is a big difference because some funds/institutions want to invest in companies with high market caps; not to mention companies with potential which NUGS has plenty of.

Thanks. You're genius!
Don't know for sure, but IMO, based on how many shares the private company has and the value of the private company...then there will be a swap of shares; for example:
SGMD has 700,000,000 OS
Private company has 100 million shares.
That works out to be a 1 share of private company for 7 shares of SGMD.
So if you have 100,000 shares of SGMD now, after the RM you'd have 14,286 new shares.
Based on 100 million shares...
If private company is valued at $100,000,000, pps should open at $1
If private company is valued at $50,000,000, pps should open at .50
If private company is valued at $20,000,000, pps should open at .20
Multiply your new shares by the opening price and there you have it. THIS IS ALL JUST MY OPINION. I DON'T KNOW FOR SURE; NEVER BEEN THROUGH A REVERSE MERGER.
Good DD! You forgot a link...

John Vu is everywhere!
All this info that we're discovering should wind up in the next Q. We shouldn't be so focused on recognized revs but the business moves they are making also. "Subsequent Events" section should be an interesting read.
Where did you see 100m AS for Hempistry Holdings?
IMO, NUGS will be the CBD/THC retail arm.
Hempistry grows the hemp/MJ
SGMD provides the equipment/supplies
NUGS has the CBD/MJ retail space.
Kentucky Senator and Senate Majority Leader Mitch McConnell spearheaded the Farm Bill. Acreage has political ties, and so does Kentucky. I'm pretty sure Mitch McConnell has his hands on a few farms and is working hard to make sure his state is the cream of the crop.
From the list, there are 14 Growers and 3 Processors/Handlers in Hopkins County.
I wonder which Processor/Handler is working with Hempistry?

I've been waiting for this moment for all my life...LOL
...Or reverse IPO aka reverse merger.
Yeah, something big is about to happen; perhaps an IPO.
I just noticed that the 8k about the K&J funding mentions "Form S-1". Form S-1 usually deals with IPO's.

"He at one time listed himself as the cofounder of Hempistry Holdings but seems to have removed that reference. He may be reading these posts..lol"
https://www.otcmarkets.com/stock/SGMD/profile
Scroll down, click on Jimmy's name and it's still there..."...co-founded Hempistry Holding Inc. that is on the cusp of being one of the largest vertically integrated hemp company globally."
Jimmy if you're reading this, and you're not co founder of Hempistry Holdings Inc, please update your OTC Markets profile. LOL
Good post. I see your point. NUGS has the eyes, SGMD and Hempistry have the tangible goods so to speak. NUGS announces these companies to the investment community then BAM! But what about the newly created "Hempistry Holdings"?
IMO, somehow, in a positive way, SGMD needs to get their OS lowered; and a reverse merger would do exactly that.
With the current OS, a $1 billion valuation puts SGMD at roughly $1.5 pps; $2 billion at $3, etc; but with a reverse merger and a new OS, a $1 billion valuation could be $5 pps; $2 billion $10 per share.
NUGS' OS is about 2/3 less than SGMD; and with ties to 23,000 acres, that's some serious land which warrants a huge valuation. And if one looks at the majority of MJ stocks, billion dollar market caps are hard to come by. And out of the top 31 on the link below, only 12 have a market of at least $1 billion.
https://www.newcannabisventures.com/top-31-revenue-generating-cannabis-stocks-ranked-as-of-may-1st/
The lowest MC of the 12 is $1.1 billion with an OS of 152,000,000 and a pps of $7.26
The highest MC of the 12 is $16.8 billion with an OS of 343,000,000 and a pps of $49.08
SGMD has 672,000,000 OS.
Say Hempistry has its client list/supply agreements in order thus the 23,000 acres of hemp is accounted for. Based on crunching some numbers, that's at least $1 billion a year or harvest; add a multiple and this company could be up there with the best of them, even surpassing them.

12 disclosures filed yesterday...here comes the transparency. Hopefully institutions/fund managers see some promise within these filings and start soaking up the 19 million float.

Okay, if you say so.
NUGS - OTCQB bound, that's the bottom line. If you're long you should be excited.
LOL.
The following companies are QB and they aren't "SEC filers"; with one (PLNHF) checking the exact same box on its QB Certification as NUGS.

I'm pretty sure there are more out there.
NUGS - OTCQB bound
Not every company needs an attorney letter. SGMD for example...NUGS' sister.
Maybe also because the company you mentioned isn't current, and trading below .01
I don't even think the OTC Market lets you uplist to the QB if you're trading below .01
Could possibly show OTCQB by tomorrow...after OTC updates their system tonight.
You were talking about them not being able to uplist due to SEC registration rules.
And they are well qualified to uplist to QB, why else would they be doing this?
OTCQB next week. Bank on it!
EOM
On their OB certification they checked...
"Company is relying on Exchange Act Rule 12g3-2(b)"
The JOBS Act and the FAST Act raised the thresholds for registration and termination of registration for a class of equity securities under Exchange Act Section 12(g). As a result of the statutory changes, an issuer that is not a bank, bank holding company or savings and loan holding company is required to register a class of equity securities under the Exchange Act if:
- it has more than $10 million of total assets; and
- the securities are “held of record” by either 2,000 persons, or 500 persons who are not accredited investors.
There are not 2000 shareholders here, nor 500.
All is good.

All a part of the process. Do as they ask so we can get to the next level.
It's only like 10 of us here who are about to make out like bandits. By the time the rest of the investment community finds out about SGMD aka Hempistry Holdings it will only add to the excitement.
They have the land, the equipment/supplies, and if NUGS is on the team, they have the retail connection. Talk about being vertically integrated!
I can't find a timeline for an uplisting decision for otc stocks but an uplisting to Nasdaq can be done immediately or take just a few weeks; assuming all the requirements are met.
I'd say the OTC should be no different. If all the requirements are met and the application and annual/semi annual fees are paid, it shouldn't take long.
Based on their latest filings, they are very close.
For information purposes, here's a link from OTC...

IMO, at this price, there is no risk. This company is about to take-off. I also think they will get the OS lowered via THE reverse merger.
Thanks for posting. Uplisting should happen next week, IMO.
