In regards to Stuart Tomc leaving. How about this, time was up, cvsi says we don’t need him, and he went to a company that does. Seems like it could be as simple as that and it checks all the boxes.IMO
Good day today. 20 trades for 2600 dollars. Moving on up. And look at CW today, they lost a whole CVSI worth. 0.034 vs 0.033.
One can speculate till the cows come home, but the company is the one painting the picture.
Bankruptcy has to at least be factored. If you look at what the company is saying, well here, from the 10k 2 mo. ago.
U.S. GAAP requires management to assess a company's ability to continue as a going concern for a period of one year from the financial statement issuance date and to provide related note disclosure in certain circumstances. Our financial statements and notes have been prepared assuming the Company will continue as a going concern. For the nine months ended September 30, 2022 and year ended December 31, 2021, the Company generated negative cash flows from operations of $2.1 million and $7.5 million, respectively, and had an accumulated deficit of $85.4 million as of September 30, 2022. Management anticipates that the Company will be dependent, for the near future, on additional investment capital to fund our operations and growth initiatives. The Company intends to position itself so that it will be able to raise additional funds through the capital markets, issuance of debt, and/or securing lines of credit.
The Company's financial operating results and accumulated deficit, amongst other factors, raise substantial doubt about the Company's ability to continue as a going concern. The Company will continue to pursue the actions outlined above, as well as work towards increasing revenue and operating cash flows to meet its future liquidity requirements. However, there can be no assurance that the Company will be successful in any capital-raising efforts that it may undertake, and the failure of the Company to raise additional capital could adversely affect its future operations and viability.
The question becomes, and the focus on those capital-raising efforts.
Again the company states flat out “The Company's financial operating results and accumulated deficit, amongst other factors, raise substantial doubt about the Company's ability to continue as a going concern”.
And
“ there can be no assurance that the Company will be successful in any capital-raising efforts that it may undertake, and the failure of the Company to raise additional capital could adversely affect its future operations and viability”
This is what the company is saying. I think it’s worth paying attention too.
I will also add we appear to be heading into a recession, and if so, that can surely change the valuations of, well everything
I agree.
Regarding going bankrupt, your right there is no guarantee. They currently don’t have enough debt to pull that lever. On the other hand, they are not in a good position. Cutting costs, letting go of board members, all the while sale continues to fall. I believe Mona’s 5 years is up next year, maybe it’s all being set up for him to take the company back. Who knows as my sticky post says above buyout or die out, we’ll see
Why not just wait and pick them up in bankruptcy, no mona, no GP, but the bigger issue is why, cvsi has nothing they need unless your going for just the 007.
A few numbers that will have to change if CVSI is going to survive
Net Margins-85.28%
Pretax Margin-85.84%
Return on Equity-560.71%
Return on Assets-87.75%
If they can’t fix this, then what’s the point.
I don’t think there would be any problem with that statement. They certainly could reinstate.
Does leave open those 2 mil shares.
Does leave open how many on both sides are among this advance team, it wouldn’t be a one-man team going only in one direction. There would, should be a counter balance.
I don’t see any M&A person involved, I think there would be.
However, what I find strange is why quit your current job? There is no need to do that.
I’ll guess we’ll see but the easiest explanation is there’s nothing to it.
Another interesting statement. “ If Stuart was indeed awarded and additional 2 million shares in early December then he was either extremely disgruntled that it wasn’t more and held up the middle finger, OR he has moved to NN with understanding they will acquire CVSI within the month AND he gets his CVSI RSUs reinstated/accelerated through the acquisition. However, I don’t see what the benefit is of him making the move now over just waiting at CVSI for the acquisition to occur?”
Awarded ?
Hasn’t he been gone longer than a mo?
So if I understand you, he leaves CVSI with a award of 2 mil shares, goes to work at NN, knowing that NN will buy out CVSI with in a mo and then he will get reinstated on the RSU’s. Do I have your thoughts correct?
That’s an interesting statement – “Im of the opinion that 2 million shares of cvsi were given to Stuart sometime around December 8th 2022”
2 mil shares you say, no SEC filing?
No statement of changes in beneficial ownership?
Not a Material Event?
Just ignore a SEC disclosure vehicle used to provide the public with information deemed necessary to make an informed investment decision about a public company.
I do find that interesting. 2 million shares. Hummmmmmmmmmm.
A post the other day pointed out that CVSI has lost over 99 percent of their price value. That’s true, I posted a chart on that very thing. It went on to say sales have been falling for the last 3+ years. Again, that’s true. And that’s a problem. The cbd market has been growing on the overall. There are several different numbers, most are between 4.4 and 6 billion per year, and again going up year after year. If I use 5 billion for current sales, { you can adjust to your favorite number, but for this point I’ll use 5 bil} So if 5 billion is the whole cbd market and coming up why is it that CVSI sales has been going down. It's a good question. Roughly 17 million this year. Again, it’s a continuing problem. If your cut of the pie is 17 mil out of 5 bil, well it means that 99.7 percent of cbd products are being sold elsewhere. So why is that.
One of the things could be awareness in the market place. Or more to the point lack of.
If you go to google and type in best cbd products you will come up with these. Now they have a lot of different companies listed and a lot of different categories. A lot of familiar names, the usual crowd. However CVSI isn’t listed in any of them. If I was a new customer, looking at these lists, it could very well be how I start. Awareness is important, getting your name out there is important, a small independent write up is important. Not being on the list, what can I say, how is anybody going to find you?
Lately the talk here hasn’t been about falling sales, or company structure, or positioning, but how can this company be off loaded by buyout or merger so the shareholders can get out of this mess. I’ll post on that very subject later, but for now this post is where we fit in this cbd market place. IMO

Clearly it’s a little confusing. Below is a list with the statement you have listed. All have that statement “All products are manufactured by contract manufacturers in GMP certified facilities who are audited and approved by CV Sciences. Batch size and total quantity produced are monitored and controlled by the contract manufacturer under proper documentation. Ingredient manufacturers and ingredient lot numbers are also controlled, monitored and documented by contract manufacturers per GMP requirements”
Now if that’s not correct I would think CVSI would correct it, right?
The list. I just copied the first 12. All come from cvsciences.com

Well, now isn't that important. I think it's going to be a great time to pay attention to the economy and markets as we enter or skirt a recession.
Stable you say, well good to hear.
11 trades today, 435 total dollars traded, is this the new norm?
On the 700 PS, yes you are correct. On the 9,999,300 PS you are not. Not yet defined. Can be used on anything they wish to pass. ANYTHING they wish to define. As stated in the SEC filing.
Anyway you go have fun.
Your hung up on the last 700 PS. They are done and spoken for. The 9,999,300 PS to go are what I’m referring too. And those are yet to be determined and not yet been defined. However, they are authorized to be used. They already have that in the back pocket. Will they, who knows, but they certainly can.
Well, that is nonsense. They used 700 preferred stock shares out of 10,000,000 they had to use. They have 9,999,300 to be used. Pay attention to the words “Each such series or class shall have voting powers” and “rights and preferences to be determined”.
After they have already done that to the shareholders to get what they wanted the first time, what makes you think they won’t do it again?
You may wish to think that over a little more. Especially with all those preferred share yet to be used.
From the filings
Preferred Stock
The Company is authorized to issue up to 10,000,000 shares of $0.0001 par value preferred stock with designations, rights and preferences to be determined from time to time
by the Board of Directors. Each such series or class shall have voting powers, if any, and such preferences and/or other special rights, with such qualifications, limitations or
restrictions of such preferences and/or rights as shall be stated in the resolution or resolutions providing for the issuance of such series or class of shares of preferred stock. As of
December 31, 2021 and 2020, there is no preferred stock issued and outstanding.
On March 30, 2022, the Company entered into a Securities Purchase Agreement (the “Purchase Agreement”) with an institutional investor, pursuant to which the Company
agreed to issue and sell 700 shares of the Company’s preferred stock which has super voting rights of 170,000 votes per share of preferred stock on certain stockholder proposals
and warrants to purchase an aggregate of 10,000,000 shares of common stock. The preferred stock has a stated value of $1,000 per share and is convertible into an10,000,000
shares of common stock at a conversion price of $0.07 per share. The Company received aggregate gross proceeds of $0.7 million before deducting placement agent’s fees and
other offering expenses.
I’m still trying to figure out if they will take the company private. Clearly, they have shown they can control the vote. Offer 2, 2.5, 3 cent a share, control the vote like they did on the ASM, freezing out the shareholders like they did on the 600million dilution and the up to 1 for 400 reverse split and away they go. I’ll be watching. There is no reason they couldn’t do it. IMO
LOL. So if I understand you a little over 10,000 dollars were covered in that 30 day period. 22 trading days, why son of a . . . that’s over 450 dollars per day in short covering. STOP THE PRESSES. Only 52k to go before all shorts have covered. As I said before meaningless until it shorts are holding 20,30 percent. 150mil shares, short went from 2.1mil to 1.7 mil. If it gets to 30 to 50 mil short then we have something, maybe.
LOL, and if Wana brands doesn’t want to acquire, as there has been no indication that they do, or even if they know CV exists for that matter, it would just be another pipe dream gone amiss, like so many before it. Right?
7500 dollars traded yesterday, 1300 dollars traded so far today. That is about as dead as your going to get. or DEAD IN THE WATER. Of course it could be worst, like taking in water . Waiting on the 4th qt, year end filings. I got the time to wait.

20 AUG 2022 will be the 4 year anniversary of CVSI reaching $6.27 a share. Does that mean anything? Absolutely. CVSI is somehow still in business and I bet big that they want to get back there again, it’s in the best interest of almost everyone. BIG NEWS coming in August!!! ….I hope.
It was Houck that came up with this first. You jumped on the band wagon, however at the time you were just pumping Nept. Remember!
When the WQLF predicted a HOT AUGUST NIGHTS The WISE WQLF was RIGHT YQU Now Understand YQU Understand
The only thing that cause a move was on Aug 25 , CV Sciences extinguished its entire outstanding convertible debt. It did go up and within 30 days right back down.
The products were clearly a failure as with them and all other products they had they still manged to sell even less, Zero impact.
Alright were up to 3000 dollars in trades today. That's a good day.
In any event today is the last games of the NFL reg. season. No need to talk about this failing company any more today.
If your talking merger/buyout you could have mentioned CWBHF. But any buyout has to have those golden parachutes factored, there is more than 1 you know. Going off of memory there somewhere around 2 mil worth. Heck the company is only worth 5mil. 40 percent premium just to take care of the GP. That’s a steep price to pay for a failing company, that has had falling sales for over 3 years now, no profit, let go of the board members for cost cutting. CWHBF I would think would see nothing this company could provide, only losses. Nothing it needs and with the MLB contract and their overseas involvement they’re on the way up and they are already the leader in this sector. No need to try and save CVSI, heck for what.
You stated my post "It's hot August nights all over again! What a failure that was, man o man.LOL." That is correct. But to your point, yes they came out with a new product, and the effect of that was EVEN LOWER TOTAL SALES NUMBERS, see Nov filings. Again DEAD IN THE WATER!!!
Wellness companies fad maybe over, whatever is left the coming recession will deal with.
Regarding "The website YQU featured is Wana Brands and Not Wana Wellness"
your right because Wanna Wellness went out of business. You might want to read the local news feeds and see if you can understand why.
Regarding “pure speculation and nothing more!’ Well yes,of course it is and it’s written that way, nothing to be taken too seriously.
Low volume, what is interesting is all sells after 9:00 et this morning. Why didn’t they trade for the tax loss last week. What made them wait and sell today?
It's hot August nights all over again! What a failure that was, man o man.LOL.
Reverse Triangular hmmmmm , I was thinking more like a triple flying two point monte to the back side.
You know, at least it waited until it got down to 3 cents before it dryed up. How's your crypto doing?
Yep, and that tells the story . . . . dead in water.
90 min to go. A total of 1200 dollars in trade today.
Sounds good, be mindful of the economy in that process. Yes, at first glance it’s a joke, a slightly deeper look and it becomes pathetic, a person who appears to be very weak and now badly compromised trying to be a leader but unable gather enough votes to become one within his own party. Since we all rely on the government to govern, it does not bode well for the next 2 years to see one party devour itself from within. Of course, this was all set up from what was, and created by, said party.
Well 5500 in trades for the day, really nothing in the last 90 min. Dead as a door nail.
