Well the latest 8k was specific to BRZTH only, so it's kind of confusing. Why not just announce you're buying the parent which includes all the subsidiaries. It's as though they're buying the company in pieces.
Are they all separate deals?
Wording is everything. The 8K says "a company associated with BizRight, LLC". So is BRZTH a subsidiary of BizRight or just an associate? That's a big difference, which leads to the next point...
200,000,000 shares for BizRight LLC?
and/or
200,000,000 shares for BRZTH?
And let's not forget the point that Front referenced...
https://investorshub.advfn.com/boards/read_msg.aspx?message_id=148957821
There's also cash involved. Is it $1,000,000, is it $2,000,000?
I'm all on board, but it's starting to have the feel of a ponzi scheme and or some sort of money laundering.
Jimmy might just be the pawn.
What's more confusing is who they are buying...Are they buying "BZRTH, Inc" or "BizRight LLC"?
Who's the parent?
The Bizright deal is worth $18 million for 200 million shares plus $1 million in cash which turns out to be .09 per share at 200 million shares or .095 with the 200 million shares plus cash.
The K&J deal is $20 million with the Company reserving 138,461,538 shares for the deal, which turns out to be .144 per share.
What comes first; the egg or the chicken? K&J has to buy shares before before SGMD can have the money to complete the Bizright deal. Who is K&J and where and how do they make their money?
At the current price of .03, K&J could buy 138,461,538 for a little over $4 million. Is something in the contract that prevents them from buying this low? Are they obligated to buy at .144?
Would Bizright dump 200 million shares at .09 / .095? Or would they dump 200 million shares at .144 knowing that's the exercise price of the K&J deal? How does Mr. Vu tie into all of this?
Why is Bizright valued at only $18 million?
According to the following article, a multiple of 3 to 4 for a private company is fair... Is Bizright only worth $4.5 to $6 million? Hence SGMD paying $18 million.

So many questions...so many paper trails...so many hands.
With 1 month left in this quarter, we can forget about any revs appearing on the next release.
Chenlong is still with the company as the CTO. He only resigned from the board.
Okay. Thanks. Just answered my question on NUGS board too.
Haven't seen you on NUGS board lately, thought maybe you cashed out at around $1.38
Shouldn't NUGS' financials be released soon. I see their fiscal 12 months is March. 10k should be coming.
Recognize some revs this Q and it's really time to load the boat for the 8/15 release, which I think would be their 10k.
The Wizard of OZ, Forrest Gump, Inside Job, Catch Me If You Can, Other People's Money, The Big Short, and all the Die Hard movies. LMAO!
That's good. Some shady CEO's release financials on Friday's afterhours just so the stock doesn't take a hit.
If Q isn't out in the next 30 minutes, it will be out for sure on Monday.
(Thumbs up)
I know about the trailing stop loss. Such a beautiful conditional order. I use it for buys mostly. I would suggest that if you use TSL with your sell order, make your order hidden from the market. It's essentially timed based on the bid.
The SAFE Act with be crucial.
When one is up 100% it's tempting to sell. If one is up 100% and the stock drops you down to a 50% gain, guess what, you're probably going to protect your profits. LOL
I bought a stock a few years ago at $2.75...it ran to $38 before retracing; I missed out of over $125,000. Sold for a little over $18. That same stock is now on the OTC and trading at .0031. LMAO
The point is human nature will prevent you from getting rich on 1 stock where as a disciplined trading strategy helps you accumulate wealth.
I'll honestly be happy breaking even. LOL
One thing I've learned is wealth is accumulated. It's extremely rare for retail to get wealthy on one stock. Most retail don't have the patience to hold a stock long enough.
That Sweptail is nice, but let's be realistic...SGMD won't yield that. At least not for one of us, maybe for Jimmy. LOL
I'm doing pretty good right now with my Mercedes, but I want a Bentley Continental GT

:)
If the Q comes today afterhours, then it's a bad one. That's what weak companies do...release a Q on a Friday afterhours so everyone forgets about the BS over the weekend.
We'll see what hand Jimmy plays.
If they recognize something on this coming Q, then we know next Q should be a lot higher/better. And if they do recognize something this Q, then these .03's are a steal in anticipation of the 8/15 filing.
What news took it to .40? That news or filing must have been stellar.
Thanks Front...always on top of it. So by filing date of say 5/20 OS should be 691,000,000.
For any math wizards out there, this is a good read. I think Front can work some numbers here. LOL
https://www.tasanet.com/Knowledge-Center/Articles/ArtMID/477/ArticleID/343532/A-Comparison-of-a-Commonly-Used-Valuation-Multiple-to-Real-World-Data
Yeah...it's called dilution.
From what I've noticed, they've been either selling or issuing at least 1 million shares a week. OS is damn near 700,000,000. So the market is responding accordingly. The more shares that hit the market the lower the stock price will go.
As long as the income (aka revenues)/company value doesn't match the outstanding shares (figuratively speaking), depreciation will be the outcome.
It's been uplisted since May 10th. Today's PR was pretty much late.
That S1 pertains to a February filing (3 months ago)...they better hurry up. LOL
LOL. Sounded good!
Q is out...we have $20 million revs!
Maybe today we'll reach 20k volume.
Don't tell us, tell your attorney!
NUGS is already QB.
Someone needs to inform Jimmy that Integrity is the name of the game.
Yes. My guess is they work for/with NNW.
They'd be better off pushing their agenda to institutions via a Sugarmade prospectus verses wasting time on this low traffic message board. (it's still the same 20 eyeballs here (10 people) LOL.
Good find.
Now I got to question the whole press release. Who's on first?
SGMD made it seem like this was their project, now someone else is pushing the same project.
This is some strange chit. LOL
OTC market makers playing games.
They need to reverse merge and uplist to Nasdaq and leave the extremely manipulated OTC for good.
A patent like this could be worth a lot, because it's not just for hemp, but for all agriculture...definitely something farmers could use.
A buyout would cost the acquiring company a good few billion considering all that SGMD has under its belt. JMO
LOL. Houston we have a problem. This may be the distraction they were looking for. LOL
All these institutions/funds wasting money on UBER IPO need to put their money here with a company on the verge of cutting edge technology.
This technology can be used for all crops/agriculture, not just hemp. This is huge!
I wish we could get a 200% to 300% gain to open up some eyes to this company in the institution world.
At least opens some eyes...then upon research of the company folks can discover what we already know.
Already in the works! Got an engineering group on-board.
We just need Market Makers to price this accordingly.
