An 8-K must be filed to show a material event - and I believe every company must file that material event within 4 business days.

If they acquire the assets of a company - must be an 8-K filed.
If another company merges into them (R/M) - must be an 8-K filed.
If a CEO resigns (because that new company is in charge and they have their new CEO) - must be in an 8-K.
If they sell their shares to another company - must be in an 8-K.

So many material events (which on their own require an 8-K ANYWAY) all rolled up in one makes it a 'Super 8.' Sometimes there can be 8-10 (or more) documents within that single filing.

I am/have been in a few other penny pharma stocks and R&D stocks.

I think KBLB is about normal in the amount of information it makes public. CC's, PR's in all of them are carefully constructed and never come out very often. Glance through a few pharma boards and see how many complaints come out because of a lack of PR's.

It's pretty hard to PR everything you do:

"Turned on bunson burners again today - all 8 are firing well."
"Beakers sterilized for the 1,000th time - new milestone for Little Pharma."
"Just in, specimens in petri dishes are STILL MOVING!"

I am satsified with genuine progress. Looks like we're getting some now. PR's and CC and...SURPRISE...some are still complaining.

Just got back to my computer today. I was finally able to speak with Mr. Phykitt a couple of times today. He was in and out of meetings, as was I, so we didn't spend a long time during each conversation.

The company is NOT selling shares. He did not tell me this, but I assumed that some of those original shareholders whose shares were already counted in the float HAD to be selling - and he did not disagree.

Authoritatively, the float is still 92M - not larger. If the count on the board goes higher than 92M it is a mathematical impossibility - so don't get angry at the company because they aren't the ones selling, shareholders are.

I believe at this stage in this R&D company, funding is now of premier importance.

The auditing company is still retained for their services.
Mr. Phykitt remains adamant that he continues to do all he can to bring Aquaprin to market.
He is encouraged about the plan to uplist.

But...only new news is real news, so there still is not a lot of news about PHAR yet.

I would always encourage people to contact PharmStar in an attempt to get their questions answered.

Ocean Waves are Big Board companies under $4 which show great promise for profits. Most Ocean Waves are longer holds, working toward the price goal; but many of these also provide opportunities to take profits every couple weeks or so along the way, as well.

Every Tidal Wave down or unchanged or 1 stock was up through the week. This was one of the roughest overall weeks for Tidal Waves in a long time. Only a few gave an opportunity to make a modest profit.

Although it is good to see the 2 week chart, which shows that at some point during the last 2 weeks, 5 different Tidal Waves provided an opportunity to take some profits at 20% or higher.



The Wave Team encourages you to take profits, that way you can be using your initial investment in another stock, you can reinvest in the same stock by purchasing a larger portion as the stock goes through natural dips or by sitting at the bid and providing bid support, so it doesn't get too low. You can purchase another stock and allow the shares in the Tidal Wave to be 'free' shares - thus all profit and taking much of the stress away from daily pps moves. Or, you can invest in a completely different stock.

I don't. I never got in SNRY until it became a R/M candidate. I was late to the party in June.

I haven't labeled them that way, but I, too, have those points to discuss, thanks.

I will not be asking any 'insider information' but I also wish for people to understand that I will not be interrogating Mr. Phykitt, either. I also have some questions about private business matters to discuss, so I am not going to divulge every word he says.

Actually, as I have been investigating Lev, I didn't think that much of the company - but I do now that I see the presentation. It makes MUCH MORE sense than what I thought the company was.

It is to correct the wrong 8-K from a few months back, which we caught.

They must be lining up all their filings correctly for the BIG ONE.

According to the county parcel map, there are a couple buildings on the opposite side of the street which are part of the complex.

That phone number is disconnected, too.

One thing seems pretty apparent, we are still looking at a R/M and not simply 'acquiring assets' of another company. SNRY - stick a fork in it, it's done (as a company, not a potential R/M).

I believe the SEC regulations/US corporation laws require a company to be actually listed a 'shell' company when it ceases existence. For all intents and purposes, SNRY is not operating - but legally with a HQ & officers and trading stock, it's not 'really' a shell but still an 'active' company (legally speaking, of course, not practically speaking).

I just got off the phone with Williamsburg County, SC and they confirmed that they do own the property, however the building has a current lease to Solar Energy Initiatives.

She was very surprised to hear that the phone number she had for them was disconnected - along with the toll-free number (also disconnected). She told me it was right off a business card and I told her the name that was on the card, and she was pretty surprised (David Fann).

So...we are back to staring at the 10-K and wondering why we did not hear any news on the closing on NOV 30.

As we posted already this morning, Milliken & Co does not own the plant in Kingstree, SC - the county does.

Got an email just now from Milliken offices:

Sorry, you are way off base. That is the address of a former Milliken Plant which closed years ago. The County now owns the facility.

I will be calling the county and see if they know why SNRY is using that address.

Looks like this is still "labeled" Milliken & Co. but it was going to be a huge company for SNRY - at least nearly 2 years ago.

A property search revealed that Williamsburg County Development is actually the tax-holder and that the building is for sale. They still label it Milliken & Co - so I am going to contact the folks there at Williamsburg County and see if they know that SNRY is using this address.

PR's should be substantive, not hypothetical.

In most cases, PR's which only 'hint' that something may be coming are lies because the CEO's real product is actually the manufacturing shares.

That informations is a bad sign and a red flag.

I don't think it sounds like internet marketing, either, but the address was on the 10-K, and I think that gives us some idea of what to expect.

If you follow the link to Performance Solutions, you will find that this section of the company deals with:

Training any company for safety
Training company managers
Web seminars for productivity

The many companies (37 of them all over the world) in this one mega-company have all been award-winning companies in safety regardless of the country.

It looks like they want to make this a very strong entrance into the business community.

So, it may be a stretch, but it could fit.

There are only 3 10-Q's and 1 10-K, which equal 4 quarters.

Since the 10-K actually includes the last quarter - but is much more in-depth, it doesn't really count for that quarter as 'late.'

There will not be a 10-Q because the annual report (10-K) will include that quarter.

From the 10-K

3Q 2011 was actually also the end of PharmStar's fiscal year.

10-Q is required to be filed within 45 days from end of Quarter.
10-K is required to be filed within 90 days from end of Quarter.

With 31 days in October, 90 days puts us to a deadline of Friday, December 29. IF they file on that day, but after hours, we shouldn't expect it until Tuesday, Jan 3 - since I believe the markets will be closed on Monday, December 26 & Monday, January 2 - legal holidays since the actual holidays are on Sunday this year.

HP, Look it up on Google Maps and look at the satellite pic - it is NOT an office park at all. It is ONE BIG company. It is NOT the corporate office for Milliken & Company - but it is one of their chemical plants, I think - maybe a textile plant.

It is in the middle of nowhere and not just some random, accidental address.
