SL, I agree with what you say with the exception that the announcement of financing, provided the financing is adequate and on good terms, will have a bigger impact on PPS than you estimate.
This is an INVESTMENT not a flip, and this INVESTMENT will pay all in good time.

As a shareholder. I had communicated via email with Howard a few times prior to our visit. I might add that to firm up our visit, the receptionist gave me Howard's cell phone number - I called - he answered and we talked. He is very gracious and open.

Another item that I failed to clarify is that Clorox has only a few licensees. 3, I think (maybe someone can name them?)STP Tools is, of course, one of them.
What I didn't realize before, is that Capstone had to fight for the STP license against other competitors. Stewart's experience in tools, automotive, and the fact that Capstone has the big-box vendor numbers is why Clorox awarded this license to Capstone. I see it as a huge vote of confidence from Clorox that Capstone is very capable of being successful in this venture.
The business exec's at Clorox are likely smarter than me. I have tended to be successful when I follow smart people.

Well, I'm just back from Miami. Back to work and not all too happy about that! While in the Miami area, my wife and I called Howard and set up a visit to the CHDT and Capstone offices. Howard was very gracious and encouraged us to come for a visit.
We easily found the place in an upscale office complex in Deerfield Beach. I guess it was about an hour’s drive from Miami Beach. We were very pleasantly surprised to see the nice brass signs denoting the offices. We were right on time and Howard greeted us very enthusiastically. He spent a good deal of time with us and later we hooked up with Reid Goldstein. Stewart was on site but was very busy with vendor reps or someone. The office was generally quite abuzz – everyone seemed very busy and quite intent on what they were working on. A very nice display case upfront neatly housed book lights and STP Tools.
We talked for a long while as Howard pulled tools from display to explain certain specifics of the designs and packaging and to answer some of the many varied questions from my wife and I. By this time we are feeling very good about this. Even better than before! But, it gets better!
Regarding the STP Tool license, Clorox reviews, and makes recommendations on, every product and demands equal or better quality than what’s on the market in the same price slot. I mean, this right here is huge! Clorox is not settling for second rate!
The tools are all over the office and we handled and tested many. They are of high quality and have many unique features not found on competitors. Plus, Capstone’s manufacturers build the molds and packaging specifically for STP. Capstone is not simply slapping a label on some existing model. And believe me, it shows.
I started letting loose some more serious questions. When I asked Howard about the financing issue, a very warm confident smile came over his face and he said "there will be news of that very soon". He further explained in detail the desire (more of a personal requirement) for strictly conventional financing. We got a very good feeling from what and how he said this.
We began to discuss the purchase of Capstone and even more specifically, Stewart Wallach’s role now in CHDT/Capstone. I had been a little unclear as to how the relationship has evolved over time. Though not specifically stated, I think that Stewart became aware of Clorox’s solicitation for an STP licensee after the sale of Capstone, Stewart has the pull, connections, etc, and Capstone was the perfect vehicle. IMO, this is why Stewart became more deeply involved in CHDT, i.e. as CEO. A good thing and again, my opinion only.
Stewart has the pull - in attracting qualified staff and with business contacts. The staff he has assembled are all old successful business partners and aquaintenances like Reid Goldstein. I think that Reid was involved in the development of Super Glue! How powerful is that? Stewart is everything to the success of STP Tools. And, I’ll tell you, it doesn’t seem to be about the money with these guys. They already have money. It is about the game and about successfully developing a product and successfully marketing it. There is no scam here.
Reid spent quite a long time with us. He basically came out of retirement to work with Stewart on this STP project. And, he is about as excited a person I’ve ever met and happy as can be. I found it very interesting and comforting that he is a stickler when it comes to packaging. Packaging is everything. Some of the packaging for the STP tools is unique to say the least and will be huge in the market place.
Another thing that struck me very positively is the amount of competitor paraphernalia lying about for study and comparison. Advertising and packaging documents also lying about, and obviously being used and even referred to during conversation to make a point. These were from many of the hottest products and campaigns out there today. I got from this, that he/they take making STP better and they take the campaign very seriously.
Also, and I think very important, when I asked Reid and Howard what might "trip us up" in development and marketing, etc. of STP Tools - what could derail this train, we found it significant that financing was not mentioned. (IMO, a clear sign of confidence in their ability to obtain financing.) And, the various things that could trip us up, as described by the duo, are not very likely to happen, IMO.
We are so glad we took the time to take our DD to this next higher level. We have a very high confidence in CHDT. We will continue to invest. This message is getting long winded, though I’m sure that I forgot much and there is certainly more to tell. And, I will over the next while.

Trading with volume coming soon. I've been waiting fo a long time.
U
The volume is mind boggeling.......
SL, I appreciate the explanation of your phylosphy and position. Time and patience are needed.
I hold 1.35MM, not far behind you but, I'm certain that my basis is somewhat higher than yours. Good luck to us all!
BTW, if you wouldn't mind telling, what is your decision basis for stopping at 1.5MM?

CHDT Corp. (OTC BB:CHDO.OB - News), a consumer products company focused on product placement with wholesalers and retailers nationwide, announced today that it will be the primary sponsor for the #72 MacDonald Motorsports Dodge, driven by DJ Kennington, at the upcoming NASCAR Nationwide Series, Camping World 300 at Daytona International Speedway on February 16th, 2008.
Just the start of an advertising campaign that will take us all the way to the bank!
U
I think that this has been one of the busier weekends for postings that I've seen in a while......Hmmmm?

I was in Barnes & Noble today in Las Cruces, NM. I saw two of the book lights on display. They were like the second one down in the second column and like the ones in the last column of the picture in the IBOX above. The Packaging was quite different - in a very nice, easy open, box with a clear plastic view window. The Product looks of fine quality!
A bit dissapointing was that our products were shelved in an out-of-the-way section of the store and with lights of two other manufacturers. I will email Howard tomorrow and express this concern. I'll tell you, it was exciting to see the Capstone logo on the box! Let's get it on!!
U
SL, Yes I agree. Like I said we will need to show earnings growth momentum or acceleration (larger each period). $0.50-0.60? Q4 2008 results at the soonest.
U
Right, a reverse split does not change the market cap. And, yes, it has been used as "lipstick" by many without success. Many have indeed been successful.
Under the right conditions a RS doesn't scare me but, I don't think a 1:25 split would be a favorable thing. 1:10 or less might work in a base of continued, earnings and growth, momentum. PPS would then need to be $0.50 or better. Seems doable in time.
U
SL, I understand the simple fundamentals of a RS. I assume that is may be possible that Howard and Stewart may not want to do a "traditional" RS. Is there something that they might do with their shares to reduce the AS so as to minimize the split ratio and thus make the whole affair more palatable?
U
I received a HomePRO 16 piece 18V cordless drill for Christmas. With all the hype and hope for STP Tools, I just put it aside unopened until today. This unit retails for about $52.
Overall it seems like low-end to middle-of-the road on quality of construction but a simple thing like labels placed poorly and "cheaply", I think, reflects on the unit itself. A cheap case doesn't help either. I'll give it a good workout so that I can have another basis to compare STP to.
U
Howard talks of uplisting once the company is profitable. How will the insider holdings play into a reduction in OS or AS to facilitate the uplist?
U
Plan B? You devil you!
I have had good email correspondence directly with Howard. I originally emailed Stewart, Howard replied, so I assume that Stewart forwarded my email to Howard. You can find Stewart's email address on the website.
U
The value lies in the financing.
Without money to make the units we cannot fill orders. The financing is coming - ultimately will lead to sales, profits, further manufacturing and development, which inturn will lead to further financing if needed. More orders will then follow.
Clorox/Amor All/STP would not grant the license without a certain level of assurance of success. What company would? If any "Joe blow" could get licensed, everyone would have one.
U
Oh how I wish I had more cash!!!
Ding-dang-dong-darn!!!!
U
A WAG but I think an announcement regarding financing will come this week. I think that credit line was not going to be quite adequate so therefore the tender. Announcement regarding financing will blow everything outa the water!
U
Ok, I've got goose bumps now!!!
It will be interesting to see if Clorox will ever officially weigh-in, in the market, regarding STP Tools green technology. At some point, I'll bet they do.
U
Absolutely! I don't smell failure here.
U
Absolutely no orders will be put on hold, that has severe consequences and the Company won't tolerate putting an order on hold.
Absolutely!
U
Oh, BTW, the "U'r" was clever!
U
SL, I think when I asked if you would loan CHDT money, It was more of a rhetorical question. I was hoping that your answer, one way or the other, might tip your hand a bit.
Your question about warehousing is a good one and I'll take it with me.
U
His strategy is clear and I think he's essentially admitted it. And, it probably works.
U
All, As I noted before, I'm planning on visiting the Deerfield Beach office in February. Make a lsit of questions and I'll take it with me.
U
SL, Have you visited them and asked them to show you the plan?
U
SL, Have you visited them and asked them to show you the plan?
U
Unless they get their act together? It is happening before your eyes. Open 'em. No one said it would be easy.
U
SL, no, we know we need it and we have been working on it for some time. We have been surviving on insider financing which you see more of today. Let me ask you, would you loan CHDT money now if the terms were right? Be honest. I only wished I was in the position to do so to a level that could make a difference. I'd be all over it!
U
"Did they just realize they were going to need this financing? "
Shipping of products will not be delayed. Initial product manufacture, shipping, etc. will be paid for through 1)Today's Tender, 2)internal management "financing"(loans), and 3)external private financing(loans). We will get by fine until the lines of commercial credit are secured - and they will be.
U
Green is good! But, the sails sure went slack.
The sticks are looking a lot like they did late August through very early October (only better now). What happened in early October?
U
Oops! I see now.
What did I miss? "About the National Hardware Show -- More than 18,000 retailers attended the 2007 show,..." Where is the error?
U
We need money to manufacture the products to fill the orders. Does anyone have any clue at what stage we are in obtaining commercial financing? Sre we still searching or are we finalizing?
U
I only wish I had more cash!
U
In time, they will. It will take a lot of energy to get the flywheel turning.
