Soon to change, later this year we will hear much about Korea, China, Malaysia etc. We have a dead period for now, but it will
not last. I have asked Brian to do a PR on the Status of FASC and his plans. He said he can not do that right now, he will be able to later this year. I like to ask him for updates on previously PR'd news.
I am expecting 2012 to be our party year? I am sure we will get some benefit yet late 2011.

I guess I am sitting pretty good. I worked my way down from .085
to just under .03 PPS FASC, I certainly hope that folks give this one more year before giving up. Yes, I know one more year how many times, but we do know of Korea now finaly is going to happen along with a few other irons in the fire. Just not a good time to give up.

I have not been buying any shares as of late, but it is due to other concerns, but I also could add that I have slightly exceeded my risk % of my portfolio!!! Temptation does abide...?

I talked to Keith on the phone approximatly a Month ago. The KDS
was not being used as of that time for the process. They are looking long term into Electric Generation. I do not know of any ethanol plans but that does not mean it does not exist.

In 99.9 % of all pennies I would agree with you. How-ever if any
homework at all is done, it would be recognized that FASC differs from most pennies in the fact it "does" make something. How many
pennies are we investing in just pipe dreams and no product is ever developed? Answer: a lot! if not most.
As said before, FASC is a gamble, but the odds are with us.
Fortunately an investor can goe visit a KDS machine any time they want to.

I also believe that we have some good news coming. I am not sure whether late 2011 will be it for us or not, but I am very sure that early 2012 will.
Some investors will sell into the volume and some will buy into it. I have been on both sides of that with many stocks. No matter how hard you try, emotion does seem to take its toll.
As far as FASC, I do trust Brian. I might tackle things differently, but that is due to difference in personalities.
Even a trust worthy person will not be 100%!
I do believe in diversification and would not discourage it with any posters. Tech is right on about having only so much of a portfolio in risk stocks.

FASC's KDS unique in my mind yet has lots of competition. MnVap does already have a system and does not need the KDS, how-ever they are looking forward to the KDS being on line because it is better!

FASC's predictions may be based on being timely. We will find out about the time table soon enough.
I agree that FASC runs on low overhead, but for a company that has so much debt to salaries it will take fruition of Korea or a multiple of sales to satisfy.
I am long FASC, but I also am a realist and know that un-suspected items come up that cause delays. And just from my poking around, I am expecting delays. (remember MnVap?)
Yes, I do beleive we will have our day, the question is will it be pennies or dollars and when?

If that is the case then we do not need a CFO. we will need extreme cutting of overhead. And that is OK also.
Do not expect any profits in 2011. I do see lots of follow-up on the last years inquiries. The problem with not having growth is you do not have enough Market-place to pay for the overhead. Business is not done that way unless you are satisfied with just getting by. I am against growth at all costs, but there should be plans implement when conditions are appropriate.
....unless we are must sitting around for a one time sell on PPS spike in leiu of building a business. And for some that is the case and that is ok. But I think Brian wants to build a business.
and for those who think an insurance policy is a business plan....
usually that is spent at the time of purchase with conditions placed on it.
The company needs a business plan and may even have one?
Business begats business, when working on a complete program parts are sold. Its all about marketing not accounting. How-ever when marketing is successful then we need accounting!!!!
Its hard to account for what we do not have.

It would be nice if FASC could market a complete pellotizing system, and yes if they had a small line that they could operate for the purpose of observing and improving equipment it would be fine with me.
It also would not hurt to market the KDS as we are now doing, but it would be supplimentary income.

The KDS is just one machine. With a variety of machines they would complete a successful operation without depending on a lop-sided need to sell KDS machines as if they were Christmas cards.
Even with Clarke they make sanders, buffers, vacuums, extractors etc. They could not survive on one machine alone very easily even though they have better potential to do so than FASC does due to the size of the expense in leiu of the volume need.
Example: If Clarke made only Buffers they could make a variety of size, weight, design etc of the Buffers and they do. How-ever every School, Commercial and Institutional building has a buffer which spells out what the potential Market is.
I do beleive you can over diversify, but having an incomplete or one part/tool of a potential system is often limiting.
The School business in Michigan for Gym Floors is very weak. I am glad that I have some other options within by business or I would not be in business.
My sucess in not my Brians, but from observation and common sense.

There are lots of reasons for a Sharesholders rights offering.
FASC needs to have income other than just the Sale of the KDS. I would like to see FASC use the KDS Machine for profitablility by being used to create a product and use the process to improve and develope the complimenting equipment.
A very big brother or a rights offering? Either one.
Clark makes a very good Floor Sander but the rider/trailer attachments are made by a different company. We have to employ skilled machines shops to improve the Sanders power, install additional power hook ups, make linkeage etc.
It would be great if FASC could afford to be the complete deal.
Maybe a merger with a pelotizing equipment manufacturer or a stock offering and FASC buying one?
The KDS is just one link and one product in this Industry. If FASC had a handle on the pellotizing System...maybe more KDS machines could be sold as well as our profits from the other machines.
I also think a smaller protable KDS machine could be marketed if we could afford to do it. Of course Pacwest could help in that area also.

I think we will need the new shares to finance growth in 2012. I do not see 2011 as being profitable? Lets look at 1st quarter 2012? I think FASC should wait to impliment a shareholders rights offerings to be announced along with a Korean or Chinese

The new rules for leveraging lines of credit do not make FASC look like a candidate. It was not a candidate previously. As much as I like Brian, I do think that the employment contracts should be reconsidered and be in line with the income and potential of the company. Brian does say he will be paid back with future profits and will not close the business.
Currently with Sales as they are, they could wait to fill the CFO position, rely on in house accounting and save the Salary expense.
Remember this is hardly a million dollar company at this time with
combined salaries exceeding any net coming from those sales.

I am speaking in my opinion only, how-ever I was speaking in the context of FASC as a stock (PPS) My opinion is that we probably will fluctuate in the low single pennies .01 to .04 max until we see FASC become profitable.
No homeruns until we see profits?
...but yes, I also think PR's will be minimal at best. I did ask Brian to PR his intentions about CFO and FASC outlook without
Cal. He said he would consider it after talking to his Accountant and Attorney. I personally think Brian would rather
let the profits do the talking in 2012.

I think it would be more prudent for a while to out-source what Brian cannot do himself until the Cash flow is good enough to hire someone. I do not believe that the average CFO looking for a job is going to be interested at this moment?
Maybe a Venture Capitalist type CFO such as Cal?
I am wondering if FASC is better off remaining on its own or if a merger or buyout with a larger Company with Cash Flow would be wise. Our Patents should be of great interest to some Industrial Manufacturers?

Sometimes there is a key Managements Family/heir buy-out agreement with life Insurance attached. I am not saying this is the case here. I do not know. In fact I doubt it due to the fact it is very expensive and FASC is small with Cash issues.
I am looking forward to 2012 and learning more about S. Korea, Hong Kong and Malaysia.
This FASC Stock has become a Gamblers dream! and an investors test of Faith.

I am believing that you are making a sincere assumption. It is typical for Life Insurance to be purchased to protect the integrity of a company for when a major Shareholder, Manager, Ceo or other diceases while holding an intrical management role or a sizeable amount of shares. Usually the Company has a contract with the large Shareholder or Partner so that heirs can be bought out and not have interuption in current Management goals.
I as you, do hope that this happened. If not, I think we will be ok due to the fact that Cal and his wife are close with Brian and Beverly. I am sure that they will work things out.
We will have plenty of time later to hash these questions out. I want to leave Brian and company in peace for a while.

I believe the Company has been set up to operate sales from outside sources such as JV's, Partner ships etc. like Pacwest and others.
I believe that the direct sales manufacturing is done next door by another company. JV's, dealers etc. Like JP Plantech do their own manufacturing or have their own manufacturing sources.
The largest void would be quarterly reports, end of the year tax work, accounting and such.
The daily stuff is already handled by those other than Cal.
Not heavy stuff at this point.
In my business I make use of a good Corp. Attorney and CPA for the heavy stuff. Daily stuff My Partner and I do. (OK the office Manager, lady!)
Brian will take care of things to run appropriately.

The California project cannot be talked about due to the Confidential agreements with them. The KDS is just a tool used in the process. As much as we want the KDS to be a recognized tool the Manufacturers don't want it publicized as being used in their process.

The Hong Kong project is the one I discussed along with S. Korea.
News will be forth coming on Hong Kong by the end of the year,nothing can be shared at this time per Brian.

MnVap is going much slower than anticipated. We are not involved yet in their processing. MnVap intends that eventually the KDS will be more of a factor. Apparantly the KDS Machine is "inline" but not "online". They do have a lab operating that does involve the KDS.
Pac West is doing well with lots of leads but nothing that Brian can share at this time.
I know nothing about Dakota projects. I will ask Brian next time we talk.

The $ 400,000 demonstration involves the Willams Grinder and Champion hammermill, then they use their pellotizing equipment.
The KDS Micronex at this time is still involved with Bio-mass trial runs and Lab work. They are hoping in the near future to involve the KDS machine online in the process.
