American stockholders (AMNP) will get Colorado Goldfields (CGFIA) stock. The ratio is still to be determined. Also, the merger isn't officially confirmed as a "done deal". The time between the announcement of the Memorandum Of Understanding (MOU) and the projected date is for both companies to examine each other in detail and come to a finalized agreement.
The planned date for the merger/takeover to happen is tomorrow, but a few extra days one way or another is common when dealing with MOU's. (Otherwise it would be a contract, or some other legally binding document. That will come in time.)

May I suggest you look at the PR that talks about the merger with AMNP? If the merger is completed, the shares will be needed for that transaction. The increase in the A/S followed the announcement about the merger plans. So, the suggestion that "a company doesn't file this request unless it is going to be used" is partially accurate. The shares don't HAVE to be issued if they are not used for the merger.

You would think, wouldn't you RKY. You and I are practical in our approach to things like this. But you know the state agencies. They make it as complex as possible. That's their job!

It has been already, Sal! Some of the longs here have been holding CGFI stock for many years. I'm a "noob" only about 1.5 years.
The battle, for lack of a better word, has been long and at times ugly. But the real end seems to be within reach.
I would speculate that financing is the bigger issue right now. The DRMS is a process that can be overcome. The manipulation of the PPS is a tougher thing to fight.

It is really a matter of only 2 items left to be completed (out of a list of 50+ items). The recovery of the settling ponds, and the newly submitted plan for the "dry stack method" of dealing with the waste material from the mill.(AM-03).
The ponds are being worked on and have been since last September, under the supervision of the DRMS.
The AM-03 is in process. When approved, the C&D should be removed and the mill can start work again. Income and profit is not far behind the restart.
Yes there is a lot of hope for this company!

I believe that CGFIA has been working or the "Chill" issue from shortly after being but on the list. That is what I understand based on reports from emails received from CGFIA many months ago.
It is in process, Sal. 567 may have more details than I, but he is out and about today. 567's earlier post inferred that we should be at the end of the process shortly.

The subject is far too complex to put into one post. I suggest looking at the stickies above. It is basically about the restart of the Pride of the West mill and the battle with the Colorado agency that put a halt to its operation with a cease and desist order.
It has been a long battle and CGFIA is very close to winning it.

I just see it as a chance for him to sell as few shares or as many shares as necessary to get his salary.
If he expects the price to jump, he sells less. (He now has 90 day window to sell.) If it stays stagnant, he can sell what he needs. Simple as that, RKY.
Actually, Outlaw, the fact that it has been passed along to the other agencies already is a good sign. Usually if the original agency (DRMS) has a problem with the submission they will kick it back before sending it on. (that way the follow on agencies get the 'reviewed and corrected' version.)
You do make a valid point. The follow on agencies may have questions and objections, but I believe those can and will be corrected with relative ease. But a possible delay could be in the offing.

567, forgive my failing memory, but I believe that Mr. Guyer did not have any stock compensation at all during the last year, and no salary either. He did sell off some of his existing shares, but those were from former years.
My take on this his filing (or rumors thereof) is his preparation for the DTC chill removal, and/or the mill C&D order retraction. The share price would rise and/or the mill would be producing a profit. (that means he finally gets cash salary.) If the price rises, he sells some shares to pay himself his living expenses.
JMHO, but that is the way I would play it.
There is no law that says he HAS to sell his stocks, but only that he CAN.
Also, didn't he file something like this at the end of last year? I don't remember if he sold any then.
I would dig it up myself, but I'm not at the PC. As soon as I can I'll check, but I know your "bear trap" memory would most probably have it at the ready.

That is exactly why I asked the question earlier, robo. I knew there were one or two who were lucky enough to get filled, but they seemed to be the minority by far. Most posters were saying that 1's were not going to pedestrian buyers.
I know my attempt to get .0001's failed.( tried for over a month.) I gave up and bought at .0002.
Let's see what we can find out. The members here will tell us.

In the last six weeks or more, I have only seen a very few individual buyers get filled at .0001, even after bid sitting for weeks. There are so many posters here reporting that they aren't getting the 0001's filled and complaining about it.
I believe you, 567. That's why I asked the troops for the info. I think we will see that you are 100% accurate. We'll see what is real by empirical evidence!

You know I'm not one to look to argue with anyone, but every now and then I just get tired of reading unsubstantiated accusations and statements about CGFIA that can't POSSIBLY be correct or has absolutely no basis in relevant fact. We prove the truth over and over, and then the same "stuff" is thrown about again. (Seems like "Ground Hog Day"!)
What really peeves me is the posters of this disinformation always insist on "proof" and "links" to the information posted or stated here by us all. (and it is usually right above in the stickies!) But god forbid you ask them for a substantiation of their comments, and you only hear silence.

You know, a bold plan like that would do the trick. Any way of forcing the hand of the MM's to positively declare or show what they really hold would stop all this double dealing and bluffing about their CGFIA inventories.
I saw someone post the idea of declaring a stock split just to get the holders on record. It was proposed that it be something like a 1 extra share for every 10,000 shares, or something like that. I'm not sure if that would work, but it seems to be an interesting concept.
If it were up to you and I, Sergey, we would have CGFIA's stock situation cleared up in no time!
Let's see, all it would take is about 1.5 million dollars each. We could buy out the outstanding shares and force the end to the MM games. Got a couple million extra? I'm a little short, by about $1,590,002.50
Maybe after payday I can have a little more if I don't pay my car loan!

I agree with you. We should be near the top, Particularly, we should be second; the company itself needs to be #1 on the list. It is a symbiotic relationship, and a tough call. We need it, it needs us. As a matter of perspective, from our point of view, it is all about us. From CGFIA's POV, it is all about the company.
CGFIA is at a delicate point in its development. All the work up to this point will go for nothing if CGFIA makes one mistake during this vulnerable time.
Guyer and Fearn are tap dancing in a minefield. If they complete the dance we all win. If not, we lose. So do they.
I know you are a supporter of the company. We just need to look at things from a larger point of view. Just as we are anxious to see SOMETHING happen, so is the company and its directors. I'm sure they don't want to tip their hands to anyone who can do damage to CGFIA's progress. It is tough enough having the leaches called MM's sucking the cash out of CGFIA's prospective bankroll.

Absolutely, PNYSTKB! The longs understand the situation here, although we all bitch about things and vent every now and then. After all, CGFIA is an exploration company at this stage. It takes money to do the things that are required. Trading stock for services only works in some situations.
This is the time everyone has to remember it would be silly to get "penny wise and pound foolish". (Spend what they need to spend to get up and running. Income and profits will come shortly after for CGFIA.)
