It's great what they design and how they are acquiring other entities.
However with a structure like this they had to know it was coming, and took no action to prevent it. Instead used assets to acquire more troubled companies. Not troubled? Then how can a troubled company acquire great companies? Makes no sense.

AMENDMENT OF THE ARTICLES OF INCORPORATION
TO INCREASE THE AUTHORIZED COMMON STOCK
The Board of Directors of the Company has adopted a resolution to amend the articles of incorporation so as to increase the number of shares of common stock authorized for issuance by the Board of Directors from 4,200,000,000 to 10,000,000,000. The holders of shares representing a majority of the voting power of the Company’s outstanding voting stock have given their written consent to the resolution.
The Board of Directors approved the amendment to increase the number of authorized shares primarily in order to comply with Bitzio’s agreements with its senior creditor, 112359 Factor Fund, LLC (“Factor Fund”). The convertible debt instruments held by Factor Fund require that Bitzio maintain a sufficient number of shares of authorized common stock to enable conversion of the convertible debt issued by Bitzio to Factor Fund. The Board of Directors anticipates that it is possible that Bitzio will have no shares available for issuance upon conversion and will therefore be in default of those debt instruments. In addition, the debt instruments require that Bitzio reserve a fixed number of shares for conversions by Factor Fund, and at present Bitzio does not have adequate authorized common stock in order to implement the requisite reserve. Therefore the Board of Directors proposed to the majority shareholders that the number of authorized shares of common stock be increased.
Under Nevada corporation law, the consent of the holders of a majority of the voting power is effective as shareholders’ approval. We will file the Amendment with the Secretary of State of Nevada on or after March __, 2015, and it will become effective on the date of such filing (the “Effective Date”). The Amendment to the Certificate of Incorporation provides that the authorized shares of capital stock of the Company will consist of 10,000,000,000 shares of common stock with a par value of $.0001 per share and 25,000,000 shares of preferred stock. I am curious though
Since for the past 5 months volume and PPS is stagnate, so what do they do about money, if all they are is a share selling scam?
Considering it's very obvious this has not happened in this time frame they have been a company.
What makes no sense in business is a tell tail sign of not being involved.

'Things' happen every day around us, 99% of the time whether it benefits us has nothing to do with us understanding what had to happen to get to that point.
As with American green, by now, it should be more than obvious they have a plan, and are navigating through lifes daily disturbances very well. No matter.
What I can say is this
Many times what we think we see is very much so not the reality of the situation. It's all about perception. Which stems from position, or involvement. I've learned to not make as many assumptions if I am not specifically tied in with the inner workings of any situation.
Therefore 'can't' or 'won't or has not might have no bearing on much outside of imagination, surface understanding i should say, as ERBB is not going about this with the tears and fears scenario, yet give the appearance of grasping at every challenge working through issues by farming many aspect's of various assets it see's as viable to the goal of success. Hence, they are already successful.
I hope everyone is beginning to grasp what is transpiring here at American Green.
It is becoming more apparent as time moves forward, that these people are not scamming anything , yet building a base and expanding their business connections and relationships.
At first glance it would appear as the PR machine has explained over the last 12+ months, that ERBB is just putting data out for the sake of share holders, but that is becoming more obvious daily that is not the case at all.
Sure, so many are down from their initial entrance, in fact most are I would imagine. However I would not be too concerned about losing out. With or without full nation wide regulation, it appears American Green is going to not follow the regulation, yet work within, and assist in shaping regulation.
Dare to bet that assumption is very close to reality.

Most since the new company. And the PPS is starting to move in the correct direction for a new, un known company. Same people or not.
The point is I do my investigation by being scrupulous over what is happening with the company. That entails picking apart what SoOum is doing, who they are dealing with and how timely they are, amongst many other variables.
The point is by far not the sugar deal, who cares of a sugar deal, if they plan to stay in business, they will be dealing with a plethora of commodities.

Lets find out how many pounds / tons of raw sugar the contract was for, then take the assumed contract price of five digits (which leaves an aweful lot of guessing) then divide that by 50% profit, see? Not sane computations at all is it?
Simply trying to keep things real, several months ago people were in here claiming they make a very small amount on said contracts, today we have people claiming to just obscure the walls of basic supply/ demand + contracted shipments, and I am supposed to sit back and take it since i am not in the brokerage business? Not going to happen.
In a world as competitive as this one basic reason explains if one pound of sugar going for $1 no one that has the ability to choose, is going to pay $5 per pound.
Therefore 50% is completely unrealistic, and holds no merit along the lines spoken. If not for favoritism, then again, unrealistic.

I am finding it very difficult to believe in a government bidding factory, that kind of margin being feasible.
In my opinion if this 50% is reality, this is favoritism, and more than likely illegal. I would dare bet there would be at the least 50 others that could do this for less than 15%
Imagine those warehousing sugar (this i have experience with / broker locally where I ran the IT dept for years). So i did have more than one discussion with the owner.

Besides, if it is a fixed price bid, then no one could know the actual profit margin outside of those directly involved with the financial statements.

So now making 50% of the initial investment, is not a markup? Redfining logistical realities set naturally by reason is hardly believable.

Remembering I have no international trade experience, but have been doing business for more than 25 years myself, a 50% markup on sugar sounds absurd.
And to get said contracts these people would likely have to be the most cost effective for the purchaser out of all bidders?
Setting expectations high is good
However setting expectations too high, on the unknown, is well, interesting thought pattern to say the least.
Set the goal, and work the points, I chose not to set myself up for failure by one, either stopping at a point where I get comfortable, or two, telling myself it's all good, when I might have no idea what is good or not in the specific situation.
I could say, hey look, I have three eggs, a couple pounds of flour, some sugar, baking soda, anise, some butter and cream of tartar.
Now what good do they do? Oh cookies yes yummie, great. Put them into the stove right ok, now whoops, no nat-gas and the electric is not running, hmph, welp find another way. Maybe talk to the neighbor, deal with him for a partial batch of cookies for the use of his appliance. That takes time, so my expectations of hot cookies in 20 minutes were not thought out properly. That idea was nothing more than a wish, since I did not look at the goal, and work my way backward, checking each point of reference and moving from there to the final goal, in reverse.
Point is reality. Do i believe they will become successful? hell yes I do, I still believe in the Easter bunny as well, is bunny going to visit me? We shall see.

And if they do run this thing, it will be followed by an RS it's just that simple. Shake and bake. Remove shareholders and cut the structure down to reality. Effectively raising the PPS value, and installing more control over PPS.
If they file audited fins from the last point, bingo it's jingle time, to me this would mean business. Get it straight and move from there to the next waypoint.

That said if I were not at least a bit interested to see what this group is going to come up with, in terms of residual re marketable liquid farming, then I would not be bothering.
My tirade is not the notice of late filing, it's what has already been stated clearly in that notice.
Here I see a few people that have had success in their careers, so they have 'other' jobs to feed their lifestyle.
Considering they likely used their intelligence to obtain the shell to begin with, they are likely out very little if they fail to produce in the timeframe they should have on paper.
Point is you don't take from one business to support another, you risk whatever asset you drew from, as well as any clientele trust if you cannot make the right moves.
Meaning they must at the very least 'keep the lights on' financially speaking , that the entity supports daily functions via moving money and scraping back a few chips for rent.
So not all doom and gloom, sure, the (publicly known) shipment is likely to keep the books balanced momentarily, however what they started with before that contract was even signed will tell us how they plan to execute. And i do not foresee this being presented in the up coming disclosure. More along the lines of getting business plans set financially, and free from past torched books.
Hence why I claim nothing much but good news, however miniscule it may appear, or slow it 'seemingly' slow the moves from there to here have been.
That silence is no one giving a care and actually putting their money to work for them instead of slumbering over a dead ticker that might some day do something.
Really, who should care? One notice from them in five months of the ability to do business with any number of government agencies? So what that's great I know, but really, so what.

This company has already been blasted on social media more than once, no crowd is going to come in here and force PPS to sky rocket, no, not again. IF this ever moves, it will be on fundamentals, nothing more.

Here is the issue
Long in pennies is more than a couple hours.
Long in mergers like this, pure gamble more than six months.
I called no bid soon after the merger for no reason other than the obvious facts of what a start up company has to go through to get revenue.
Are they a great team, probably yes, are they going after something instead of selling shares, looks like it yes, will this thing pop and people start flooding the bid in the next couple weeks, highly doubtful.
Great time to wait until all interest is toast, and lower my average for a reverse split early to mid Q4 2015.
Longer term holdings here than I expected
Since the filings will be late and explain there is nothing significantly different than last year, I can only assume another year before anything moves.
