PwC Says NIR Group Doesn’t Have Access to Dealer Market

NIR Group hasn’t had access to the broker dealer market since February. I reported this nugget of news last week for DealFlow’s The PIPEs Report after investors in the AJW Funds explained this is what court appointed Cayman Islands liquidator, PwC, is now telling them.
If NIR founder, Corey Ribotsky, knew clearing firms and broker dealers wouldn’t sell the hedge fund’s penny stock investments back in February then why didn’t he tell onshore or offshore investors this when he notified them the funds were going into liquidation at the end of March? NIR Group letters show the fund was asking investors to keep Ribotsky-owned First Street as the collateral manager during the liquidation. But if the market wasn’t willing to work with Ribotsky then how could he execute (and get paid fees) the liquidation strategy, which calls for converting the defaulting loans in the AJW funds to stock and selling them on the OTC market to get cash back for investors?
In early October, two people who had spoken with NIR managing director Bobby Cohen said he was telling possible buyers of NIR Group notes that the fund can’t legally convert right now. The SEC confirmed for me they’ve placed no restriction on NIR’s ability to convert or sell stock. So I ran Cohen’s statement by the NIR’s outside attorney Brad Gerstman who said that’s not true and insisted NIR was selling notes for minimal cash down because that was the best liquidation strategy to maximize value for investors. Yet, a month latter I see emails from PwC detailing a very different story. When I brought this to Gerstman attention he was tongue tied, said he’d get back to me with a response, and then never followed up. Meaning either NIR misled their attorney or Gerstman went on the record with a statement that didn’t explain what was really going on with NIR’s ability to liquidate fund assets.

While many investors are frustrated with the lack of transparency from NIR Group, offshore investors scored a small win in the last few weeks. Ian Stokoe, the PwC joint liquidator for AJW offshore II and Master Fund II told me yesterday PwC has now obtained liquidator control of the original Master Fund and AJW offshore I. I’d previously reported for DealFlow that PwC could have problems selling assets in Master Fund II because the assets had not been properly transferred from the first Master Fund to the 2008 restructured Master Fund II. Legal filings in the Cayman Islands show the old funds were voluntary assigned to PWC and not court appointed. This means the assignee, Ribotsky, could also take back control of the fund if PwC does something with the notes that Ribotsky doesn’t like. Investors in the AJW funds have said Ribotsky controls the majority voting rights of the Master Fund after he reinvested fees earned during the funds go-go years. Fees the SEC lawsuit alleged were obtained by Ribotsky lying to investors about the value of the assets in the fund.
Ribotsky is still the legal liquidator for the AJW onshore funds; funds that are packed with main street investors who got into the fund through an IRA or a broker selling the NIR Group investment idea for the firm. Jim Nail, a former professional money manager and investor in the AJW Onshore fund has posted a call out to fellow onshore investors asking to group together, like the offshore investors did, and take legal action to get a New York court to assign an independent liquidator or trustee.

Feel like you're between a rock and a hard place Chad ? They P&M when you don't communicate on a regular basis and when you give them info on developments, they P&M, saying they're tired of forward looking statements. I'll admit, I do get impatient from time to time myself. It doesn't take a whole lot of detailed info to make me happy. I just need to hear the general developments and what direction the company is going in. I do realize successful business' don't happen over night. Especially ones that are knee deep in litagation and selling a new tech product that requires a federal stamp of approval. God knows how long it takes our government to make a decision. So in the mean time Chad, I suggest you continue with your current plans ( especially in attending more farm shows ) and do what ever is necessary to close that first fleet deal. I won't attempt to speak for the rest of the longs, but "keep on truckin" and if you run over a certain bystander in route, I wouldn't mind that either. I may not hold millions of shares, but still have much faith in the company and it's product. IMO
I believe our driver has us on the right course. Most have passed over this portion of the statement:
"HTI will announce the completion of agreements made and in-process in the coming weeks. One agreement currently being finalized will grant currently positioned transportation marketing experts the rights to all transportation fleets not already engaged with HTI."
One can only speculate, but if they hook up with either Bobit, Frost & Sullivan, or Transplace, national exposure by one of these reputable transportation guru's could really make this baby fly. IMO
Don't take too much to heart J4P. PD's brother just wanted to emphasise a mute point. We've received a current update from Chad on the Hoss. That's good enough for me. I for one, have taken the Hoss and deals with Dongfeng out of the equation. If and when they occur, then that'll be like adding gravy to the Thanksgiving dinner table. And I loves gravy.
I believe the million $ in Receivables should answer your question in regards to booking. Not that I like seeing them that high, but understand for a start up company, you have to give much more than receive in order to survive in the long run. I do believe we will start to see the fruits of this labor in the next quarter. IMO

Paying $10. for a FDA approved pill ( the only one dr's can prescribe ) for gout medication that costs less than a nickle to retail, made me think about why the U.S. is always so far behind in accepting and developing new technologies. I love my country, but unfortunately it has been taken over by greed and huge corporations that have placed their people in key government positions to stymie any new technology that may affect their "buddie's" bottom line. These politicians that have no conscience in regards to serving the vast majority have been in power way too long. Short of an all out revolution, it will take some time to "Clean House". HLNT and many other fledgling companies will continue to struggle to get their products accepted and approved by these government agencies and their political allys. This is where much patience is required, and hopes that we are attached to a company that can withstand the attempt of others to stop them from being successful. When you see constant negative posts daily, it's only for one reason. I know the longs realize this, but I still worry about new investors tuning in. I still like the overall game plan that I believe HLNT has in mind. Putting dealers in place across the country to make product more accessible. For almost 2 years, I have offered marketing suggestions in regards to promoting their boosters. I think the pay off will be coming quite soon. I've listed below a ad from competitor in England that I believe is one good approach to marketing. We started this in Greensburg, Kansas but have not heard much more since. With the price of diesel and gasoline today, the booster should instantly represent an competitive advantage for any trucking company, agriculture, marine, or stationary equipment user. This is truly a no brainer -must do product with less than 9 months ROI. I just have trouble understanding it's slow acceptance by the independent companies. Oh well, that's just one of many things I don't understand. Keep the faith. GLTA

Come on Chad, sign the damn fleet deal and be done with it. I don't care if you have to give them units at half price. You'll get that back ten fold in publicity and credibility. Hell, Pepsi's been using these things for years with no problem. Someone needs to light a fire under your marketing director's a$$. If you can't stand the heat, step aside and let someone else work the deals. Do I sound impatient ? You've got your dealers in place, now's the time to pull the trigger. I posted this over a year ago in regards to companies not following the proper protocol and trying to slip past the EPA. Maybe this will let you also know that HTI is doing business the "Right" way and that my friends sometimes takes time. Hope this helps with your impatience.
EPA Voids Certificates Approving Import of Up to 200,000 Small Recreational Vehicles /Agency may levy penalties

WASHINGTON –The U.S. Environmental Protection Agency (EPA) withdrew its approval of the import and sale of up to 200,000 gas-powered off-road motorcycles and all-terrain vehicles. The agency suspects that tailpipe emissions information was either incomplete or falsified. This is the first time EPA has voided certificates of conformity for these types of vehicles and only the second time the agency has done so for any type of vehicle. EPA is considering an enforcement action under the Clean Air Act, which could lead to significant financial penalties against the businesses that manufactured or imported these types of recreational vehicles.
As a result of a lengthy investigation, EPA is alleging that the applications for the certificates contained false or incomplete information. EPA issued the certificates in 2006 and 2007 to the U.S. counterparts of four of China’s largest manufacturers of these types of vehicles: Hensim USA (City of Industry, Calif.), Loncin USA (Hayward, Calif.), Peace Industry Group (Norcross, Ga.), and Seaseng (Pomona, Calif.). The certificates were issued based on applications compiled by their consultant, MotorScience Enterprise. EPA believes MotorScience Enterprise intentionally submitted false or incomplete emissions information.
The Chinese manufacturers are Chongqing Hensim Group Co., Chongqing Longting Power Equipment Co., Zhejiang Peace Industry and Trade Co., and Zhejiang Chisheng Industry and Trading Co.
All vehicles imported or manufactured in the United States are required to have certificates of conformity, which are issued by EPA. To obtain a certificate, a manufacturer or importer must submit an application that describes the vehicle and its emission control system, and provide emissions data that demonstrates that the vehicle will meet federal emission standards for certain pollutants, including nitrogen oxides (NOx) and total hydrocarbons. EPA alleges that this information was falsified.
Because the manufacturers failed to properly test the emissions from their own products, EPA cannot determine whether the vehicles meet EPA emission standards. Without proper emission controls, recreational vehicles can emit substantially more pollution than allowable under EPA standards.
Volatile organic compounds and NOx emissions contribute to the formation of ground-level ozone, or smog. In addition, exposure to even low levels of ozone can cause respiratory problems, and repeated exposure can aggravate pre-existing respiratory diseases.
The California Air Resources Board, which issued executive orders similar to EPA’s certificates of conformity, has also voided its executive orders covering the same vehicles that were sold in California.
Today’s action impacts the companies that manufactured and imported these vehicles. A consumer who owns a model that was covered by these voided certificates is not responsible for these companies’ wrongdoing and can continue to use the vehicle.

Good Morning all. I'd like to voice my take on the rise and fall of the current PPS. Hypothetically, if I wanted to obtain your shares, How many 5000 share buys and sells will it take ? If I buy at bid, down she goes. If I sell at bid ( or below ) down she goes. ( works the opposite way when I'm ready to sell many shares ) Unless there is sufficient volume at ask to offset this manipulation, it probably would take less than a couple hundred thouand shares or less. (equates to less than $1,000. in trading) Besides making a whole bunch of money buying and selling cheap shares, I am able to accumulate many more to continue this activity as the PPS goes up. Now if I were not sucessful in scaring off holders this way, I may even attempt to defame the company and it's leadership on a public investors board. For us longs, we know the direction HLNT is going in. If the 10/20/11 announcement doesn't convince you, probably nothing will. I have been a holder since SSEV days because I have faith in the product, its new leadership and it's direction. You may sell if you wish ( as everyone has their own priorities ) but I strongly encourage you to hold tight, as this little company is about to become much more. This is just my opinion. Everyone should do their own DD and formulate their own conclusions based on factual information and not bogus assertions.
I agree Josey. I also am inclined to believe that a PR is coming very soon. I don't think Chad would mention any numbers in regards to fleet testing unless he is in process of signing at least one contract. IMO
I'm getting kinda bored lately. Guess I'll do a little fishing today. I'll be using .0026 bait and 200K test line. Who knows what I'll catch. If you're a true long, it won't really matter to you either. Like me, you won't be fishing off the pier any more when your new yacht comes in. I believe it'll arrive at the same time as the Hoss, or the "fleet" comes in. Just a matter of time.
I agree PD. You really should not trust anyone. You should do your own DD on HTI and take what others say with a grain of salt or other material. It almost sounds like you love HLNT in the post below. Yep , it really, really does. LOL

Once again PD, I thank you for your unbiased comments. There's just one small problem and that is they couldn't be farther from the truth. "Real companies use EPA certified labs and publish real results" I'll be sure to let Sensors Inc., who's results are not only used by the EPA, but recognized world wide, that you do not consider them worthy of 3rd party verification.

A Q&A in the Richmond (Virginia) BizSense magazine published Monday revealed an interesting new technology coming into the trucking world. Related to the hydrogen fuel-cell idea, the technology has been created by Marz Industries of Ashland, Va., BizSense reporter Michael Schwartz wrote.
Marz Industries president Eddie Miller has been working on it for several years now, the concept being to “take water from a tank and electricity from the truck and create hydrogen,” Miller told Schwartz. “Then we’ll introduce that hydrogen back into the intake of the truck to improve the combustion.” Essentially, the design makes an end run around the lack of hydrogen-fueling infrastructure on the road today, utilizing readily available, well, H2O.
Marz is on the verge of testing the “Marz Ranger Fuel Efficiency System,” as it’s dubbed, in trucks now on the road, Miller told Schwartz. The company is hoping to confirm a fuel-efficiency improvement in the neighborhood of 10 percent, something fleets and owner-operators could well use given new fuel-efficiency standards coming down the pike, not to mention soaring diesel prices.

Hate to rain on your parade Eddie, but Highline Technical Innovations have been out selling their test proven Wildcat Booster units to truckers for over a year now. There units have a CPU included that regulates the amount of hydrogen, thus giving maximum performance. And yes, they work very well. Ask the officials in Greensburg, Kansas.

I wonder how many $ a day the fleet they are negotiating with is flushing down the toilet by not using Wildcats. I know if I were trying to close a deal, I'd be presenting them that number , and often.
This is one of my favorite announcements that gives HTI just a little more Nationwide exposure. Anyone finding fault with this, needs to take it up with the Superintendent of Kiowa county schools.

Test Results Show HTI Wildcat Hydrogen Booster Helps Put the "Green" in America's Greenest City
Highline Technical Innovations' New Technology to Gain Exposure and Reduce Hydrocarbons in Greensburg, Kan.
FARMINGTON, AR, Aug 02, 2011 (MARKETWIRE via COMTEX) -- Highline Technical Innovations, Inc. (pinksheets:HLNT) has completed testing of the government vehicles in Greensburg, Kan., equipped with their Wildcat Hydrogen Booster, and the results are good.
The test results concluded that the hydrogen injector supplemental fuel system significantly cut the amount of harmful emissions produced by the city's government vehicles.
In mid-April, HTI donated the hydrogen fuel boosters to be used in vehicles operated by the city of Greensburg and Kiowa County schools to help the city continue their status as the Greenest City in America. Charlton Coats, chief executive officer of HTI Inc. and its subsidiaries -- Highline Hydrogen Hybrid Inc. and Hoss Motor Sports -- said he was pleased with the results and sees this as a good opportunity to share the benefits of hydrogen injection to the world.
"We are extremely happy that our test results show that our boosters are making a positive impact on the air quality of Greensburg," Coats said. "We expect the rest of the world to take notice; if it works in Greensburg it can work anywhere."
Michael Scott, an engineer with HTI's emissions testing department, went back to Greensburg in June to make sure the boosters were meeting expectations. Scott concluded that the vehicles were producing half the harmful gasses when the boosters were in operation.
Darin Headrick, superintendent of Kiowa County schools, said he's been pleased with the boosters so far. "We've been looking at the data in regard to our fuel efficiency and our emissions, and we've made improvements in both areas," Headrick said. "We're optimistic, especially from an efficiency perspective."
Headrick said there have been inquiries from townspeople in Greensburg who are interested in using the supplemental fuel systems on their agriculture equipment and heavy machinery.
Greenburg, Kan., was recently featured in a three-season television series on the Discovery Channel's Planet Green network as they rebuild their town as America's Greenest City after a tornado destroyed 95 percent of their city and claimed the lives of 13 people in May 2007.

For my one post today, I thought I'd share an article written in WIRED back in 2005 about the future of hydrogen injection. HTI has come a long way in perfecting the Wildcat and reducing the cost to make it affordable for almost everyone. Folks, if you think this technology is a flash in the pan, I'd say you're in for a rude awakening real soon. Just wait until the new government emission requirements come out. IMO GLTA

Truckers Choose Hydrogen Power Stephen Leahy 11.15.05
Hundreds of semitrailer trucks zipping along North American highways are now powered in part by hydrogen. These 18-wheelers make hydrogen as they go, eliminating the need for high-pressure, cryogenic storage tanks or hydrogen filling stations, which, by the way, don't yet exist.
These truckers aren't just do-gooders. They like Canadian Hydrogen Energy's Hydrogen Fuel Injection, or HFI, system because it lets them save fuel, get more horsepower and, as a bonus, cause less pollution.
"We're saving $700 a month per truck on fuel," said Sherwin Fast, president of Great Plains Trucking in Salina, Kansas. The company tried the HFI system on four trucks and has ordered 25 more.
"Drivers like the increased power and noticed there is a lot less black smoke coming out of the stacks," said Fast.
HFI is a bolt-on, aftermarket part that injects small amounts of hydrogen into the engine air intake, said Canadian Hydrogen Energy's Steve Gilchrist. Fuel efficiency and horsepower are improved because hydrogen burns faster and hotter than diesel, dramatically boosting combustion efficiency.
"You get more work from the same amount of fuel," said Gilchrist.
This is not a new idea. The Jet Propulsion Laboratory at the California Institute of Technology published research on the uses of hydrogen as a combustion-enhancing agent in the early 1970s. But the ability to make hydrogen on the go is novel.
The sticking point for hydrogen has always been getting it. Unlike crude oil, natural gas, wind or solar energy, hydrogen doesn't exist freely in nature. It costs $5 a gallon to make hydrogen from natural gas.
But the HFI system uses electricity from an engine's alternator to power the electrolysis of water to produce hydrogen as needed from small amounts of distilled water.
"That's a big advantage and a bit of a novelty," said Venki Raman, an expert on hydrogen-energy applications who started Protium Energy Technologies.
HFI's manufacturer guarantees 10 percent fuel savings, which likely won't interest car companies or consumers, Raman said. But a reduction of pollution emissions could spur broader use.
Trucks with the HFI system produce half the amount of particulates -- microscopic, unburned bits of diesel. The system also reduces nitrogen-oxide emissions, which are major contributors to harmful air pollution, by up to 14 percent, according to Canada's Environmental Technology Verification Program.
The HFI units are relatively small and cost between $4,000 and $14,000, depending on the size of the vehicle.
"It looks like a good transition technology to hydrogen fuel cells, which are still at least 15 years away from commercialization," said Raman.
It will take at least until 2040 before fuel cells begin to reduce greenhouse gas emissions, according to the National Hydrogen Association, Gilchrist pointed out.
"We vehemently disagree with governments picking the fuel cell as the single path to a cleaner environment," he said.
Gilchrist recently argued just this point in meetings with California officials, who are considering buying prototype fuel-cell vehicles that will cost more than $1 million each. That money could buy many HFI systems, which would provide "300 times" the air-pollution reductions of one fuel-cell vehicle, he said.
