Brian will be using profits also. With the combination of he can do things with much less Stress.
I also would like to see no more shares, how-ever Brian is 74 and wants to agressively set up a permanent staff for the growth he is finaly obtaining.
I have had some tense conversations with Brian trying to get information, but I have told him he has many partners here also, not just shareholders.

The request is going to be for 200 mil so he would not have to do it again. He needs to satisfy obligations, handle growth and establish a long term staff.

Brain will be very conservative with the selling of shares. He will not do it with out good news to report and at a higher PPS. He says there is good news comming, just slower than he would like it to be. When he gets the staff he needs he will be having someone else do the PR's for him. Brian says FASC is at a turning point.
Even though I would do some things different than Brian I am voting my confidence in him for the new shares.

I believe 2012 to be our year. I do not mean cisco style but I think it marks the beginning of regular growth and I anticipate
S Korea and Hong Kong to add to Malasyia style interest. I also believe that we will hear about sales in new area's.
Along with the above optimism I still have caution as to Cash flow and Cals estate. TR's optimism in that area may be technicaly correct but will things be managed or paid in the way Brian would like to. Cals estate and the probate attorney could cooperate or throw us into some difficulty? It is an unknown.
I wonder how narrowly the probate attorney will look at the estate and its assets. When they say disolve.....what will be the time limits (they can vary) and how patient will be the executors and beneficiaries.
I am an expert in my own opinion and nothing more!!!!

We could be in good shape or not? A lot depends on Cals estate
decisions and Brians good health. I have confidence in Brian himself but he can not control everything. The High Salaries for the size of the company making debt on the companies books was foolish long term for the Company and even Brians and Cals wealth due to effects on PPS and investment interest of bit rollers.
Compensation can be built many ways with out establishing all that silly debt on the books. If the company cannot write the check until successful, compensate in a way that is simular but not debt.
MY opinions with help of some friends.
By the way, I will be winterizing and putting away my Mother in Laws fifth wheel today. She is 87 and loves biking and camping!!!
She gardens, cans, does nuts etc. etc.

I have not posted much due to being on the rode a lot. I do not carry a lap top anymore. Mine finaly died and I did not use it that much.
As far as FASC is concerned, I have mixed feelings about it. The potential is great but right now there are some unknowns involving Cal's estate as well as a few other things. I do hope that the profitability when it comes is enough and on time to pay for debts etc. I am sure Brian is doing what he is able
on many fronts and needs cash to hire help to manage, design, expand etc.
If profits are large enough serious investers will not have a problem with the size of salaries that have been paid. Some of my buddies (large investors) think that Cal and Brian got a little gifty with themselves for the size of the company. The compensation structure should have been smaller salary and large success bonus/options or other. The debt for salaries does scare some investors away (thus the low PPS)
Just opinions from some successful investment friends.
I am hoping and believing that Brian has things well planned for the near future. I will probably vote the new shares as I believe Brian needs the Cash they will Bring. I am also believing that the shares will be sold carefully along with some good news that will raise the PPS not lower it.

I am not sure if it is a question of capability or interest? Adam is a very likeable person and definitely a hands on person.
If Adam was to take over he probably would need some business education, Dads oversite or at least a mature Staff/Team.
I think a lot is waiting on the possible pressure of satifying
Cals estate. The payroll pressure is going to be of concern if the wife needs dollars. It would seem to me that a payment system could be established with a payoff date but who really knows what the probate Judge and heirs will demand.
Near term profitablity? I am sure, but will we be included?
It will mostly depend on how collateralization is handled and how things are timed. FASC has no Idea what is going on in Cal's Probate I assume, and we do not know if near term profitablity is combined with enough cash flow to satisfy the salaries incured by Cal's portion of debt and operate current/future needs.
...another item to think about is how many of Cal's shares will need to be sold into the market? All or a little at a time? We do not know what the estate demands are?
Because there are so many unkowns, I think giving Brian/FASC the shares he needs is a better option than playing duling attorneys with an estate issue. I am hoping and believing that Brian is smart enough not to excercise the shares with out giving up some
forward looking "Good News"!!!!!

Brian's son works with the machines. He has lots of experience there. He is learning the business. The positive part that I see is that he is moving closer to the Company location. The move shows he believes in FASC longterm.
The hard part is Cals death was not anticipated thus plans were definately not what they should have been.
A Company should always provide a plan for loss's. Mine does and the company will do just fine with out me.......and my wife for that matter!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!!

The shares are not the issue I am concerned about, but maybe the salaries owed? Chances are Probate will have a lot to do with what is going to happen......thus, save the head ache? New shares?
I do not believe Brian is the issue, I believe the estate is. I referenced this subject last year before Cal got sick. I believe Brian getting the new shares to put the estate issue to rest will give him more time with FASC

It is obvious to me that an increase in share request would be at
a higher PPS. By the time the vote gets out, there would be the increase in sales.
I will vote yes for 100 to 200 mil increase subject to a higher PPS at the time. I know that FASC needs a increase in staff, engineers and products. It takes money to do it. And getting
Cals estate handled is much better than a law suit.
Brian is 74 years old, I do not see Brian financing the business himself much longer. We also need a back up staff for Brian.
Even though I was hoping future sales would flip the Bill, I think it would take to long.
My thoughts at this time, hopefully they are the right ones?!!!

Profitability has always been "end of calendar year 2011" and I suspect that it very well may be. My question is will it be profitable enough. Cals debt will be decided by his heirs and/or
a probate court. Will heirs have the patience to be paid over time or .....? I doubt Brian even knows. BOD should have had more look ahead.

The 10K is the past, the last quarter of this year is yet to be seen. I do believe we are heading towards profits how-ever read pages 38 and 39. I hope we are still on board to be apart of those profits. If we sell we get a nose dive in PPS, if we don't vote more shares we get sued? If we vote more shares we need to find out how many shares Brian is looking for. I figure it needs to be a conservative amount, but needs to be done.
At one time I was believing that the salaries would wait for profitablity, Cals death looks to have changed that.
The only thing to do is hang on and watch for last quarter 2011 results that will be reported early 2012. Hopefully we get positive forward looking statements in the up coming 10Q

I was right in my guestimations a while ago.
I do believe that we have profitablility coming, but is it enought to satisfy debts to salaries? I think we have two choices, some dillution or suit from officers salaries?
Read very carefully. Then again, then again. I am not fear
selling, just want to not ignore the possibility.
Personally I would take dillution, I think a temporary loss in value would be followed by an increase due to growth in sales.
Hopefully the new shares issued are a conservative amount.

I asked Brian about Hong Kong before and after his trip. Before his trip he said he should be able to share something by years end. After his trip he said he could not share anything at this time but trip was very successful and shareholders will be very happy. He could not share anymore than until PR'd at a later date.
Leaves me optimistic but thinking patience is in order. End of year projections to me mean 1st part of next year.
