Someone close to the situation had to have reported him. Based on the SEC suit I don’t think they would have picked up on the transaction unless someone alerted them to it. I question whether it was the company since they kept JF around until March of 2018.

Hey man. I see this forum as a vehicle to share each of our prevailing awareness about reasonable topics relating to the stock ownership that we share. I am just alerting other investors about an exposure that I see based on my past experience. If you value a contribution that’s great. If you want to disregard it that’s fine also. I greatly appreciate all contribution other that the obvious short sellers. Small companies that have potentially large shareholder damage are at risk. This one is at risk. Not today but 3 to 5 yrs down the road as litigation develops. End of topic.
You are absolutely correct. My true hope here is that there is no employee status for JF and he acted completely on his own with the paperwork. I just doubt it happened that way.
You are not following what I am getting at here. The danger to OWC will come from civil litigation from shareholder suits if any officer of the company acted improperly. It does not need to be an illegal act. It is highly probable that Ziv may have in his capacity as the leader of OWC.

I’m in the commercial insurance business so I will explain how this will play out. Assuming Ziv gave permission to Jeff to deal directly with the TA. This will trigger an “occurrence “ that would be covered under the corporate D&O policy. It may have not been illegal for Ziv to have done this so the SEC won’t be involved with this. However, it may have been against OWC operating practice which will most likely trigger a class action suit aimed at the D&O insurance limits. A company this size may carry 10m of coverage. Their assets are very small so add 2m on top of that. So there may be 12 m of coverage to cover this event. This will take 5 years to play out with the insurance company paying most of the litigation costs. In 5 years the hope is that the company will be large enough to cover the liability in excess of the 12m in insurance coverage.

It depends on Friedland’s employee status with OWC. I’m sure they gave him loans to buy the stock so that may create an employment status. He may have been paid some salary to be on the board. If there is an employment status the suit will take the company down
This suit was filed on Monday and no communication from the company whatsoever. That is outrageous. So we had Ziv who was a complete moron, Yahuda who can stop nailing his patients and now Friedland who must have been a complete idiot to sell his stake without disclosure. I don’t see a rebound from this

So much for speculating yesterday why this company wasn’t trading with the peer group. Now we know everything. It’s not what you say it’s what you do. Expensive lesson learned.

The conclusion that I have come to is this: OWC was a disorganized joke before Hirsch came on board. There is strong science here but the run in Feb never should have taken place. The company in my mind was reborn in July of last yr and this is why we are trailing the others. If the science is as strong as we think it is 150m market cap is a lock by the end of the yr. this is why I’m still invested here.
Didn’t the CNBX shareholders get burned when that share price came way down at the same time?
CNBX has the same run at the same time and came way down but their market cap is 4x OWC now. NTVA has nothing near OWC right now and their Cap is double. I haven’t been able to pinpoint the reason yet
This is the specific question I have been asking myself for months about this company. What is the reason(s) that the investor community values peer companies so much more than OWC? The market cap to me is at least 75m light right now. NTVA was the latest example.

I hear you. I’ve been here a year now and have been averaging down. Bought more today. There is no way our new Dr would have come on board if the underlying story wasn’t compelling to her. Don’t you think she had a long list of other options to take if she wanted? Things are starting to become clear to me.
