I guess we look at it from a different point of view.
You just averaged out the cost per share before and after the merger. That doesn’t explain why people are selling today and doesn’t really mean much in the big picture. We all know your average cost per share goes down after they get multiplied by 1.42.
The share price is always changing so therefore some people may have bought their shares at a lower price pre merger and sell at the same, higher or lower price after the merger. If you sell at the same price as you bought after the merger you made 42% profits. That’s why people are selling right now. There taking profits after their positions multiplied.
So going with your example;
if you bought 100 shares before the merger at $10 a share for a total cost of $1000 and you hold through the merger then decide to sell those same shares at the same price ($10 a share) after your 100 shares was multiplied by 1.42, you would then be holding 142 shares x $10 each = $1420. So that would be $420 In profits due to 42 extra/bonus/free shares now. Maybe free is not the correct terminology If you look at it from an average cost per share , I’ll give you that. I’m just trying to explain the sell off today.

Lots of SPAC addicts cashing out today now that this is not a spac anymore. Same thing happened to nikola and draftkings.
Lots of people selling their free .42 bonus shares too which was expected. Doesn’t matter what price they sell them at, it’s all pure profit when the sell (the bonus shares)
Time will tell if they will be kicking themselves. I’m a long term investor on this one so I’m happy to buy the dips. Also a great opportunity to get in at the bottom today for all potential new investors!

The warrants convert to 1.42 commons once you pay the strike price of $11.50 to convert them over.
Not Until you convert them to commons will you receive the 1.42 conversion ration.
So the warrants pre and post merger are 1 to 1 until you convert to commons.

CAN anybody confirm if you buy the HOFVW tomorrow that they will still get the 1.42 common conversion ratio after you pay the $11.50 strike price?
Or, did the 1.42 conversion ratio only apply to the GPAQW, before the ticker change to HOFVW?

This a misleading assumption your making that their contract will not be renewed with Amazon. This is not as you stated FACT at this moment in time. Currently they are executing delivers under their existing contract with Amazon that has not expired and therefore Amazon would still be considered a client of TLSS today.
So.. did you mean to ask the question?

Every company worldwide has shifted their focus to E COMMERCE and requires more delivery services for their businesses to succeed or even just survive. Market fundamentals are what brought me to TLSS and those are not changing, if anything their getting more Bullish in TLSS favor, this is just the beginning.

Has anybody ever heard of SUBCONTRACTING? What if we were to subcontract our delivery services out to (FEDEX,USPS,PURALATOR)? NEWS RELEASE!
They are overloaded with or without Amazon parcels right now. I'm sure they could use some help. The word on the street is the Parcels backlogs are just getting worse and worse.
What if TLSS looses the Amazon contract? So we get another couple clients to replace them at higher profit margins! NEWS RELEASE !!

I'm sure their trying to pinch us out of any profit like they do with most other companies after they give you volume, that is their play and they are famous for it. Maybe it's TLSS that is looking elsewhere away from the Amazon contract for more profitable contracts elsewhere. I'm sure their potential client list is a long one.
Does it really matter who were delivering for as long as our trucks and drivers stay on the road and keep producing.

I think John our CEO is setting things up for a huge rebound in 2Q.
We must not loose sight of the fact John is basically working with a performance based contract and his pay structure is all centered around the stock price. Its in his best interests to maximize shareholder value.
Don't let the noise distract you from the FUNDAMENTALS and TLSS is in the right place at the right time.

This is what I was assuming too , the cancelled shares by management are supposed to account for the 1.42 conversion rate on the commons . Therefore they equal each other out and share price should be valued the same ?

If the price of the common share was higher then the strike price ($11.50) of the warrant+original cost of the warrant; Wouldn’t you miss out on the potential arbitrage gains if you didn’t convert your warrants to shares and just sold the warrants then bought the stocks like you said ?
It's also Canada Day tomorrow, so it's a National holiday and the markets are closed in Canada. Maybe profit takers before the holiday? The IGN ticker went up from .005 to .01 here in Canada this morning so it was a good opportunity for people to double their money today before the holiday.
It is traded in Canada on the Toronto Stock Exchange (TSE). IGEN ticker symbol is IGN in Canada on the TSE. This report is for their reporting requirements on the TSE. They have to complete a monthly preogress report. Its not a mistake.

Anything is possible , we were at $3 pps only a few months ago. A lot has happened with TLSS since the last time we were at $3 pps. But if you think about it , I would say TLSS is In a much better place now with their reduced debts and increased revenues then when the stocks was at this price at the beginning of the year.

Agreed , too many potential revenue streams across all platforms. This isn’t just one business in one industry. There is multiple opportunities to make lots of money in the HOFV.
Here’s just a few off the top of my head;
Média/tv rights/ advertising and sponsorship opportunities/esports/fantasy sports/hôtels and Casino/gambling with Las Vegas opportunity’s/water park/ youth sports programming plus funding and grant from local governments/naming rights on buildings/ sporting events/ football games/ concerts/ the initial 10 million NFL Investment in this project will grow with this development/ government funding to support social programs on site/ senior living homes with community initiatives/ and RETAIL ( sporting apparel/clothing stores, restaurants, plus many more different potential retail stores on site. Im sure i forgot a few other money makers in store for the next great amusement park in America!

We already know based on press release where the 1Q numbers should be at. Maybe they saved a nice little surprise in there for us that they left out of the press release on purpose. I could see John pulling that one out of his his. “Under promise and over deliver” we will see. I also think the forward guidance for 2Q is what will make this jump up!

I think most people would be planning to convert their warrants when the stock price will be higher then the strike price of $11.50. Makes no sense to do otherwise. There would be opportunity for a substantial gain through arbitrage after Converting your warrants if the stock price follows the same trend lines of some recent high profile SPACs after their mergers completed. One of those SPACS was Draftkings which i think is a great comparable to GPAQ.
