On what basis would anyone buy an out of business in debt shell with a history of fraud?
Of course a genius VCG (venture capital group) would be smart to take this over and pay off a few million in debt and back taxes instead of creating a clean shell.
Could they make this a clean shell? Sure by taking it through a BK. That wouldn't take but a couple years and it would wipe out any existing share holders equity.

Lanza did it at Black Dragon (lesson learned) and Barnett did it at Omda after he took over. To protect us from a hostile take over of course.

In a nutshell this is what happened. Adam offered to do a 504 for Lanza. (504 allows a company to raise up to $1M a year by selling stock to a qualified investor). So Adam is to pay Lanza $1M in exchange for Omda stock. The stock price will be 70% of the lowest price it trades for in some time frame window. So Adam starts selling shares supposedly to raise the $1M and sells and sells and sells and beats the price down to nothing. So since the price he has to pay for the shares is now so low the number of shares is huge. He claims a majority shareholder position and tells Lanza I don't owe you anything because you don't control Omda, I do, and technically he's right.
Lanza not to be out crooked says fine you own Omda but I own all these wells you don't have title to. Adam wasn't happy to keep Omda and the $1M he sues Lanza for the assets. The suit gives him an excuse for where all the money is going. I'm guessing he did 3 or 4 504's while he had it. Would never account for where the money went.

As I recall Lanza controlled the company from the time it got into oil. They used to do something else I don't remember what before that. I'm thinking fashion magazine or something Lanza's wife was involved with. There have never been financials and they never made any money that didn't go into managements pockets. After Barnett got control there were zero revenues from selling anything other than shares.

In the unlikely event he "beats the rap" it wouldn't help this stock. He couldn't raise money here before he went to jail, and he won't if he gets out of prison. Too many people that monitor this board know too much about him and the company and will be sure to share that knowledge to prevent others from falling prey to deception. Barnett is a criminal and the company is a liability. No amount of pumping will change those facts.
