Everyone Read, I finally got some answers as what is going on with CWIR
I presume your interest in this matter is the result of your review of a number of derogatory posts adverse to my actions in regard to Central Wireless that were posted on Investors Hub. I'll reply to you as I did to other Central Wireless shareholders this afternoon.
Some weeks ago, I mailed a notice of rescission to all of the concerned parties that stated EMSR and First Trust were rescinding the transaction with Hurley/Townsend. However, after some thought, I am going to amend that certain notice and restate it as a notice of continuing default. While EMSR and First Trust have no objection to refunding the money were paid for CWIR (which is not the amount that was claimed, nor in the time frame provided under the agreement), I do not feel that Mr. Townsend would repay Harry Orfanos for the amount Mr. Orfanos paid to Mr. Townsend when he purchased the company's control stock; thus, a rescission would not be practical.
Here's the problem: Neither Mr. Townsend, Mr. Hurley, nor Mr. Orfanos have obligated themselves under the initial agreement with EMSR and First Trust by issuing certain shares to various individuals/entities. It's been over two years. During the past four months, Mr. Townsend and Mr. Orfanos have made numerous requests of me to modify the original agreement; I won't do that because it wouldn't be fair to the individuals who were entitled to shares under the stock purchase agreement, as amended, the terms of which Mr. Townsend and Mr. Hurley agreed to. The fault is not mine - they haven't performed under the terms of the initial agreement. They can try to shift the blame any way they want but it doesn't change their liability and obligations.
EMSR and First Trust simply want their entitlements as the same were agreed to by Messrs. Townsend and Hurley.
Frankly, I don't think that asserting claims of my stability will not shift the blame from those at fault - Hurley and Townsend.
In terms of my knowing Ms. Schoenbaum at OTC, I am only acquainted with her as I have conducted business with OTC for many years, and, as such, I have occasioned the need to speak to her. There is clearly no "inside influence" or conspiracy between Ms. Schoenbaum and I to cause OTC to impose restrictive legends on Central Wireless on simply my say so.
In closing, when Mr. Townsend, Mr. Hurley, and Mr. Orfanos, as the successor control shareholder of Central Wireless, PERFORM AS AGREED AND ISSUE THE SHARES THEY AGREED TO ISSUE UNDER THE AGREEMENT, I will immediately withdraw all claims against Central Wireless.
To me, Mr. Hurley's slanderous statements are of no concern to me. However, as a precaution - to make certain this type of situation doesn't occur in future to other unsuspecting persons - I did, months ago, refer this matter to the enforcement and investigative divisions of the SEC, FINRA, and DTCC, respectively. There's nothing like a clean set of eyes to review the merits of suspected fraud involving a public company and the individuals associated therewith.
