It is a tough call what option is better for shareholders, but voting no or not voting sticks it to the Winthers. Either way the VHUB assets end up privately held by Ply for $1 million.

Coal doesn't make that much sense in America -- we have nat gas coming out our ass. I believe only in the Appalachian Mountains of the US can blue/met coal be produced, other than Colombia. Cost of production is probably way cheaper outside the US. That's why most of the US mines are mothballed. imho
I started watching this in late 2015. I am a gambler too -- these are funds that I didn't blow at the casino, putting them into this stock (and others) instead. I held this through the last up cycle and am adding on the current lows.

In 2011 a similar storm sent coal prices way up as Australian mines were, I believe, flooded. It sounds as if they are better prepared for it than they were in 2011.
This year's storm coincides with Chinese cuts in mining, so possibly a double whammy here. What is bad for Australia may be very good for $NEWC.

They left themselves open to future litigation. They can really only blame themselves for that. They had lawyers all around them giving them advice, but I don't believe they followed it to arrive at this junction.
Would you advise a client to do this? This is a mess. They have alienated their shareholders perfectly.
They treated the offer like it like it was an inconvenient distraction that they quickly dismissed to continue on the path to "failure". That decision needs to be scrutinized in light of their duties to shareholders.
A lawsuit is one way to learn why. If a lawyer is willing to take it on a contingency that is the way to do it.

Perhaps the best part is in talking publicly amongst investors and being educated about realities of the market. So for a chip shot in that effort I say it looks here like the Winthers strategically screwed the pooch, bagged the shareholders for the bill, and set up a side deal to keep their kid, Kyle employed.
This one is like a law school spot the issues test. One big one is whether officers of a publicly traded company can circumvent their fiduciary duties and duty to shareholder loyalty by turning down a potentially business saving unsolicited offer, choosing instead to liquidate after negotiating a sale of assets that did little more than secure future employment for a family member.
The decision to sell to Ply and liquidate would hold up under any variation of the business Judgment rule Rule. The unsolicited offer has to be weighed against the prospect of what, a self dealing failure?
So the dance of destruction continues. Shareholders bring an action on behalf of the corporation to sue the corporation and its officers. Current corporate counsel will likely stay as corporate counsel, but the Winthers will need to lawyer up again. Possibly they have insurance that will provide a defense.
So ultimately any money that might have gone toward close out now goes into lawyers. Do we pierce the corporate veil and hold the Winthers personally liable? We got enough to get into the court house but we still might not win.
Thus, are we Destroyer or simply destroying ourselves and others for the sake of vengeance and spite?
BTW I enjoy weed and I invest mostly cannabis companies. But as you know the quality of a man lies not in his opinion of any one thing but in his opinion of all things.
Pot is a divisive issue for many, but most vape companies are downright pot friendly.
I added below .01 last week and I will do it again if we see anything around the .009 level or lower. I might be nuts and we shall see by June.

Generally a company will be zero debt (or very low debt) at the point of takeover, as the shell absorbs the formerly private company. Warts, debts and all, the shell offers a method of going public quickly and cheaply.
You can make a lot of money if you buy a shell early. I feel a little late to the party here. I watched this dip almost to the trips and I missed my chance to buy cheap shares. Dang.
I like to compare this to Cannabis only companies.
If the full AS (600 million) was in the float, a max market value of $NEWC at .01 would be $6 million.
For the same price I could show you two Canadian Cannabis almost only companies that should obtain their Licensed Producer status in 2017, each of which are in the $6 - $10 million range. Basically the same valuation as this. I buy those when they drop down to the $5 - $6 million level.
But New Colombia has a billion dollars in coal reserves on top of cannabis products ready for market.
Let's see if Campo can bumble his way to success. He has been given two golden opportunities to play with.

I did the math on the back of a napkin. Going forward we have a max 5 billion OS at @ .0006 equals $3 million market value max. The I am not advising any one to put their life savings on this but maybe some beer money.

Good PR! Growing quickly
This is a smart little company.
All sorts of small plays, Beverage companies, cannabis companies, shells when they first get started. Exploration stage ventures. Very risky shit. Lots of mining, gas and oil exploration plays. Lots of straight up scams too.
Hoping that up 32 percent in a day is a taste of things to come, fellow traders, but I wouldn't rule out future dips into sub-penny land.
Keyotee nailed the drop to .0111 and has predicted .0077 followed by a support call at a smudge under .005. I followed his call to add .0095's so I offer deference to the master of windmills. Watching and waiting, sword in hand.
Pennies might turn into nickels here, IMHO, medium term. Good trading. We can go up on volume with this one and that rocks.
Anticipating fallout on the 10k, such as complex derivative liabilities mentioned earlier and a more than doubling of the AS to impact market value via clearer impact of dilution.
Personally hoping this might be balanced out by cannabis or coal news, but the market is the final arbiter. I tend to overly optimistic because of the coal assets, hoping they can crank out 40,000 tons of coal per month within two or three months, thinking that we go to a dime when that happens.

By later this week it could be at .02 and it has done it before.
The final trade was 34 mil at .0007, so somebody just threw down $24,000 on it. There's a lot of noise here but the volume is good. Has to go up at some point, often the boards are a couple days ahead of the market reaction.
So if the float consisted of all OS, it would stand about 600 mil.
So the company has a structure somewhere between that of SGBY (cannabis testing labs 900 mil float) and AGTK (cannabis RE & services, about 400million float). Both of these are at PPS between .02 and .03.
Another way of looking at it, worst case scenario, 600 million shares at .01 PPS equals a market value of $6 million. This company's coal reserves alone are conservatively worth 100 times that.
There is value here, that's my point. How much value is yet to be determined. Can you do well if you buy under a penny? I am counting on it.

The primary lesson for me is that one shouldn't under estimate that a small publicly traded business owner will yearn to go private.
Taking two similarly situated companies, one public and one private, the private company is much more profitable and rewarding to own primarily because you don't have the overhead and time sucking rules and regulations ... oh, or pesky shareholders, either.
The filings and PR in the middle 2016 painted a rosy picture of a family owned, fully reporting and current company recording million dollar months and record revs into October '16.
There was no real warning of impending doom ... the company seemed to failed because management wanted it to.
I'm small time but I'm a trader. I would probably buy this company again but I will be wary of ones that look super squeaky clean. This one was a little too squeaky clean and a little too small to last.
Problems with shipments from China are another issue shareholders didn't see coming, we thought Kyle was doing his job correctly. But that is becoming a common problem for small companies.

It is awesome to see NEWC crossing over into the much hyped cannabis sector, as it rightly holds first-mover status in Colombia, where world class cannabis can be grown outdoors all year round. Cost of production in Colombia are lowest on the planet. Exporting coal and cannabis to the world soon.
I have watched this one for a while, about a year, and it may dance around under a penny but it won't stay there long. Yeah, it could hit .007 and I will add if it does.
Uncertainty will bring this down, solid signs of coal operations will bring it up. Solid progress on Sannabis products will bring it up.
Patience. This may take a couple of months. The 10k may be ugly, but it starts there.
I believe with mining companies, they must have a mine operating before banks will loan based on value of resources. We are almost theee and the coal reserves are huge. Pull those blue chunks outta the ground and deliver them in pickup trucks if you have to, but get the mine open and we will start to roll up hill.
I learned a lot on this board too, many decent people here. Too bad VHUB management sucked and got greedy at the end and short changed the shareholders.
While my investments are small in comparison to many, I am here as you all are to make money. Had about 10,000 shares and sold at about 45 percent loss yesterday. Those funds are already invested elsewhere. So, yeah, I lost about $75 here but The lesson was worth thousands.
