On May 31, 2016, Craig Alford acquired control of forty-five million (25,000,000) shares (the “Purchased Shares”) of the Company’s issued and outstanding common stock, representing approximately 62.5% of the Company’s total issued and outstanding common stock, from Ruben Ricardo Vasquez in accordance with a stock purchase agreement between Mr. Alford and Mr. Vasquez (the “Stock Purchase Agreement”). Pursuant to the Stock Purchase Agreement, Mr. Alford paid an aggregate purchase price of twenty-five thousand dollars ($25,000.00) to Mr. Vasquez in exchange for the Purchased Shares.
As a result of the Stock Purchase Agreement, the following changes to the Company's directors and officers have occurred:

I think we should all hold on and see what the FALL will bring..The Liberal Party in Canada wants to legalize marijuana, but when they announce it they also to want to hold up a tool like the Cannabix Marijuana Breathalyzer and to say "We are also going to ensure safety on the streets" .." The president of Lifeloc Technologies, a Wheat Ridge-based firm that develops Breathalyzers and other screening technologies, is resigning at the end of the year, the company disclosed Tuesday.
Gurumurthi "Ravi" Ravishankar notified Lifeloc on Dec. 21 that he planned to resign from his executive and board positions effective Thursday, according to a filing made with the U.S. Securities and Exchange Commission.
The resignation did not result from any disagreement with the company or its practices, according to the filing.
Ravishankar, who joined Lifeloc as vice president of new ventures and acquisitions in 2011, was promoted to president in February.
Officials for Lifeloc could not be immediately reached for comment.

Folks, lets not forget that this offering was offered to existing shareholders that qualified under the securities laws.
I believe the company has a loyal investor following and is focused on delivering returns to those investors. Many junior companies are having trouble raising ANY money and for BLO to raise DOUBLE its target in this market speaks volumes about the technology, and people involved.
This is the best funded marijuana breathalyzer(only one??) with the best scientists (Rick Yost, Bruce Goldberger and UFL). I think we need to be patient and let the company develop its technology in a timely manner while protecting the IP procedures. Placement...I believe the placement is being offered (10%) to retail investors as a goodwill carrot. I know for a fact the NR stated that management will be taking part in the PP.
I also know that Core Capital is a big partner on Breathtec and was an early investor in BLO (as Hamza Thindal) and their circle of market makers and brokers will get a piece of the action. Look at what Core did on V.MSD and V.NPH after they got in early on those stock.

It looks like MM's took a big short position on Friday hoping that the PP atCDN $.15 will mean that the stock will trade at $.15. They don't understand how tightly held this stock is and they are going to have to cover their shorts by buying in the market on Tuesday and Wednesday (Monday is holiday in BC)

Tough break, centre of the universe. Under new rules now in place in British Columbia, Alberta, Manitoba, New Brunswick and Saskatchewan, retail investors can now take part in public company private placement financings – as long as they do so through a broker.
But not in Ontario, and not in Quebec.
That’s the layman’s version of the story, which is apt because it benefits the layman, opening up previously restricted financings to anyone with a valid chequebook, who has sat with a registered investment dealer, been warned of the pros and cons of investing, and been deemed worthy of risk by said dealer.
Even better – there is no limit on the amount of money that can be invested in this fashion, as long as the dealer is meeting his or her obligation under the know-your-client/know-your-product rules.
In order to qualify, the financing must utilize the Investment Dealer Exemption, be listed on a Canadian exchange, have public disclosure documentation that is up to date, and have properly new released the deal. Importantly, the issuer has to provide investors with the contractual right of action in the event the company misrepresents itself in the public disclosure record. A four month hold period applies.
This is not the first change to securities rules in Canada in recent months, with a somewhat restricted Crowdfunding Exemption having been published in November of last year, which allows retail investors to use crowdfunding platforms (like our sister site, InvestX, which has already offered access to private equity deals for Spotify, Instacart and Lyft) to invest up to $2500 in financings.

A shift towards allowing retail investors into those deals is welcomed and long overdue, though it will take some time to see how that rule change will apply to our own space.

This is exactly the sort of shot in the arm needed by both brokers, public companies, and investors who want more open access to the kinds of deals traditionally restricted to the wealthy.
In fact, we published an end of year piece just a few weeks ago that demanded the rules be changed in this respect, alleging that nobody was really being protected under the old rules, and everybody was being squeezed.
It’s a shame that Canada doesn’t have a single national regulator that could make this rule change truly national, but work is moving forward in that regard on an ongoing basis. While this rule change is potentially a sea change in Canada’s investment industry, and could open public companies up to significantly larger investment pools when they look to raise capital, financings in the largest capital market in the country and its French speaking neighbour remain closed to the ordinary Joe.
But in the meantime, if you’re in Western Canada and not accredited, but you have a wedge you’d like to get in on a financing, complete with deals at a discount to the market and/or warrants included, you’re about to get your wish.

BLO and BTH working on the same technology on different fields is awesome.
I am told that BLO had the Alpha version and was stuck on getting 100% accuracy. Raj and Kal had before this time locked up the FAIMS patent into their private holding company Cannabix Breathalyzer and transferred the drug detection of FAIMS to BLO to allow for 100% accuracy in THC while still developing Breathtec for diseases. They did not have to do that but they are also huge shareholders of BLO and it was in everyones interest. The FAIMS technology was sublicenced to BLO for zero payments.
For people that think it was a bad move, it is absurd. Having two funded listed companies funding this technology is amazing. It will work in both fields...drug detection ,disease detection and I am told it will also work for explosives detection..I assume Kal and Raj are holding the explosives portion for themselves further down the line.
Breathtec to trade next week...apparently Breathtec is set to open next Monday and apparently BLO will get a ride with it..rumour news is due out on Blo on next week as well.

DRUGGED DRIVING IS TAKING OVER FROM DRUNK DRIVING
Herbert Hill's so called marijuana breathalyzer is a breath collection device attached to this years old tool made by Chemring called the Juno. It is not even in the same century of technology as Yost. It a pitiful display of someone developing a marijuana breathalyzer.
Take the time to read the two articles and look closely at the pictures. The Juno is not capable of detecting THC at levels required for the courts....Hill's efforts are like a little kid working on a science project.

I believe we will have news to coincide with the breathtec IPO. Allot of brokers and funds are talking about the excitement around breathtec and how its the best business case for medical device company with the right people, technology and funding in place.
I expect Breathtec to trade $.60-80 and for BLO to follow on it coat tails and on news.
Any news issued pertaining to breath device being developed applies to both company's. Its only once the substance being identified does it split into BLO and Breathtec.
I remember BLO was at $.75 when it first went IPO...Breathtec will do same and BLO will rise with it.

Does anyone know of the short interest in this DOG. I believe once the shorts have covered a little this will tank back to $10. Oprah or not, this program can be done thru cell phone APPS that cost $1. It will take a few years for these guys to rebrand and since Oprah is locked in I don't see her rushing to do anything urgent in the near future. The spot light will fade and we will be back to $10. There is no way this is worth its current valuation .....fat Oprah or Not

I think he media is quoting the company as saying they guestimate and target a two year timeline but cannot guarantee it. There are allot of hurdles to go thru including government approval. No one can say how long that may take and I don't think the company wants to be pinned down to a definite date. No one has a crystal ball as to why the process be as this is a very new tool and new technology.

Law enforcement officers of the past had to use subjective observations and tests to determine if a motorist was drink driving (under the influence) or not. A law enforcement officer would observe a driver and look for signs such as bloodshot eyes, slurred speech and the smell of alcohol. A motorist could have been asked to walk in a straight line, close his eyes and touch his nose and various other tests. Today these tests are known as field sobriety tests.
This was all about to change when an important milestone in breath testing history appeared in 1927. A paper produced by Emil Bogen who collected air in a football and then tested this air for traces of alcohol discovered that the alcohol content of 2 litre's of expired air was a little greater than that of 1cc of urine.
This revelation laid the foundations for many years of research into various scientific methods of calculating and comparing a persons BrAC (breath alcohol concentration) level to that of a persons BAC (blood alcohol concentration).
Product Update//Lifeloc/ Washington State???
Has anyone seen any product updates from Lifeloc detailing their developments? Lifelike is a public company and you would figure they would detail their developments, but they have not done anything but announce they are developing a similar device to BLO.
Also Washington State University has a grad student working a project, but they also have not announced any update that detail the exact progress.
I wonder if they are all afraid to divulge their advancement in fear of letting the others know of what is being done...this is a very new technology and it seems like all three are holding their cards close and not lifting their skirts
