21% of common outstanding (no dilution of AZRH) means 25,672,500 shares of AZRH at roughly .02 means SDVI just added ~ $500,000 asset to their books when the deal completes.
Once AZRH is back to fully reporting, it could mean a lot more for SDVI in terms of an asset.

So why are you saying that CWIR is fake and a scam? Their PR didn't say they have a LOI, who said they had a LOI?
You seem to be saying that CWIR is a scam and that they claimed they had an LOI, but I don't see that anywhere.
But you cannot deny they were trying to put together a deal with ATG and had come to terms (probably verbal, we don't know).
In fact the court didn't ask for an LOI, they asked for an agreement (there is a big difference).
LOI's are not binding/enforceable as an agreement. Agreements are definitive and binding.
So, the attorneys for the debtors (not the court), where asking for an agreement with CWIR. And there has never been an agreement.
I think you might be right about Louis switching his story. In re-reading the court proceedings, it seems like ATG is being deposed (adversarial proceeding) for the CWIR deal.
The Debtors are asking him for details on the CWIR deal, so better just to kill the LOI or say there wasn't ever one finalized because the debtors are trying to get at that deal which is supposed to be a post BK acquisition.
So maybe Louis did tell THall that.

the Bankruptcy court and try to negotiate a deal between ATG and the Debtors.

No, I haven't called Louis to verify he made the statement, but I've dealt with Harry Orfanos and he's been a man of his word so far.
I don't think the deal was fake to begin with, I think it may have fallen apart or the Debtors of ATG used the adversary proceeding once they got wind of the CWIR offer and got greedy.

Well the link is simple.
CWIR acquired 1/2 Inqubus, Inc and SDVI acquired the other 1/2 (now Innovo Tech) in the IOT space.
Inqubus is a incubator (duh ;) ). It basically helps fund companies and either rolls them into bigger companies or will do reverse mergers, etc.
4 companies out of Inqubus were rolled into $SDVI, The old share holders were bought out with preferred shares.
Harry Orfanos likes to do the same type of thing, but at a bigger levels, so I worked a deal with him to take over CWIR.
This means I will be able to fund research and development for SDVI.
But in general the companies don't have a business relationship directly with each other, except through the Inqubus, Inc. subsidiary.
Could retract possibly, but the perfect storm of the acquisition and the parabolic move today could mean that it may not consolidate that much. All this is IMO, I have no idea if that will or will not happen, but it just seems to me that is what is happening.

Thank You. And thank you for reminding me that I did resurrect this company. I got involved again, much to the chagrin of my wife, as it wasn't doing anything so I put in some cash got it going again and gave another good entrepreneur a chance, but with tight reigns this time.
I'm thinking of trying to help SDVI find another tech company and roll them into it like CWIR did.
IMHO 60/40 CWIR/SDVI CWIR is a short term sure bet. SDVI is a longer term riskier bet, but I plan on supporting them, just one good order or multiple small ones and it's off to the races.
Also, for me I'm a tech geek and like cutting edge stuff as the other businesses are good money makers and don't shift technology. SDVi is agile.
But Warren Buffet doesn't invest in Tech or didn't for a very long time and missed out on some good runs, but he's wealthy but boring as he**.
I would rather be a little more risky in my life.
So it depends on how risk adverse you are. I'm about 30% risk adverse because I like change, i.e. newest gadgets and tech that moves society forward. Such things as new energy sources, cryptocurrency, AI, etc.

Central Wireless Acquired about 1/2 of Inqubus and the other 1/2 was rolled into Signature Devices for the IoT stuff.
The principals of Inqubus got preferred shares for the deals.
Because I put that deal together and agreed to fund for development, etc, I can continue to fund manufacturing and development at Innovo Technologies. They benefit because they don't have to scramble for loans, etc. or get Purchase Order Financing, etc.
And they don't have to dilute to raise money this way. The company builds up its product line and profits and hopefully go to the OCTCQB status and do a Reg A+ if needed to raise money for manufacturing more products.

As for CEDIA, I don't know the numbers that resulted, but I can tell you that just signing a distributor doesn't mean instant income, it takes time for sales to build up.
This happened with Reader Rabbit, it took about 6 months to build up the sales to about 1 million, but these were $19.99 products.
Morpheus is much higher profit margins as they states in their PR they make 100%. So they only have to sell 2,000 units on a $1,000 unit for $1,000,000 profit. It seems pretty achievable to me, hence my investments.

I wish I could predict the price movement of SDVI. For years SDVI was accused of dilution even though the OS never changed. As said, I have been often accused of dilution and in fact was down $300k in my 401k because of SDVI stock purchases. It always seems to be NITE who is known to short in expectation of dilution. At times the company was put on a chill list because NITE couldn't deliver RegSHO and the DTCC chills the stock until the failures to deliver work out in their system. From years of seeing manipulation of SDVI stock with no dilution, I formed my thesis on what was happening. It may or may not be correct, but it was the most probable cause of the massive volume followed by the plunge in price. Any other theories?
As for Graffiti, the plan is to roll it into its own pubco eventually.
Right now I'm focused of CWIR. I facilitated the deal over there and have a big position in that company. After I can liquidate some of my position (not until it .05 cents or more probably ) I am going to fund for Graffiti to do a Reg A+ or reverse merge into another pubco.
And remember I have no obligation to do any of this, as I am not an affiliate, c-level exec. I've basically put my own money into all this to try and get these companies back on their feet. The CWIR deal was a stroke of luck for me.

Let me rephrase the uptrend thing for you, I stack my sales in an uptrend and I never reduce my sales price. And the stacking is to let it go up and I sell a few with limit orders. It also depends on the volume, as I don't want to change the trend. My sales were all before that day and my stacks were all above that price, so I sold 0 shares that day. I haven't reduced the price on my limit orders, so the action these weeks has had zero to do with dilution.
