Name change has not happened, only a different website, change the state of incorpotation period...this stock still trades as HMIT Hidalgo Mining International.
Can they obtain all the necessary information required to change the name?
Holy crap......ask Verde! You will need some help...I am not sure if Verde knows the answer.
DD means looking into the specifics of the reverse merger.
Why is the name change taking so long....Verde is having a problem providing the required information.
They need to work on becoming a fully reporting company...this cost $$$ or we go on as HMIT....but this is only one of all the problems facing any Pink sheet stock.
QUESTION THREE: After the merger, I may want to:
Move up to the OTCBB
Change the Company’s Name
Reverse Split the stock.
Can I do that?
The answer is: Yes, but only if you have all of the following information:
A full corporate history for the shell including all material facts of the corporate action being requested (Start on the original date of incorporation and include all the corporate changes that have occurred until present day, including, but not limited to, changes of control, reverse mergers, name changes, etc).
Back to the formation of the shell: A list of all corporate officers prior to the current officers appointments. This list should include the date of appointment and resignation for each officer on this list and should be accompanied by the executed back up documentation (i.e. signed resignation letters, Board of Directors resolutions with officer appointments included, etc.)
Back to the formation of the shell: Provide a regression diagram, from the shareholder list provided, that traces the shares from the current shareholder to their issuance by the shell. This list should indicate the name and address of the shareholder or transferor, the date of original issuance or transfer, the provision under the Federal Securities Laws or exemption that the Issuer relied upon, and the consideration paid to the issuer or transferor. Additionally, provide a detailed explanation of the Shell’s nature of business at the time of original share issuance and each subsequent issuance of shares since inception.
Back to the formation of the shell: Details surrounding the shell’s offering(s). Your answer should include, but not be limited to, who solicited investors, how the solicitor knew them, and how many individuals were solicited including those that did not purchase.
If you do not get this information from the shell promoter at closing, or if it is not available, you are screwed if you want to do any of the corporate actions listed above. That means:
No move to the OTCBB
No name change
No reverse split
It is far less expensive to HYPE a stock.
Only after the deal is done does it become apparent the problems you have encountered.

The only way to get the information from Verde is get a Securities Lawyer whom can review and ask questions for you and give an opinion...you will not be able to share any of the information you receive publically.
All forms concerning ownership of securities are on file in the state of incorporation but it is up Verde officials to post them onto the Pink Sheets, any information concerning the reverse merger is on file within the offices at Verde group.
Verde paid a fee to the group that held HMIT prior and there are T&Cs that Verde signed and agreed too.
The terms and conditions can and most often do define whom can issue shares of stock for raising capital.
Also defines the conditions involving mergers with other entities.
These T&Cs will never be made public.

I do not know of any reason for the new ownership not to file forms that show all changes in orwnership to date.
There had to been forms generated and signed covering the STATEMENT OF CHANGES IN BENEFICIAL OWNERSHIP OF SECURITIES
IMO - no reason to wait for the name change.
I do like the chances here and have a small 4.5 million investment at @.0003 and will start buying more when things sort themselves out.
Not sure if i understand your question.. But If you have a margin account and have a debit balance pluse a GTC order to sell at .002 your giving out a lot of information and your shares would most likely be used to short HMIT.
I general I have been watching this stock like the rest of you and the facts are this:
1. The Float is tied up.
2. Investors really like this stock.
3. Good news any day.
So the question is why is it not moving up?
Some would love to say that they are flipping this and are great players. I am not concerned with flippers.
Question: Were is this short volumn coming from what is the source? Got too have a source.
Most likely Margin accounts that are also holding HMIT stock.
G**G is a good example of a shorted stock and is also why I do not buy many penny stocks...because penny investors are very creative in their investment methods and like to play with Debit Balances.
"Shooting your self in the foot"? IMO
Example if you own $5,000 in HMIT and and have on margin a debit balance of $5,000 your broker can loan all your HMIT stock with out your permission because you signed an agreement to allow them to do just that.
GTC orders is actually stating your a seller and your show your sell price.
If the longs really cared about this stock, they would close all open margin positions in the account that hold HMIT..and also close all those Good till canceled sell orders.
Brokerage firms can also borrow stocks from the accounts of their own customers. Typical margin account agreements give brokerage firms the right to borrow customer shares without notifying the customer. In general, brokerage accounts are only allowed to lend shares from accounts for which customers have "debit balances", meaning they have borrowed from the account.
FYI your own account could be a source for shares of HMIT to be shorted. Whom would want shares to short? Anyone.

I have been surprised before by HMIT.
IMO considering talks may be in process but nothing yet agreed to in writing and considering HMIT has been raising cash through sale of stock...(the increase in float). When I first bought it was at 82 Million in Sept of 2007 and looks like the float just recently jumped up another 100 Million approx.
HMIT needs cash.
I think this may be is the reason for the PR blackout.
But sitting on the sidelines in cash is prudent.

The head of Guinea's military junta, which took power after the death of President Lansana Conte last week, has said that his administration will revise any "defective" mining contacts.
Crew Gold, a British-based miner listed in Toronto and Oslo <CRU.OL>, has mining concessions covering nearly 2,400 square kilometres in the Lefa corridor in Guinea.
It said that on Dec. 28 Lefa managers were instructed by the military to cease mining operations and "immediately complied".
Later the same day, "management was advised that mining operations should recommence on the morning of Dec. 29 and that the review of mining concessions by the new regime would proceed while operations continue as usual," Crew Gold said.
Shares in Crew Gold were down 9.3 percent to 0.39 crowns per share at 0818 GMT on a rising Oslo bourse <.OSEBX>.
Guinea is the world's largest bauxite exporter, attracting some of the top metals groups such as Rio Tinto Alcan <RIO.L>, Alcoa <AA.N> and Russia's United Company RUSAL <RUSL.MM>.

Guinea coup leader vows to renegotiate mining, contracts; declares crackdown on corruption

CONAKRY, Guinea (AP) — Guinea's coup leader declared a zero tolerance policy on corruption Saturday, vowing to renegotiate the country's numerous mining contracts and warning that anyone who embezzles state funds will be executed.
Capt. Moussa Camara also extended an apparent concession to Guinea's opposition, telling them they could help choose a prime minister following international criticism that elections are not planned for two more years.
On a concrete stage inside the barracks from where he launched his rebellion Tuesday, Camara jabbed his finger at the sky as he swore to do away with the corruption that has drained the mineral-rich state's coffers.
"For the person who embezzles money, there won't be a trial. They'll be killed," he said as the crowd went wild. "I was born in a hut. I walked to school. ... Money means nothing to me."
Guinea is the world's largest producer of bauxite, the raw material used to make aluminum, and also produces diamonds and gold. Yet its mineral wealth was siphoned off to enrich the country's longtime ruling clique.
Guinea has been ruled by only two people since gaining independence from France half century ago. Dictator Lansana Conte died on Monday and the military junta led by Camara declared the coup a day later.
He said the country's ruling clique "spit on the faces of the poor," enriching themselves at the population's expense.
One of the remedies he proposed was reviewing the country's mining contracts and renegotiating them if the terms are unfavorable.
Even as the crowd of thousands cheered him, the international community continued its condemnation of the coup. South African President Kgalema Motlanthe condemned it "an affront to peace, stability and democracy." The European Union said the junta needs to hold elections next year, not two years from now as Camara has promised.
In a move that appeared calculated to address the international community's concerns, Camara said he is calling on Guinea's opposition, including its powerful unions, to propose the name of a prime minister.
Rabiatou Serah Diallo, head of one of Guinea's largest unions, welcomed the move, but said the unions were dilligently watching. "If they deviate from the road they promise to take us on, then they'll find us blocking their path."
Camara was largely unknown to most Guineans before his group seized public airwaves and declared the coup. On Saturday, he invited civilian community leaders — including union leaders, religious heads, politicians and human rights workers — to meet him at his barracks.
He arrived surrounded by a cordon of soldiers armed with machine guns. They hollered at the crowd to move back. Many wore fetishes tied around their arms and necks intended to protect them from harm. Camara, a short man with a taut face, took the microphone, electrifying the crowd with one pronouncement after another.
A generation of Guineans have known only Lansana Conte as their ruler and even though the coup leader appears to enjoy broad support, tens of thousands turned out for the dictator's funeral on Friday. When the coffin wound its way to the capital's 25,000-seat stadium, so many people had crowded inside that spectators began suffocating and ambulances rushed half a dozen unconscious people away.
The funeral ended at the ex-president's estate in his village located around 40 miles (70 kilometers) from the capital. With state funds, Conte built himself a house the size of a hotel. His family — including two of his three wives and an estimated 20 children — showed up in Hummers, stretch limousines and flashy SUVs.
As they put his body to rest, the sun went down over the village of his birth. Most of the country — including much of the capital — has no electricity. But as the darkness fell, the homes in the village shone with light.

The leader of Guinea's coup has said contracts for the country's vital mining industry will be reviewed and pledged to stamp out corruption.
Without naming firms, Capt Moussa Dadis Camara told a public meeting in Conakry that any contracts found to be "defective" would be revised.
Capt Camara took power after the death of President Lansana Conte on Monday.
A meeting between the junta and foreign envoys planned for Saturday has been postponed until next week.
The junta, which took over in a bloodless coup, has said it wishes to "reassure the international community" of its commitment to stamping out corruption and holding elections in 2010.
Its seizure of power was condemned internationally but Senegalese President Abdoulaye Wade has urged the world community to recognise the new leadership.
'No more looting'
Capt Camara addressed hundreds of public representatives, including trade unionists, politicians and clergy, at a meeting in his barracks, Camp Alpha Yaya Diallo, in what correspondents say was a charm offensive.
He outlined his view of the mining sector, which has attracted billions of dollars in investment from international firms.
"We have blocked the mining sector," he said. "There will be a renegotiation of contracts."
According to AFP news agency, he also suspended all gold extraction until further notice.
More than a third of the world's bauxite reserves are located in Guinea which also has large reserves of gold, diamonds, iron and nickel, and some uranium deposits.
Without naming names, Capt Camara vowed to eradicate corruption, saying: "It was the government officials who surrounded the [late] head of state who looted the country."
"Anyone found guilty of corruption will be punished," he added. "Anyone who has misappropriated state assets for his benefit, if caught, will be judged and punished before the people."
He also told those present that he was open to their "best ideas", including the choice of a new prime minister.
Meeting postponed
The coup leaders had been due to meet representatives from the UN, G8, European Union and African Union at 1200 GMT on Saturday but they postponed the meeting until Tuesday without explanation.

The US embassy in Conakry has called for an immediate return to civilian rule in Guinea, while France, which currently holds the EU presidency, also said a vote should be held soon.
South Africa's President Kgalema Motlanthe has said the junta must step down and hold elections immediately.
President Wade, however, publicly backed the coup, telling French radio: "My feeling is that this group of military men deserves support. We should not throw stones at them."
The coup appears to have been welcomed by many within the country, the BBC's West Africa correspondent Will Ross says.
Sick and tired of despotic rule under the former president and his hugely corrupt government, Guineans are pinning their hopes on the military, our correspondent says.
On Friday, tens of thousands of Guineans and presidents from the neighbouring states of Liberia, Sierra Leone and Ivory Coast attended the funeral of President Conte in Conakry.
Conte, who died aged 74, was later buried in front of his mansion in the village of Lansanaya, some 120km (75 miles) north-west of the capital.
