I think what Allie is trying to say is that no one here can answer that question. There really is nothing to discuss until we are given more details on that. Yes this is a stock discussion board, and you are in the right place but whats the point of discussing something with which no one has absolutely any information on? What would you like to discuss about it? We have no idea how 141 capital will handle the "net profit" situation or what will or will not be taken out of the gross profits. So why dont we wait until we are given answers from the company themselves, then we can have a lively discussion about this topic.
Hence the confusion. You are questioning does the 7% represent 7% of the shares in 141capital. It was clearly answered that the 7% was from profits due to trading and was completely independent of the 120 million received. Maybe you were thinking what percentage is 120 million of the total share count for 141 capital, but that wasn't clearly stated at all. Either way, its been cleared and we can move on.
Maybe we are all having a misunderstanding here, but your posts before were not worded in a way that made it sound as though you were questioning what percent 120 million would be of outstanding shares. You posed your questions as to call into question what the 7% referred to.
Skunk I am confused how looking at it from an accounting standpoint makes it less clear? They do not own 7% of a product, they own 7% of net profits from trading. Not 7% of assets under management, not 7% of common stock. They were very explicit when they state 7% of net profits. They then go on to seperate the 120 million from that consideration by using the word "also". The way they use this word, websters defines it as "in addition; too; besides; as well". There is a clear seperation of the 2. Good lord. Read the PR. you obviously didn't. The were very explicit about what the 7% was from, and the 120 million was from. One is due to a licensing deal. One is not.

No. The 7% of profits is seperate from the 120 million. Again, we get 120 million in conisderations for sponsoring 141. We get 1.5 million ( 500,000 per quarter ) and 7% of profits from trading. We have not been officially given the total share count for 141 capital, but my guess would be 300 million (40%stake) to 400 million (30% stake) shares. What are others' take on my guess for the share count?
This came from allie. She said that she had talked to Paul and did some rough calculations. We still have not been given the official word on this but I doubt the number is far off.
Verapan, have Q3 financials been released? Unless I missed something, no they haven't. So, your information is based as of Q2. You need to clarify your points. Your statement "they have absolutely no revenue" needs the qualifier "AO Q2" because beyond Q2, its all speculation as to what our revenues are.
Obviously you have no patience. You didn't get the PR you wanted first, so now the company is missing projections, shifting directions, and misleading investors? Please, go away for a month, come back when the dust has settled and the PR's have been released. Then make a truly informed decision because at this time, you sound anything but informed and its getting old. Projections are 3M by END of 2007...Is it end of 2007? No, its not. Therefore we haven't missed anything yet. Is it going to be slightly harder to hit that based only on subscriptions? Yes. But with one flick of the wrist, a licensing deal with 141 capital will wipe that number out. They stated 141 Capital begins trading Q4. Well, that means we see some sort of revenues in Q4 from that alone. Also in case you weren't paying attention, 141 Capital was created to take care of the conflict of interest between trading SWARM and selling STv2 to customers. Who's to say that this setup was early in the quiet period, and sales of STv2 commenced once that was taken care of?
If this thing drops any more I will sell some from other holdings to get in. I doubt this will be lower tomorrow though. Lucky people whoever is getting in at these prices

I am really wishing i had more money for this silly drop. Plain and simple, the weak hands were looking for "we have X subscribers w/ $Y in revenue" and they didn't get it right out of the gate so they sold. As to todays PR, I don't see how it cant be good. I also can't even begin to see how some of the people here can construe it to such a great deal. Here it is, in simple explanation. We (SPOOZ) will own 120 million shares of 141 Capital for sponsoring them. We will exclusively license SWARM with 141 Capital, obviously receiving revenue for this license. Is reading comprehension down today? We are not selling SWARM for 120 million shares, we are licensing SWARM, thereby receiving revenues from this licensing agreement.
I think we should interpret it to mean that 141 will be the only company to use SWARM. Exclusive implies that. If it weren't exclusive, they wouldn't have used those words.

It very well could have had a stipulation, although I dont know if it did because these agreements were made before the release of those monumental SWARM numbers. My guess though is that Paul and Co. made this move before such stipulations were necessary. Also, I think this move allows any further agreements to not need this kind of language. I am just basing this on the feeling I would get if I was on the other side of the coin (the brokerages) . An analogy that comes to mind is the height requirement for amusement rides. SWARM is like a pair of big shoes that allows SPOOZ to be tall enough to ride the big kids ride (the ride to big profits) and their dealing brokerages would be 6 inches short of the height requirement. So SPOOZ sells them special shoes(STv2 w/Fractalz module) which will make them taller. SPOOZ hops back on the ride, and the brokerages are left there only to realize that they are just 1 inch shy. That would leave some pretty bad tastes in the mouthes of others.
No worries Verapan. Its of no matter to me, just trying to eplain it so it can be put behind us. To me, I see 141 as a completely different company. Paul stated in his email that "It would be difficult to explain to these customers the benefits of SpoozToolz while unwittingly fostering the perception that we are competing with them for trading capital." I think a lot of brokerages who would be potentially buying STv2 would be pissed to know they are buying a lesser product from someone who is in direct competing with them. Why would they want to provide more capital to a company who competes with them? In the end this will allow SPOOZ to profit from SWARM, and to sell their software with out the perception of conflicting interests. All JMO of course

you did not misqoute him, you just took it out of context which completely changed the meaning. You took the important qualifiers out of the post and it made him seem like he didnt know what he is talking about. Thats what got his feathers ruffled.

There was a PR about the beta test results of SWARM, with winning percentage at 95.9. That seems like pretty big news to me. Also, more and more demo's were being given at the time, which if you've seen the demo's its amazing. Traders more than likely saw the demo, and decided they should be parking their money in this company. Therefore, I feel the reason for that run up was not due to pure hype, but a combination of the foreseen potential in SWARM, and traders seeing what an opportunity this was. JMO
I see both sides here. Although if they wanted to imply that nothing current was happening, why not use the wording "will be released... first"? I took the "is being" to mean currently as well. Although its just my opinion.
That is more along the lines of my true guess as well. I know an exchange has been discussed, but its always been that thats a possibility of Spooz, not a possibility that there could be a deal w/an exchange. Either way, I am sure we'll all be happy when they finally come out and tell us.
One thing I am surprised no one has mentioned with the email from Paul describing virtual exchanges. What about a deal with an exchange? I know it may seem a little crazy but why not? With the recent consolidation of the exchanges, and all of them looking to make bigger and bigger markets, working with Spooz would allow them to create a market as they choose. They are working out of the CME right now aren't they? Maybe someone has seen the potential ability to create a wide array of synthetics, and realized they could leverage that ability into a huge market? Just a thought. Since we are left waiting, my mind has been left to wander.
We're waiting for take-off. Mission control has been waiting to start the countdown until today. I was early to the party and got suited up a while ago, so its been a hot one in these suits, but the wait is well worth it. Releasing the demo now is great because as said before, it will be plastered all over boards, as well as by word of mouth. People will have all weekend to get excited over what they've seen since to some, actual visual proof was needed (not me but it seems with some of the recent posts, it was needed). Coming into next week with the prior information and releases combined with this video, I think we'll see some buying pressure. All my opinion...
yes there is audio. I am cant contain myself watching this demo. The capability of this software package is simply amazing. I think the ship will be taking off soon, which is good since I have probably lost about 5 pounds sweating in this space suit. Once you get strapped in there you just dont want to get out of your seat because the rocket might take off without you....

People here get mad when others have the "NERVE" to make unsubstantiated claims or needlessly bash. If you are going to look at the flip side of the coin, provide some logic or DD and comment on why you are looking at the other side, or what you think it may mean. By saying pinksheets.com has a glaring warning and then saying that since no firms are openly trying to buy spooz, this quiet period is not a good thing, he deserves to be ridiculed. Whats the glaring warning sign? What do they say specifically one should be worried about? ADAR7 made his comments as though he hasn't looked at the past info on this company, who is running this ship, and how these people have handled themselves and this company in the past. That, ihateworking, is what people are annoyed with. If he cares to give some substance to his claims, then by all means do so and I bet he will receive much better treatment.
Yeah my post came of wrong, sorry ITGuy. I should have explicitly said that the financials stated Setember 2007 as the month for release, so its the start of that month.
Well, there is actually something special about Tuesday. It is the first working day of September, which if I am not mistaken, is the month listed in the financials as the release month for STv2. That is pretty special to me.
Tuesday is the first trading day after a nice long weekend due to labor day. Kids are back in school, vacations are over, and traders/investors are ready to get down to business. Also, I am hoping the quiet period is over around then, since its going to get warm here in my space suit while we're still on the ground.
I DEFINITELY wouldn't want to be on the not-holding end going into Tuesday. That would just be scary. Still sitting strong on my 1.3M. I guess since we're sharing stories of how we found SPZI I'll share mine. A friend of mine who has been a longtime shareholder in SPOOZ told me to check it out. I looked at it quite some time ago and didnt think much of it at the time. Then around a year ago I started looking into SPOOZ more seriously and then the more he talked about it, and the more I did my DD, I realized just what was going on. Then I started my own campaign to get people in. Glad to be here and I have my space suit and I'm strapped in. GLTA

Drag, I think the point of Imperial was that Soupcan has said that SPOOZ would PR swarm results regardless of the quiet period, not that someone from this board would post them. It was someone from the board who posted them, so as Imperial said they are rumor until confirmed by the company. Thus there has been no breaking of the quiet period and at this point Imperial is still correct in his statement that SPOOZ would not break their quiet period for a release of the SWARM results. If they were to officially release those results, then soupcan would be correct. Just my observation.
