That clause is in every biotech stock I've ever owned at one point.

I also think the "short covering" is not making this move. The average short interest is usually within the realm of normal market making. These are new buyers. IMHO.

Why would they grow "branded" flowers. I never see brands at the florist? Potted flowers for sale sure. But, I'm thinking of cut flowers and that seems like a waste of time and $$ for wholesale cut flowers.

On the flip side, I've seen small companies end up with zero company control after a financing event.... Most new companies have this issue until they're larger and add outside directors. Welcome to Micro-caps.... risk/reward, you get to make the call. Don't bet more than 10% of your portfolio to be safe, but always be seeking alpha.
If I took my company public, my capital structure would have be similar to the VV's. No way would I give up what I built and neither should them, however if I was at their stage, and needed access the capital markets I'd think about it.
If you don't trust the fact TRTC is run like a family company that just so happens to be public, don't buy the stock.
Just want to point out "bashing the VV family" is stupid and to EXPECT to see deals that could look like a conflict of interest, but if TRTC wins we all win. BTW, the VV family has already "won" they were paid handsomely for their veggie company. I like the veggie part too.....
To invest in TRTC IS an investment in the VV family, as their prefered stock votes make common stock holders opinions moot.
Most of the directors of the company ARE the family. If the VV's and TRTC succeed, the common stock holders will succeed. This company just so happens to have gone "public". Frankly I would have stayed private like my peeps in Colorado, but access to the capital markets is needed to truly expand and be a leader. At $0.47 it's definitely worthy for a lottery ticket. Love watching this play out. Of course we all know any stock in the cannabis industry can be halted just 'cuz. But, it appears TRTC is trying to take the high road and set an example, at least I hope so... If you can't handle the volatility/risk, you don't deserve the reward.

Right Prof. The accumulated deficit is all past losses, most development size companies will run a deficit for a few years, but when the profits start, then the deficit flips to "retained earnings" and increased our shareholder value. The top line was weaker than I expected, but if they win NV and hit that Q2 number, good for them!!! :>)
Senior Chief, I bet you have a legal cannabinoids to minimize your opioid needs by the start of 2015. The synergy of cannabis and opioids is the next major pain breakthrough. I'm living proof in Colorado.

To the CO or WA question. TRTC is smart to avoid both states at this point, the competition is fierce, but fractured.
My guess is their entry into these markets will be via a partner or contract farms.
Off topic: Gotta tell ya, being a contract farmer for many of these types of businesses is starting looking appealing.
It's great to see Edible Garden competitors. It just proves the value of that business line. We don't have EG products here yet either, but every produce manager I've spoken to has raved about the flavor and quality. The produce side is NOT a flash in the pan. Why? Clean water will be a major bottleneck to agricultural production. The people in this biz see the writing on the wall. In fact, I can see a heavy handed state like California, mandate practices similar to TRTC and it's competition if the drought continues.

Oddly I to found I got faster fills WITH an "all or none" restriction. Back in the day...if you added a restriction a real live human worked your order and usually you just see smaller trades going off all around your price and you never get a fill and your broker will use the "excuse" your order qualifier no longer entitles you to compare versus Time and tape market type orders. I've been in compliance for 5 years, in that time all the rules have been re-written. Just odd....
I would like to see an accretive acquisition, good acquisitions can totally make dilution moot.
The fact they grow healthy veggies and have a medical focus is going to attract a different class of investor than pure cannabis plays, IMO. Stronger hands I hope.

For me, a catalyst is so many technicals have converged into a flat line on the very short term. Kind of exciting to watch this one unfold!

Re: Produce, Literally spoke with a produce manager at a local King Soopers (Kroger) today about this "living lettuce" stuff. He said it sells very well and sometimes hard to keep in stock, at $3.99 a head to boot. I was floored, but I don't do the shopping. Seemed expensive to me.
I do not think the produce was grown by a TRTC farm.
I bet those with access to capital will consolidate this niche industry for the possible medical cannabis upside, will it be TRTC?
21 states are medical if I'm not mistaken.
Now everyone please look up "Accretive" before you post anything. Yes an S-3 equals more dilution, but the fact they can secure better financing is a good sign.

Almost all development stage companies use near toxic debt to fund their operations and some create massive dilution. TRTC's terms are based upon a weighted trading price. PHO$ was a fixed $.02/share. Now which company has the most toxic debt? A toxic convert with $0.02 shares is easy money!! Aegis capital provided OK terms to TRTC, yes it causes dilution, but will it be toxic to the stock, I don't think so with a good CEO.
You selectively forgot to state the terms of the debt and that the STRIKE price is variable.
Yes the issuance of PR's creates the liquidity for Aegis to sell, I'll give you that. That's just how it works....
I 100% agree once regular sources of capital is available, big things for the sector. But waiting on the FEDS is agonizing!
$7 million for just veggies. Nice! Cautious stance toward MMJ will keep company clean! Low float and authorized share count, debt issued is not toxic at a fixed $0.02 per share, like a company who's stock is suspended right now. I gotta say I flew through TRTC's 10-K. The currently not trading company took hours and I didn't like so much toxic debt for a "lighting" company. Kudos to the wife for picking this one solely on the organic food aspect alone. MMJ will be gravy someday... dang it she's going to be right... I hate to lose bets....

MJNA is near worthless without the value of CANV on it's books.
CANV has crashed from a recent high of 176 to 36 and still falling. Look for a FORBES article for a honest explanation of the fraud between MJNA and CANV.
Beware as CANN was halted, CANV may be next. The SEC is officially on the warpath....
