There's less than 60-70 million shares left to be diluted on RVGD. The bunk being posted on I-Hub and on the RVGD Board is deliberate lies made by scare mongers and people that have every desire and intent on buying RVGD stock, but they want to buy it as cheap as possible, even if that means spreading known and deliberate bunk all over the place and hurting current shareholders in an attempt to sabotage the stock. Here's what is known:
Per e-mail from Chad Sykes, RVGD official IR, the "fully diluted" O/S will be 997 million shares, see, i.e., http://investorshub.advfn.com/boards/read_msg.asp?message_id=26861366
The share structure breaks down basically like this (approximate numbers):
363M O/S (after "first round" of 504 financing), see, http://app.quotemedia.com/quotetools/popups/story.jsp
191M 1st note K&L Ent. (converted)
22M $100K financing (issued)
178M 2nd note Steve Carnes (being converted presently)
240M Preferred Signature Leisure (Rule 144 restricted and conversion has not been approved), see, http://app.quotemedia.com/quotetools/popups/story.jsp
So add it up, 363 + 191 + 22 + 178 + 240 = 994 million. But remember, the 240 million shares are Rule 144 restricted and haven't been converted, so take 994 - 240, which equals 754 million shares
As of last Friday, 2/15/08, there were approximately 688 million shares in the O/S, per e-mail from Chad, see, http://investorshub.advfn.com/boards/read_msg.asp?message_id=26861366
754 fully diluted shares, minus the restricted 240 million shares, subtract 688 million that is currently in the O/S, equals approximately 66 million shares left to be introduced.
Now, take into account that the 688 million shares did not include additional shares that were introduced on that Friday, 2/15, but the volume for RVGD on that day was some 150 million shares traded, and the remaining 66 million shares were probably substantially, if not totally, sold on that Friday. The bottom line, the dilution is either at an end or nearing an end.
Now, apparently some people are claiming they have received an e-mail from Chad stating that the Company may sell some additional shares for financing, which would bring the total "fully diluted" O/S to "slightly over 1 billion shares." What that means, I don't exactly know, but I have it from good authority that the additional shares for financing won't even be issued until the pps is "well over .01"
So even if you don't trust Revenge Designs or Chad, as experienced traders everyone should know that even diluting Companies often "take a break" from selling shares and it is within this "window of opportunity" that the selling stops that strong runs can be had.
The last run RVGD had was after the "first round" of 504 dilution was completed, the selling stopped, and the stock pps rose from .0009 to .017. Then, of course, the Company sold more shares into market, dropping pps to its current levels.
As the selling stops again, the pps will rise again, but this time on the strength of an $80 million contract which has been stated in writing and publicly released in a Press Release. For people who are questioning whether such a contract even exists, I say that Chad would be incredibly stupid to commit such a fraud in writing. As lax as the SEC is with respect to enforcement in pink sheet stocks, even the SEC would take action against a company which makes assertions of having an $80 million, if it is in fact not true. In other words, ain't no way Revenge Designs and Chad are lying about that, cause they'd be in a chitload of legal trouble if they were lying.
So... to sum up:
First, there will be approximately 754 million shares in the O/S when the current selling is completed (997 million minus 240 million Rule 144 restricted shares);
Second,up to but NOT INCLUDING Friday, 2/15, approximately 688 million shares were currently in the O/S, leaving only 66 million shares or so left to be introduced;
Third, on Friday, 2/15, approximately 150 million shares of RVGD traded and it was evident that new shares were being introduced, thus,
Fourth, substantially all or most of the remaining 66 million new shares were sold on Friday, 2/15, thus,
Fifth, substantiantially all or most of the dilution is finished;
Sixth, to the extent that the Company may, at some later point, introduce additional shares that will take the O/S to a "slightly higher than 1 billion shares," those shares won't be introduced until some point later. Probably in the "third round" of financing, which means,
Seventh, RVGD is poised to run again in the "window of opportunity" where the selling stops (as it ran the last time from .0009 to .017) but this time behind the strength of an $80 million contract. PEOPLE THAT ARE CLAIMING THERE ARE SOME 300 MILLION SHARES LEFT TO BE DUMPED TO BRING THE O/S TO THE 997 FIGURE ARE DELIBERATELY MISLEADING! THAT 997 FIGURE INCLUDES THE 240 MILLION RESTRICTED SHARES WHICH HAVEN'T EVEN BEEN CONVERTED YET AND WHICH ARE RULE 144 RESTRICTED
So this is the truth, everything else being slobberpasted all over I-Hub is bunk. RVGD bottom has been established around .003 (it tested .003 a few days ago, rebounded, retested and bounced in the area again). That's bottom and will go up from here!

yep...One of the waiting and moving to a new facility concerned everyone late last year. I am sure that for any company to get a significant contract will have to show they can assemble or construct a certain minimum number of cars per year. That takes space and the ability to work on more than a couple of cars at a time. This is no different. With more space for quality construction, why would anybody who wanted a number of guaranteed cars (or trucks) contract with anyhone that would only be able to do 40 or 50 cars a year. As I stated before..check out FFR's web site and look at the companies on the right. I would believe they would be the best that they would recommend. All do not have the ability to do the progressive, quality assembly of number of cars as RVGD is set up to do and will do. We will see this work out.

The additional shares sold by the company will help with the ramping up of the 80mil contract and an additonal 20,000sf warehouse. Tremendous news and no problem with the company selling shares for this reason..

I surely don't mind disagreeing. At all. We have done a lot of DD here and most of us don't appreciate anyone coming here and repeating over and over the same things that have been discussed and known. As I had stated before, bring something new to the board.

Then sell and go on..This crap of dilution and r/s has gone on enough..there has no comment or discussion by Chad or RVGD or any poster that has been here for a while other than the emails and pr's. Everything has been upfront and transparent and we have had good information all along. All other points brought up have been posters that haven't been here all that long..This is an attempt to have the stock go down and create FUD for them to get in at a lower price. We have done wonders with the DD here. Read the IBox above and take some time reading the posts and know why we have been here as long as we have and are not going anywhere.
Flippers and Day Traders pounce on a board to create this uncertainty to make their $$ on a few points flip. We plan to make a whole lot more than just flipping a couple times and out...We have a large core of shares not going anywhere and will continue to accumulate as the $$ is available to purchase more. Listen to the posters that are not here for a quick buck.

If you go to FFR's website and click on their links to assemblers..(6 I think). I don't believe they have the desire and ability to put out 250 vehicles a year..RVGD is ramping up to do that..

That could be so true..think if this was a conversion for FFR and this is not the 80mil contract at all and FFR is checking out their assembly and timely ability to complete cars for another possible contract...what a teaser!! FFR has now 20 assembly facilities..(like RVGD) That would be an added bonus assembling the GTM's just like the ridgelines!...They would need 20k more warehouse space....huh...?

We really don't know if that is even the car manufacturer that is the 80mil contract. All we really know is that there is a car there, under cover, that we have pretty well determined is the GTM, and, are assuming it is with them..Could be anyone.

I would like to see you purchase one of those kits and do the installation yourself. I am very mechanically minded, but with such precision talent necessary for the full installation, I would hesitate to take on such a job. And, I have completely rebuilt an engine, installed transmissions, done my own service on my vehicles in the past, etc. It would be best suited for professional. Besides, spending that kind of money for a kit, it might not be too sensible to try the installation yourself unless you have the proper training and experience, as, that would be a verrrry expensive determination of you lack of abilities. With the speeds that are attainable with this vehicle, it could cost lives. Besides, if you can afford the kit, you should be able to afford the installation.
