Management should propose to authorize more shares, it will be only amendment of the AOI. Shareholders will receive notification to vote for this.
This will decrease the debt and increase net income.
Authorized shares do not need to be issued. Just be available for issuance.
To buy back the shares, the Company must have plenty of cash that they are not utilizing and it is mgt responsibility to do so.
If Company is in operation, generating revenue and have a cash in/out flow, RS will help to take the stock to a higher limit faster than other process and it can be used for an uplisting. Again, it works perfect if the Company have established a market for its stock. RS will limit the availability of the shares, attract big investors, these will help higher price as well. The additional authorized shares can be reduced with the RS as well. This can take the stock to another high range.
I hope mgt has some financial background to help plan this properly.
AS is authorized shares. The Company can authorize more shares without issuing them, only to have available shares, I am not sure if there is any limitation on this. It needs shareholder approval to authorize more shares.
The Company has about $8M in notes and preferred stock debt and related conversion terms, $4M of this balance is due to the number of authorized shares are not enough to cover the conversion terms. If enough shares are authorized, $4M will go into net income right away. This is non-cash items that will never be paid by the Company unless forced to go buy stock from the market to pay the debt holder. The other $4M is the cash payable balance. These are the accounting rules, if I properly know all the facts there.
RS is good when the Company is in operation, has a good trading volume, good value, and would like to uplist; otherwise it is usually wortheless as market usually takes the stock price back to its value pre-RS.
Bhapa, More AS shares not issued shares will help to wipe out about $4M of the Company's liability (the BCF), as this liability is due to insufficient available shares. No need to issue these shares.
The best financing deal is through a bond which I think that what mgt is working on with Janco partners. I do not think any financial institution will accept stock that has no bid, unless they are more than 100% sure that this business is the goose that will have a golden egg everyday, in which case, we do not need to worry about anything that is going on, our investment will be a fututre wealth no matter RS, additional AS or louzy mgt (they will take care of this).
RS will be good on a long term after establishing the trading market and move to OTC; definitely RS now is wortheless. I am sure Reda and Bo know this and know that they will lose their shares value doing such a thing.

Possibility of RS is very reasonable, I agree. I hope mgt authorize more shares rather than the RS. once operation started and market for trading is established, then RS will be good to uplist.
I totoally agree that the Company's past is horrible. But RTR technology with current PG&E business should have a lot of potential, if properly managed. I hope mgt does not waste it. I say so because I strongly believe in alternative energy industry and I know countries that are in need of this technology.
The Company is very limited in its financial and manpower resources; hopefully RTR manpower can support the Company's operation.

Iran nuclear program is all over the news. I think this will have a great effect on the Uranium sector to go up. Any thoughts?
I think the Company is on track with its drilling projects, this is a good indicator. I think that the last hole lab results can really make a difference in the stock price, it takes about 4 weeks for the results to be out. Hopefully, the drill was made in the right direction.
I think by Feb. GDTK should be able to catch up with all the late filing. I hope the audited financial can come out earlier than Feb. Yes, until the financial is filed, we just sit back and we can't expect news out. I believe, once financial is filed and financing PR deal is released, stock will move very fast. Hopefully no RS, until operation and heavy volume is seen and I wish that mgt has an uplisting plan.

I think so. That's my understanding dealing with small companies, seeing their financial deals.
Most likely, no one will lend or put his money in a business unless they know what the financial position of the entity is. For GDTK buying RTR w/o knowing its financial position, it is because GDTK financial position is bad already, and it can't get worse than this other than BR, also, RTR has running business with a good potential in mgt eyes compared to GDTK.
Also, most likely, the outstanding debts will be required to be paid off, in case of any financing events. So the lender knows that this money is going to be used to pay someone else first before operation.
Unless someone strongly believes in the Company's technology and trusts the mgt or will have a control, they can lend the Company based on preliminary balances and ask for the audited financial later; which I doubt.
Or if the Company will borrow from the same lenders who had provided them with liquidity in earlier times, since they already have the interest in the Company and trying to get their money back by helping it to start operating.
May be because I am an auditor, I am focusing on getting the financial statements out first :). But I see it as having an organized plan: focus on getting the financial out, while having the small operation running, this will help with the liquidity to come in and then expand the operation. Btw, I am not sure, if any operation is running already or not. It should be since contracts are since 2008.
That's right. Get the first project built, make revenues; however, it needs money to make money, to get the financing deal done, must have financial. I only see that RTR deal was back in 6/23/10, it is quite a bit time to have these financial audited.
Green energy is a major concern worldwide, the cheapest and most effective will be the winner. This is very cheap, not sure about the effectiveness. Did you see the 8-K filing for the contract cost? Did you see the website for the projected revenue, net income and cash flow? If new contracts are received, a buyout might happen, movement will be in earlier and this will be a skyrocket; however, at least contractors need to be on board to get these projects built.
The only other way, I think of, to get this done, is to authorize more shares and hire a contractors who will accept the shares to build the project.

I am an SEC auditor. It takes a lot of time for the first time audit. Was RTR a private company? It needs a 2 year audit and the beginning balances, basiclly it is 3 years. If a private company that did not care to keep the books straight enough, this can take months. I am not quite sure if this will be early next year or before the end of the year. Also, consider the need to file the missing Q as well. Additionally, after the K & the Q, the 12/10 Q will be almost due. After all these, the financing deal can kick in. I do not think they can provide much information, until then. Did anyone talk to Janco partners? What is going on?
BTW, there is no way in the world, 2 people can take care of all these (filing, operating, financing), company must be expanding, getting more employees, after getting the financing deal sealed.
Overall, I see it was a good management decision to buy RTR because of the world wide patent and the contracts it has. This can help GDTK to be in a good business and start moving up. I hope mgt properly utilize this asset.
Given the above, I see stock movement can be in towards mid/end 2011.
I think the uptrend move will be back next week, a lot of profits was booked this week. All the Uranium sector went up and now profits are booked and it is going down a little bit. Over all this is a winning stock.

I emailed the Company and asked about the low value offered. It responded in the same day as follows. Also mgt called me.
"The proposed acquisition, financing and restructuring was announced on November 1, 2010, when the company was trading at $0.19- 0.20 range, and the pricing of the financing reflects this timing. Therefore, the deal was made in context of the market, not despite it.
Increasing company holdings by acquiring an additional asset in the premier Uranium mining area in the US is a value added decision by management. Kindly note that the first permit granted in over 13 years for uranium mining in the US was recently granted to Uranium One on October 1, 2010, with another expected to UR Energy this year.
Since it was announced the share price has doubled while reaching a recent high of $0.46 cents. One may consider that the deal has re-instilled confidence in the market of Crosshair shares.

I beleive mgt team are looking for our best interest and performing their duties as they are supposed to. I compare this to other penny stock companies. It is much better here.
I do not know. Why it is going down? Can someone explain, if the Company is on track, its results are out and have a budget as per the website that production is expected in 2 years with revenue of $46M expected to grow to 418M, it has available equity finance of $7.5M at its option. The Company is on track:
It completed the drilling at Guadalupe. The Company has a program and a budget that it is following. I think this is an indicator that the Company can turn to be big according to its budget. What do you think?
May be because they are late in the filing and trading is restricted. I wish we get some news out whether good or bad.
I do not think that the mgt are that unfamiliar with the market or the Company position to do a RS that might result in a change of the symbol. The only proper way to get liquidity is to get liquidity is to authorize more shares in the Company's situation.
I placed a sell order with Scottrade and it was fine. I cancelled it afterwards myself, as I am holding my shares looking for the news to come out.
I sent to the CEO asking about it but I did not hear back. I do not think it is proper to waste the Company's resources, especially very valuable ones. Uranium price went up from $40 to $60 expected to be $100 in 2011. Uranium Companies can be interested in these properties. If mgt is not interested, they should reach out these Companies to sell these and have more liquidity.

I see it is a proper move for the Company in the exploration stage to authorize more shares for liquidity, the assay results were good so why everyone is away. Considering the available reserve and comparing the stock price to the producing companies with the same reserve level (CCJ). I think this can be extremely big.
Near term production:
Did anyone check the website. There is a project with a near term production and huge Uranium reserve.
Reverse split and expectation:
The Company applied for a 50:1 RS. Stock will go to about $2. Float will be about 5.5M shares, which is very low compared to the trading volume. EPS will grow 50 times.
My expectation is that the Company is trying to get listed in a stock exchange and move from the OTC status. I personally, being in the financial industry, strongly recommend RS for operating/growing companies; and additional stock authorization for development stage/non operating companies. Market may react differently.

I don’t blame you – most people hate the word consolidation.
The company really has a few things going for it right now – the uranium industry is finally picking up again (which is obvious when you look at the price of uranium), we’re acquiring a near-term project in a fantastic location and we’re only 4 months away from the moratorium expiry date! I think the consolidation and financing were unfortunately necessary, but that the company was smart and would never have taken such actions without adding value to the company at the same time.
I just returned last night from the San Francisco Hard Assets conference. The turnout at the conference was great and there was a lot of interest in Crosshair – both by current and potential shareholders. There were also a few keynote speakers that were extremely bullish on uranium. I think there is potential for 2011 to be a very good year.

Website and financials.
Did anyone read the financial 10-K or looked at the website? The Company has available liquidity of $7.5M through equity financing. Also, the Company is projecting production that can generate revenue of $49M in 2013 and growing to $419M in 2016. Considering the cost of production, I think this can turn to be very profitable.
All the exploration any penny stock companies are long term investment, if you want to make a good money out of it.
Please, what is the status of the this exploration activity? Any word about samples sent to the lab?
Also, what is the Company plan regarding the other Vanaduim and Uranium land?

I do not think that there will be someone willing to sell this stock at this value, unless he shortened it and wants to keep shorting it to cover the losses. I think this is played wrong, the stock should be in the uptrend. Get some cash and buy to cover, get long and all losses will be covered, in no time. This will go a skyrocket.

I see this will continue the uptrend. Uranium going up, needed everywhere, alternative energy/power is what everyone is looking for now a days.
At the last K, the stock book value is 0.25, stock is bearly higher than the book value, good financial positions and good mineral resources. Compared to others, stock will difinetly go higher, I wish we all enjoy this ride.
Does anyone know the management plans for extraction of the mineral resources? Or when will the exploration stage be over? or where are they standing regarding the exploration of the mineral resources they have?
Ireland economy:
I do not know much about the Company here, other than it is involved in promoting the real estate business in Ireland. I did not see any financial or numbers to say anything.
Does anyone know what will the effect of what is going on in Ireland and Europe economy be on this Company?

I think promotion was done in the wrong period, when investors did not expect much of the company. Now, with the continuce growth(33% in rev. compared to last quarter, 200% in EPS), investors will be chasing this stock. Promotion should have been done closer to this results, not the last q results. We should get info about mgt's plan to promote the stock. It should start a promotion campaign with the stock picks advertisement companies, give away some shares but the profits worth it.
If you calculated the AR turnover, it is 7.5 and the days outstanding is 48/49 days. I audit Chinese companies and they extend credit terms to their customers 180 days. The Company collected 1/2 of its quarter's sales, that means they are collecting within 45 days, this is even better than its AR days outsanding ratio.
Also, liquity ratio is very good, gross margin is consistent, revenue grew ytd and qtd compared to 6/30 quarter, operating income grew, with the consistent growth in the revenue compared to the growth in the operating expenses, this company is expected to have better net income and better EPS.
I am talking from an accounting/evaluation standpoint, I work in this industry and I know this should be much higher. It should be in the $0.5's and with continous results for year end it should go the $0.9's/$1.0. I do not know what is going on there. This is how the stock doing with the 1/2M promotion, that's unreasonable. I can't imagine that there is no one willing to pay more than 4-5C for this stock.
