I am slightly annoyed when I see folks come here and complain about OS increase. Seriously, how many people will hold this until next year or whatever? If I have to hold my papers for one year to get paid, that means I hold risk and with that risk must come a better entry price. There is nothing wrong with that.
If this hits $1 or $2 or even $3 this summer, there is nothing a G series holder can do other than to wait and hope the share will continue to rise.
So those who want to cash out early for a possible blaze this summer, you have to pay market and that after today will be at least 5c and the day after even more.
Not pumping here--just outlining some thoughts.
You do not sound very happy about the discounts being offered to the Preferred shareholders. May I ask you why? I think it is 100% fair that they are offered share equivalent of 0.01 per common based on the conversion. There is no discrimination here as warrants and preferred are all being offered at 0.01 right now. Even 3 weeks ago, OPMG was trading around 1.2 pennies so should we not praise people like JBieber et al and management for making a commitment to us shareholders for 1c per share? At the end, they are the ones who have to do all the work while the rest of us sit behind our computers typing away on IHub. Please try to put things in perspective.
Preferred shareholders have to hold for at least one year before they can sell their shares. Not only that, the conversion has to be approved by OPMG shareholders. Existing shareholders can vote, right? Investors going into these private offerings, imo, show tremendous confidence and should be rewarded for their faith, patience and financial support of OPMG.
I have a call into OPMG to inquire if any more G series are available for sale. If available, I plan to get them for my children's accounts. If you're not happy about the cheap shares, I suggest you contact OPMG directly and reserve your G papers.

If you look at the economics of all this, $30 per year is nothing. I expect Txting and Driving to be illegal and subject to a fine of $200 and more in all States soon. As many of us have been saying here, I would not be surprised if TXTing and Driving got the same punishment as that of Drinking and Driving. If one cannot prevent themselves from putting themselves or others in harms way, they should not be behind the wheel.
One fine = + $200 and Class C Misdemeanor = + 6 years of Phoneguard subscription + safer roads. Should we risk paying $200 in fine or should we get this app instead? Forget the fine--what if someone gets hurt? Which should we choose as responsible citizens?
If insurance companies gave a discount on auto premium for having Phoneguard, this app becomes available for nearly free, no?
Also, given the US DOT is on this initiative and with word spreading faster than fire to citizens, it won't be long before some sort of mandate in favor of this app will be passed.

Regulation D aka Reg D allows small public companies to do private offerings without filing a registration with the SEC. Offers to sell securities must first be registered with the SEC with fees unless a company meets any of the exemption rules that Elijah kindly posted.
This particular Form D filing of OPMG follows Reg D Rule 506. This rule gives OPMG the leeway to raise capital from accredited and non-accredited investors, the latter referred in the Reg as sophisticated investors. This is a non-public offering.
Further, this is the official filing pertaining to the recent 8-K announcement regarding additional funding raised ($1,110,000) if you recall. Specifically, these are the Series G Preferred that were sold. The company set out to raise $2.1MM hence there should be another update for the remaining ~$880K of the Series G when/if they are sold.
Securities sold under Reg D 506 are RESTRICTED for at least one year from the date of the offering, hence the investors of this round of financing cannot sell their holding until this time next year should they so choose.

I hear you Stockfalcon. The scary thing about texting and driving is that there are so many people who have phones and texting occurs all throughout the day. If you look at drunk driving, this is something that often happens in the evening. Very unnerving thought.

If your child or you get caught texting and driving, it will cost $200 in fine plus a class c misdemeanor. That is a serious violation. I would not be surprised if the offense will stand right next to drinking and driving soon.
From an economic standpoint, the fine is equivalent to over 6 years of Phoneguard subscription folks! But can we put a price to one's life? Absolutely not. This is why we have to prevent this epidemic.

First of all, congratulations on your trade. That is SOLID WORK and one that many traders would be proud of. I agree that each has to make his/her decision about how to protect capital because rule number 1 is PROTECT CAPITAL and rule number 2 is SEE RULE #1. Yes? Of course.
If you don't mind my saying this, I think you are leaving a lot of money on the table with OPMG. IMHO, OPMG has every making of a story stock that can change and impact many people's lives.
The beauty behind OPMG is that it has transformed its business to join the ranks of the fastest emerging business type of our generation that we call a Social Enterprise. There has been a tremendous movement for multi-nationals and small enterprises alike, all over the globe, to focus on sustainability issues as well as to bring products or services that benefit the society at large. It is no longer enough for a company to offer just a product or a service. The firms of the future that will gain respect and continue to prosper will be those that contribute to the betterment of our society. I think OPMG does this and I also believe this was a driving force behind JB and Crew's endorsement. Even A-list stars today can't gain fame on their own merit alone. If you look at what stars endorse these days, they are heavily devoted to philanthropic cause, whether they are hunger, freedom or the very right to live. IMHO, there is no greater right than the right to live as a human being and if Phoneguard safeguarded that right, it needs to be endorsed and I believe it is a just cause.
Why do teenagers and adults need to die because they are distracted while operating a vehicle? I've read some comments here tonight that VOICE might be a better solution to cure this epidemic of texting while driving. My sentiment here is this: NO VOICE and NO TEXTING. When you are behind the wheel, just DRIVE. PERIOD. And if you can't, Phoneguard will and every parent will feel safer for making good choices for their children as well for themselves. Children sometimes cannot make good choices for themselves all the time. Neither can adults.
I expect our government to support this initiative as well, and to treat this matter in the same degree of importance as Drinking and Driving and the Seatbelt Act enacted decades ago. If people cannot comply (and often they cannot), it should be forced upon them and I make no qualms about this view.
I saw a kid today texting while he was on his bike. He nearly got clocked by a driver. JUST DON'T DO IT.
I was literally screaming for 2.5 today and clapping while watching the early session. This is what I call a bargain shopping day when you can always count on the inexperienced folks to part with their GOLDEN papers. Then, while I stepped out for dinner (I'm in Europe) it finally hit 2.75. No papers picked up today.
I believe our friend Elijah picked up a nice basket load--congrats to him for what I believe might be the last of the 2s. Good for him. I picked up a lot of 2.9 and 3.1 last Friday so I'm not complaining. I will pick up the remaining shares tomorrow for an even 3.

I went over the 10K & Q to see if we can take a look at the amended terms of Sasso and Frohman's Series C and E, as well as the terms of the Bieber and St. Clair agreemenst. Unfortunately, those filings are not available as they are subsequent events to the recent filings.
However, if you recall, the Sasso and Frohman Series C and E were restricted and based on them achieving specific performance milestones, specifically that 100,000 software licenses are sold, an aggregrate of 1,000,000 software licenses are sold, another 100,000 licenses sold and etc. It clearly stated that any unvested shares will be cancelled in the event they are no longer with OPMG or if the named milestones were not achieved within 5 years.
We cannot know what specific restrictions have been put the Series per the newest agreement. But signing Bieber et al was a big milestone for which I agree they should be rewarded 1/2 of the series. I am only speculating when I say this--and I say it with caution--that 1/2 of the vested shares have restrictions put on them as to when they can be sold. Joe Noel--the guy performing IR functions for us--he got compensated 4 million shares, yes? But his shares are also restricted. The impression I get here is that everyone is being challenged to step up to the plate and do the best they can, and if they did...IT'S BLUE SKYS FOR EVERYONE. I like this and will cheer management on.
In re of Sasso, though, it looks like he will not be getting the remaining 47MM shares of his Series C. We, however, cannot ascertain whether he was terminated with cause or if he resigned. There is some ambiguity in the wording of his employment contract, hence he could still be fully vested on the remainder if he resigned for good reasons. If his failure to disclose his felony record constituted a violation of his employment agreement, we can count on those 47MM shares coming back to us, which is not a small percentage of what needs to be reserved.
I will be spending some time to do a back-proof of the FLOAT.

Technically ~86MM shares that belong to Sasso and Frohman are also restricted because although they have been granted to them, they must vest. For all intended purposes, they must be accounted for as stated in the notes to the schedule. Sasso may not get his shares since he is no longer with the company but we need to take a look at his employment agreement to see if we get those shares back :D.
Warrants granted to Bieber et al, The Big Company and St. Clair are exercisable immediately and can be sold any time. I am trying to get to the Bieber, The Big Company Agreement today to see what the actual terms are and will report back to the board to share my findings on them, specifically if there are any restrictions in re. of time of sale should they exercise the warrants.
Btw, the people mentioned in note 10 and 11 are attornies for Bieber and crew. Checked it out.

I think it's clear who is entitled to what. From the schedule above we can see that about 65.3% of the OS are owned by Management and Bieber & Crew, so that is roughly 298 millions share of the O/S. Not bad!
Now, let me go back to your question about the restrictions I mentioned. Sasso and Frohman own Series C and Series E. Frohman was initially granted 70 million shares as stock option in April 2010 but that was changed to Series C (has 129,629 per share voting right) and again to Series E which has a much higher voting right. This gives Frohman 87,499,575 shares of votes (smart move).
When the Bieber agreement was signed, the vesting provisions of the two Series were amended which gave 1/2 of the series fully vested to the two guys while extending vesting schedule of the remaining 1/2 to 2013. The remaining vest in equal increments quarterly starting on August 10, 2011. This means, it will take until August 2013 for Frohman to earn the full series. Quarterly Frohman will earn 5.46 million shares. Technically, Frohman has 43.7 million shares that he can sell but he hasn't. The remaining cannot be sold as they have not been vested.
The interesting thing is that in order to be vested quarterly, the executives have to be employed. I wonder if this means Sasso isn't getting the remaining 43.7 million shares since he is no longer employed with OPMG.
I like this compensation plan for Frohman as well as St. Clairs. St. Clair and The Big Company have lots of warrants that can potentially be worth big $$ if the business plan executives properly.

The only math you need to do are the FACTS contained in the SEC filings together with how much parents are concerned about losing their children over something like texting while driving.
You know...if you allowed yourself to really ponder on this subject matter, every teenager over the age of 16 in the US texts day in day out, 100s of times during the day. They can't be served a drink but they seem to have a device (a phone) that could possibly endanger them far worse than drinking and driving.
It seems so innocent--texting while driving--but in an instant you are either putting your life in danger or another one's life in danger. This is serious.
Why? Just don't do it. And, I am proud to say that I also took the pledge today to not text while driving.
Don't Text and Drive is going to be a bigger campaign of our generation than Don't Drink and Drive. Count on that.
We live in a totally different realm.

Man, I am not embarrassed to say that I watched the Extreme Makeover with JB and cried my eyes out today. My heart goes out to every parent who has lost a child to stupid, distracted drivers but also give praise and much respect to parents who are bringing awareness to this No Texting while Driving campaign.

Before the lastest 10K filing, the float on OPMG was 162.56 MM shares.
The reason for this is that the warrants and convertible preferred have restrictions/timeline for when they can be exercised. Although we will see an increase in O/S when warrants and preferred are converted, those shares cannot be sold without adhering to the terms of the warrants or PFs. This is a fact. That is the reason why the FLOAT is so much smaller than the total O/S figure. From the trades that had taken place over the past week, it would not be a poor assumption to say that the FLOAT has been bought up already between the MMs and retail. I alone hold 2.5MM shares of the float, another retail group holds 25MM, then there are many other penny groups that hold a big portion of the float.
For example, Series C, D and E have a 2 year restriction on them. These relate to Frohman and Sasso. Frohman was 50% vested for his E series. Sasso also 50% vested. Both are not fully vested on the rest until 2 years from the agreement. They need to wait to be fully vested.
The increase in O/S comes from Sasso and shareholders of CSI converting the D series as well as Frohman, Bieber and his management company Remster. This, imo, is good news. All shares on in tact according to the lastest 10K filing. I kindly direct your attention to section III of the 10K filing to see who the beneficial owners of OPMG are at this moment. Management and Bieber et al owns this company.
If you went back and did the math, they check out and that is the reason why the O/S has increased. I don't see foul play here--everything is crystal clear according to the SEC filings.
From what I see, I see a total of 28 financing deals as of last week plus going back 2 years (not over 50 according to Sykes!). All these sales have occurred to pay for the licensing rights from CSI for Phoneguard as well as to pay for Frohman and recently to bring on board Bieber, Remster (JB's management co) and St. Clair. There is nothing shady here imo.

Why would OPMG disclose that now when the warrants and preferred have not been converted? If OPMG claimed an OS of 1 billion now, that would be FALSE! They reported on the 10K what was OS and that figure is correct. Run the math yourself and you will be able to understand.
Based on your posts on Yahoo MB and the same here, you seem to not understand how commons get added to the O/S count. Further, please understand that more than 50% of the O/S are restricted shares hence we have a relatively small float.

Now P3 is looking to merge with ScamtroniX which is a one person company run out of Helen Park's house--she got smart and quickly changed the contact info to a PO BOX than leaving it her home address. And the funny thing is that ScamtroniX's website contains <Intellectual Properties> which don't even belong to them. For validation, please visit the USPTO site. The ridiculous aspect of all this that the scammers want you to pay 1 billion shares for a sham.
So, here they are, engaging in another self-dealing gig.
