During the previous four quarters, the tech sector of the stock market has experienced
tremendous swings, adversely affecting the share price of both big and small companies alike.
Our company's share price has not been immune to market pressures and has likewise been
negatively impacted. I am taking the opportunity to write this letter to highlight the real
progress our company is making in several key areas so that you, as a valued shareholder of
this company, can fully appreciate the value of your NetCommerce holdings.
Cost Cutting Program
Beginning in December of last year, our company commenced an aggressive program
consisting of an internal review of all operations with a view toward cost cutting and
achieving near term profitability. The initial phase of this program has now been concluded
with the outcome being that we have suspended non profitable operations in our
MetroplexWeb.com, Inc. and AskOurCity.com Inc. subsidiaries and we are concentrating
our resources in areas which are demonstrating current profit and evidence strong growth
potential. The company's operating overhead was roughly $540,000 per month during 2000,
this figure has now been reduced to $60,000 per month as of May 31st, 2001. There is still
work to be done to conclude outstanding business pertaining to subsidiaries whose
operations have been suspended but we are now a leaner company, with improved financial

The Focus of NetCommerce
NetCommerce remains a holding company with the mission of developing profitable

clients on the first page of the Top 10 search engines as defined by Nielsen Net Ratings. These services are called search
engine prioritization services or ``SEP'. If a web site is not positioned on the first page, it loses an opportunity to generate
business every time someone types in a relevant keyword or keyword phrase.
First page search engine rankings represent an immediate source of qualified web site traffic; companies recognize this fact and,
as a result, purchase the SEP services that EasySearch provides. For the six months ending April 30th, 2001, EasySearch

I have had recent conversations with Roger DeBruin, President of Commodore Ventures, N.V., a venture capital firm located
in Amsterdam, Holland. He has expressed interest in re-tooling our agreement with Commodore in light of the fact that we have

I blew mine out at the break even, I figured when people figure that out they may sell. The chart still shows good, so i may regret it though. My Duckvest group bought 20K at .055 so a sell at .11 was very good for them
They answered the phone Knowledge Networks, but said it was a different company. The reason I ask about where you got the PR is I have a service for news alerts too, and I didn't get one. Also it is not on Yahoo, also they usually mention there trading symbol on a PR this one didn't...
All I asked was is this the knowledge Networks that trades on the OTCBB under the symbol KWNK, to which they said no it was not. Where did you find that PR?

Just making sure everyong gets in cheap for the anticipated run. :)
Fact is, I only post picks now that have a reason for movement. I have a ton that I
have on my screen that are severely undervalued but I don't post them. Yes they
may move a little with some buying but there is nothing substantial to push them much
higher so we ALL can make money. Picks like BMII I posted at .115 it hit .23 now
that gave all here a chance to make $$$. Now it is CMKI, and the one after that is
to be bigger yet. Sometimes I may be early and we have to wait a week or two, but
that is far better than to be caught chasing it.
The sad fact is most, I repeat most not always the case but these OTCBB stocks
only really move when someone is paid to move them, like BMII. There are
exceptions of course, but it is like throwing darts you hit the odd one where it moves
for no explained reason. Sure I have true long speculative plays that I hold like
CPVD for what I hope will be a 10 to 20 bagger SOMEDAY. Also I like to buy the
low floaters near there low, because you know that someday some pumper will
come along and push them or they finally have some news, on those the key is to
have patience and buy as cheap as possible. I'm not afraid to post my mistakes
KWNK I think we all were duped on that one, nice to see that people here showed
patience and averaged down and we are nearing the break even point. The chart is a
honey, but what is going on now with it I have no idea. It's like MYCO too, that one
will rock again IMO because the people who first pushed it still hold a lot of stock in
it. They will make sure it gets back to that .50 cent range someday.
Now on another thought:
I was thinking today about shorters, what if they short say a stock all the way up on
a run. Then they had enough of the momentum, and they buy 25k say of the stock
turn around and put in a market order sell of that 25k to kill it. The momentum stops and the stock
starts to fall, they lost on the buy of 25k but will make out very nicely on the short of
say 100 to 150K. What do you think of that?

Many people are now away from their computers and the MM's are taking advantage. BB speaking of MM's moving without a buy or sell, IMO it is likely someone put in to buy or sell between the B&A and the MM that caught the order moved up or down hoping to get a fill and sell to the order just placed. I use NITE and when I put my order in on a stock say that is at .05 x .12 and I put in at .08 to buy NITE will often move up to say .06 in hopes he gets hit and turn around and sell to me at .08 cents. I have been joining the MM's on the Bid and lots of times I am getting fills of late, they take all they want then pass on to you the scraps. The OTCBB is one flupped up system, yet we keep trading it.
