On the Pacwest website it shows a sewage sludge system that is supposed to turn a costly waste and disposal process into a revenue creating process. I wonder if this technology involves the KDS and is simular to anything being proposed in HongKong or S. Korea?

I am betting on S. Korea and Hong Kong as part of our most impressive growth building opportunities in the near future. Both of those countries has sludge waste emergencies and both countries has had the attention of Cal in his last year, both have been in FASC's PR's.
This is not to debate the other projects you have described here but in addition to.

Read the 10K put out in October page 38 and 39 section Obligation
to Issue additional shares and pay back wages under Item #12.
Since this is in the 10K, Brian is allowed to discuss it. So.........I asked!!!!!!!!!!!!!!! Read carefully and highlight.
The Answer is Brian is not a threat to us in the noted area, but Cal's estate is.
I believe that it is imperative that we approve the additional shares.

Brian technically is not self employed but due to being the CEO of a very small company as FASC it is much like being self employed. I can tell you this, that when you are self employed or running/managing a business a vacation is not fully a vacation.

I am not sure that he can or can not issue a PR, but he cannot pump before the request for more shares. The securities attorney is probably guiding him so he does not get in trouble with the SEC.
Brian said that shareholders will be informed of why we need more shares.
Trying to get information is difficult at this time, we will have to wait. My eyes are on waste here and abroad. I suspect because Brian and Cal spent so much time in Asia that Hong Kong and S. Korea are going to be our biggest surprise. Just re-read the PR's about S. Korea and more recently Hong Kong. Then look at the information you find on the Web about their problems with waste disposal. This is where I place my bet. I am also positive that eventually we here in the US will wake up. Our steams and rivers are getting polluted with bacteria from animal waste due to the huge corperate farms dumping and over fertilizing trying to find ways to rid them selves of the waste.
...if I am wrong, it will not be the first time!!!

Brian has been working with the SEC and the Attorneys since Cal is gone figuring out what to do and what he can do. Remember that Cal used to handle this area, not Brian.

Brian says he lives and breaths FASC and has never been more excited. But....he has hurdles to climb. When the Attorneys and the SEC give him permission and tell him what he can share he will do so.
I asked Brian to send out a PR sharing with us what is going on.
He said he cannot at this time due to SEC rules. There will be
information to Shareholders comming soon but he "can not" say anything more than that. I tried .. but that is it.
Brian wants us all to know that what ever he does and says it will be the legal, the right way and the Truth. No comprimising.

I would agree in terms of selling to those not strong financialy or those that have a loose purchasing policy. But to work with the major companies with strict procurement policies it is not going to happen that way. The deposit will depend on what their policy is for special orders. It may be negotiated with some but not others? FASC will need to eventually have a system that sorts a Companies qualications. (A standard policy but flexible for the Haliburtons!!!)
FASC may not care if they don't do business with such companies, they are small anyway.
Another thing that needs to happen for the KDS is to make it more automoted in its MFG. This would make it more competitive and increase sales that are lost due to cost. I do not think that this would have to shrink the profit margin.
I am aboard this Company FASC either way. Lets just hope the light at the end of the tunnel is not an on coming Train!!!!!
I do trust Brian as far as honesty is concerned. I do also beleive FASC would be served well to have a BOD that is not just made up of the FASC Executives. The BOD needs to have various Industry experts. I think that BOD should be paid in shares in leiu of Cash.

Some of the larger Manufactures have little to no flexibility.
DOW Chemical, GP, COKE, PEPSI and others. They have their standard purchasing rules and if we don't fit ...we don't fit.
I also have used Banks letters of Credit, Banks letters of Cash Flow, Bonds etc. and I am just a small Company. I only qualify on a small Supplier/ Contractor basis with its limits. Sometimes I sell Materials only and other times there is labor involved. I need a person on staff just for the paper work.
I trust Brians integrity and hope I am right in doing so. I do think that Cal and Brian lost potential earlier success due to their pay in leiu of Specialized Compensation packaging. The way it shows in the books is limiting in a lot of ways. I am thinking that the only way for them to get financing at this time and take advantage of potential opportunities is to do a preferred stock offer? I do not know how else they could get financing. As far as Immediate Cash flow due to deposits that may work with some Companies but not all.
The only quirk in my opinions here would be if Brian was not as Trustworthy as I am hoping and beleiving that he is. If I am wrong....then ........ I apologize!!! Not much of a refund is it?

In my opinion may or may not have suited them well. How-ever at this time with the potential growth and current potential obstacles it is not a time to limit the options for Brian. As you have refered before, Cal and Brian have been very conservative with the shares they have used. In my opinion when you purchase a stock such as FASC you are investing in the integrity of the CEO. Other than the CEO and Patents....what else do we have?
Once again, Brians age is a huge factor. He needs a staff now.
I will give Brian what he wants with my votes. To risky otherwise. I would rather have something than nothing.

It is not limiting in every case but very necessary in some. We also need to understand the strength and credit worthiness of who we are working with or selling to. The worst thing that can happen is to not make delivery. Your liabilities will not be limited to the cost of the Machines in many cases but performance.
It is the larger established Companies that will Scoff at a 50% deposit in leiu of 20 to 25%. Some do not pay any. Weak Companies must pay the 50%. Flexibility will be needed and FASC should have someone on staff to make the determinations.

You can re-read but I will approach an additional angle that limits the ability to sell.
Many large Corporations have internal rules that they follow that involves the purchase of larger equipment or any improvements that they have to make to accomidate the space for the same larger equipment. They do not want to make expenditures to weak Companies that may occur in one large or small item delivery that could delay or alter the over-all project/process etc. These rules dictate deposits/payments/delivery/financials of supplier/mfg. History/ specifications etc. etc. etc. If a supplier or Manufacturer has rules of their own that do not comply then a business purchase or marriage cannot be made.
Many Companies refuse to do business with Companies that are not credit worthy or show poor cash flow. Many larger companies request the financials of smaller companies. They do not care if the supplier is Public or Private. Many Companies have prequalication kits for suppliers of Specialty Equipment before they will even entertain doing business. Some larger Companies have prequalification for all companies. I sell some flooring products to a large Public traded coorperation that is local. I have my accountant fill out a prequalification kit on a regular basis.

That will work for one machine at a time. Multiple sales..I doubt it. It will probably be based on a delivered Schedule of Values as in most industries. It is also a policy that hurt the volume of Sales, but then again they had no options due to their financial condition.
I am believing that when they get the cash flow they will adjust their deposits to be more inline with the Industry and be able to cash in on more orders and multiple sales.
Mainland Machinery has been financing the Machines and will only finance one at a time. They need further cash flow to accomidate multiple orders, add a staff of engineers and handle Cals estate.
All these things hitting them at once here in 2012 will make the additional shares appropriate for flexibility.
I may not be educated but I am experienced in handling a business larger than FASC.

I have repeatedly stated in 2011 and 2010 that I did not believe that we would be doing much in 2011. With the new interests and being in business knowing how long things take....it measured out in my opinion to 2012.
Once again I do not beleive we are going to have Cisco growth, but slow continual at this point. I am happy for that. Once we have two profitable quarters in a row I beleive that we will start our slow PPS assent.
There are risks and I beleive the lack of cash flow to handle a multiple order, to small a staff, a shortage of engineers to handle modifications needed at installation for specific use, common warrantee items can all be a greater risk than slow sales.
.....incresed overhead or servicing costs what ever you want to call it.

It is important to becarefull with the appetizers. I have been to parties where the appetizers were so good that I just got full up. When the main course came I was out of it and could not take advantage of the "much better" main course.
