After all we've been through with this damn company I don't know how long I can take the suspense. I don't know how I am gonna react when I wake up to the news of an actual Acquisition.
Lol. I had to go into stealth mode to keep buy'n. My wife boutta leave me for the Amazon driver because of my history with Titan.
Nice find Noz... I mean HC!
Right on!
Would LOVE to see a nice PR from Medtronic about the Titan partnership that touts Titan's IP and excitement about further development / progress.
Right on Buttercup!
So did I. .81! Just reached 100k shares today.
Yes, I know.
Well if the buyout is in that range, let's hope they do it soon. Before OS breaches 100 mil.
They probably threw him the bone so he would stay.
Good point!
HC, count me in! I will even buy the 2nd round. Your Johnnie Walker Blue Ghost and Livendi's Shirley Temple are on me... plus 10 $1 bills for the strip club before we head to the ranch. Liv, put your condom on before we leave the hotel.
You're Welcome,
Geo
Lol. Yep!
Dude, you gotta learn to get used to it. This is par for the course at Titan. I am much more optimistic now, but this company always puts us through the wringer! Like Acehole, regardless of what I might make here down the road, I will not ever forgive this company for the lack of transparency. But Im trying to remain positive in light of the recent developments. Cautious optimism!
Lol. Share price will skyrocket on that news.
Doesn't make sense to me that over the last few weeks they worked hard to get above $1 to comply with NASDAQ, then literally the next day they stop. It is textbook Titan.
So with that said, I gotta believe they will drop some news soon that will carry us back over the $1 threshold and then some.
Tell that to Moderna...

The gov't has helped finance vaccine development for years. I'm not bashing INO, just telling you they are not the only game in town. There are several - it is a race to the finish line. INO is an interesting company. Hope you reap some big rewards. Just monitor the competition, that's all I am saying.
Yes, since 2017 it looks like $25k / $50k. So depends on how much you own.
Well, good luck with your tax liability on your PFIC stock!
Liv, you been submitting Form 8621 every year?
It's rolling for sure. I am jealous. I was in INO way before COVID and sold last year because it was volatile. Of course now I wish I hadn't. Depending on your share count and your goals, you have a big decision to make. It could end up being a phenomenal play and payday for you. But if the vaccine fails or one of the others hit first, it will tank big. I know there is a vaccine trial going on now in a large study population in Africa. Keep a close eye on it and follow the developments of competitors. Good luck!
Then all shares purchased while Titan has been a PFIC, since 2011, are taxed under PFIC rules. As far as we know, they still are a PFIC. There is a possibility that as of the end of last month (May) they may no longer be a PFIC because they now have a USA subsidiary. This we are not sure of. BUT, I am confident all your stock purchases before end of May 2020 are considered PFIC share ownership.
Purchased when?
Go to the Titan web site - Investors - Financial Information - first link under 2019.
Oops, wrong one. I have the 2019 pdf loaded on my phone.
There us a letter from March 30 of this year for 2019.
What they mean by that is once you purchase shares from a PFIC, they are always taxed like a PFIC. Titan loses PFIC status once they no longer meet PFIC requirements (ie, become a US corp, report active income or are purchased by a non-PFIC)
Yes, on March 30, 2020 a PFIC statement for 2019 was posted on the Titan web site.
The PFIC status no longer exists (moving forward) if a buyout occurs with acquirer being of non-PFIC status. HOWEVER, I believe the shares purchased during the time of PFIC status are still subject to the PFIC tax implications. The question remains though, is Titan still a PFIC now that it has a "subsidiary" in the US?

Yep, agree!
Isn't that considered a hostile takeover? Shareholders still have to approve it in the end. Would be interesting!
Liv, I am in this for more than a buyout. I want to own a piece of the acquirer. Which is why I've always hoped for Intuitive to take over.
I don't think anyone seriously thinks Titan might file bankruptcy at this point. The concern is whether or not to continue buying if there is more and more dilution on the horizon. So many lost so much over the years here because of the dilution. It's timing. We keep thinking we are out of the woods, then we get slammed. Rinse and repeat. Management HAS NEVER really tried to support the share price when it does move north. I said it yesterday, many of the investors that have been here awhile simply have PTSD.
I am not clear on the warrants either. With the options, I do not believe he was vested. I left Merck vested in options back in the early 90s. Took 5 years to be fully vested. You can leave and still exercise by the deadline. I thought I read in the filings Zaring took $0 in options. He wasn't vested yet.
I hope not too. I doubt it this time. The scenario has changed. Congrats on INO btw. Careful with it though. People are banking on a lot to happen there. I have worked on vaccine studies. It can crash overnight.
I agree. I think we see between $2 and $3 fairly soon. The only thing that would get in the way is the release of an extended milestone timeline of 2 or more years before submission.
Why would that happen?
