The context of my conversation was about the paragraph in the 8K below. Now as a disclaimer I do not want to be accused of being a pumper or starting rumors. It is possible I did not fully understand his explanation. So I do not vouch for the accuracy of this data or my ability to interpret it. In other words this info may be wrong or misunderstood by me. What I am about to say will cause a reaction so take it as my interpretation even though I felt like he was being quite clear. I make no recomendation to buy or sell based on this info. Call him and make your own judgements about what he says.
Anyway about the paragraph below
Basically what "I understood" him to say it meant
Is if the stock does not close at $15 at time of merger each shareholder can opt to take shares 1 for 1 no reverse in new company or can opt to take $15 in cash less whatever the closing price is. I specifically asked who would make that decision and he said it up to the shareholder. I then told him I hold shares in FHAL not CVSU so would I be entitled to either the shares or the money at my discretion. He said yes.
Next question was how in the world could the company pay everyone $15 per shares. He said they have 3.5 billion dollars in either assets or contracts with $500 million in cash.
Now that being said I am confused. First this just seems to good to be true and second I do not fully understand section 2.6 below but I can't make the connection between what that says and what I was told. Third $500 million $$$$. I did not see that on any balance sheet.
I want this to be true but am confused. I wish the company would issue a PR and clarify this issue.
Others should call and see if they understand the same thing and report back.
2.6 AVERAGE CLOSING PRICE ADJUSTMENT.
In the event that the Actual Average Closing Price is less than $15.00, the Surviving Holdings Company shall deliver written notice to the Company no later than the second (2 nd ) Business Day preceding the Closing Date pursuant to which the Surviving Holdings Company shall elect, in its sole discretion, to: (a) maintain the Average Closing Price at a price equal to the Actual Average Closing Price; (b) set the Average Closing Price at $15.00 and pay the holders of Company Shares receiving shares of Buyer's Stock as Merger Consideration (after giving effect to the allocation procedures set forth in Section 2.4 ) an amount in cash equal to $15.00 minus the Actual Average Closing Price per share of Buyer's Stock to be received by such holders of Company Shares; or (c) set the Average Closing Price at $15.00 and pay no additional consideration to the holders of Company Shares receiving shares of Buyer's Stock as Merger Consideration (after giving effect to the allocation procedures set forth in Section 2.4 ). Good post and I agree. I look forward to the report of your call. When I made the call I thought he must be thinking I am a CVSU holder. So I clarified I am a FHAL holder. I specifically asked him will FHAL shareholders have the option to choose shares or the $15 and he gave me a definite yes. Who knows maybe Rufus got his own wires crossed in the explanation. It is also possible I misunderstood that is why wrote that disclaimer in my first post. The way I read 2.6 in the 8K is the CVSU holders would get the $15.
Please get us some clarification.
If I am wrong or misunderstood everyone please forgive me. I felt it would be helpful to bring to the board so we could collevtively get clarification not to start a rumor.

That basicaly, CVSU shares will be canceled. FHAL will issue new shares at a ratio of 1-1 as merger consideration to the CVSU shareholders. The shares issued to CVSU holders will be rule 144 restricted. So basically add up the shares of CVSU and FHAL to get the new O/S. The shares issued to CVSU will be restricted and ours will not be affected by the merger. It's simple realy. The float will remain 40 million for the new company

HOLY SHEEEEEEET! It is true. I just got off the phone. 10 to answer your questions. Merger is already complete. All they have to do is file a 10k audited finacials, and a S-4 for CVSU's shares. He put me on hold at the beginning of the phone call and when he came back, I said, "I'm sure you've already been asked this a hundred times today". He interupted and said, "What the $15". I said exactly. I said how is that possible, he said it was all in the 8-k and I mentioned there has been several interpretations of it. I asked if they would be PRing any of this info and he said he would towards the end of the 15 days of the 8-k filing. No definite dates, but I can hardly type because I'm so shocked. Anyways, that's it. Hope it helps, but I know ya'll goin be saying yeah-right. Oh well, call yourself.

I have just been talking to Rufus at CVSU and still trying to accept what he just told me also. The shares will be worth $15 cash in value at the end of the merger, no ifs,and, or buts about it. The guy agrees with me that I will be a millionaire at that time.
He said the merger will be complete in 11 days.
He has me on hold right now and I don't know if he is coming back. I hope he is talking to JJSeabrook.

JJSeabrook, I hope I didn't hold up your call, I was looking forward to your conversation with Rufus.
He said that the combined value of the merger is $15 and thats what the share holders are going to get. A lesser share value didn't even enter the equation. I said that this will be a windfall profit for the share holders and he was just agreeing with me. And if we want we can hold onto them for more "YA RIGHT", so anyway I don't know how to take it any other way except that i'll be more sure when I'm taking it to the bank.
He said those that aren't picking it up right now at the .2Xs are missing the boat. So my concliusion is that we or I should say I am in the best stock deal I might ever see.
I'm tempted to go buy more shares.

I spoke to Rufus earlier today and was told kinda the same stuff as the previous investor.He indicated they have almost bought out the entire float and there will be no problem buying out the remainer for the price noted in 8K.I asked if they were buying out the float why didnt the price increase and he stated because companies buy back at the bid.Float according to him about 5 million at the most.Good luck all.Hope this holds true.

He indicated each investor could choose the shares or take the $15. So if that scenario is true if it was at $1.50 you could take the $15. It seems the company is expecting this to be much higher and/or maybe they are buying shares like some have mentioned and the float will be so small if they did need to pay out the $15 it would be a much smaller amount than we think.
I have not found a stock this interesting in sometime. My favorite thing is if this is true the timeline is very short.

reason why:
CVSU shares are at like $30 (I think he said) and the CVSU shareholders are very mad that they are even going as low as $15. one of the 3 options from the 8k are going to be taken into action. CVSU shares are not released into the market yet, and they have to wait until the FHAL changes to CVSU. there will be NO HOLD of trading (oh shit, i just reliazed i forgot to ask him about the record date ****) and the date as i have on the title is correct, the 28th. on the 28th, the FHAL shares will turn into CVSU shares, and thus dillute the previous FHAL shares with the CVSU shares a little bit.
i specifically asked him why they would change the pps so drastically and like he said, the cvsu shareholders were actually going down and pissed about the drop in pps (which is why they were trying to buy back the cvsu shares from shareholders i think, to have them come back into the cvsu market after the change so they dont destroy their shareholder base, but im guessing on why they tried to buy back didnt ask him). he also said that they are in the business to make money, and to do that they are going to have to start at a respectable PPS.
DO NOT, I REPEAT DO NOT buy based on what i am saying here. HE COULD BE, im NOT saying he is but COULD BE as you all said, a scammer and tricking us into buying in and then he leaves the country but that is very doubtful IMO.
I SUGGEST you call him, he is VERY intelligent he throwing my brain into a maze with financial terms and rules. PLEASE call him.

Some confusion on HSM..Is the $15 paid to FHAL...they seem to feel that FHAL is paying CVSU shareholders the $15.00....
SB-2 will be at $15. They wanted to value it at $34 but Rufus didn't want to do that because the SEC would have stalled it. Valued it lower to avoid SEC questions and delay. 11 days til done. 10K filed by end of this week, if goes as planned.
Option in 8K applies to the reorganized holdings company. Currenlty loading the float @ .20. He says the provision in the 8K DOES apply to FHAL shareholders as that provision is for the reorganized company and is NOT talking about the prior CVSU company.
Float now between 16-18 Mil. Large number of shorts.
Is there a limit on the number of shares that can be cashed in for $15? If so, what's the number.

Shares trading at $15. Down side is it gets shorted, but not a concern cause they're buying it as quick as it gets sold and plan to keep doing that.

NOTHING, already filed with SEC. Can't undue the merger. It's filed with the Secretary of State in Delaware. It's a done deal. It's set in stone.
What are the prospects for the new CVSU conglomerate share value? Are they including the proposed value of the Amazon deal into the worth?
Amazon deal not as it seemed. Contacted ambassador of Brazil and it does hold huge future potential. Logs plus environmental credit...they, FHAL, will be originators and it has good long term potential. Current value not based on Amazon deal. Don't factor anything in that is not closed. Amazon deal not in the figures. Long term potential there but not a real major factor now in any way. FHAL was basically about to go broke. CVSU has never been on the OTC. This was a shortcut to get there. Could be on NASD in 45 days, but may take longer. Company grew MUCH faster than they ever thought it could during the time it took them to get all their SB2 filing together for all the JVs. It totally snowballed far faster than they could ever imagine.
THEY'VE BEEN WORKING ON SB2 FILING FOR 7 MONTHS SO FAR BECAUSE OF ALL THE SUBSIDIARIES.
JJ ask him if they are going on a bigger exchange..why at $15 (not saying that would be the case here) would the company be a bulletin board stock??
45 days is the estimate to go NASD, but no guarantee. Issue that could factor in is the 50,000 shares traded per day. Don't know if it will trade that many shares per day once we open at $15, or so, so that "might" be an issue.
If FHAL shareholders opt to keep their shares...are there any issues to be aware of?
Other company officers wanted to value the shares @ $34.00. The only issue he's aware of is that it could hit there and go above that.
Will FHAL trading be halted? If so, how long?
NO TRADING HALT, PERIOD. They are filing this in a way to avoid a trading halt. He didn't want to put up with the phone calls. LOL He said he's been called more by CVSU shareholders than FHAL shareholders. They want to know if their stock is only going to be worth .2X per share. LOL
What will occur during the trading halt?
JJ...can you ask if we get $15 a share..ask him if there is a split?
Do you expect that some of these sub-companies under CVSU will be spun off and the FHAL shareholders will get dividends of those spinoffs? Will those companies IPO? Will the dividends be restricted for a year?
Every company will be spun off within 1 1/2 years per contractual. $7.2 Bil government contract on American International Smart Structure. WOW Designed fiber optics systems used on space shuttle, etc. He never had the money to mfg. his patents. CVSU has backed them, formed new corporation, holding the patents, they got the funding, and it will be a huge, huge, deal. Biggest JV. Cities offering large municipal bonds and tax credits.
NO TRADING HALT!

There will be NO restricted shares other than those of insiders, period.

1) What is the specific closing date...not mentioned in the filing
2) 8K says either party can unwind the deal one day before close....did I read that right
3) Is their a quiet period for the insiders
4) How soon do they need to pay the 15. or difference after close. I didn't see a perforamnce date.

NO QUIET PERIOD! Just going through financials. They could be releasing PRs every day. They have an internet lottery that they're about to blast off! Georgia Ohio and California to begin with that will replace those state's state lotteries. Can buy on internet or through ATM machines. Even trying to see if they can sell stock through an ATM!

I don't really remember everything from our conversation because I didn't think to record it or write it down. Stupid me! But the important thing is that I asked him outright about the merger. He said it is a done deal. FHAL no longer exists. It is COMPLETE. The only thing is they need the 15 days to get an audit before they can put out the 10K. (Honestly, I didn't understand that part very well. Still a lot about this stock stuff that's a bit over my head.) I asked him if there's any way this can be cancelled or anything. He stressed that no it can't be cancelled and it's a DONE deal. All systems go.
So, are we gonna get $15 a share? Yes, he said. I asked why would you do that, people are gonna dump this baby if that's true. He said, that's fine, let 'em, he'll buy up the float. He's BEEN buying up the float, he said.
May, I musta been annoying cuz i asked him about 8 times, "is the merger complete? the shares are seriously going to go to $15?" LOL. He said yes every time.
I forget what else we talked about. Those were the important points. LOL.
Oh, and certainly no reverse split.
Now, whether or not Rufus was bullshiting, or is sitting in his jet waiting for departure to Mexico, I don't know. But this is what he told me, straight out.
This is as much confirmation as one can get at the moment. The moment of truth will come on the 28th when we see what the shares really open up at.
I am beside myself with disbelief. Part of me just says he MUST be scamming me. There's no way I have a quarter mil in my pocket! And yet he he insists it's all true...

Rob, buyers @ .30 were kicking themselves for four days, esp when it when down to .15
I was on the ledge here for a couple of days, because I was 40% down, and afraid it was going to .09
Now, anything under .40 looks brilliant.
I think this stock, at this point in time, can't really be judged by the usual penny rules.
