Robsaia, I saw your post about IVFH on the NDOL board, so I decided to check it out. Just now doing some DD on it - this board seems like a great place to start. One initial question I have is when is the earnings report expected next week? From what I've seen so far, it appears that it may be good to get in before the report comes out?? What do you think? TIA
I wish they would give us the 8K A/H today... to give us the weekend to debate it and sort out the details. If not, I'll be doing something unusual - hoping that the weekend goes fast!
BTW, I just wanted to thank the members of this board for all of their thoughts and opinions as to what's going on with NDOL. Members' overall courtesy and respect towards each other should be applauded as well. Keep up the good work everyone!!

Good point, DrFeelgood.. I think some people forget that we "inherit" overnight 41% of the productivity of Northwest. If the $450,000,000.00 was last year, this year should be well in excess of that! IMO & GL

MM's playing this one like a fiddle!! I don't like it, but I have to admire it - it's there job.. They're playing on people's emotions, nerves and fears and know that if they lower the price enough, if only for 20 minutes, a lot of people will jump ship and swim for shore!!

Nord Oil International and the North-West Oil Group Agree on Merger Terms

MONTREAL, May 10, 2006 (MARKET WIRE via COMTEX) -- Nord Oil International Inc. (NDOL) announced today that the boards of directors and majority shareholders have approved and signed an Agreement on merger terms with The North-West Oil Group.
According to the company, Nord Oil International Inc. will acquire by way of a reverse merger 100% of the outstanding shares of two divisions of the North-West Oil Group, namely "North-West Oil Group-Saratov" Ltd. and Company "Neftegazenergo" Ltd. As the result of that merger, Nord Oil International shareholders will own a total of 41% and the shareholders of the North-West Oil Group will own 59% of the newly created entity to be renamed the Northwest Oil Group.
The total merged enterprise value is currently estimated at USD $1.25 billion, representing approximately $2.20 per Nord Oil International shares post merger.
The current board of directors is being changed to include 4 members appointed by the North-West Oil Group shareholders out of a total of 7 board members. Effective May 11, 2006, Mr. Makarov will have resigned his functions of President and CEO and Mr. Ernest Malyshev, President of North West Oil Group has been appointed the new President and Chief Executive Officer.
Management will proceed to fill the appropriate forms with the SEC such as the PRE 14C and 8K required to make said merger effective. Complete disclosure on the North-West Oil Group will also be provided on form 8K on or before May 15, 2006.

mildtrans, I agree completely! It's not like the buyout is off the table. Here you have have company where the execs. are trying to do exactly what they're supposed to - maximize shareholder value... I can't figure it out, but I'm not selling a single share for under the original $2.17. In fact, I'm now more optimistic about a higher pps. IMO & GL
I second the salute to those who bought on the dip. I'm not smart enough to have done that (nor do I have the b_lls)! During my only real distraction today (work), I kept thinking that the merger had to be good news for shareholders (or why would they even entertain it) - at least that's what I kept telling myself to keep my sanity today. Anyway, it looks like were in good shape (and perhaps better shape than we thought this morning). All IMO & GLTA

MM's are taking advantage of the unexpected news!! Too many people were counting on the 2.17 and can't see the big picture! I think this news is great!! I would expect the S/P of the new merged company to be a lot more than 2.17. Any thoughts.. All is JMO..

Assuming deal goes through, will shares automatically be converted to cash? I'm sure that sounds like a dumb question, but I'm fairly new to this and have never been invested in a company whose share were purchased by another. TIA
Laking, I agree completely.. I'm also in the position where I'm waiting for some more funds to post to my account, so I can add some more. I can't believe that it's still in the 1.30's and it was torture seeing it go to the 1.20's and not having the funds to get it. As one poster said, where else can you make an 80% return on your money in a matter of days.. I'm also hopeful that the predictions of a counter offer higher than 2.17 will prove true - I don't think that makes me greedy, just human. Even if we get the 2.17, I'll take my $50K profit and smile all the way to the bank. I've seen people posting about AURC, but haven't done enough with it to make a decision yet - looks good so far though.. Good luck to you and all other NDOL holders.
Any real downside to buying at these prices?? My thought is that even if this deal falls apart (which I don't think it will), that the NDOL has proven that it is way undervalued even at 1.38, etc. Any thoughts

Am I missing something or is $0.74 / share a steal with the imminent news of a buyout??? It seems like people would be buying all they possibly could at this price.. Just from my own research and IMHO, I think the buyout price will be at least $1.50 - nothing like doubling your money in less than a week!
I agree with the previous posters that the following phrase used in today's PR is quite telling: "significant premium on the unsolicited offer represents a higher and more important opportunity to our shareholders".
Come on people.... read between the very bold lines!!
