CW that's a fair position. You are by all appearances a reasonable and well intentioned shareholder. I have no issue with that. I said in my comment that I think the ASR product is fine. But at the end of the day it is a me too product. It has no discernible point of difference that can help it stand out. That is also fine. There are many kinds of canned soup on a super market shelf.
However when you have 15+ negative posts by actual purchasers; keeping in mind that less than 10% of purchasers normally publish those reviews it is likewise reasonable to perceive that some of the postings that claim it is the greatest product ever are fraudulent manipulations.
ASR is a company that I would have never invested in. It is the ONLY pink I have ever invested in. MY mistake. But it served me with the opportunity to learn and what I saw was something that at that time was foreign to me. A situation where all of the regular participants readily agree that it doesn't matter what the company or it's management does or how they perform. What matters is PR's and hype.
I still believe that the most important thing is investing on fundamentals.
So whenever I see someone trying to deceive and lure the unsuspecting through that deception, I will go on the record and make my points about ASR. I could care less about the accusations that somehow I get compensated. Prove it I say! And if someone decides to post mockery or derision regarding my statement, then I will challenge them to make their case. I find it humorous that people actually promote conspiracy theories about manipulation of ASR stock. It is a simple stock with no real appreciable extraordinary merits. The concept that there are evil forces at work is laughable AT BEST.
I try to post respectful and articulate comments. I don't hurl insults and personal attacks. Saying that management is incompetent and enumerating the reasons is not a personal attack.
If you read my ASR posts in their totality and actually look at the content, you will find multiple examples where I give a positive nod to either the company or a situation. Absolutely they are few and far between but I have never seen a company so poorly managed and such egregious missteps by the management. I guess my biggest issue is that ASR shareholders, who in my opinion have been screwed to the wall, still do not challenge management. Instead they attack anyone who has the temerity to ask legitimate questions.
Regarding the post which ignited the exchange, remember I wrote a post about ASR that was directed at no one and THE POST WAS ATTACKED AND MOCKED. All I said was ok, tell me what I wrote that was inaccurate. Not being able to defend his ad-hominem attack, the respondent began a nonsensical tirade.
Lastly regarding your post on Amazon; did you disclose that you are an ASR shareholder? I know that one individual did. Don't you think that such transparency would be a reasonable expectation of the reader? In my opinion and experience such transparency enhances the credibility of the content and the messenger.
actually CW she read a negative review of the ASR product which suggested she look at the details and she saw that many of the rave reviews were written by people who only reviewed the Vera Temp and some of those had not actually purchased the product...
ASR shareholders have seen the ASK plummet some 80% to 90% since the reverse split which some on here said was really a good thing.
Maybe its time to bend the economic curve in favor of the company.
Management should consider a predominantly Private Label model for the USA and Canada. They have not been able to to realize a branded economic model. A private label environment would eliminate the uncertainty of the qtrly P&L.
1. Under their current cost structure the Vera Temp needs to retail much much higher in order to support the brand in a true branded scenario.
2. Under a PL scenario the product would actually get on the retail shelf and thereby realize turns that are 3 to 6 times higher than the online model that they are currently relegated to.
3. In a PL model the economic burden that is it's current distribution chain, shifts back to the retailer and the drop ship nightmare is greatly reduced or can go away entirely. Logistics and inventory carrying costs are greatly reduced.
4, In a Private Label model, there is absolutely no need for the world tour approach.., The company can once again try to build its revenues here. The albatross around its neck that is it's reputation and history with the trade becomes less of an obstacle since the trade knows it does not have to depend on the company's ability to make it a viable and going concern.
Amazon reviews re ASR Vera Temp:
While none of this has had a real impact on the PPS for ASR, I encourage you to look at the positive as well as the negative reviews. Amazon shows verification if the reviewer has actually bought the item they are reviewing. Also you can see how many other products they reviewed.
It is a curious phenomenon how many of the rave reviews are the same user names on these boards. Not to mention how many have only reviewed this one item.. no need to take anyone's word on it; please check for yourselves.
Obviously the number of negative reviews is less than a stellar endorsement of the item. That being said its perfectly fine as an alternative to a typical thermal device like the one we raised our child with made by Braun. When you get into trouble with these things is when fraudsters and simply well meaning shareholders try to manipulate these reviews and make wildly exaggerated claims of wonderfulness.
If they actually read the rest of the reviews and understood that Amazon and other e-tailers have controls and filters that detect manipulation then they might understand that they are not helping ASR, but rather degrading the credibility of the company and its products.
If a reviewer has only reviewed the ASR product and to top it off they either post multiple reviews as in the case with Tytluv, or they have not even purchased the product...enough said on that point.
You can convince yourselves that this is the world's greatest thermometer and that ASR is an amazingly well run company with a future that is bright and promising. That is all well and good and I wish you the best with your investments, it does no affect me either way at this point. I do take exception when there are obvious attempts to lure in the unsuspecting potential shareholders with misrepresentations and outright falsehoods.
I bought, I lost and I sold. No one's fault but mine. But I have every right to post here as long as I respect and comply with the TOS.
Regarding ASR's reporting, I would suggest that they are obligated to report based on shareholder count. That being said, their repeated inconsistencies pertaining to disclosing adverse material events on a timely basis, are up for discussion. A specific example of ASR's failure to properly announce such an event is the national Federal Court ordered total recall of the thermometer. Which by the way in the federal judge's opinion was specifically the result of management's ill conceived actions. The national recall was only disclosed via an obscure reference buried in the bowels of a quarterly report.
Your listing of the various exchanges and your recital of certain regulatory criteria is an interesting display of so much boilerplate, but woefully off point.
You mocked my post but have failed to address the question directly; I once again encourage you to enumerate where my post of yesterday fails to meet ANY test of veracity regarding the salient points as to ASR.

Companies usually do a reverse split to increase the price of the stock to more attractive levels, or to remain at a minimum price for a particular exchange. While not necessarily a bad thing, a R/S is a popular method that bad penny stock companies use to continue raising capital through dilution. 'Dilution', if done enough, will eventually leave a stock virtually worthless. The price may go as low as .0001 dollars, the minimum that stocks are tradable by common investors. At this point the company can no longer effectively raise capital by selling more shares.
By performing an R/S, the number of shares on the market decrease, and the price increases back to a "dilutable" level. The dilution starts again, and the cycle can continue over and over. Because of this, a black cloud is associated with the R/S. They normally result in a large selloff by remaining shareholders, causing the price to plummet, and the shareholder value to follow suit.
A reverse split is very rarely an opportunity for a safe investment, and certainly not a wise choice for a beginner in penny stocks. To protect yourself from purchasing the stock of a company with a history of abusive reverse splits, check out this iHub board and scan through the list.
EDIT 4nkool, i hope you get some back, heck I hope you get it all back. I am out of this stock. End of story. I got in to ASR due to a rumor of a big time management change. That change turned out to be Roth. on top of that they made an illogical deal that was totally unjustifiable (NDD). Roth is an individual with zero substantive experience of any consequence. Wall street buys management first, innovation second and opportunity for growth third. This company is a mundane distribution business. No technology that sets it apart. The financial structure of the products is at best a private label model.
Branded CPG goods need approximately 65 to 75 gross margin. The floor cost should be at 10 to 15% of the retail. These are facts, look them up. They buy the therm at 12.50 approx and sell it at 19.50 approx then they discount off of that. They have a 3 month supply chain. It requires inventory carrying costs that even at today's rates adds at least another 3 points. Their cost of money to fund operations is through the roof. All the revenues are hypothecated.
It is a classic death spiral. You can blame bashers for the share price all you want. At the end of the day someone is willing to sell at these prices. Now since a lot of shares have been issued for an effective cost that is a fraction of the current PPS. Its a win win for whoever is selling since their acquisition cost is effectively a few cents. Unfortunately this pink world trades on hype and rumor. As I have come to learn.
someone could show me absolute proof positive that it is going to be $1 in 3 weeks. I would not touch it. Any company that takes all input and control from the shareholders, I simply will not trust in any shape way or form. Add to that a proven thoroughly incompetent management team and its a scenario that is worth watching from the sidelines.

edit: actually that would be what I would expect from an IR firm, they do not engage in any negativity, nor will they comment on it. I assure you the company is getting a call right now. Wait till she sees his spectacular wordsmithing skills. This young man has the equivalent of 3rd grade grammar and even less of a grasp of the language and the written word.
Whom ever put him in that role is a management moron. That is an absolute fact. Just go out and read his posts and all of the malapropisms. Its amazing that management has let that go on for more than 1 post.

Possibly if not probably they understated the dilutive effect of their transactions and got called on it by the auditors. The Q's are not audited so the numbers can be generated internally.

HA! Unfortunately, while I took my losses there are some incredibly unscrupulous individuals online out right soliciting the investing community to buy this dreck while ASR is probably in-salvageable at this point as an operating entity. That IS fraud.

It's many times more likely that it's an ASR insider/principal hiding behind the title ASR IR. I am absolutely convinced its not an actual real IR firm. I do not care how loudly they howl that they are. "Aint hapennin".
They do not publish a document or comment without client approval.
Everything has attributions. All of the tit for tat stuff I saw would never happen. They would advise the client against it, Its demeaning to the client. But easy enough copy the comments, fax them to the IR firm. Watch what happens.
IR and Financial publicists are sticklers for grammar, spelling and decorum. FACT.
I don't know that it's fraud, certainly it's highly unethical, but if the official IR firm finds out and sees that their name is being attached to those postings, they will go batsh__t. Never mind the ethics, just the grammar and the spelling and the total lack of professionalism, will destroy their bona fides.
I'm sorry, those answers, if they are the one's I think you are talking about, were in no way written by a prof IR person or firm.
That in my opinion is an ASR insider/pumper (Willie?) with a half baked high school education at best.

I take your/mine/our word for it. I don't know him or have any inside scoop, but since I am you and you are doggone and he is me and me is us, I guess I should
