I'm actually retired but a friend has asked for some help, I'm hoping that this will be the last one
It seems this a question that resonates throughout the OTC POS world. There are times when naivety of the CEO is too blame but mostly the reason is it's the only way to survive (at any cost). This is gonna stay down here (or below) at current pps levels until the conv debt is gone, just a fact of OTC POS life. JMO

I think that means when an NT-10Q is issued not when it's later than late due to previous misfilings. Note holders will not want to wait for any reason, they want their money pure and simple and don't care what happens to the company as a result. JMO
If that's true how do non filing pink stocks with conv notes manage to have their convertible notes exercised?

Good point I have no idea, the agreemnt states that he be allowed to sell up to 50k shares every week through the escrow agent but doesn't say that he has to. I know assumption is the mother of all screw ups but I would think that with the stagnation of the pps and his settlement being agreed he would want full payment as soon as possible. JMO

Ok thanks I saw that but I (we) was just trying to understand who the 3rd party was from the 4.35m additional shares acquired by Posner in Dec'14. From the Dec 8K it seems that there were 5m shares in contention as a settlement to Bob Glass. In the agreement betwen QTMM and Glass there was a cancellation of 2.6m shares and then he was allowed to sell 100k shares every week for 4 weeks initially and keep 2m shares in escrow. I don't see any calcs that add up to 4.35m shares that I can see so not sure what's what?

Earlier this year, Quantum Materials Corp. (the “Company”) announced that it had commenced legal action against Dr. Robert Allan Glass related to the termination of his employment agreement. In the lawsuit, the Company sought to recover all common stock and cancel all options issued to Dr. Glass as part of his employment agreement. Dr. Glass filed a counterclaim against the Company for breach of his employment contract seeking unpaid compensation.
On December 12, 2014, the Company and Dr. Glass amicably resolved their dispute. Pursuant to the mutual release and settlement agreement executed by the parties, of the 5,000,000 shares of stock that were issued to Dr. Glass in connection with his employment contract, Dr. Glass will retain 2,400,000 shares of stock and has agreed to return for cancellation 2,600,000 shares of stock. In addition, Dr. Glass has agreed to forego all outstanding accrued salary and terminate all outstanding options. Further, in regard to the 2,400,000 shares retained by Dr. Glass, the parties agreed that Dr. Glass may sell up to 100,000 shares through an escrow agent in each of the first four weeks following the deposit of the retained 2,400,000 shares into an escrow account. Subsequently, Dr. Glass may sell up to 50,000 shares through an escrow agent in each week thereafter. The parties also executed a final, non-appealable agreed judgment that was submitted to the Court for its approval."
EDIT: OK just seen your additional info, looks like we may never know who the 3rd party was, no worries just like trying to work stuff out.
According to the 8k the shares were accrued from the third party in Dec'14. I've just had a look back in the filings and the only 8K in December 2014 that relates to securities is the Bob Glass filing. It seems that part of the deal is that he's able to sell 50k shares every week through an escrow agent (Posner Trust?) I haven't been here long enough to be honest, maybe longs can help out?

Agreed, they even say they will sell in an orderly fashion in the 8k.
"The Trust will sell the Additional Shares and other shares of common stock of the Company that it owns in an orderly fashion and as the market conditions permit, in order to satisfy certain obligations of these third parties and otherwise comply with the terms of the settlement."
Yep, it's a nothing event currently, venture capitalists/trust funds sell stock every day without it being a deal breaker.
