Went through and past the $2 mark rather easily. I was expecting resistance at that level. If you are underwater hopefully you have double, triple, or more shares than you had at higher levels due to QUITE the buying opportunity for those who still believed in Torvec.

Today marked 10th consecutive green closing. Nothing goes straight up, but in my opinion we will breakthrough 2, and then also see a closing above 2 dollars at some point. If not tomorrow, it will happen next week.

Most shareholders realize Kaplan did not hire himself. I commend Gary Siconolfi, Kieth Gleasman, and any other board members who were instrumental in making this decision.
Knowing all the board members personally, anyone of them, if requested would be willing to step aside for Richard Kaplan replacements for the benefit of Torvec and its shareholders.

I was not there for lunch. What they intend to use the money for is stated in the 8K. You can't get more transparent than that. It is obvious to me that they intend to use the money to make money.

Entry into a Material Definitive Agreement
Item 1.01 Entry into a Material Definitive Agreement.
On July 19, 2010 the company received $57,000 in connection with a Securities Purchase Agreement for the issuance of a Convertible Note in the principal amount of $60,000 due and payable on April 2, 2011, with interest payable at the rate of 8% per annum ($3,000 was paid by the company for legal fees incurred in connection with the transaction).
These dollars will enable the company to pursue programs in additional to existing, on going projects.
The outstanding Note principal and all interest accrued thereon can be converted, in whole or in part, into the company's common stock at the election of the Holder from time to time beginning 180 days after the issue date. The conversion price is equal to 58% of the average of the three lowest closing bid prices of the company's common stock during a 10 day trading period immediately prior to the date the Holder's conversion notice is sent to the company.
The company may prepay the principal amount of the Note and all accrued interest at any time beginning on the issue date and expiring 180 days thereafter. In the event the company elects to prepay within the first 90 days, the repayment amount is 150% of the $60,000 principal amount and if between the 91st and 180th day, the repayment amount is 175% of the $60,000 principal amount.
In the event of default, the amount of principal and interest not paid when due bears interest at the rate of 22% per annum and the Note becomes immediately due and payable.
The Note agreement contains covenants requiring the Holder's written consent for certain activities not in existence or not committed to by the company on the date of issuance as follows: common stock dividend distributions in cash or shares, stock repurchases, borrowings, sale of significantly all assets, certain advances and loans in excess of $100,000 and certain guarantees with respect to third-party liabilities.

Someone has to ask what is the purpose of this $57K loan. Why, when they had $750K in the bank as of March 31, they needed to take this loan out? It doesn't make any sense. Maybe they have an explanation.
Dino - I put you in charge of calling and finding out, since you probably have the most at stake here. I'm sure you would want to know why they are issuing a convertible note for $57K that could possibly add 200K+ in shares to the denominator. I'm sure you are concerned about this. Phoenix Performance Racing has sold their #35 car that John Heinricy was tearing up the circuits with. However it was revealed that the ISOTorque Differential that has been a big part of Heinricy’s racing success will stay with the Phoenix team.

The weekend of July 10 – 11 will be an exciting one as 11 time national champion John Heinricy will compete in the SCCA Double National at Watkins Glen NY. He will be driving the #35 Torvec / Phoenix Performance Corvette equipped with the IsoTorque differential in the two day qualifing event for the 2010 National Runoffs held at Road America in September.

While we continue our marketing efforts and develop additional programs with all our technology, we wanted to share with you the latest developments pertaining to the IsoTorque® differential.
Building on the success of the IsoTorque’s first place results in the 2009 SCCA National Champion Pontiac Solstice, Torvec has expanded its relationship with race car driver and former Director of GM Performance, John Heinricy, to assist Torvec in developing procedures for collecting and preparing performance data specifically for use by OEMs (car manufacturers).
John is considered one of the premier racers in the country holding 11 national championships (3rd most), and several Nurburgring track records. John worked for GM for over 25 years and held such key positions as assistant chief engineer for Corvette and was Director of GM Performance for 7 years until his retirement at the end of 2008.

John and Andrew Gleasman determined that the best car to collect the necessary performance data would be GM’s C6 Corvette, and Joe Aquilante of Phoenix Performance was generous enough to allow us to use their race tuned Corvette. This Corvette is fully instrumented – meaning it is able to record GPS position, speed, acceleration and G-forces for each run. Using the same IsoTorque gears used in our 300 HP Nissan 350Z, Torvec built a differential for the 475+ HP Corvette, and scheduled track time at New Jersey Motorsports Park for the end of October.

John and Andrew also were invited to attend the Bob Lutz Cadillac CTS-V Challenge held October 29, 2009 at Monticello Motorsports Club. John was there in a more official capacity, having helped develop the CTS-V and setting the Nurburgring track record for a sedan. For two days Andrew had the pleasure of working with several GM platform and development engineers in preparation for the main event on the 29 th. The main event was very exciting, with many high performance cars in attendance, major media outlets, including Speed TV and their chase helicopter, and of course the ever spirited Bob Lutz (Vice Chairman of GM) in attendance.
After the Challenge, John and Andrew returned to southern New Jersey and NJMP to conduct an “A – B” evaluation of the Corvette. In this “A – B” comparison, the Corvette equipped with a stock limited slip differential was driven around 2.25 mile Thunderbolt racetrack as quickly as possible for the best lap time and then this test was repeated with the IsoTorque® being installed in the same car, same driver (John) on the same day and without any other modifications to the car. Torvec’s goal was to have the IsoTorque reduce the lap times by ¾ - 1 second as compared to the limited slip which was achieved. This reduction is very significant and is unheard of in racing when making only one change to a fully race prepared car and if this were a pure production street car the time reduction would be even greater. This reduction in lap time is the equivalent having an additional 40+ HP in the car. The digital telemetry that was collected will help supply additional information to GM and other companies on the benefits of the IsoTorque.
Based upon the previous day’s success, Phoenix Performance entered the IsoTorque equipped #32 Corvette into the National Auto Sports Association (NASA) race the following day. We are happy to report the #32 Corvette, driven by Andrew Aquilante in a field of 50 cars which included different classes, won first place overall. It won despite being pitted “against cars that should be much faster”(Porsches, Ferraris) according to John Heinricy. This victory comes in no small part from Andrew Aquilante’s excellent driving, a superbly built car, and the advantages the IsoTorque provides.
We believe these successful performances have enhanced our standing with General Motors and other car manufacturers. We have demonstrated that the IsoTorque differential contributes significantly to the improved automotive handling and performance, efficiency and safety. We have demonstrated the IsoTorque’s durability. And, we have demonstrated that the IsoTorque successfully performs in the rugged world of high performance automotive racing. However, the IsoTorque’s benefits are not limited to the world of high performance, but all automobiles will benefit greatly from what the IsoTorque has to offer in a world market where over 100 million differentials are produced annually.

Could be wrong, but I thought I read months ago that Heinrocket was not being paid to consult, perhaps a trade off for the use of the iso and 1st place finishes.
Along with the 1st place finishes, this is all I need to know about Heinricy's quote:
"As the IsoTorque differential is designed to do, I could easily feel the way it reduced understeer entering the corners here, and it enabled me to get the power down sooner upon exit, without unnecessary wheelspin."

Evaluations by four separate racing teams have all shown a reduction in lap times by one second with just installing the IsoTorque Differential. This is attributed to its fully patented gear design that, unlike competitive products, does not use complex and costly electronics. The IsoTorque Differential, which is good for the life of the vehicle, is currently being evaluated by several major OEM's, including General Motors, Ford, and Hyundai.

Last Saturday at Imagine RIT, the Formula SAE team unveiled their F18 car. The F18 is a brand new design from the ground up while still incorporating Torvec’s IsoTorque® Differential. The F18 team will compete in Formula SAE in Detroit May 12-15 where they placed 2nd overall last year. They will next defend their title at Formula SAE West where they were 1st overall and then head to Germany to represent the United States.
We are extremely happy with our relationship with RIT and the FSAE team. Many of these students become engineers and decision makers at companies such as Toyota, GM, Ford, Honda and others, and our involvement allows these future engineers to have “hands on experience” with our products and their benefits. Also, all of the judges in this competition are current automotive engineers with such companies, which further exposes them to the IsoTorque. We wish RIT good luck at this year’s FSAE events.
Last Friday we shipped Hyundai our IsoTorque differential to be tested in their new Genesis Coupe. This IsoTorque is a smaller design and has a different gear profile than previous generations and we anticipate excellent results. We are in the process of cutting additional gears of this design for GM & Ford front wheel drive applications as well as for the Tesla Roadster. At the same time IsoTorque prototypes for Corvette & Camaro are continuing to be manufactured, with the first 10 prototypes already spoken for by various vendors, tuner and OEMs.
Lastly, this will be the last update made from our current website. A new Torvec.com should be online by the end of May with plenty of new updates for you to review.

We wish to share with you what has transpired since our last update. We have had visits by both Representative Louise Slaughter and Senator Gillibrand, all facilitated by Rochester Mayor Duffy. Both were impressed by Torvec’s technology and potential for job growth in Rochester and have pledged to help in any way they can.
Torvec’s internal evaluation of the Hyundai, GM & Ford IsoTorques continue and once we are satisfied with our new design, performance, strength and durability we will be sending them off to their respective OEMs for their review.
The preliminary evaluation of the IsoTorque by Cadillac for the CTS program as well as other internal GM programs has been delayed due to the weather and new scheduling conflicts at their proving grounds. GM has assured us that they hope to have programs back on schedule shortly.
Meanwhile our plan to produce the IsoTorque for aftermarket Corvettes and Camaros continues apace. The initial prototype components for the Corvette and Camaro are taking shape at our various suppliers. It is our intention to have these prototypes done by the end of April. At the same time we have been paralleling our prototype work with our production designs and establishing costs, quantities and delivery times with our suppliers.
After taking delivery of the modified FTV the Air Force continues to be pleased with it.

The Air Force and Torvec, are working jointly to secure funding for development of a next generation mission specific FTV for the Air Force’s Advanced Combat Firefighting Vehicle program.

For the record, not I, and not anyone posting anything similar, IMO, thinks that the shorts are the MAIN reason for the stock price.
