Actually, there isn't much more to the process to get uplisted. You have to be current with reporting your financials, which they are establishing with the lawyers letter, and fill out a four page application known as a "FORM 211" http://www.otcmarkets.com/content/doc/form-211.pdf.
It would take a retard about ten minutes to fill out, since most of this information is already on file from when they initially filled it out to be listed in the pinks. so back to my original question, where is the uplist, and the announcement?
As a result of the foregoing, we are of the opinion that:
1. The Quarterly Report constitutes adequate current public information concerning Tivus, Inc.'s securities and are available within the meaning of Rule 144(e)(2) under the Securities Act.
2. The Quarterly Report includes all of the information that a broker-dealer would be required to obtain from Tivus, Inc. to publish a quotation for Tivus, Inc.'s securities under Rule 15c2-11 under the Exchange Act.
3. The Quarterly Report complies as to form with OTC Markets Group's Guidelines for Providing Adequate Current Information, which are located on the Internet at www.otemarkets.com.
4. The Quarterly Report has been posted through the OTC Disclosure & News Service.
Oh I get your point, TIVUS is just in the habit of paying lawyers to establish the fact that they are meeting the requirements to be uplisted to OTCQB, submitting it to PINKSHEETS for absolutely no reason what so ever, but not requesting an uplist. GOTCHA, wonder how much us stockholders paid for that letter to be generated for no dang reason at all.

Ok, so the Attorney's letter dated 14 Jan 2012 has been published, requesting that TIVU be uplisted. Why no uplist? is there something going on behind the scenes that they aren't telling us? For a company that states that "communication with it's investors is critical" TIVUS sure seems to be keeping us in the dark on a lot of issues. Anyone else feel like a mushroom?
ANY DAY Would be nice, no argument from me, but one can only speculate that after 3rd quarter financials were a whole quarter late, and I honestly believe that TIVUS has a real reason for delaying any reports of "INCOME" I too believe that there are additional installations, and more revenue, but I was only speaking of what they have admitted to. @Irish if they infact had an "unsigned" contract, when they held the CC then they definately committed fraud, because an "unsigned" contract, is NOT A CONTRACT at all. but not going to dig up that discussion again.

I agree the a contract details announcement would be nice, but are they really obligated to release the details? They are required to release financials on a regular reporting basis, and if there is a contract, and Philly is complete, and Omaha is almost if not complete also, then there definately should be income coming in and reported on the next set of Financials.
lodgenet couldn't bring their monkey to the market even after buying the technology and the company "On Command" when they tried 3 years ago. TIVUS is the only US BASED company that is ready to deliver this technology. Not going to change my mind there. Again I re-state my position, believe me or not, If hotels could have gotten away with no TV's in their rooms for the last 30 years, they would have. They cost money, and Hotels like to make, not spend money. TIVUS offers a way for the cost of having a TV be absorbed by money making AD's. Lodgenet has huge capital, they were the way, for a very long time, and I wouldn't be surprised to see an offer from Lodgenet in TIVUS' future, but business sense would advise against it. LODGENET is a pretty sour smelling beast in the eyes of the hotel industry. They tolerate it because until now, they had no other option. get on board, not gonna see these triple zero's very much longer. Make some money, and get that name changed to NEWMERCEDES or something. That would have no bearing on Tivus' model, and why would a hotel opt for a cheaper internet tv that they still have to pay for, and it wouldn't provide them with any add generated revenue. Hotels don't want you stay with them so you can watch their free cable tv, they want you to spend money, and lots of it. If they can target guest already in their Hotel, why pay to advertise via some local station, that may or may not even reach those that they are trying to reach. iTV might be cool for your house, like APPLE TV, but it is not cost effective (Income Generating) for a hotel

As of today, Nobody is doing what TIVUS is doing. up until TIVUS, it was all concept and no application. Apple TV has the on demand movies bit down pat, but leaves a lot to be desired in any other areas. Besides, the only, revenue Apple TV produces goes straight back to the hands of APPLE. They only insert their own ads and make all the revenue. I travel quite frequently with my job, and I have carried an Apple TV with me, but gave it up because Hotel's either no longer provide HDMI jacks on the TV sets or they make logging into there networks with an Apple TV setup impossible without illegally hacking into their network. I know you can find the exception at some Motel 6 out there, but the big chains that have comfortable rooms with a soft matress and real feather pillows don't cater to the low budget people anyway.

I keep telling myself that, but then logic says that if I believe that a contract will come then why not lower my PPS average, If I didn't believe there was a contract, I would have sold everything last month when price was at 0006. I would have gotten out for the cost of a good weekend.

LOL, 6 months, that's my point exactly, supposedly Philly is complete, and Omaha is near or already done. which means revenues are coming in, the Q3 financials somewhat show that, albeit small. but now they can sock money away for 6 months (give or take) and pay off the notes at close to face value without having to pay the 150% premium on a PPS that is going out of control. someone did the math the other day on the Philly contract alone, and 6 months worth of that would make a huge dent in that debt.
How do you secure debt financing when you are already in default on 18 out of 40 loans? Simple answer is you don't. You either pay it off or declare the BIG B.
I would only be starting a bad rumor if I tried to say that it is, but that makes sense to me, why else do you hold off releasing quarterly statements as long as possible without having the SEC comedown on you. You want to keep the PPS low as long as you can, while you generate extra cash in your coffers to pay off the higher interest notes as cheaply as possible. If they released news of revenue and the details of 3 contracts, this babies PPS goes thru the roof, and any of those existing notes could be cashed in for stock and converted back at 150%. In that case the stockholders gain, the note holder gains, but TIVUS takes it in the shorts. Not good in the long run for the company. Kinda like when a person is getting ready to declare Bankruptcy, They quit paying all their bills and socking away cash before they file, and then when the finance companies issue a judgement, they declare bankruptcy, and everyone gets paid at a discount. THIS of course is just my speculation, and is worth far less than the time it took to read or write it.
Wow!!! somebody help me out here, I am no expert, but in reading the entire 30 sept 11 financial, It would seem to me that TIVUS benefits tremendously by keeping the PPS very low. otherwise some of those outstanding convertable notes can be converted to stock and then tivus would be forced to buy them back at an even higher premium. They need the PPS to stay low to let the 12 month window run out or repay the notes before they are converted.
Well I guess the best we can do then, is continue to fill our coffers with 000's and pray that one day this thing finally makes it back to penny land. Just hope I can live past my wife's complaints that I am just throwing our money away. Bet she won't be happy with me just returning my initial investment to our savings, and finally driving that new Z06 home will she?

A piece of paper with "CONTRACT" at the top with one signature on it is an "offer" it is not a contract until both parties sign it. Just like Loan documents are not binding until signed by both parties. Until them it is just an offer of terms, even though it says "Loan" at the top. to say you have a contract, can only imply that you have a document signed by both parties, courts don't play semantics, this is the law.
No actually the piece of paper it is written on is called a "Contract", but it is not a CONTRACT until it is signed by both parties. Using your thought process, just because I make an offer to pay you $$$ for your house, doesn't obligate you to sell that house to me on those terms until you sign and accept my consideration. only after it is signed by both parties is it a legal and binding contract, until then it is just a piece of paper.
Even a first year business student knows that unless both parties agree and sign a contract with appropriate consideration being given, then there is no accepted contract. It is possible that terms can be agreed to, but without a signature by both parties and exchange of consideration, there is no contract. I wasn't on the CC, but if they said they have a contract, then that means both parties have signed. If they haven't then Tivus has misled those in attendance at the very least, it is very possible that fraud was committed. If anyone has the transcripts of the CC, it would be interesting to see exactly what was stated. If it was even implied that they had a contract on that date, it should be fairly easy to obtain a subpena for them to produce the contract if it exist. There is really nothing to argue over here. A "Major Player" Signed on? Who would that be? I bought in on the premise that that they installed equipment in a couple of "Big" Hotels with a contract pending, shame on me, but they don't have a contract, Shame on them. You seem to be alluding to the fact that they do have a contract. Where is it? Who is it with? Details? This may all be a case of I told you so, and so be it....I will eat crow when that time comes, but it will taste much better when the price of this stock comes up enuff to at least break even. Granted you may well be way more invested than I at a much higher price point, but the fact still remains TIVUS has failed to deliver anything as promised to date. I don't know you from ADAM, and since you seem to be the one here pumping this stock day in and day out, I sometimes wonder if you aren't in on this scam somehow. I am not saying you are, I don't know, but lets get real here, TIVUS is not delivering any news good , bad or otherwise. it seems the only person that gets any emails answered is you and maybe one or two others, but nothing ever with any clarity. The fact is the company is 2 quarters late delivering their financial reports, and the only news we get is audit is done and looks good, but still no reports and no contracts. Will Tivus deliver in the long run? I hope so, I am holding out hoping I am wrong, and that you are right, but thus far, I have nothing to believe in. It makes no sense to pull out, at these prices, there is virtually nothing to pull out, it would cost more to sell. so the only thing I can do is HOPE, I probably get nowhere by bad mouthing TIVUS, but you also get nowhere by pumping them up either. The ball is totally in their court, they need to POOP or get off the pot.
