It's nice to see that the new accounting firm seems to be on top of things. I am looking forward to seeing the old filings completed and PCFG up-listed ASAP. This is very important and IMO could be what's holding up production.
Nice DD, and I agree that this is a possibility. It would make complete sense for both parties and might explain PCFG's recent silence regarding production.
8K Item 4.01 – Changes in Registrant ’ s Certifying Accountant
On April 13, 2011, Pacific Gold Corp. (the “ Company ” ) notified Jewett Schwartz Wolfe & Associates (“JSW”), the Company’s independent registered public accounting firm, that the Company had dismissed the firm because the Company desired to retain a different firm who could meet the Company’s timeline for filing its overdue SEC reports. The decision to dismiss JSW was approved by the Company’s Board of Directors.
During the Company’s period of engagement from October 22, 2010 through April 13, 2011, there were no disagreements between the Company and JSW on any matter of accounting principles or practices, financial statement disclosure, or procedure, which disagreements, if not resolved to the satisfaction of JSW would have caused it to make a reference to the subject matter of the disagreements in connection with their review on the Company’s financial statements for such periods. There were no reportable events (as described under Item 304(a)(1)(v) of Regulation S-K) during the Company’s engagement of JSW from October 22, 2010 to April 13, 2011.
Our consolidated financial statements for the years ended October 31, 2008 were audited by JSW. The JSW report on our financial statements for that fiscal year did not contain an adverse opinion, a disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope, or accounting principles, except that substantial doubt was raised as to the ability of the Company to continue as a going concern.
The Company has provided JSW with a copy of this disclosure and requested that JSW furnish the Company with a letter addressed to the Securities and Exchange Commission stating whether it agrees of disagrees with the statements by the Company in this Current Report on Form 8-K. The requested letter is attached to this filing as an exhibit.
On April 13, 2011, the Company engaged Silberstein Ungar, PLLC, 30600 Telegraph Road, Suite 2175, Bingham Farms, MI 48025-4586 (“SU”) as its new independent registered public accounting firm. The engagement of SU was approved by the Company’s Board of Directors on April 13, 2011.
During the Company’s two most recent fiscal years ended December 31, 2010 and December 31, 2009 and through April 13, 2011, neither the Company nor anyone acting on its behalf consulted with SU regarding either (i) the application of accounting principles to a specific transaction, either completed or proposed; or the type of audit opinion that might be rendered on the Company’s financial statements, and no written report was provided to the Company or oral advice was provided that SU concluded was an important factor considered by the Company in reaching a decision as to the accounting, auditing or financial reporting issue; or (ii) any matter that was the subject of either a disagreement (as defined in Item 304(a)(1)(iv) of Regulation S-K) or a reportable event (as described in Item 304(a)(1)(v) of Regulation S-K.

Thanks for sharing that. I know we have all be saying this for months, but our time is very very near! I have said all along that it would not surprise me if Mitch/Rob wanted to get the financials worked out before they begin production. It's all about getting their ducks in a row.........

I would expect the Black Fire news to be PR'd by Mitch today or tomorrow. It is a very good update on another PCFG property that reminds the investing world that Pacific Gold Corp is not a one trick pony. Black Rock has received all the attention lately, but this company has much much more in the pipeline.
That is standard legal mumbo jumbo and should be thought of as a "disclaimer".
I agree that the financing PR should have been filed and released in an 8k by now. That is one thing that shareholders should not have to wait long for. No excuse for that.........
I don't feel like I am in the dark. I think before the company even makes mention of the words "Production has/will commence", they are making SURE that all their I's are dotted and T's are crossed TWICE.
Perhaps they are waiting for the financials to be completed.....
Then sell your shares.
I am very confident in the future here and although a production update would be nice, I am comfortable with knowing that production is very near. Remember: The company wants production to commence even more than you, I, or any other shareholder. Mitch and Rob are PCFG's largest shareholders!! THEY have the most to lose here and are making SURE that everything goes smoothly here before full scale production begins.
What is a "regular basis" to you?? The company released 3 pr's in March alone.

Sit tight, all the pieces of the puzzle are coming together on the company's time line, not yours.
Much of that volume you speak of is from selling and dilusion. I am glad to say we have neither of those here.

Maybe he is at Black Rock supervising the activities? I have found that e-mailing Mitch for information is pretty much useless. He is VERY careful with his words and always gives the same answers to questions. If you are looking for reassurance, lock at the recent pictures taken at the site. Those pictures speak volumes about being very close to production.

It is in the hands of the accounting firm at this time. Mitch and Rob are concentrating on production (exactly what they should be doing). In a perfect world we would up-list BEFORE production is announced, but this is far from a perfect world.

Understood, but keep in mind that Mitch (in a few e-mails posted here) stated that the company does not need any more equipment than they have to start production. This was three weeks ago (just after the Hy-G concentrating unit was delivered)

Pacific Gold Corp. (PINK SHEETS: PCFG) announced today that the Company has issued promissory notes to investors in exchange for approximately $500,000 USD.
The notes pay 10% interest and are due on December 31, 2013. The notes are convertible into common shares of Pacific Gold Corp. at a fixed price of $0.05 per share.
The Company is using the money raised from the notes for new equipment, preparation for production at the Black Rock Canyon Mine, updating SEC filings and audits, as well as for accounts payables.
I firmly believe that this financing was obtained weeks ago and production is very very close.
I don't agree with that. I believe that the financing was obtained weeks before they announced it in the pr. They purchased equipment that I believe they have been using for quite a while with the capital from the financing.
Is that the canon that will shoot the PCFG PPS to the moon in the near future? If so, I like it. I like it a lot......

Or it could be they are nervous about the recent pictures taken at the site showing men operating heavy machinery recently purchased by the company through the financing that is converted at 5 cents a share. hahahahahahahahaha WAKE UP SELLERS!!!
Nervous about what????? The fact that we now have financing to begin mining gold??? Or perhaps nervous about the fact that we will soon be up-listing. Oh wait, it's the fact that the company is not duliting. hahaha some people are soooooooo stupid and way too easily shaken by the MM's, it's actually kind of sad.
There should be no doubt in anybody's mind that something big is about to happen here (especially with today's action). We are either already producing gold or about to any day. This stock is going to go totally ballistic when the company announces production (including specific figures of operating costs and output) causing a run that will go down in the history books.
