New PDR Platform In Beta Testing: Press Release
What I do not understand is why release this new PDR opportunity when in fact your platform is still in beta testing mode. Beta testing takes tremendous time and effort and before you launch you must "test drive" making sure it works!
I suspect the level of confidence would be much greater had the platform been available for all of those that wanted to convert but instead must wait.
What if the new platform has bugs and is deemed a failed platform, then what is the alternative in terms of time and cost to launch a new platform?
I believe that their idea has tremendous value but their execution is terrible and without fast follow-up on this PR their reputation is in question.

Not off to a good day with the PPS dropping like an anchor!
The storyline looked solid a week ago but with much uncertainty with respect management stepping up with concrete evidence in its PR this does not bode well for this stock.
The MM's are having a field day with this stock and I suspect the float will continue to be large as many are still holding shares.
For me my game plan was 50% PDR ( need more facts ) and 50% hold shares but that window is closing quickly based upon my losses.

Are We Getting The Wrong Signal?
As I read through some post I cannot help the ad that sits next to the posts " Are You Getting The Wrong Signal" certainly is not an intentional pun but is a mere coincidence.
I cannot think of a better time for management to offer an interview or better yet suggest a shareholder conference call with all the new developments and uncomfortable situation I sense from posters ( not bashers but some good questions ).
Hope for some news in the coming days/weeks/months ahead...

GUATEMALA CITY, Guatemala (Reuters) -- A recession in the United States seems unlikely but cannot be ruled out, Latin America's largest lender warned Monday, saying the region's 2007 economic prospects depended on its northern neighbor.
"Through its effects on the volumes and prices of Latin American exports, a U.S. recession would translate into at least two percentage points less growth in the region," the Inter-American Development Bank (IADB) said in its 2006 annual report released during its annual meeting in Guatemala.

In the past week Bernanke and Greenspan expressed differing opinions on the outlook of the economy. Ali Velshi reports.
Some U.S.-based economists are warning that a spillover from the slowing U.S. housing market could push the U.S. economy into recession as consumers pull back spending.
Others, argue that the housing downturn will have a minimal impact and the U.S. economy will continue to grow, albeit at a slower pace.
The debate intensified last month when former U.S. Federal Reserve Chairman Alan Greenspan said it was "possible" that the U.S. economy might fall into recession by the end of 2007, with signs that the current economic cycle was cresting.
A National Association for Business Economics survey last month showed that experts see U.S. economic growth at 2.7 percent this year, the slowest rate since 1.6 percent in 2002.
The IADB said the current outlook suggests growth in Latin America and the Caribbean will slow to between 4 to 4.5 percent in 2007, with the possible exceptions of Brazil and Chile, from 5.3 percent last year.
Lower prices for oil and other exports may lower the current account by 1 percent of GDP but is likely to remain in the black, it said.
Private sector
Fiscal positions of most countries are expected to weaken, but without jeopardizing economic stability, the IADB added.
"The coming year will be critical for consolidating the sustained growth trends with macroeconomic stability that the region has maintained for several years.
"The most immediate challenges are to maintain fiscal discipline, strengthen tax collections against future declines in extraordinary tax revenue and improve public debt profile," the IADB said.
It said most countries could boost growth by improving their business climates, beginning with making it easier to start a business, to improving the efficiency of the courts.
The IADB said poverty had declined in some countries, but creating quality jobs and extending social services to the poorest were still a big challenge.
Poverty levels fell below 40 percent across the region for the first time since 1980, with extreme poverty under 15 percent.
The IADB said average unemployment rates for the region changed very little in 2006, and apart from Venezuela improvements, elsewhere were small. Brazil saw a slight increase in its jobless rate, it added.
IADB President Luis Alberto Moreno appealed to the private sector to play a bigger role in helping reduce poverty in the region.
"I am convinced that the future of our countries will require recognition that the private sector is a key driver, although not the only one, in equitable economic development in Latin America and the Caribbean," Moreno told delegates at the IADB's annual meetings.
A recession in the U.S. would hit homebuilders such as Pulte (Charts) and D.R. Horton (Charts), as well as retailers Wal-Mart (Charts) and Target (Charts).

This PDR platform is open 27/7 for traders whose shares are located in the foundation. Since this will be a trading platform I assume the foundation determines the value ( if not them then who each trader?)

The company is doing great but our shareholders are taking a beating so I have offered all our shareholders a one year minimum price Guarantee of $0.02 per share and a 2 year Guarantee of $ 0.04 per share if they will pull their certs and become a beneficiary of the Fundacion. This will be the new way of doing business on a global scale and is the wave of the future.
When will the platform be ready for trading and are there any fee's related to it?

PNMS states that they will guarantee .02 for one year PDR and .04 for the second year. That is fine and great returns but what if there are any legal problems be it BK or some form of litigation, etc what are those guarantee's if any? Some posters mention "Gold" as it backing but I see nothing to that effect in this PR.
Lots of food for thought on this one as I am inclined to do a 50% PDR and hang onto the other 50%.

THIRD:
The social capital is the amount of one hundred million Balboas, represented by one million common and

Pan America.
FOURTH :
The Capital can be increased with another one hundred millions Balboas represented by one million
preferred type .”A” non voting bearer shares @ one hundred Balboas each, which once issued will be
conveyed and deposited in Fundación Pan America.. In addition to the referred common and
nominative shares and the preferential type .”A”. to the bearer, the company will have wide faculty to
increase the company capital from time to time. In case of increase of the social capital, the shareholders
lat the date in which is agreed the increase of capital will have preferential right to acquire the new

an owner and holder of shares iberated, paid and current wish to sell them must offer for its sale to the

SIXTH:
The main address of the Company will be in the Republic of Panama, District of Panama, Borough of
Bella Vista, Marbella Urbanization, 53rd Street, World Trade Center Building, Panama, Republic of
Panama and will operate in four pre-established regions known as AMERICA I: Cuba and the Caribbean,
AMERICA II: Canada, United States of North America and Mexico, AMERICA III: Guatemala, Belize,
Honduras, El Salvador, Nicaragua, Costa Rica y Panama, AMERICA IV: Colombia, Venezuela, Peru,

The company is perpetual and it could be dissolved at any moment by means of agreement of the Board
of Shareholders. Once agreed the dissolution of the company, the General Board of Shareholders, with

NINTH:
The General Board of Shareholders is the supreme body of the company which will meet in an ordinary
manner, at least every year, within the three following months to the end of the economical year, the
shareholders may concur to the general meetings personally or by representation, by means of a special
power for this event only addressed to the president of PAN AMERICA SOCIEDAD ANONIMA (MMVII)
PANAMERSA . The Legal shareholders will be represented by their Legal Representatives properly
credited by the suitable means that the Law foresees for such purposes. It will be able only in the opinion
of the general Board of Shareholders, by means of particular agreement, to demand the genuineness of
the representation or confirm with the representative the granted power. If a share belongs to two or
more people it will be necessary the authorization or consent of the other co-owners of the same one to
be able to exercise the right to vote of the above mentioned share and that this one is taken to account
to be a part of the regulation quorum. The General Assembly of Shareholders will meet to take care of: a)
Discussing and passing, or failing to approve the report on the results of the annual exercise that the
directors present and to take the measures that they consider to be opportune; B) To resolve in their
case the distribution of profits arranged in the social writing or the total or partial reinvestment of the
same ones in the society; C) To name or to revoke the appointment of the directors and officials and to
fix their remuneration; D) Other matters that they consider of their competence of law or with what
indicates the agenda of the sections to them. The annual stockholders meeting will be able to meet
equally extraordinarily in any time on their own initiative, when it is summoned by the managerial meeting
or to written request of the shareholders who represent not less than twenty-five per cent of social
capital, or of an alone shareholder when no meeting of the assembly had been celebrated during the last
two previous consecutive exercises, or when the assemblies Or when the assemblies realized in this
space had not treated the matters that for law or for the agreement must be known annually in ordinary
section. If the directors will refuse to being the summons or if they were not doing it inside fifteen days
later to the receipt of the request will follow the step that is prescribed in the code of trade, Every
common share will have right to a vote, no share different from the common ones will have right to vote.
The summons for the Board of Shareholders registered as owners of registered shares, with fifteen days
of anticipation at least If it will be a question of the first summons, and with eight days if it will be a
question of the second one Being counted neither the day of the notice nor the day of the assembly.
When there are represented all the shares that form the share capital one will be able to session as
Board of Shareholders without need of full summons resigning of the same one. The assemblies will be
celebrated preferably in the domicile of the company or in any other part when the Board of Shareholders
or the Board of Directors for their convenience, the summons would indicate the date and place and
corresponding agenda. So they may be quorum in an ordinary assembly in the first summon there must
be a representation of the majority of shareholders with a right to vote and the agreements will be valid
when more than half of the votes are present. The quorum for the extraordinary assemblies in the first
summon is formed by the three fourth of the parties shareholders with the right to vote and the
resolutions will be valid when the vote is represented by more than half of the share capital. In the
second summon, the same as the ordinary assembly as the extraordinary assembly the quorum will be
formed by any number of shareholders that may be present and the agreements will be taken by one half
plus one of the votes present. The first and second summons for the assembly will be separated by at
least a time frame of three days. The resident and secretary of the Board of Directors will be the same for
the general shareholders assembly, and if they are not present the shareholder members will assign
substitutes “adhoc”.
TENTH:
The agreements of the General Assembly of Shareholders will be firm immediately after taken, except
when the same assembly states differently, except for the opposition rights that the Law states. The
assembly can designate special performers for certain agreements. All of the agreements with be taken
note of in the book of acts of the assembly, the acts will be sign by the president and the secretary.
ELEVENTH:
The Resident Agent of the society in the Republic of Panama, is Lic. CRISTHIAN MELENDEZ, Attorney
at law with offices in Building Plaza Aventura, Tumba Muerto, Office 217, Panama City, who agrees to
accept the
position.
TWELTH:
The social business will be administered by a Board of Directors, composed by ten members, partners or
not, whom will bethe following persons PEDRO BORGES FIOL, ADRIAN GONZALEZ CASTRO,
RODNEY ADAM OMANOFF, JULIA IBARRA SEAS, MICHEAL SCOTT TERRELL, MANUEL
GONZALEZ PURON, HECTOR BOLIVAR ALEMAN ESTEVEZ, ABEL E. CAMPS BELLO, ANTONIO
MURILLO CAMBRIONE, BERNAL MURILLO VARGAS. All with residence in the Republic and District
of Panama, Corregimiento de Bella Vista, Urbanizacion Marbella, 53 Street, World Trade Center
Building, Suite 603, Panama, Republic of Panama. Whose position will remain for a maximum of two
years and can be removed at any time by the disposition of the shareholders assembly, the same may
be re-elected indefinitely.
THIRTEENTH:
The President is the legal representative of the company and in his absence, temporarily or definitive will
be the Executive Vice-President.
FOURTEENTH:
Any definitive vacancy that may occur in the Board of Directors will be filled out by the rest of directors by
appointment for the missing position until the following ordinary assembly of shareholders.
FIFTEENTH:
The Board of Directors will meet every six months in the company’s domicile or in any other place that
may be assigned for their convenience at the date and time decided; and extraordinarily when the
president summons. When all of the directors are present a session may take place without the need of a
previous summon, if it is resolved and it is stated in the act. There will be quorum with the fifty percent
(50%) of the directors and the required participation of the assigned president and the agreements will be
taken by absolute majority of the present members. In case of a tie the president will decide with a
double vote.
SIXTEENTH:
The president will direct the sessions of the Board of Directors and in his absence other members by
their denomination, but there will be necessary the later approval of the titular president to support the
agreements that in his absence are taken.
SEVENTEENTH:
The agreements of the managerial meeting will be firm and ready to be execute immediately dictated,
except that for a concrete case one resolves another thing, and there were settling themselves for the
secretary or in his default any other director, in the book of minutes due legalized that to the effect the
society was taking. There will be precise to record in the record the minute of the deliberations, not even
the form in which the voting’s take place, except when the own meeting or some interested member like
that wish it in a concrete case. The minutes will be signed by the titular president and the
secretary.
EIGHTEENTH:
They are duties and attributions of the managerial meeting: A) to dictate the bylaws and regulations of
the company; B) To name managers, proxies, agents and representatives, when it creates it suitably and
with the denominations that they consider adapted to attend to the business of the company or special
aspects of these, and to award such personnel the necessary, like that attributions like to revoke these
appointments and powers that they grant, C) To fill, up to the shareholders’ following ordinary assembly,
the definitive vacancies that happen in the managerial meeting as before indicated, or in body of
alertness of the society; approve the substitutions that the president does of his mandate; D) To
formulate the condition of situation of the company, with balance, with losses or benefits acquired, you
count of dividends, etc, must put this documentation in hands of the district attorney, With thirty days at
least of anticipation to the date of the general assembly So that the observations of the case are done to
this one; E) To promote and to develop the social business and to organize them of the way that better is
convenient to the interests of the company; F) To establish agencies or branches inside or out of the
country; G) Other that corresponds to their conformity with the law, the bylaws or regulations of the
company, and that entrust them the general assembly.
NINETEENTH:
Of the profit of every exercise the company will be destined annually not less than five per cent of such
profit this way to constitute a special reserve, until the same one reaches a minimum twenty per cent of
the total share capital. Likewise the general assembly will be able to distribute of the net profits obtained
by the company every fiscal year the dividends in proportion to the number of shares in power of every
associate and in the same form it will support the losses if they were any.
TWENTIETH:

I am neither an attorney or an accountant and was waiting for someone to explain in layman terms what the press release was giving us shareholders. I appreciate your simplification in tearing apart the press release and explaining it in simple to understand terminology.
Given that this is everyones first experience with such an offer I suggested that a "shareholder" conference call would be appropriate. Given what I read, a conference call would be the best solution and I suspect more folks on this board would choose to "convert" their shares into certificates rather than hold their shares hoping for a bump in the PPS ( which might happen ) given the facts on the PR.
Plus it gives management and shareholders an opportunity to hear something from the horses mouth rather!
I have neither the funds nor the time to hire an attorney and an accountant to tell me how I should invest my shares with PNMS!

Given the Facts on the PR: Does the stock still trade?
I do not have a solid understanding on the PR due to work but my simple question is given that news is this stock still going to trade in pinkie land?
If yes, and the buy back of shares are in order ( I do not know if that is the case) then the price will go up.
The goal is to get the MM to stop shoring this stock I understand that point.
Are we expecting the audited financials next week or so?

I have taken this stock off my radar screen the past two months after making many recommendations to Mr. Karney at PDSC in terms of contract opportunities as well as making contact with large companies that might have a need for his / our company...no suck luck...
Well, perhaps meeting the president might be what the "doctor" ordered for this company as it appears nothing else is working unless you drink "Atomic X " but that too might have fizzed out.
Among many problems with this company is a lack of communication from the CEO. Yes, I have listened to canned MN1 interviews and found very little substance but a lot of chatter, jokes and insults to shareholders!
If what I read is true that you are involved with this company and can help its shareholders, please inform Mr. Karney , first he must not assume that all of us "flip or "short" his stock and that some of us have not sold a share ( me included at 5M shares) and two please hire an executive salesman to sell his products!
Perhaps he is the 'brain child" behind this company but he is not the guy that is going to sell the multi-million $$ contracts to make this a viable and successful company...unless the President Bush gives him a bunch of government contracts...
In any case, thanks for your feedback and posts as we need a voice and information to make an educated decision as to whether it makes sense to sell our shares or perhaps buy more.

Invest Wisely and Trade Smartly
The savvy long-term investors never chase stocks up. For the most part that is momentum players and daytraders where most of it or what follows is dumb money. Instead the long-term investors use a couple of simple strategies in order to position themselves. One is to find a stock no one immediately sees has huge potential and accumulate.
Long-term investors are not interested in trading against the public mind or the dumb money. That's where the majority of the money can be made but even more can be made if the base of a stock is held extremely strong by investors. However the second is not to doubt the research which is the
underlying basis for going long and holding.
More and more investors are winning the game now days despite all bashers that float through the Internet that has become part of the game. Floor traders of market makers often watch CNBC, news wires and bulletin boards in order to follow the market during trading session. OTC BB market makers (MMs) don't use fundamental and technical analysis.
However, what they do realize is a lot of dumb money does use this newest nitch charting or TA (Technical Analysis) to run a stock either up or down. To the MMs this is like taking candy from a baby. Simply they will paint the tape and use whatever tactic to affect the charting bands. Thus the public and dumb money they will have eating out of their
hands. Effectively the MMs can show a strong stock growing weak by manipulating the close price in order to generate selling volume, delaying trading time to manipulate trading activities, or even stalling the ask without honoring orders to hold a stock price.
MMs follow a simple code of business when making a market in a stock especially an OTC BB. That is the level that stocks will seek that yields the most volume. Now this is very important because they make money on the volume buying at the bid and selling at the ask. In other words, by making the market they are buying low and selling high. Now smart money adheres to that rule, so do all the market makers. They could careless whether the stock is at $83 or at $0.23.
All they care about is the action thus being able to sell stock at the offer (The high) and buy stock at the bid (The low). To increase their profitability, they make the spread as great as possible on as many shares as they can especially if the volume falls off.
When they have mostly all "buy" orders, that's not the price that's going to yield the most volume. They need both buy and sells to get the maximum action. Remember, MMs play the volume. If the volume decreases and there are mostly Buys that become a one way volume, Buy volume. So what they do is let the stock run up to a price where it runs out of steam. They fill all the buy orders there that they can and then comes the pullback one way or another naturally or induced.
During the pull back they can buy tons of shares and flip them to those averaging down or trying to catch the bounce. At some price, the stock will be relatively stable and yield the most volume. Now that is the average price you will see. The average price is the point where a stock seeks a level where MMs can profit on the most volume. So during the day that is the price that MMs and momentum/day traders want to see the stock at.
Why? Because they know the public and dumb money was chasing the price thing up. Most of the time, the MMs love a flurry of Market Orders which is a dead sign of an artificial run or momentum. Merely it is money in the bank for them. Most get hung in a momentum or day trade or by the tactics of Market makers, who are in the business to screw the public
every chance they get and the NASD is not going to do anything about it. They are merely making the market liquid is their reasoning.
The market makers have created an added complication to the OTCBB's chaos of the already volatile intra-day price movements created by dumb money, momentum and day-traders. MMs can not relate to long-term holders in the OTC BB. That makes absolutely no sense what so ever. They feel a large percentage of trades in the OTC BB market consist of short term or day-trades, MMs merely view the barrage of buy and sell orders as relatively neutral to the market.
How they figure it is when the average dumb money buys shares in a company, the MMs feel or rather know with some certainty it is very likely that dumb money will want to sell back those shares relatively quick on the slightest drop.
Now somewhat comfortable with this logic the MMs merely short sells into the buying and attempts to take the stock down in an effort to "shake out" the weak. Since it is tough to know for sure whether a move is the beginning of a trend, or a routine shake out, this type of deception works quite well for the MMs. What the long-termers do to a stock is
surprise the MMs because instead of falling the shorting has no effect and the price goes up. Now that puts the MM at selling low through shorting and thus having to buy high in order to cover.
Boy, when this happens, the MMs are not very happy ampers. The investors and traders are supposed to be doing that no them. Now it becomes time to pull out every trick and tactic in the book in order to attempt to get a Bear Raid at every dollar mark or percent from where the stock started. Could be a penny in smaller priced securities? What MMs do is give you a chance to make a small amount of money for your momentum and day trading style by shorting it at these levels and trying to get a bear raid each time. Each failure is compounding the MMs short position so they let it go to the next level. Now come more deliberate tactics MMs use to coerce Bear Raid or panic selling.
Once the MM is caught short and the strength of the buy is overpowering the MM will want to cover his short position. So the MMs call up one of his friendly MMs and says some like "the weather is sure rough today." The MM along with the other "friendly MM initiates a down tick about the same time. Now this can also be done with a certain amount of shares such as an infamous 100 shares flag. This down tick gives the illusion of weakness designed to hopefully begin the bear raid of selling.
The fickle, fearful, day trader, momentum and short term begin to sell out allowing the MM to cover his short position at lower prices. They will move it down quickly to get it to a price of least financial damage. Problem they have is long-term investors in the OTC BB. They start
accumulating and buying comes flying in when they take it too far thus the MMs took it to the point of volume again and not only investors the other MMs step in the make money on the spread.
Alas the poor MM does not get to cover. Now comes various tactics like stalling, boxing, or even locking the Bid and Ask for a while. MMs have a vast resource of tactics and it would take probably more than my lifetime to figure them all out.
So how do investors somehow manage to overcome the obvious deception in OTCBB arena? One answer is indirection trading style by going long which the MMs do not expect. In the war between investors and public companies on the OTC BB vs the MMs, if the MMs have all the advantages due to position or other factors, direct confrontation such as momentum or day
trading hitting the stock is a definite death sentence.
However, an indirect approach tends to weaken the path of least resistance before slowly overcoming it. The most effective way is long-term investors slowly accumulating and holding thus drawing the MMs out of its defenses making them as naked as their short position. This is war so this slow accumulation and holding for the long term easily achieves the desired effect to force MMs to cover and knock off the
tactics or bury themselves deeper.
The MMs when caught will especially use every trick and tactic in the book to get a Bear Raid thus playing on the individual fear of most people. The MMs feel they have information and position advantages over the investors as long as the holding of the stock is in weak hands or
short term holders. Since they are OTC BB MMs who believe all OTCBB companies are not worth investing and management is ineffective regardless what is happening within the company. Furthermore, MMs know they are in the position to impose a great deal of influence in OTC BB stocks trading when it suits their needs.
This inherent power of position enables the MMs to move the markets at any time up or down. As a result, the only way to draw them out of their favorable position is going long. Now this does not mean just any company but to effectively nail the MMs, Longs must find the great company on the floor and accumulate long before the MM tactics and games begin.
This requires extensive research to find such a rare stock, but once you have found it, you are one up on the MMs so be prepared for every tactic in the book.

When they have mostly all "buy" orders, that's not the price that's going to yield the most volume. They need both buy and sells to get the maximum action. Remember, MMs play the volume. If the volume decreases and there are mostly Buys that become a one way volume, Buy volume. So what they do is let the stock run up to a price where it runs out of steam. They fill all the buy orders there that they can and then comes the pullback one way or another naturally or induced.
During the pull back they can buy tons of shares and flip them to those averaging down or trying to catch the bounce. At some price, the stock will be relatively stable and yield the most volume. Now that is the average price you will see. The average price is the point where a stock seeks a level where MMs can profit on the most volume. So during the day that is the price that MMs and momentum/day traders want to see the stock at.
Why? Because they know the public and dumb money was chasing the price thing up. Most of the time, the MMs love a flurry of Market Orders which is a dead sign of an artificial run or momentum. Merely it is money in the bank for them. Most get hung in a momentum or day trade or by the tactics of Market makers, who are in the business to screw the public
every chance they get and the NASD is not going to do anything about it. They are merely making the market liquid is their reasoning.
The market makers have created an added complication to the OTCBB's chaos of the already volatile intra-day price movements created by dumb money, momentum and day-traders. MMs can not relate to long-term holders in the OTC BB. That makes absolutely no sense what so ever. They feel a large percentage of trades in the OTC BB market consist of short term or day-trades, MMs merely view the barrage of buy and sell orders as relatively neutral to the market.
How they figure it is when the average dumb money buys shares in a company, the MMs feel or rather know with some certainty it is very likely that dumb money will want to sell back those shares relatively quick on the slightest drop.
Now somewhat comfortable with this logic the MMs merely short sells into the buying and attempts to take the stock down in an effort to "shake out" the weak. Since it is tough to know for sure whether a move is the beginning of a trend, or a routine shake out, this type of deception works quite well for the MMs. What the long-termers do to a stock is
surprise the MMs because instead of falling the shorting has no effect and the price goes up. Now that puts the MM at selling low through shorting and thus having to buy high in order to cover.
Boy, when this happens, the MMs are not very happy ampers. The investors and traders are supposed to be doing that no them. Now it becomes time to pull out every trick and tactic in the book in order to attempt to get a Bear Raid at every dollar mark or percent from where the stock started. Could be a penny in smaller priced securities? What MMs do is give you a chance to make a small amount of money for your momentum and day trading style by shorting it at these levels and trying to get a bear raid each time. Each failure is compounding the MMs short position so they let it go to the next level. Now come more deliberate tactics MMs use to coerce Bear Raid or panic selling.
Once the MM is caught short and the strength of the buy is overpowering the MM will want to cover his short position. So the MMs call up one of his friendly MMs and says some like "the weather is sure rough today." The MM along with the other "friendly MM initiates a down tick about the same time. Now this can also be done with a certain amount of shares such as an infamous 100 shares flag. This down tick gives the illusion of weakness designed to hopefully begin the bear raid of selling.
The fickle, fearful, day trader, momentum and short term begin to sell out allowing the MM to cover his short position at lower prices. They will move it down quickly to get it to a price of least financial damage. Problem they have is long-term investors in the OTC BB. They start
accumulating and buying comes flying in when they take it too far thus the MMs took it to the point of volume again and not only investors the other MMs step in the make money on the spread.
Alas the poor MM does not get to cover. Now comes various tactics like stalling, boxing, or even locking the Bid and Ask for a while. MMs have a vast resource of tactics and it would take probably more than my lifetime to figure them all out.
So how do investors somehow manage to overcome the obvious deception in OTCBB arena? One answer is indirection trading style by going long which the MMs do not expect. In the war between investors and public companies on the OTC BB vs the MMs, if the MMs have all the advantages due to position or other factors, direct confrontation such as momentum or day
trading hitting the stock is a definite death sentence.
However, an indirect approach tends to weaken the path of least resistance before slowly overcoming it. The most effective way is long-term investors slowly accumulating and holding thus drawing the MMs out of its defenses making them as naked as their short position. This is war so this slow accumulation and holding for the long term easily achieves the desired effect to force MMs to cover and knock off the
tactics or bury themselves deeper.
The MMs when caught will especially use every trick and tactic in the book to get a Bear Raid thus playing on the individual fear of most people. The MMs feel they have information and position advantages over the investors as long as the holding of the stock is in weak hands or
short term holders. Since they are OTC BB MMs who believe all OTCBB companies are not worth investing and management is ineffective regardless what is happening within the company. Furthermore, MMs know they are in the position to impose a great deal of influence in OTC BB stocks trading when it suits their needs.
This inherent power of position enables the MMs to move the markets at any time up or down. As a result, the only way to draw them out of their favorable position is going long. Now this does not mean just any company but to effectively nail the MMs, Longs must find the great company on the floor and accumulate long before the MM tactics and games begin.
This requires extensive research to find such a rare stock, but once you have found it, you are one up on the MMs so be prepared for every tactic in the book.

I like your assessment but how do you come to those numbers?
I myself not am not a number cruncher so any clarification would be helpful.

No question that future shareholders will be that of the PDR's that the Foundation controls and not the MM's.
The 64K question is how shares are exchanged ( buy-back ) at what value and for what period of time. Are dividends included, if so at what rate, how many times a year, and if you sell your PDR how is the foundation going to calculate the market value.
For those that do not want a PDR then I assume based upon converation here that the company will pay-out a fair value, again open for company /shareholder conversation.
This direction looks and feels better than all this manipulation we see by MM's.
