I can see why CYRX had so much trouble...THEY COULD NOT AFFORD TO REGISTER THEIR SHARES.

I've already provided the details for filing a form 10 registration statement elsewhere. The company does not need to have file quarterly or annual reports before hand. What they do need to provide is 5 years of audited financial data. The registrant needs to declare the date of its fiscal year end. UMNG, for example, could declare its fiscal year end as being June 30th (pick a date and its yours once you registered). The conditions for listing with the OTCBB are simply filing registration with the SEC and finding a NASD Firm *Cost according to outstanding shares* to file Form 15c2-11.
SEC reviews are completed within 1 business week (online submission gets you an immediate REGDEX response and 7 days later the S- 1 is official). Thereafter and as long as you are SEC registered, the Major exchange uplisting criteria are determined according to Market Cap, number of shareholders, previous ten day trading prices, and Asset Value.
I made myself clear when I stated that I was surprised that UMNG had not registered yet with the SEC (THIS MEANS THAT THEY ARE NOT ON THE OTCBB---). The company has stated that it is its intention to register with the SEC and uplist this month. My position, clear to literates who can think, is that UMNG WILL NOT REMAIN ON THE OTCBB FOR VERY LONG Because it is hard to be a recognized as a legitimate mining concern (to financiers and investors if the value of your leases cannot be reflected in the value of your stock- a need that requires the stability brought by institutional investors (a group who avoids otcbbs and pink sheets)

Both companies require the revenue to meet existing debt obligations. Neither can afford to give up their place in line for Sunray services over a few thousand dollars. Until TXHE conveys title for a 10% stake in Sandy Point, the additionaly lien that the unfulfilled agreement placed on the properties does not exist. I don't believe the board of directors will leave UMNG on the OTCBB for very long. The expectation is that a significant push will be made to move and keep SP above $5.00 (not so hard with U308 spot prices above $85. Bear im mind that cost of mining starts at $11.50 ).
Again, I am very surprised that we have not seen a registration statement. The company is definitely in a much stronger position than URZ and could very well be deemed of equal weight to URRE once the NI43s are released.

UMNG Could declare that their fiscal year end (for SEC registration and consequently all future 10K filings) ended on June 30th 2007. In such a case, the 10ksb would be due until the july reporting period.
last 5 years of financial data are required for filing form 10: registration with the SEC. Pinks can register with the SEC and stay pinks. For uplisting all that is required is SEC registration.
So UMNG(GLXI) can audit data from 2001-2006 for Form 10 (PR). File for Uplisting (PR). File 8ks for Laurentide NIs and Biodiesel deal. File 10K for 2007 on Oct 31.

Isn't it obvious? If the NIs were not up to par, UMNG would not have had real bargaining power for negotiations to develop the green division. I have no doubt that the company was receiving progress reports from INNOV all along. The results of the reports determined the remarkable pace of business moves over the summer and the attractiveness of UMNG for the New Board Members.
I believe that the company received (unofficial)preliminary technical reports for the Laurentide Properties during June *an event according well with PRs*. The results of the reports convinced Kilrich to join the board and that it was he who steered the company towards signing the agreement with the TSX venture company (the miners who are no doubt led by an associate of Kilrich). After filling the board, UMNG began shopping for a favorable position in a Biodiesel plant to make use of its biodiesel waste product ethanol formula. In addition, the Laurentide preliminary *unofficial* technical reports were used to suade financiers to back the acquisition strategies of UMNG. UMNG made no effort to publicly disclose the facts of preliminary reports to Maintain the quiet appeal of huge payoffs for financiers joining their crusades.

Gonzalez and a group of students, for instance, have identified a process in which Escherichia coli, in an oxygen-free environment, will convert glycerol into ethanol. The strain of E. coli currently being used in the experiments isn't genetically modified or enhanced, which could further enhance yields.

Don't dismiss the bio-fuels division. The ethanol plant takeover provides a model for the 5 brazillian permits pumped during late '06. This move is prinicipally about attracting additional capital investors to suade the Brazillian Government. GLXI-UMNG Must be able to say we know what we are doing just look at the success we found in our first of breed U.S. Facilities.
UMNG must appear strong by the time of the TSX Venture Corp (mining camp)Shareholder meeting. More than likely, company officials would like to hype assets and valuations($1.75-3.00 sp for the harsh demands of winter, high enough to sell down if needed and still appear strong) before sending out the prospectus to TSX shareholders during september. The idea being that UMNG has the financial wherewithal to meet the exigent mining cost demands. These venture guys will work hard so long as they have all that they want in their camps.
Lets be clear about the conditions faced by miners. They are rurally isolated, away from family for extended periods, and each one of them is working for a six figure income in frozen blizzard conditions for half the year. These guys want to have their prospecting succeed so that the company pays them, which means that the company has to be able to always provide above the camps needs for work and play.
i know that i've said this before when readking from 8k. Until Texhoma gets act together and files all SEC paperwork relating to deals for BS( binding legal contracts) and all others they have then the Sunray checks for BS operations are on hold....
