Tenac, I just called this Tim guy and went through the same thing you did.We resolved absolutely nothing.I asked him how he was protecting their customers by not allowing this stock to be bought online, asat least 50% of trades today are done on line. I also told him that many people paid double this price last week, and as a resultof this restriction have either already sold at a loss, out of fear, or, won't buy anymore shares unless this restriction is removed. I told him I was in contact with the S.E.C. and wanted them to investigate those brokers who still have this stock on their restricted list. My final comment was, I think you're trying to protect your firm, not your shareholders!!!! Florida
Ken sent this again with the "correct" phone number! Keep calling guys and gForwarded message ----------

402-970-7276 should be the correct number for the head of compliance.
it can't be disconnected.

I think customer complaints is the only way to resolve it. Their main
MM, UBSS is boxing our stock right now and controlling all the deal
flow. James should give the guys no to the investors and they will
post it on the boards and call him like crazy

Ameritrade is not going to remove the restriction. I talked to the
head of compliance. The reason why they did it was they had customer
complaints of customer computers being hacked, and their accounts
being used to transact trades in both IPRE and MUME. The FBI has been
called and the SEC alerted and they will have the restriction on for
the near future. To buy you have to call a broker. To sell, you can
do it online.
I think that if enough Ameritrade customers complain about this, they
will change their mind. His name is Tim Reigert and his direct number
is 402 972 7276. Its out of my hands at this point. If James gives
it to one of the guys on the board I'm sure they will get a lot of
calls.

Art,
This is very important. I can not tell you why, but we need to have
this problem cleared up as best we can for tomorrow. Please inform
all of the shareholders to work double time today on contacting the
brokers who are still not allowing trades. Please, it is very
important for this to be cleared up by tomorrow. I would appreciate
all investors help in these matters. The squeaky wheel gets the
grease. If shareholders are going to take action to try and get this
removed, today is the day to do so. I thank them for all of their
help. Please redouble their efforts for today.
All the best,
James

Tanail, this sounds almost unreal. How can a brokerage firm tell one of its customers, that you are only allowed to sell a stock, but you're prohibited from buying it????? Maybe Ken Eade, being an attorney should investigate this one!!!!! Florida
I called AL Lapins at the S.E.C. and reported the problem I'm having with E-TRADE trying to trade shares online. He wasn't in, but I left a strong message and my return telephone number if he cares to call. I'm not letting E-TRADE off the hook, as I just e-mailed my "12th" complaint since last Thursday. All we can do is keep the pressure on these guys. Florida
Finally a ray of sunshine from E-TRADE. I just received a reply from E-TRADE, in which they said the following. The stop on IPRE will most likely be lifted very soon, but no estimated time for this. Since the announcement that the reverse split will not happen, the restriction will be removed, but at this time it is still in effect. Sincerely, Kevin Queen, Senior Financial Service Rep. Power E-Trade customer service. It looks as if It shouldn't remain restricted too much longer now! Regards, Florida
Florida,
I see your point. The relationship between IPRE and MUME has been
stated several times. Since MUME is a separate entity, with ownership
by IPRE, it has its own news. Also, if you held IPRE long term,
during the dividend, you will be an owner of MUME
as well.
I will forward your email to Ken, who put out this morning's release
for future consideration.
Good to here about the continued campaign by shareholders this
morning. Here is what Ken submitted to the three online brokers that
still do not allow online trading of the stock:
Dear .......
The undersigned represents Imperia Entertainment, Inc. and its
subsidiary, Muller Media, Inc. Last week, your company restricted
online buying and selling of both my client's stocks, based upon a
so-called "fraud alert." This has caused both companies a tremendous
loss in market strength and investor confidence, as most investors
trade online. We have received the excuses of "volatility" and "price
fluctuation" in the market as justification for this move, although
both companies' stocks trade consistently and regularly, compared to
many others, who do not have any restrictions on online trading.
There is no NASD member notice, no DTC notice and no SEC suspension or
notice in effect on either stock, and we believe it simply to be an
ill fated attempt to control and manipulate the market on the part of
your company and other online brokerage firms, who have tremendous
short positions in the stocks.
This situation must be corrected immediately. Our investors have
filed complaints with the SEC and the NASD for suspected market
manipulation on your part and the immediate removal of these
restrictions, I am sure, will satisfy our investors.
Please govern yourselves accordingly.
KENNETH G. EADE
Attorney at Law
What action Imperia has taken to allow these stocks to continue trading online will follow. Florida
It might be too time consuming, or costly, I'm not too sure. The same result would occur, a nice move upward, if the company can get something real positive officially done in the next few days. Florida
Goodfill, how are they protecting their customers, when they waited until this stock traded almost 1 bil. shares a day, "for two straight days" before they halted trading online???? How are they protecting the folks who bought shares at double the current price it's trading at now, by making it more difficult to buy, and as a result causing these people to lose money instead of making money???? Seems like their concern is only for "themselves", not for their shareholders. Florida
With E-Trade if you take the time to call them in, as they request, they charge the same fee as if you bought shares online. Florida
Art, maybe E-TRADE has a buyer for these shares, how else could anyone possibly explain their ban on online trading in this stock, when they've been actively bidding every day????? Florida
Just received an e-mail from E-TRADE. They said the online trading in IPRE could be suspended indefinitely, or, it could be reinstated as early as today. They recommended that I try from time to time on their order page, to check if it's back on. They certainly don't sound very sure of themselves here do they? Florida
Maybe Art, it's because a lot of disgruntled folks like myself, have been barraging them with e-mails asking "why". Since they probably can't answer that question, by blocking people from sending "more" e-mails, they're taking the easy way out. This is complete nonsense, as hundreds of these small stocks, with a whole lot "less" potential than IPRE are allowed to trade online!!!! Florida
Art, do they give you any reason why they haven't removed it from this temporary restriction list as yet? All they would tell me was that they are reviewing it. Florida
Braden after reading "how" the financing for Whiskers was done by Muller Media, a company that's controlled by IPRE, note the end of the release and who's name appears there. None other than the owner of IMPERIA, Ken Eade. It's starting to look like a very strong possibility that IPRE could announce something very similar regarding a couple of their other films. Regards, Florida
faster, don't really know, but would like to try and guess? Could it be possible that IPRE will announce a "similar deal", with one of their own movies that are in the works? And, if they do, just wonder "who" is interested enough to want a stake in these films? Just something that must be considered, since they can't dilute anymore for one full year! Florida
E-TRADE still dragging their tail. As of 9a.m. it's still got IPRE blocked for online trades. Just sent e-mail #9 to them, and am waiting for some answers from them! Regards, Florida
faster, I tried placing an order online for IPRE and it was rejected. Then I called E-TRADE and read my e-mail and the answer their service rep. sent me saying it was now o.k. to trade it, and the broker said she wan't sure if it could be traded online Monday or not! After blowing off a lot of steam, I asked that they contact this service rep. and find out whether she knows for sure that it's been allowed to trade online again, or, if she incorrectly answered, what was a very straight and fairly simple question???? The broker was also puzzled, so right now we're still in limbo. Sorry to get everyones hopes up, but according to this broker it still "might be" available online Monday, but she wasn't sure. Regards, Florida
Hello money. Just thought that you and the rest of the board would like to know, that after sending several e-mails to E-TRADE, I received a very courteous and apologetic response from them this morning. It said, "IPRE is now open for trading again" !!!! According to the lady that responded, it should be available to trade online on Monday morning. Thought this news would be of interest to you guys. Maybe now we can start moving upward again. Regards, Florida
I'm not quite sure what he meant Rhino. It sounds like whoever they've been in talks with, backers, studios, or even actors for some of their new films, are now deciding on whether or not they like what they heard and saw at these meetings. The way James expressed it, it's now in their hands. We now have to wait, hopefully not too long, to see if their meetings were productive. James also commented that he would be very busy for a while, getting these films completed and ready to go. This sounds like a very positive step to me. Florida
Art, on another and much more important topic, I e-mailed E-TRADE again this morning, requesting they follow the lead of a couple of other brokers, and allow online trading in IPRE as soon as possible. Everyone should keep the pressure on their brokerage firms to get this thing opened up again. Regards, Florida
JORO, you've filed your self serving, nonsensical complaint with the s.e.c. You've e-mailed James and really trashed him as a man, and as a C.E.O. of this company, what more do you want? If anyone posts a positive opinion on this board, there you are, bashing away as usual. Why is it, that you only seem to attack James, and not Ken, since he's the owner of this company, and James only works for him? Is it because he's an easier mark, or are you afraid that going after Ken could cause a problem for you? Odd??? I guess it's pretty easy to sit behind a computer and blast away at somebody that can't respond. The "only time" these folks could get "both sides" of this thing, was when Ken requested I post your e-mail to him, and his reply to you. Seems fair enough to me, but you obviously didn't want people to read how you bashed him, and how he answered you, so, you hid by having the whole message deleted. Another thing, you don't speak for me or anyone else on this board when you take it upon yourself to file a bogus complaint! All you accomplished by doing this, and announcing it after the fact, is to cast a dark cloud of suspicion over this company and it's stock. For someone who wants the stock price to go higher, which I "think" you do, you've got an awful lot to learn! Why don't you try to put your personal feelings towards Ken aside for a while. If you really believe this whole thing is just a scam, "sell your shares now"!!! Maybe those of us that still believe, and want to remain in this stock, can take up a collection for you, then maybe you will finally stop your whining!!! Florida
Thank you moneybound, although this could never happen, I appreciate your kind thought. Whenever I send an e-mail to Ken, who I happen to think is a stand up guy, that's doing the best job he can trying to handle the various complaints and questions, that he receives on a daily basis, I sometimes inject my own opinions and thoughts on making Imperia a stronger company. His forte is the movie end of it, but since he's the contact person who has to answer all the diifficult questions that shareholders have regarding this company, he may be forced to take a little time away from the everyday phone calls and e-mails, so that he can concentrate on what he does best, making movies. They have several things that look real positive. The secret now is to market their films as quickly as possible, and getting this company on the road to success. I really wish him and the company well. If they succeed, then we do too. Have a good weekend everybody. Regards, Florida
Florida,
Here is a Q and A for those who ask. It was advised to us that we do
not issue a PR about this situation.
Q: Why did you cancel the RS?
A: We had submitted the paperwork weeks ago to the state of
California. California is much slower than Nevada when it comes to
issuing such changes. They were backed up. After weeks of waiting
they returned the paperwork stating that some small changes needed to
be made and then the documents resubmitted. After weeks of our
shareholders waiting, we decided to put off the RS. There was simply
too much frustration to play the waiting game again.
Q: Do you plan to do the RS in the future?
A: We have put it off but do reserve the right to RS in the future.
We have no plans for the immediate future.
Q: When will the MUME (formerly MLMD) shares appear in my account?
A: As stated in a past PR, a prospectus will be sent to you through
the mail with instructions. This will take several weeks.
Q: Will my MUME shares be restricted?
A: No, they will be free trading.
Q: Why was there so much buying on Monday prior to Tuesday's PR. Is
this insider trading?
A: I hold 1.6 million shares in IPRE stock that I received when I took
on my position with the company. I have never purchased IPRE nor have
I sold my shares. The reason is not that I don't believe in the
company, but because I never want to be accused of insider trading.
My family and to my knowledge, my close friends do not, nor have they
ever owned IPRE. I do this to protect myself. My shares are held in
a safety deposit box for the future. Ken only owns preferred shares,
no common shares.
Since I am president of the company and I want to create fantastic
projects for the future and build my name in the industry, I already
have more than enough reasons to make this company a huge success. I
don't need additional motivations.
If you would like more information on Ken and my positions, we did a
long interview with sub-penny radio that is still available on our
website at the bottom of this page:
http://www.allthatineed.net/impinvestment.html
Q: OK, so if it wasn't insider trading, why do you think there was
huge volume and increase in stock price on Monday?
A: Obviously I don't control the market or nor am I all seeing, but my
guess is that several investors found out about my meeting with the
UFC president on Friday and people were speculating about a deal for
"Never Submit". Market Makers (MM's) were shorting the stock like
crazy, and got caught in a short squeeze. When the news went out on
Tuesday about the RS being put off, this created an even tighter
squeeze for them. Then they had to start covering their position.
This increases both the volume and price.
Q: OK, so you met with the UFC president on Friday, is there a deal
with the UFC for "Never Submit"?
A: As stated in the past, we will only put out PR of a deal with a
company if and when the terms of an agreement are worked out and a
deal is agreed upon. Also, both parties would have to agree to the
wording of a PR. I should mention that sometimes this process takes
time, so anytime IPRE comes to an agreement, sometimes it takes some
time before the investors are able to hear about it. Just because I
meet with someone does not mean there is a deal.
Q: What is the UFC?
A: Ultimate Fighting Championship (ufc.com).
Q: Why have there been no updates for casting for filming for "Never
Submit" recently?
A: Sometimes there are reasons beyond the company that impact the
timelines for us to release information.
Q: "Is Say It In Russian" (SIIR) almost done editing?
A: Yes, editing should be completed in under a month's time. We will
put out a PR about this in the future when it's appropriate.
Q: What is the first film festival that you will aim to hit for SIIR?
A: Deauville Festival of American Cinema, September1st-September10th.
Q: When will you announce casting for Never Submit? Will they be
filming at live MMA events for the movie?
A: This will be answered in a future PR. Again, this is dependant on
external forces beyond our sole control.
Q: Are you confident about the future of this company?
A: Yes, more so than ever.
Q: Why did the stock shoot up on Tuesday?
A: The stock went up when we announced that we were putting off of the
RS. This was on top of the buying pressure causing shorters to cover
their position. This increase continued till Wednesday afternoon.
Q: What caused the sudden drop in stock price Wednesday afternoon?
A: The Market Makers (MM's) issued an order to several online
brokerages with the following statement: "Effective immediately, stop
all online trading for IPRE." This stopped several people from being
able to buy the stock, and the market crashed.
Q: Why cant investors place online orders through several brokers?
Did IPRE do something to halt sales from the brokers end? Was there
MM manipulation involved?
A: The Company had NOTHING to do with this. It was a request from an
MM. We suspect UBSS who is short heavily on the stock. Unfortunately
it is perfectly legal for MM's to manipulate the stock. They can get
away with a lot of things that regular investors can't do in order to
make the market. It is my speculations that the MM's were down a lot
of money; possibly millions from shorting the stock and us putting off
the RS caught them off guard. They were unable to cover their
position and thus put in the request to halt online buys. This had a
chilling effect on the stock with both volume and price.
Q: This is not right, I want to buy stock, what do I do?
A: I suggest that you call your online broker. It seems that brokers
will accept buy orders by phone and in most cases wave additional
fees.
Q: What can I do to help the stock in this situation?
A: If you are mad at this act of manipulation, and want to buy the
stock, I urge you to call your online broker and buy the stock. If
enough people buy more shares, the MM's will even be more short. If
that is the case it is possible that this could create an intense
short squeeze.
Q: Is there anything IPRE is doing to help us with this?
A: I have personally submitted a complaint about this manipulation.
Beyond that, there is not much the company can do. I am moving
forward with this company regardless.
Q: Any closing thoughts?
A: Thank you to all of our shareholders for standing by us. I feel
bad that the stock was just taking off and the price and volume were
hurt by this maneuver, but I remain unwavering in my determination for
this company. This ban cannot remain forever.
Also, I will be getting increasingly busy with pre production for
"Never Submit". I ask shareholders to respect my time at this time.
It will become more difficult for me to reply individually to all
investors. Thank you for your patience.
All the best,
James Hergott
President of IPRE
"THERE'S LOTS OF BIDDERS"!!!! For a stock that's been so quiet today, the lineup on the bid side has really grown larger. There are now "10" bidders, and only 3 sellers at the ask of 0.0012 After that it's pretty thin. Florida
Rhino, in my opinion pretty soon, anytime from today on. I've asked James to talk to Ken regarding a shareholders update on IPRE, as soon as possible. I also told him that all investors are interested in knowing the results of last weeks meeting regarding "Never Submit". I'm sure they will say something soon to clear the air for their shareholders. At least that's what I'm hoping. Regards, Florida
joro, you've done nothing but complain almost every single day. Your personal dislike for James, has now carried over into complaining as usual, this time to the S.E.C. Unless this company has done someting legally wrong, which I very much doubt, all your latest complaint can do, is make some people who don't know you, and how you do nothing but complain, worry about their holdings in this stock. You've not helped anyone who owns shares in IPRE, by casting doubts on this company and its C.E.O. Constantly bashing and disrespecting someone when they can't answer back, "see yesterdays deletions",is pretty lame. If anything, every time you posted a message disrespecting and verbally abusing James, "they too should have been deleted". Even with your filing this complaint, "this stock will go higher". This company may not be doing things as quickly as you would like, but they run their business, not you. "EVERYONE" should of had a chance to read both sides of this story, your nasty e-mails to James, and his replies. Your filing a complaint will not only take months to be finished, but will get you nowhere. If you really get satisfaction out of disrespecting people that can't answer back, then you're really are a very sad person. Florida
faster, only one, e-trade is selling at 0.0011, and he probably will be bought out very quickly, as there are now "8" market makers at the bid!!! Florida
Thanks for the update. James reply in my opinion, is an honest one. As for my brokerage E-TRADE, who won't allow on line trading in IPRE "yet", they just joined the bidders at 0.0010 I guess they can't be too worried about this company if they are among the"highest" bidders. There are 6 market makers at 0.0010, and 1 at 0.0011 You guessed it, the lone seller is, "E-TRADE"!!!!!!
joro, what's the worst could happen. This company goes bankrupt, we all lose our investment money, the whole world is either angry at James and Ken, or, mad at themselves for owning this stock in the first place. So then we'd have a whole lot of people who lost their whole investment, and you know what, "somehow the World, Wall Street,The Pink Sheets, The Market Makers, and even we, the ones who got hurt the most, still manage to move on. That of course is the worst possible scenario. Now take a deep breath, and try to picture the best ending possible. This company succeeds in almost all of its endeavors, the stock goes to $1 or more, everyone posts messages praising James and Ken as being born geniuses, and we all go away happy! Kind of reminds me of the real holywood. Some movies have a sad ending, but some others have a very happy one. Unless anyone here can look into the future, I guess we'll just have to wait and see, how this one ends. Regards, Florida
Brandon, I e-mailed James about 2 hours ago, and explained exactly what's been going on. I also asked him to talk to Ken, and consider giving us a shareholders update as soon as possible. Still waiting to hear his reply. Florida
The numbers just don't add up. If a group bought in, there were almost 2 "billion" shares traded in 2 days, and todays volume is only 82 mil. with some of those being buys, how many shares did this group get out of? If you're correct, then these guys who bought the other day, still own almost "all" their shares. Florida
One more thing. Since you have over 170 "buddies" on this board, would you have them check in so we can verify that statement? If you really don't have all these followers as you claim, does that then mean you could be not telling us the truth????? Gets a little tricky doesn't it ?????? Florida
For such an intelligent guy, with a boatload of followers, you must brush up on your spelling a little bit. If you file your lawsuit spelling the way you do, it will take you even longer than it took IPRE to get their revese split done!!!!! Then you too might be threatened with a lawsuit. Florida
