9. ROYALTY PAYABLE
The Company has various royalty arrangements with non-working interest owners. As of March 31, 2005 the Company owed royalties of $829,956 to non-working interest owners and regulatory agencies.
11. RELATED PARTY TRANSACTIONS
The Company entered into a management services agreement with DGMAC, LLC effective March 15, 2005. Under the terms of this agreement the Company is charged $40,000 monthly for services provided by Dennis McLaughlin its Chief Executive Officer and Chairman of the Board. The Company and Mr. McLaughlin have agreed to forgo accrual of these amounts until such time as the Company secures the financing necessary to execute its business plan.
The Company entered into a management services agreement with Johnny Flame Consulting, LLC effective March 15, 2005. Under the terms of the agreement the Company is charged $15,000 monthly for services provided by Christopher Chambers its Corporate Secretary. The Company and Mr. Chambers have agreed to forgo accrual of these amounts until such time as the Company secures the financing necessary to execute its business plan.
The Company entered into a management services agreement with MAC Partners, LP (“MAC”) effective November 12, 2004. Under the terms of this agreement the Company is charged $45,000 monthly for general administration, human resources, turnkey office and legal services. In addition, MAC provides the services of Mr. J. Mark Ariail and Mr. Wayne McPherson the Company’s Chief Financial Officer and Chief Operating Officer. Effective March 15, 2005, Mr. Ariail and Mr. McPherson’s services were no longer provided by MAC and they became employees of the Company. The Company and MAC are currently under negotiations to restructure the management services agreement as provided under the terms of the agreement. On February 15, 2005, MAC loaned the Company $112,015 through a promissory note bearing interest at 7% per annum. This promissory note matures on February 15, 2007 and contains a default interest provision of 18% per annum. At March 31, 2005 approximately $57,000 was outstanding on this promissory note. This note was paid in full during second quarter of 2005.
On January 17, 2005 the Company entered into a Bill of Sale and Assignment Agreement whereby it assigned two generators and a gas plant, valued at approximately $500,000 to Sovereign Strategic Partners, Ltd. (“Sovereign”) in exchange for a note receivable payable to Sovereign in the amount of $495,000. This note receivable was secured by an Agreement of Pledge whereby 20,000,000 shares of Blue Wireless and Data, Inc. (“Blue”) were contributed as collateral. Subsequently, the Company entered into a Capital Lease Agreement with Sovereign whereby Sovereign leased the generators and gas Plant to the Company. The Company subsequently assigned the note receivable to MAC in exchange for 495,000 shares of convertible preferred stock of Blue, which was owned by MAC. Mr. McLaughlin currently serves as the Chairman of the Board of Blue and Mr. Chambers serves as Blue’s Chief Executive Officer.
During the quarter ended March 31, 2005, the Company issued 150,000 shares of its common stock valued at $222,000 to Blue to be pledged as collateral for an equipment loan for Blue. Mr. McLaughlin currently serves as the Chairman of the Board of Blue and Mr. Chambers serves as Blue’s Chief Executive Officer.

Sales for oil and natural gas production were $141,937 for the quarter ended March 31, 2005. The company also realized revenue of $5,888 on contracts related to its pipeline assets.
Cost of Sales
Cost of sales relate to oil and gas production were $158,206 consisting of employee benefit cost, regulatory taxes on the oil and natural gas production, purchases of supplies and equipment and electric utility cost for the oil and natural gas field operations.

The Company’s Liquidity Plan
Recent operating results give rise to concerns about the Company’s ability to generate cash flow from operations sufficient to make scheduled debt payments as they become due. During the first quarter ended March 31, 2005, the Company continued to seek financing from private placements and seek acquisitions to expand its opportunities in the areas of oil and gas production, oil and gas transmission and alternative fuels businesses. The Company has implemented cost saving measures including staff reductions. The Company will take additional cost savings measures, if necessary, to enhance its liquidity position.
The Company’s need to raise additional equity or debt financing and the Company’s ability to generate cash flow from operations sufficient to make scheduled payments on its debts as they become due will depend on its future performance and the Company’s ability to successfully raise capital and implement business and growth strategies. The Company’s performance will also be affected by prevailing economic conditions. Many of these factors are beyond the Company’s control. If future cash flows and capital resources are insufficient to meet the Company’s debt obligations and commitments, the Company may be forced to reduce or delay activities and capital expenditures, obtain additional equity capital or restructure or refinance its debt. In the event that the Company is unable to do so, the Company may be left without sufficient liquidity and it may not be able to meet its debt service requirements. In such a case, this could result in a substantial portion of the Company’s indebtedness becoming immediately due and payable. As a result, the Company’s may not be able to continue operations due to liens or other secured positions placed on the Company’s assets.

On March 7, 2005, the Company received notice that it has been named as a defendant, among others, by plaintiffs Donnie Hill, a former employee of the Company, and BC&D Operating Co., Inc. Case No. CV-2005-128 in the Fifth Judicial District Court, State of New Mexico, for the County of Lea. The plaintiffs allege breach of contract related to certain stock purchase agreements with the preceding owner of BC&D, breach of contract related to Mr. Hill’s employment agreement with the preceding owner of BC&D, breach of covenant of good faith and fair dealing, negligent misrepresentation, fraudulent misrepresentation, violation of the New Mexico Securities Act by the preceding owner of BC&D, civil conspiracy, calling for the appointment of a receiver for the assets and business affairs of BC&D, constructive trust, declaratory judgment related to the Company election as successor operators and lastly punitive damages related to the above allegations. These allegations stem from the Company’s execution of a share exchange agreement with TKM, whereby the Company gained control of 100% of the assets of BC&D. The defendants seek unspecified damages regarding the above claims.

RCO still halted. I'm afraid that all of the pp's & PIPES, rejiggered warrant exercise strikes, and withdrawn S-3 have caught up with them. Hope for the best but fearing for longs...IR person told me that the S-3 had too many pieces and would be redone. I don't think the 8-K this month took care of it all.
After scanning the filings.... I suspect that institutional investors have refused further release of funds from earlier convert. debentures, and this has created a liquidity crisis which could force a fire sale or reorg.
The sad thing is that RCO has a great platform to help the LTC and prescribing niches in the medical world in preventing prescription errors and maximizing services to patients. If they run out of gas before crossing the line who knows what'll happen.

VEXP probably the most scalpable of all the R/S plays..went 1:50 in February. I believe there are invisible shorts who sold after the R/S, becuause the action on 4/5 is otherwise almost inexplicable.

have tried to play this a couple of times in last month because chart has shaped up, but there is a seller represented by the market maker CRTC that has been capping any rallies.
If CRTC is on the inside ask, often showing only 100 shares to sell, you are swimming against the tide imo. don't know if this is employee options via S-8 or a pp or PIPE holder previously registered....

have not read 10Q, short interest for May is out and has increased. Number of shares short on GB is 5x the number of shares in the free float (assuming that the institutional holdings are firmly long (not possible, of course)

was researching an income stream for my aunt recently. Please be aware that these top performers got a good goose from the appreciation of the Aussie dollar vs. the U.S. I happen to think that the growth prospects for the Pacific Rim continue to make these funds attractive, but when currency fluctuations are not taken into acccount you can get results that will most likely be unsustainable.

SVVS entered...then left before pullback...there is a market maker that sits inside the ask with so many shares that buyers/traders give up. i may try again tomorrow if (that market maker is either on the bid or not inside the ask)...volume will help. He always shows only 100 shares to sell, but I saw a set of 100 share autobuys at .55 this afternoon and they didn't exhaust the mkt maker. so i got out at 54 only to see it drop to 50-51...i was burned last time this one ran, so escaped unscathed today.
SYMC in since Friday, but i think it needs a rest and sold near the close today, probably too early, when the intraday trendline broke. am ready to reenter if conditions warrant, but would rather miss a little on the upside than get downdrafted by shorts trying to reassert control. btw SYMC was a 3 White Soldier tonite :)

i've done a lot of DD on LLLI today. Seems like a well orchestrated promo. Higgs Investment Group, gave the company a bridge loan of 250K which was later subsumed by a PP under Reg S for 1.5 million. They received 1.5 million shares ($1.00/share) and warrants to buy an additional 3 million shares for 1.25 (or 1.40 after a year).
As you may be aware...Reg S shares are restricted until registered. Anyway, Higgs paid Geoffrey Eiten and OTC Special Situations Report 1.3 million to produce a nice glossy promo. The disclaimer states that Higgs has 500K freely tradeable shares. Maybe a registration statement is imminent. I assume that Higgs doubled down on their investment to produce the promo. They'll certainly want to be able to take their profits.
LLLI's 8-K on 3/31/05 & other documents describe the complex reverse merger whereby the former Pinetree Law Enforcement Products Co. owned by Mr. Lamperd was acquired by 1476246 Ontario Ltd dba Lamperd Less Lethal and then by "Priveco" and then merged into a shell formerly known as Sinewire...whew!
There are supposed to be just over 50 million shares O/S in the newly organized business. Higgs can become just under a 10% owner by exercizing their warrants. The Lamperd principals control just over 50% of the shares, and I haven't been able to figure out who has the balance (though I suspect it is the 2 principals, Patrick Ward & Hani Zabaneh (who was the CEO of the Canadian Stock House Media firm) of the original shell.
I've never made any money on a Vancouver, B.C.-based outfit.
Much as I dislike Taser, I don't see LLLI as having any discernable assets to do their business plan without a big debt or equity raise, I don't like companies that can't file a Q on time, etc.

PAY is still in the post-IPO quiet period and I think I am going to take a starter in it in a longterm account.
I attended a big biometric conference in Orlando years ago. was waaaayy ahead of my time thinking that there were $ to be made in the sector easily.
The only investment in the sector i have at the moment is BKYI in a longterm account.
Pay By Touch seems to have it together, though there seems to be a lot of patent litigation in the filings I've begun to scan.

looking at ISON & IPIX which both hit the oversold scan makes me think that homeland security sector might be good area to mine for other potential gainers. ARTX is sure scraping the bottom...They registered a PIPE today at $1.00...sure enough the price is heading straight toward there.
Speaking of security stocks there has been a lot of chatter about LLLI a relatively new ticker. TASR is controversial, UGHO is in the sector and now comes LLLI. Am not in, but some of the bigger "guns" see this as a longterm promo. I don't understand the bb game, so will watch. I know there were an awful lot of shares unloaded to new buyers today... for me...scary. One man's distribution is another's accumulation.
Cornell Capital provides funding for a lot of microcaps using a novel SEDA (Standby Equity Distribution Agreement). They need share prices to hit targets so it tends to not be just PIPE dilutions anymore...worth checking out if you play this sector.
WLSF had some negative blowback from 2 recent PRs, but appears to have bottomed yesterday and was fiery today. Check out a 1'.
Were the market makers lining up shares to fill a block order mid-afternoon? It seems like there was a hibernation for an hour while they found 200,000 shares.... I have no clue how mkt makers work.

SUP, another squeezee closed at the hod. GB is on an island. The broader market may play a part in whether the gap is filled or the squeeze continues.
R/S plays of note:
PROX almost 6x avg volume and i'm showing a 95K trade an hour after the close at the hod?
GLGS had a couple of big trades above the market just before the open...no clue
GOAM was a nice late performer an hour before the close and then just before the close bumping right up against the 200daySMA and bears watching for volume followthrough.
RCO: spoke this week with the IR rep. Qtrly #s will not be impressive, but ducks ARE being lined up. He explained why the company withdrew their recent registration. Look for a new one soon..
Their notification of a late filing of their quarterly will probably not help the share price

EGHT popped onto my intraday "LowFloatFlyer" list and an initial scan made me think that it could hit the "oversold" list. It actually didn't because the stochastics never quite got into oversold territory.
the morning action struck a harmonic chord for me and i was on alert for a hod break, then the 5' videophone PR with Jim Kelly hit....
could be a multiday play as the indicators are still shaping up
i held all overnight. if today's release finds it's way into any of the mainstream media there could be some mania...5 months ago the stock was at 4.50
it was mentioned in live chat that over 10% of the float is short. i don't know how "seamless" the streaming video was, but a VVOIP(voice&video over internet), if high quality would really be something.... a real functioning Dick Tracy wristWATCH! hee hee
