Blackout Media Corp. Declares Dividend
Blackout Media Corp. (PINKSHEETS: BKMP) is pleased to announce that the Board of Directors has declared a preferred stock dividend, payable to shareholders of record of September 15th, 2006. The preferred stock dividend will consist of ten thousand (10,000) preferred shares of Blackout Media Corp. for every one (1) share of Blackout Media Corp. common shares held on September 15th, 2006. The ex-dividend date will be set by the NASDAQ.
The preferred shares when issued will be freely tradable and non-restricted.
Note* (1). No where does it state a different stock name or entity of the preferred...
(2.) No where is the "pay" date stated. Pay date can be next year...
(3.) Depending on the directors decision, preferred shares may have no voting rights same as decided common shares. You still may have no say in the company doings.
(4.) People really should stop speculating and guessing about conversions until an issued statement by the company comes out. This can be seen as pumping and bashing propaganda...
This truly outlandish declaration of trillions of preferred will most likely be reversed in some manner, but only at the companies and officers benefit. If your penny stock directors decide that common shares have no vote... you are only cattle to the company. Make no mistake about that.

As far as the CC weekend circ's are concerned (to reply to another post), it's a normal retail rotation and I believe Gnf has no control of CC ad media.

GUESS WHAT... pull up the PR about the div's and read ALL the SAFE HARBOR .... bkmp doesn't even have to do the div's... no pennie corp has to abide by their PR written by them ... so, it may not even happen at all... maybe bkmp say's "oops, we have to get more broker data before giving a div... sorry suck..er shareholders......."

My Scottrade said the holiday has caused some delays in trading stocks, my orders placed on the 30th, won't happen til the 5th or 6th... I wonder if that's part of the gzfx thing.
Also, Gzfx shareholders seem to have 'vented' rights.......

The preferred is a setup for a R/S, maybe even a tuesday announcement, or not... sub-pennies aren't required to announce many maneuvers. If you have 100 million shares, you've invested $10,000 @ .0001 pps. Now you will have 100 trillion shares? Get frikken' real. .. mark my words, there will be a correction of some type come tuesday, these numbers are just plain laughable and I think a complete advertising gimmick by Bkmp... ME bring this down...??? Bkmp is doing this on their own, they need no help from a simple forum board....... sheesh...

Thanks Amb, I understand most forum logic. But shouldn't people look at the data first before tainting it as positive or negative. I look at sub-pennies as a realist... ex: past history of corp, past history of officers and what they did to get to the present situation. Are the officers repeating history? Is there anything new to the table. Is there really a tangible product. Part of a forums catch 22 is that most everything we common shareholders discuss is pure speculation... as far as I know, bkmp has produced no annual report, given voting rights to common shareholders (btw, most preferred stock usually doesn't give voting rights either) so people gain info from company PR's, which are written by or for the company ... so how dependable are pr's from penny stock??? Most of Janice, Jim's and others "negative" data isn't aimed at bkmp, but are general examples of questionable practice's. Why is it so hard to look at the 'other' side of the coin...
I fear that a goodly number of bkmp folks are now drinking the leftover koolaid from the cmkx camp.
They only had 700 or 800 billion shares out there... bkmp is creating what..?? 100 trillion+... why does this not bother anyone?

My final note on preferred stock in connection to a penny stock is what appears to me as yet another weave and dodge technique of stock manipulation within the penny and sub penny corporate arena... Combine a preferred div of a matching amount of a recent split and it's becomes quite a murky financial event. At least to my eyeballs..

I think this div will be followed by a 10000 to 1 split just like bkmp did jan 06. Plus, no one knows for sure if the pfd shares must be convertable, this may not be good as it could cost cash at the brokerages to convert.

Capital stock which provides a specific dividend that is paid before any dividends are paid to common stock holders, and which takes precedence over common stock in the event of a liquidation. Like common stock, preferred stocks represent partial ownership in a company, although preferred stock shareholders do not enjoy any of the voting rights of common stockholders. MM, that's just what I've been asking... you do have to convert them, right? and then it's back to the same hold you had!?
With a preferred div, don't you have to convert them back to a common share to sell... if that's true, the conversion would be exact reverse, so you end back where you started..?? What's in it for the shareholder then...??

What It Is:
Dilution is a reduction in shareholder value and proportional ownership caused by the issuance of additional shares.
How It Works/Example:
Let’s assume you own 100,000 shares of XYZ Company. The company has 1,000,000 shares outstanding, meaning that you own 10% of the company. Shares of XYZ Company are trading at $5, so the company’s current market value is $5,000,000 and your investment is worth $500,000.
XYZ Company wants to build a new plant, so it issues 500,000 shares. Simply issuing shares does not make the company fundamentally more valuable, and its current market value of $5,000,000 is now spread over 1,500,000 shares. This brings the stock price down to $3.33 per share. Your 100,000 shares are now only 6.67% of the company. The dilution also means that your shares are now worth only $333,333 instead of $500,000.
In the end, the dilution may be worth it if the plant makes XYZ Company more profitable. If however, the company issued those shares as part of an overly generous stock option program or to raise funds for projects that fail to contribute profit, the dilution may cause permanent damage.
Why It Matters:
Dilution is the act of dividing the proverbial pie into ever smaller pieces, and it is usually not well received by investors. Several events can cause dilution, particularly secondary offerings, the conversion of convertible securities, option exercises, and warrant exercises. On occasion, companies purchase their own shares on the open market to combat dilution. It is important to note stock splits do not usually create dilution, because in a stock split the investor receives additional shares to preserve his or her percentage ownership and investment value.
Although dilution most noticeably affects ownership percentages and investment values, earnings per share calculations also consider the effects of dilution. This is why most public companies report both basic and diluted earnings, whereby potentially dilutive securities are treated as if they were already converted to outstanding shares. This effectively increases the number of shares over which the company’s earnings would be spread if all potentially dilutive securities were exercised.
In some companies, shareholders can protect themselves from dilution if they have the right to purchase shares in any of the company’s future stock issuances. These anti-dilution provisions, also called subscription rights or preemptive rights, usually appear in a corporation’s charter.

Wowie...... just caught up reading 1500 gzfx posts since I posted last. Sure was funny seeing pumpers Markay, tsbgrad calling bashers itrade and others bashers... you guys need to read your own posts.. great.
Then everybody wets themselves because the pps moved a gillionth of a percentage......lol. You all got your sphincters so tight over microscoping <-(new word) daily pps I'm really worried people here are becoming the cmkx koolaid drinkers......and that would be a sad thing. Gnf is a sub penny stock company that if it didn't have a product (and I actually held one...) it would be the SHELL poster boy of the sub-pennies. I can only HOPE that Gnf survives in some semblance of a real company because I want some money back..but so far JF and company have thrown up facades at every corner.
The CC deal is still a vendor (product on the counter top at the gas station) thing to me, and I don't believe can be self supported without Gnf re-entering CC stores with more input. How about minimum wage Gnf personal at a little kiosk, or at the CC door handing out fliers? I used to do that as a PCA family photog shooting at Kmarts.
Sorry, but the bus, Gnf tv... all seem too flimsy and half-assed to be real attempts at national marketing... and OH PLEASE don't come back with that stupid shit that too much advertising can hurt the infrastructure.... you need the subs to BUILD the company...

unfortunately Adot's a crapshoot. It's been bouncing to .0004 as well, if you bought low, it's up to you if you want to set a limit order at .0004 and takes a little cash. I haven't seen it go to .0005 in years.,..

Interestingly enough, Gnf stated in a recent (month ago or so) filing that sub results from CC were not as hoped... this was before they appeared across the country. I don't know why this came out then... seems kind of premature to me. But my near CC store has been disappointing too. Also the weekend circulars had gone 3 weeks until Gnf was back this sunday.

They aren't actually paying another isp.. They are isp's. These servers are online 24/7, and have a boatload of port designations for themselves......

Ah, Rayank, much sense made there... also, product DOES exist and that right now is the core biz. Another good point taken.. 'will not rival netflix'... Gnf cannot compete against netflix in any way until "real" professional advertising has commenced. CC walkin's and a circus bus aimed at a narrow market won't grow the company. National air time exposure would go a long way to help. VOD is not in the immediate future for even the biggest mega company... not even Microshit.... so how can gnf do it?
PPS doesn't grow the company directly either, basically we shareholders give each other old money (existing shares).

*Opening new DC as we speak ...(true, but would like to see one of these new DC's)
*Major retailer with our products in their locations (true, but just one. I actually figernailed marked the 6 boxes I found buried at my Troy, Michigan CC location 2 weeks ago.. Today, the same boxes are still there but moved to a bottom peg, with 4 boxes thrown on lower shelf by disc cleaner. Extreme sales training there.)
*TV exposure (not on my TV.. I don't think Gnf TV on Gnf website counts...)
*One of if not hte only deal with GAMES and MOVIES (too many to list who do the same stuff, and I am going out garage sailing and don't have time to look for you, Pcgamer comes to mind, Sony... Disney... etc..)
*NETFLIX has done very well for themselves with teh same issues as far as how the service works (True, but netflix wasn't playing catchup, didn't they ipo, and were the earliest to go full blown internet fulfillment AND national tv advertising... well before Gzfx.)
Your investment is YOUR business decision, choose wisely and evaluate both sides of the coin....

For all those people hoping to get rich quick in sub-penny stocks... here's some observations
about gzfx...... these could fit any start up company as well... but this IS a gzfx forum.
1. Operates as a mail order business (snail mail), using internet ordering. You can still order by phone or mail address. Having a website and advertising on the internet
does not magically make GZFX an internet only business...
2. Gzfx brings nothing new to the table. Still mail order.
3. VoIP has been around for years.
3. VOD has been around for years (cable, pay, DSL).
4. Gzfx has and is funded by shareholders. Nothing new there.
5. Revenue is totally eaten up by costs, burn rates... CEO salaries ... has never had positive NET income as GZFX 2+ years... nothing new there as well.
6. Unfortunately, everything Gzfx has been doing has been done before, and they can only play catch up.
7. Due to funding techniques, but with a viable core business, Gzfx may be a looong wait for profitability.
8. Other sub-penny histories with the above profile point to a uncomfortable association with assorted R/S and other dubious schemes of share reduction, usually at the extreme cost of the small common shareholders .. (1 million or below) ..
9. It is documented in Gzfx filings that COMMON shareholders have no voting rights with Gzfx. No voting rights mean NO representation in the company.
Most sub-penny stock companies who emasculate the common shareholder usually show no regard for common
shareholders other than income stream.
This is all personal observation for thought.
