The good news, is they actually did what they said they were going to do. Sure they first announced the filing on February 10th and it took them until May 15th, but they followed through on it!
Reg. A filed, but.... Pretty slick, they filed it via paper instead of electronically, so I am unable to read it!
I have sent the Company several e-mails and have received replies to each. In my e-mails, I have mostly criticized them about the exceesive PR's with no action and most recently the tweets on twitter. If they weren't doing the tweets, I would have expected "what tweets, what twitter", right?
Volume amemic! How many twitter followers do they have? Word not getting to many so far. Of course until the paper is signed it's not a deal, right? Their nose is on the finish line a their first deal can they cross the finish line?
I guess one mans garbage is another mans treasure. Sine January 1st 2014 the company has put out 21 PR's. That's on average a PR every 6 days this year. Since Feb 10th there has been 3 PR's alone stating that the company is filing a Reg A with the SEC, and yet they have not. Let's forget about the tweets that started 2-3 weeks ago. I don't see caution, I starting to think I see a blatant effort to try and create excitement and PPS increase. I'm getting close to the last straw, Monday AM's tweet said they would have an announcement Monday afternoon or Tuesday morning and then thru in "if approved", kinda like the IHUB "JMO" disclaimer. If it's not me someone is going to blow the whistle on these guys. So far deception and mis-information is their game, if they don't make good, they should be made to face the music.

Why next week? It's Wednesday get his a$$ on a plane today! It's always just around the corner with these guys. It's been just around the corner for 11 months now, since they first announced they were going to enter the MM business. They might need a lesson from Trump on how to negotiate and get a deal done.
Sorry the last one was on the 23rd. 11 weeks, since they first announced this filing. This filing will provide a lot of info about the company, like A/S and O/S shares and the increase in A/S to increase the financing and I believe they hoped to seal a deal before releasing this information. The actual filing could be have a negative impact on PPS?

February 10, 2014 - Company issues a PR announcing they are filing a Reg A filing to increase financing.
March 11, 2014 - Really, we're filing a Reg A with the SEC.
April 13, 2014 - No really, we're filing a Reg A with SEC and it should happen in the next two days.
It's getting very difficult to believe the words I read.

This is the 3rd PR since February 10th 2014 stating that the company is filing a Reg A with the SEC. No really, we are filing a Reg A, it could happen in the next couple days. The leadership just doesn't get it. Why not wait 2 days and issue a PR thats says WE HAVE FILED THE REG A WITH SEC? It would have been the 1st PR from the company that actually said we did something as opposed to we are going to do something.
At this point I'm thinking that if by some miracle the management team of the company pulls off a MM deal, I will selll on the pop and run....

In a sector where deals are announced daily, some (and me) are wondering why can't these guys get a deal done? Too many answers to that question and all speculation, so I won't even try to answer it.

The principals at EAPH sitting around a folding table and Carla says "isn't this exciting, we're getting into the MMJ business", a chorus of "yeses" from the other 4 people at the table and some "oh yeah's", a pause.... Carla says "ok how do we do that?", long pause..... followed by some "hmmm I don't know". Neil says, "let's put out another PR in the meantime", Carla says, "yes definitley".
I could go on but I think I might be the only one laughing.
BTW I am long EAPH and clearly want them to succeed, but as with others I am losing faith.

There is no MM's shaking any trees here, there's just investors selling there shares as it seems EAPH is in the business of putting out PR's about their hopes and dreams and are not capable of achieving their hopes and dreams, but hey they put a lot of money in their hands from investors.

I am a reltively small investor in your company with approximetely 800,000 shares. I would like to ask that the company please stop putting out press releases about possible acquisitions/mergers with other companies in the medical marijuana business. Please delay releasing any more information until you have details of an actual deal. On February 10th 2014 in a press release the company stated they will be filing a schedule A with the SEC to increase financing. It is now March 19th and I have not found this filing? In fact the company put out another press release that they would be filing a schedule A with the SEC. You see my point, right? Stop saying you are going to do something and actually do something.
By the way, I sent an e-mail to the company three weeks ago asking about the schedule A filing and never received a response.

We all, or probably most, understand how this works in penny land. The company raises cash and gives away shares to do so. The issue here is we cannot assume how many shares at this time nor can we assume those shares will began flooding the market tomorrow or the next day, or the next day and so on. Until the deal to raise the cash is inked and made public we simply do not know and to state numbers as fact is just not in anyones best interest.

Read the Title of the PR. It says UP TO $5MIL. I simply cannot assume they will be raising the whole $5mil out of the block. I will have to wait and see how much money they raise and how many shares it costs.

Some food for thought.
Reg A is required by the SEC in order to raise more than $1mil but less than $5mil from accredited investors. In the PR the company stated that they would have the ability to raise and here are the key words UP TO $5MIL.
So it could be that shares increase to 600 mil or 700 mil (A/S shares btw not O/S) they raise some cash, let's say $1mil maybe $2mil, close the deals and share price miraculously rises to .50cents maybe a dollar. Now if they need to go the well again for money say another $1mil or $2mil, they will need significantly less shares to do so.
To ASSume that automatically shares are going from 500mil A/S to 1bil A/S is a fallacy and by definition is an argument with no logic. Maybe shares A/S do increase by 500mil A/S, again A/S does not equal O/S in all cases.

The company simply provided an update to investors on their ongoing negations with the company in BC. They also let us now the additonal efforts they are taking in case the deal in BC does not come to fruition. I for one welcome the continued release of information regarding the companies efforts to get a foothold in the Canabis Industry. No fluff, just the facts.

Yep! Just waiting for the Schedule A to pop up on that list, which will allow for the $5m investment, which in turn will allow for the partnership/investment in the BC company.

You know? The company said on the 10th they needed to file a schedule A with the SEC in order to facilitate the increase in financing from $1m to $5m. They also said the increse in financing was going to allow them to close on a deal with this BC company with a license already. So it would seem the schedule A is step 1? I keep watching for the filing on the OTCBB.com website. I think when I see that filing, I will see news of the deal being closed. What do you think?

Relatively Speaking, Low. 250m A/S, 224m O/S, 198m Float. When compared to an FIT* for example with its' 3.4billion shares O/S, EAPH looks quite low.

Be prepared for an SA Article 1st thing tomorrow morning. When this gets moving upward the articles seem to flow from SA. Probably re-hash of all the things we already know about MJNA, like the rat hole DET is trying to take the conversation this afternoon and this evening about OS.
It would be best to just ignore and not continue to respond and clog the board with silly stuff, that's exactly what he/she wants.
I for one will not be surprised if an article drops well before 9 am eastern standard time. That's been the MO in the past, we'll see.

Why is MJNA not skyrocketing like others in the industry this week?
More has been written about MJNA then all other companies in the industry combined, by a long shot. The majority of what has been written has been negative in nature, and written by just a handful of people, and written over and over again. On January 2nd one such negative article was fired off by SA just as the stocks in the industry started to take off, a preemptive strike sort of speak.
Are all the other companies in this industry run by Harvard grads? Are all the other leaders of these companies saints? I don't think so, but no one has bothered to do the research and expose those companies warts to the degree that this has done to MJNA.
IMO - Because the bulk of the negative things written about MJNA come from a small group of people, it seems to me that it could be possible that some, if not all, have an ax to grind with some of the people involved with MJNA. Again just my opinion but the relentless regurgitation of the same data points leads me to this opinion.
I believe or want to believe that MJNA will work through the issues written about them and be a successful company in this business, probably to the dismay of those folks who relentlessly try to beat this company down. The company has a wide range of products that will someday by common place in millions of households in due time.

I then thought 200 years ago when a group like this sat down in a salon out west with whiskey and a deck of cards it typically ended with bullets being fired from their guns. Cut ahead 200 years later and they buy "hired guns" to fire lawsuits, much more civilized. Again freakin funny!
