so can we all agree that the A/S is BETWEEN 300M and 30B? this is the only fact, and we will have to wait for the 10k tuesday @5:29pm to know what it is exactly.
from that statement alone, can we deduce that O/S cannot be larger than 900m?

Basically, D&T advised them to do the 1:100 reverse split. SPNG wants the stock to tank, allowing shorts to cover (the big MMs... NITE, eg), as well as allows other MMs to buy up lots of shares on the cheap. There was/is no buyback. D&T feels that in order to be successful on the NASDAQ, they need to play nice with the MMs; they need the MMs on their side. That is why SPNG is allowing cheap covering for the MMs. If SPNGs s/p on NASDAQ is $4-10, that is fine by them, even if it is on the backs of retail investors. No SS. No MOASS. Perhaps dilution. Endgame = Nasdaq, and they will get there, on the backs of retail investors.

yes shorts are starting to cover now. there was allegedly a large short position around .16 if i recall the report. all those probably have covered.

for "head room". they expect the stock to drop under .10, but they are ready if it drops below .05.

likely there will be no 10k until Sept. 15th at 5:29 PM though... sigh.
that is one possibility. or they can dilute the O/S by increasing it 3 or 4-fold. i summed up my theory in a previous post. too bad i'm out of posts for today.
another possibility is this being another "head fake", where they scare shorts to cover, while at the same time buying up more of the o/s, and then they could retract the r/s on september 21st.

perhaps, but i don't see how this is legal. okay they can dilute and gag the T/A, legal but not ethical. they can't say they have 900m A/S when they really have 3x that. can they?
there was no real buyback imo. they "planned to". only reason i take this stance, is that with 900m a/s, they will be able to make the O/S whatever they want, up to 900m.
after the split, the O/S will be 7million (+/- 2million), and they can "dump" as much o/s into the market as they want.
let's say $16 per share after the split (may be much lower). they can increase the o/s by a factor of 4 (dilution, not a forward split), and still have a price around $4 per share.
reminder, we don't move up to NASDAQ immediately following the r/s.
PLEASE tell me if i'm way off base here. just thinking aloud.
