Emi—Introduction and Roadmap Update
Thank you, Andrew. Good afternoon everyone and thank you for joining our year end 2019 conference call.
I will provide some highlights of our 2019 as well as a general outlook on our future.
2019 was a transformational year for Exactus as we entered into the Hemp market in January. With your support, we have completed our first harvest and have begun moving our biomass into extraction. The harvest resulted in approximately 30,000 pounds of biomass eligible to be finished into flower products and 150,000 pounds of extractable biomass.
2019 also has been deeply transformational for the hemp industry as a whole. A massive disaggregated infrastructure of the different steps of the hemp value chain was built around the world, in many cases very able to deliver high quality crops, ingredients, formulations, and finished products. As these operating units specialize in their core competencies, higher efficiencies can be achieved through specialized third-party processors than through vertical integration of our company. The supply of the crop itself has scaled to minor commodity levels worldwide. In an industry where there was nothing built and everything had to be made from scratch, today it is the goal of a successful company to shift its direction from being a builder to becoming an integrator of existing pieces. As we saw the market evolve and transition into big food and big pharma compliance and scalability, it became clear to us that we had to shift with it. Starting in Q4 2019, we began that transformation. With our deep knowledge of the industry and direct access to the leading suppliers at each step of the value chain,
we are building a highly scalable network of productivity beyond the reach that our direct investment could achieve, while still in full control of quality and traceability. Most importantly, without the operational and financial burden of the heavy pieces of the supply chain, we can now direct our efforts to final products, and the buildout of our customer base and relationships to drive more profitable and scalable revenue.
...we have chosen not to pursue the development of Levor Collection and Green Goddess Extracts further, but rather focus on generating rapid revenue in our ingredient sales and establishment of our genetics and white label divisions. The expectation is to strengthen our foundation to acquire more established consumer brands in the future, thus avoiding the high expense and slow development of launching and promoting in house brands from the start.
For the upcoming 2020 grow season, the company has made the decision to focus on the customer end by building out our sales and marketing division to sell our 2019 crop, recouping our 2019 investment and driving the company to cash flow breakeven. We will be relying on our farming partners and deep industry relationships to supply us with additional raw materials and finished ingredients once we sell out of our own inventory.
The company has entered and will continue to enter into additional supply and service agreements with industry leaders to provide us with everything from genetics, farming, extraction, raw ingredients, formulations and finished products as we continue to scale our sales to monetize our inventory from the 2019 harvest.
Finally and most importantly, we are undergoing a great transformation at our core. We are completely reimagining our board of directors and attracting new key people with experience and connectivity to the industries of the world with which hemp is now going to interact more and more. At the management level, we are very proud to have onboarded Derek Du Chesne to our team.
...we have gone through a couple of sales teams and are pleased that Derek joined us to build out our sales and marketing division. The progress made has been substantial, and we have promoted him to President so that he can grow into overseeing business operations to grow and streamline our supply chain as well. His work completing the buildout of our digital marketing and sales infrastructure will be a key factor in connecting our supply sources and assets with finished products and ultimately the mainstream distribution channels and the consumer.
Year end revenues of $345,680 were generated mainly from our flower sales. Now that our biomass is currently being processed into finished ingredients, our margins will increase substantially from the previous bulk sales we have been executing, as will the scalability of our white label division. This division will not only deliver high profitability and scalability with a very light financial load, but will also serve as a launchpad to our upcoming branded products derived from internal development as well as acquisitions of established brands.
We now have the team in place to execute our long-term strategy and are looking forward to growing off of the foundation that we have built.
It is now with great pleasure that I would like to introduce you to Derek--- re: our transformation and overall growth strategy as a team and as a business.
Derek - Restructuring and growth strategy
Thank you, Emi, it is a pleasure to introduce myself to everyone on the call today. I’m extremely pleased to have joined Exactus at this pivotal time. There has been a tremendous amount of change since I have joined the team as we have implemented a full restructuring process.
This process has included a full redesign of our website www.exactushemp.com, significantly decreasing our monthly burn, launching our genetics division, and shifting our focus from a retail strategy including direct to consumer to bulk raw ingredient sales to rapidly generate revenue as we look to achieve cash flow break even.
The company is extremely pleased to have brought on experts in multiple industries to our Board of Directors and Advisory Board.
These additions include Larry Wert, Justin Viles, Mark Alouf, and myself.
Moving forward we will be launching a white label platform. This platform will not only drive revenue, but give us the opportunity to develop a network of acquisition targets.
Our acquisition strategy will be based on identifying emerging growth consumer brands that have an existing distribution channel that the company will be able to leverage our supply chain expertise.
We will continue to look into new products and research allowing us to expand into a wider variety of products and consumer segments, while our supply and compliance empower these brands to service bigger and better distribution channels.
I would now like to turn the call over to Ken, who will review our financials.
Ken - Financial Results
As mentioned in our last call, we expect to see revenues picking up substantially in calendar year 2020.
For the twelve months ended December 31, 2019 Exactus reported net sales of $345,680 versus no comparable sales in the previous year. So far, in Q1 of 2020, we have already received orders exceeding our expectations.
For the twelve months ended December 31, 2019, Exactus reported cost of sales of $2 million. We did not have comparable cost of sales during the year ended December 31, 2018.
For the twelve months ended December 31, 2019 operating expenses increased by $6.7 million to $9.2 million as compared to calendar 2018 of $2.4 million. This increase is primarily attributable to increased costs associated with our farming operations and sales and marketing initiatives, increased compensation, increased lease expense as well as increased non-cash charges for stock-based compensation. We have significantly decreased compensation costs thus far in calendar year 2020 and we continue to build on sales infrastructure and position ourselves for revenue growth.
Other income, net of other expense, increased for the twelve months ended December 31, 2019 by $2.6 million to $.7 million as compared to a net expense of $1.9 million for calendar 2018. This net increase to other income is due primarily to an increase in net gain on stock settlement of debt in 2019 of $3.6 million, offset by an increase in derivative loss of $1.0 million.
For the twelve months ended December 31, 2019, net loss available to common shareholders increased by $6.3 million to $10.6 million as compared to calendar 2018 of $4.3 million.
Since we are in an aggressive growth stage, margins and EBITDA are not yet metrics that we are reporting but may do so in the future.
For the calendar year ended December 31, 2019 shareholders’ equity increased by $7.1 million to $3.7 million in calendar 2019 from a shareholder deficit of $3.4 million in calendar 2018. We ended calendar year 2019 with $18,405 in cash and cash equivalents.
As reported in our recently filed 10-K, we currently have 43,819,325 shares of common stock issued and outstanding.

Derek Du Chesne, the chief growth officer of Exactus Inc., says the company’s online sales have increased 12% as a result of COVID-19. Exactus Inc. is a vertically integrated white label hemp company that sells CBD products through its Green Goddess brand and through nearly 30 other brands globally in CVS, Sephora and more.
In the U.S., general product shipments to consumers appear to be mostly business as usual, according to major delivery services like FedEx and the U.S. Postal Service (though Amazon has asked consumers to use “no-rush shipping” if possible so it can focus on higher priority orders).
Though shipping has been a lifeline for many CBD companies, it’s also been “detrimental” for some global retailers such as Exactus, Du Chesne says.
“A big issue that we’re having on the B2B side is shipping and customs,” Du Chesne says. “Last week, we had a couple-hundred-thousand-dollars’ worth of products sitting in customs in the U.K. because people just aren’t going to work anymore and they’re backlogged. FDA opens door to emergency use of convalescent plasma from recovered Covid-19 patients
One potential treatment for Covid-19, known as convalescent plasma, may be derived from patients who have already recovered from the disease, and the FDA said Tuesday that it will help to provide access to it for patients with serious or immediately life-threatening Covid-19 infections.
The idea behind the treatment is that plasma collected from patients recovering from Covid-19 may contain antibodies to the virus that might be effective against the infection. New York Gov. Andrew Cuomo (D) said yesterday that some critically ill patients would be able to access convalescent plasma in some cases.
Although FDA says it’s important to determine, via clinical trials, the safety and effectiveness of convalescent plasma before routinely administering it to patients with COVID-19, the agency said it will allow the use of single patient emergency Investigational New Drug Applications (eINDs) to obtain access to the investigational plasma. Such eINDs can be submitted to FDA via email and the agency says it can provide time-sensitive responses in four to eight hours.

At the White House last week, FDA Commissioner Stephen Hahn said the agency is “really pushing hard to try to accelerate” the use of convalescent plasma. He added: “If you’ve been exposed to coronavirus and you’re better and you don’t have the virus in your blood, we could collect the blood. Now, this is a possible treatment; this is not a proven treatment — just want to emphasize that. Collect the blood, concentrate that, and have the ability, once it’s pathogen-free — that is, virus-free — to be able to give that to other patients. And the immunoglobulins — the immune response — could potentially provide a benefit to patients.”
FDA also says that Covid-19 convalescent plasma must only be collected from recovered individuals (complete resolution of symptoms at least 14 days before a donation) and if they are eligible to donate blood. The required testing must be done, FDA says, while also outlining how it defines what “severe or immediately life-threatening Covid-19” means (see the link at the bottom for more details).
In addition, FDA is working with the National Institutes of Health and the Centers for Disease Control and Prevention to develop master protocols for use by multiple investigators in order to coordinate the collection and use of Covid-19 convalescent plasma.
The use of convalescent plasma was previously studied in other pandemics and epidemics, including the 2009-2010 H1N1 influenza virus pandemic, the 2003 SARS-CoV-1 epidemic, and the 2012 MERS-CoV epidemic, FDA said.
A comment in the Lancet last month said that “several studies showed a shorter hospital stay and lower mortality in patients treated with convalescent plasma than those who were not treated with convalescent plasma.”

Two manufacturers of decades-old malaria drug announced steps to provide MILLIONS of tablets over the next few weeks.
Mylan (MYL) and Teva Pharmaceuticals (TEVA) plan to jumpstart the production of HYDROXYCHLOROQUINE.
Mylan noted the WORLD HEALTH ORGANIZATION listed the drug as being under investigation for combating the coronavirus.
Teva expects to donate more than 6 million doses to U.S. hospitals to meet “urgent demand". Teva noted U.S. OFFICIALS requested IMMEDIATE use.

After graduating from the University of New Hampshire in 2019, I moved to Hanoi, Vietnam and have been living here for the past 10 months. I found an apartment, bought a motorbike, and have been clumsily navigating social situations with limited Vietnamese proficiency.
I made the choice to move to Hanoi for an opportunity to work for an education technology company--- Point Avenue (https://www.pointavenue.com/vi/trang-chu/).
Although I am currently living in Vietnam, I catch myself focusing on how the United States has responded to the outbreak. As I read the headlines and see pictures of empty supermarkets and mass panic, I catch myself feeling somewhat smug.
I think: 'Social isolation was encouraged over two months ago in Vietnam' and 'I can’t believe American schools are still open'.
Regardless of these feelings, the only path forward is to adhere to proven best practices and guidance. Vietnam was prepared for the outbreak and most importantly took quick and necessary measures to reduce its impact. Furthermore, many Vietnamese people focus on community engagement which leads to mutual understanding and support of human basic needs.
Vietnam has done an exceptional job aggressively enacting preventative measures to help mitigate the effects and spread of COVID-19. As of March 20, there are 87 cases and 0 deaths in the entire country (Johns Hopkins Corona Virus Resource Center).
Given the proximity of Hanoi, Vietnam to the initial outbreak area (1358 km or 844 miles: Wuhan, China) and the size of the country (95.54 million), these results are impressive.
In general, people in Vietnam have been listening to the guidance from the government and holding each other accountable to meet these standards.
Most bars and nightclubs are closed (or have strict curfews). Restaurants have limited hours (most public places are vacant).
Most events have been canceled (concerts, festivals, sporting events, etc.).
My roommate is in a band and all his shows have been canceled.
Everyone is required to wear a protective mask in public places.
All schools have been closed since mid-January (8+ weeks) and closures are continuing until at least mid-April when the situation will be re-assessed.
Mass street cleaning efforts and general sanitation.
Regular communication from the government to the general public (multiple languages and platforms).
The Vietnamese messaging app Zalo (similar to Skype, WeChat, Line, Facebook Messenger, Viber) and the ride-sharing app Grab (similar to Uber/Lyft) have been vital for communicating current health messaging/announcements.
Mandatory 14-day quarantine for all people entering Vietnam (as of March 18). Only residents and temporary residents are allowed into the country. Conditions have been reported to be quite good in the quarantine facility (See article here: https://vietnaminsider.vn/life-inside-a-coronavirus-quaran…/)
Promotion of social isolation, reduction of public gatherings, tight border control, and immediate response to the initial outbreak has been effective (these practices were adopted fairly early in the outbreak timeline).

The majority of the Expats that I know come from my workplace, basketball, volleyball, and events in Hanoi. Most Expats originate from South Africa, Ireland, New Zealand, England, USA, Canada...
Many expats work in the education industry and are leaving Vietnam due to school closures, reduced teaching hours.
Expats that work or own restaurants/bars are becoming financially crippled...
The majority of schools are extending their year into the summer...This will cause disruption for summer-based and tourist industries (resorts, summer camps, coastal towns, etc.).
Schools host academic courses online. We are in the process of creating a best practice guide for online teaching and use the platform Zoom for content delivery.
Expats are feeling anxious because of the uncertainty of their job, family, and future.
With people generally staying indoors, the roads, malls, and parks are significantly less crowded (at most businesses there is a mandatory temperature check upon entry).
Many expats cannot afford rent and have either moved to more affordable housing/shared living or have left the country.
Many expats are bored. When I ask what they are doing the majority say "Nothing" or "Not too much". Right now it is a waiting game and no one has a clear picture of when this will end.
For now, I feel incredibly safe in Hanoi. I believe the Vietnamese government (as well as my employer) has gone above and beyond to ensure the safety and health for all people...
I am concerned about the US State announcement that all American citizens living abroad should consider coming home (as of March 19).
I feel that most people are taking precautionary measures to prevent outbreaks via social distancing, washing hands, face mask use, daily temp checks, etc.
I believe many Expats are overstaying their visas because they may not have anywhere else to go.
I feel prepared. All groceries/necessities (including toilet paper) are easy to procure in Hanoi. There is no shortage of supplies and supermarkets are well stocked. However, who knows what will happen a week from now...
I have new apartment guidelines that require advanced notification and a limited number of guests (max 3 visitors at any given time). Many apartments do not allow any visitors.
Prior to the outbreak, my apartment building gate was always open. However, the front door is now locked at an earlier time and security guards are more alert/responsive throughout the neighborhood.
In our digital age, we may need to re-think how we provide education beyond the classroom walls. In other words, it is paramount that we critically think about student and parent engagement strategies. The Chinese have stopped the spread of the virus but it will remain around until a vaccine is developed and can be administered to the general populations.
I recommend people keep this reference, or knowledge, around in case you know someone who does reach the end stage of the viral expansion and high levels of IL-6 threaten to have them placed on a respirator. Try to convince the referring physician to consider it off label.

...the only way to eliminate the root cause of this escape of Covid-19 into humans was the failure of the guvment to stop the trade in bats at the wild animal markets. which they actually have laws against but like most stuff where lotsa money is involved, the bat trade remains in the shadows. except now maybe the public will be more supportive of eliminating it and that will finally stop the trade, of bats, and pangolins, and other unfortunate creatures that have magical powers in the chinese history.--- The so-called 'wet markets' are so disgusting and terrible!!! the people on this board know no science, have no interest in the science, and it is only of interest to them because they think they will make a lot of money in the stock. outside of that they could not care less about learning real facts.--- I am poli sci/international relations former Columbia U faculty, so I am always interested in science/public policy, etc.
instead just soaking their gloves in salt water. as if it will stop an airborne virus particle microns in diameter from entering their airway and binding to the ACE2 receptor on the surface of the epithelium.--- TY! I look forward to reading more from you! :)

Coronavirus – anti-China propaganda brought a catastrophe to the West

Through tremendous sacrifices socialist China has brought the coronavirus under control – the number of new daily cases being reduced from a peak of 3,887 on 5 February to 8 on 13 March, a decline of 99.8%. In doing so the Chinese authorities performed an enormous service not only to the Chinese people but also gave a crucial opportunity to the whole rest of the world to prepare.
To precise, through the determined fight against the virus, China bought almost two months warning to the rest of the world before the coronavirus began to significantly spread there. But the terrible truth is that while China benefitted greatly from determined action against the virus the facts show the West entirely wasted this precious time.
Because the huge economic effect of the coronavirus cannot be separated from its medical impact it is necessary to study the two together. This is due to the fact that the coronavirus is simultaneously a supply and demand-side economic shock. The supply-side shock is that the health risk means the workforce cannot produce normally, causing huge falls in output. The demand side effect is that significant numbers of services and goods, if they are not consumed in the short term, will not be purchased at all – particularly in the service sector. The falls in China’s Industrial production of 13.5% in January-February, the fall of 20.5% in retail sales and the 25.5% fall in fixed-asset investment reflected this impact within China.
The facts show clearly that the spread of the virus in the West is now already reaching levels far higher than at the worst point of the crisis in China. As will be demonstrated, nothing short of a disaster is now unfolding in Europe. The situation in the US, so far, is following Europe with a delay of about 10 days.
This fact that the intensity of the coronavirus crisis in Europe is already worse than at the worst period of the virus in China is concealed by misleading comparisons of the absolute number of cases in Europe compared to China. But, for example, China’s population is 17 times larger than Germany or 23 times larger than Italy. To realistically measure the relative impact of the coronavirus crisis in Europe compared to China it is necessary to measure the virus’s spread in proportion to population.
The peak day for the number of new virus infections in China was 5 February at 3,887. But according to the World Health Organization’s daily situation reports, at the time of writing the peak day in France (780 on March 13) was equivalent to over 16,000 relative to China’s population, in Spain (1,266 on March 13) over 38,000, and in Italy (2,651 on March 12) over 60,000. In France and Spain, the relative impact of the virus is, therefore, more than four times as large as China, in Italy more than 13 times as severe.
Western governments are openly telling their populations that it is only a matter of time before the number of deaths becomes very high. British Prime Minister Johnson announced: ‘many more families, are going to lose loved ones before their time.’ Italy’s cumulative death toll (1400 as of March 14) would be equivalent to around 33,000 in a country with China’s population!
This data makes clear Europe’s situation is already far worse than at the worst period in China. In short, the European governments totally failed to use the time they had to prepare for the virus to arrive.
The virus’s huge economic impact in the West follows from this medical disaster. Data on the impact on the production of the virus in the West is not yet available. But the Western economies were already weakening when the coronavirus hit. The peak of the current US and EU business cycles was in the second quarter of 2018. From then until the 4th quarter of 2018 US GDP growth had fallen from 3.2% to 2.3%, and the EU’s from 2.5% to 1.2%. Without an extraordinary stroke of luck the virus hitting already slowing Western economies will push them into recession despite the emergency new measures taken by the Federal Reserve.
As Western companies had already accumulated very large debts any resulting revenue slowdown, creating difficulty to repay this debt, carries a risk of transmission of crisis into credit and other markets.
This explains the literally unprecedented impact on Western share markets. The fall of the US share prices into a bear market, a 20% fall, took only 16 days – even more rapid than in 1929.
Why, when China has been getting the virus under control, has there been such a catastrophic failure in the West? The reason is in large part because instead of learning the positive lessons of China’s ability to control the virus the Western media and the US government engaged in anti-China propaganda. The bitter truth is that people in the West now face a medical, human and economic disaster due in significant part to this anti-China propaganda.
