Beamter, das ist der Umsatz von letztem Freitag, heute hat die Börse in USA genauso wie hier geschlossen. Natürlich waren die Umsätze in den letzten Tagen lächerlich, aber wenn Du an die Geschichte glaubst und HRCT (erneut) noch ein paar Monate gibst, kann und wird es sich ändern. Zur Zeit haben nicht viele HRCT auf dem Radar, sollten aber die ersten Übernahmen und die Finanzierung stehen, werden wir hoffentlich Tagesumsätze über 1 Mio (und zwar jeden Tag) sehen!!!
Es hängt alles von der Finanzierung ab, auf diese Geschichte sollte man jetzt schon noch warten!!

Franz, es wäre möglich, daß ein Investor HRCT Schritt für Schritt (also Übernahme für Übernahme) begleitet und nicht die Summe X (30 Mio) auf einmal bereit ist zu zahlen. Allerdings befürchte ich, daß HRCT das vorgegebene Tempo (waren es nicht 5 Übernahmen 2007, 20 in 2008 usw.?) dann nicht einhalten kann. Wenn ein Investor nach jeder Übernahme den nächsten Quartalsbericht abwartet, wird das ein absoluter Bummelzug!
Ich hoffe, daß HRCT mit dem Konzept so überzeugt, daß ein Investor zu einem moderaten Zinssatz eine höhere Summe beisteuert...!
Meinst Du eigentlich, daß die angekündigten MOU`s aus dem Oktober bzw. November in trockenen Tüchern sind? Oder können diese Schulen, obwohl HRCT vielleicht das Geld aufgetrieben hat, einen Rückzieher machen, da sie sich nicht an den Zeitplan (Februar 2007) gehalten haben?

@ Franz: Ja, so könnte es gehen. Allerdings wollte HRCT doch eine "agressive" Übernahmepolitik starten, d.h. die Finanzierung sollte hoffentlich stehen. Neben den 51% von Hunan Vocational College, haben sie doch auch noch die 80% von Hunan Ningxiang Vocational Education Center zu stemmen!? Diese "schlappen" 14 Mio $ wollten sie doch eigentlich auch schon bis Februar 2007 in trockenen Tüchern haben!?
Selbstverständlich holen sie am Anfang erst die kleineren Fische aus dem Teich, aber für die größeren brauchen sie tatkräftige, finanzielle Unterstützung! Hoffentlich bekommen sie diese und ihnen läuft nicht die Zeit davon!
Das Volumen der letzten Tage deutet auch nicht unbedingt auf news in der nächsten Woche hin, aber wir lassen uns ja gerne von HRCT überraschen...

Die Hoffnung bleibt, daß HRCT nach den Verkäufen von CT und HQ am 31.5. und 15.6. eine Namensänderung anstrebt, um dann tatsächlich die Schulen übernehmen zu dürfen!! My take on the quiet waiting period..
1. Dr. Hu had talked in detail about the challenge of changing it's name from A-I Asia to Hrct Education..and how the government was not convinced that Hrct was in the education business since it owned an IT company..and since the HuaQing deal was not yet done at the time of the meeting, I have a feeling that whatever Dr. Hu and Victor Zhou are doing right now, the important name change may be "officially" on hold until the IT companies are out the door in June..That is just one theory..
2. Additional schools...If the governmental approval is not delaying Hrct in any way, I would also guess that the fact that EDU is a money making machine with their short term training ( not in the same business as Hrct's schools) that Dr. Hu and Victor need to establish themselves fully as a Vocational Education system that is up and running before that kind of competition gets wind of the profit that's out there..Not that Hrct should worry about the competition..There are lots of schools..I just got the feeling from the meeting that Dr. Hu and Victor wanted to make sure they have the advantage..Which makes sense...
3. Financing...From the presentation at the meeting, it was clear that the financing of each school was going to be unique and specialized to each school..Some schools cannot accept shares..Some schools are concerned more with upgrades to their campus...and some simply require cash..With so many differing objectives, and so many schools to deal with (20 within a years time) I would say that any delays and silence on Hrct's part is very understandable seeing that they are dealing entirely with material changes to the company at this critical juncture...
The meeting provided much insight into how hard Dr. Hu and Victor Zhou are working to make this happen..and they will..IMO...So the traders and the MM's will indeed mess with the price..Those that are confident will add..Those that become nervous will sell...and there will be those that try and capitalize on others fears..That's how the market is...I am totally confident that Hrct will exceed our expectations...That's my take..JMHO

Nein, Insiderinformationen wirst Du mit Sicherheit nicht von ihr bekommen. Aber sie hat bei Rattle am häufigsten auf Anfragen geantwortet, daher hatte ich gehofft, daß sie es evtl. wieder macht...! Da sich HRCT mit der Informationspolitik aber zur Zeit sowieso recht schwer tut, müssen wir uns wohl oder übel gedulden!! Auch wenn es sehr, sehr schwer ist!!!

Ja, der Aktienkurs macht ganz, ganz wenig Spaß! Die offene Finanzierung und die "Probleme bei der Übernahme der chin. Schulen durch die Regierung" drücken (zu Recht) auf den Kurs. Es ist auch schon sehr frustrierend, daß sie die Probleme nicht längs beseitigt haben, zur Zeit verbrennen sie lediglich Geld...!!
Habe die Hoffnung aber immer noch nicht aufgegeben! Wobei mir die Genehmigung der Regierung noch etwas schwerer im Magen liegt... !

Ich erwische mich ja auch (vielleicht nach 8 Jahren auch nachvollziehbar!) dabei, etwas ungeduldig bei unserem Investment zu werden. Allerdings hat sich HRCT letztes Jahr neu ausgerichtet, sich von den Altlasten befreit, Quartalsberichte und Abschlüsse pünktlich eingereicht und vielversprechende Übernahmen angekündigt. Wenn es "nur" an der Finanzierung stockt bzw. Dr.Hu wohl nur die besten Konditionen aushandeln möchte, sollten wir vielleicht wirklich etwas geduldiger sein und abwarten. Wir können nicht erwarten, daß HRCT jetzt in 12 Monaten völlig durchmaschiert! Es wird immer ruhige, "newsarme" Zeiten geben. Sollte HRCT aber einen guten "Finanzdeal" abschließen und weitere profitable Schulen auf dem Radar haben, kann der Kurs auch relativ schnell klettern.
Ja, es ist etwas mühselig zur Zeit, aber da das Abwärtspotential auch relativ begrenzt ist, sollten wir uns wohl auch etwas entspannen...!?

@ Rattle: Aber die Finanzierung ist der wichtigste Bestandteil bei den angekündigten Übernahmen. Da sie die Übernahmen (MOU) aber schon letztes Jahr angekündigt haben, werden sie auch schon seit geraumer Zeit vorher über die Finanzierung nachdenken. Daher finde ich news diesbzgl. nicht übereilt!! Natürlich sollen die bestmöglichen Konditionen ausgehandelt werden, aber man hat ja auch schon seit Bekanntgabe des neuen Business Zeit darüber nachzudenken (und zu verhandeln!).

Nun laß das mal, Du kritische kleine Ente!! Nachdem die Nachrichten (MOU`s) im Dezember 06 gekommen sind und der Kurs drüben über 0,10 $ schloß, hätte ich allerdings auch nicht erwartet, daß wir 10 Wochen später deutlich (über 20 %)darunter herumdümpeln...! Aber ich bleibe trotzdem bullisch, die eine (entscheidende) news über die Finanzierung muß kommen, dann verlassen wir hoffentlich für immer die "single digits"....
Patience is the key (ist doch schon längst das Motto von oder bei HRCT...)

Ich könnte mir vorstellen, daß starke Phantasie aufkommen wird, wenn die Finanzierung publik gemacht wird und schon einige weitere MOU`s bekannt gegeben werden. Dann kann man schon abschätzen, daß die Quartalszahlen besser aussehen werden und das Interesse wird zunehmen.

A little more information from meeting..
1. Dr. Hu talked about the .50 being an "indicator" of what the stock "might" be in a year..He was very cautious not to "predict" the price as that would be illegal..In other words if the 10K bottom line measures up, so will the shareprice..
2. Being a banker Dr. Hu mentioned how important it would be to a lender to have all the deposits funnel into their branches..
As an example he mentioned the Bank of China and i believe China Merchants Bank..(In my opinion could be one of the lenders)...He mentioned monies were available at 7%..He was trying to negotiate to 5 or 6 percent..
3. Due to his past connection with Hyatt they have been in contact with Dr. Hu regarding training their future employees..They have a huge expansion plan in China..Many new hotels..
4. Not a single SEC problem left to take care of..He apologized
for last slip up on filing..It was due on time in China but not the U.S. Since then he is making sure they will not wait till last day to file..
5. No name change..Hartcourt Education is it...Tin asked if that name will be part of school names..Dr. Hu said no that school names would remain the same..He mentioned that at entrance to schools there would be signs stateing Hartcourt Management..( I asked him later and he said some signs are already in place?)
6. He was pleased that MOE (Ministry of Education) liked his map
of "China Education Structure and Statistics"..He kidded that he should have copy-writed it. It shows how a large piece of the education pie will go to Vocational schools..Hartcourt target schools would be in the large coastal areas, and mainly the middle vocational schools.(They come after the mandatory free Government sponsored ist thru ninth grades)..(High Vocational Schools are after High School and before College or Universities)
Mister EC hat ja mit einem Satz unten erwähnt, daß sie fremdes Geld nehmen werden. Könnte mir schon vorstellen, daß unsere amerikanischen Aktionärsfreunde diesbzgl noch mal nachgehakt haben! Aber vielleicht hat HRCT die anwesenden Aktionäre vertröstet noch etwas die Füsse still zu halten!?? Ich finde es nämlich sehr verwunderlich, daß bei allen Zusammenfassungen so wenig über dieses wichtige Thema kommt!!

Schools acquired will already be accredited and credentialed, being recognized in their fields. The locations of them will be along coastal portions of China, near to Shanghai.
There are over 16000 vocational schools in China. There is limited competition for HRCT due to them being a first mover. Having government support is important, and employers will have a say in the schools curriculum.
China has a shortage of skilled labor. There is no #1 demanded skill needed. Vocational graduates get jobs.
It is hard to get government approval and become incorporated and listed on an exchange to get needed capital. NEW ORIENTAL was the last to get this. This is another advantage HRCT has in being able to acquire schools.
Future filings will be on time on early.
The land will not be owned but leased. The zoning of this land can not be changed.
OPM Others Peoples money will be used to acquire schools.
The historical problems of HRCT are GONE. They are no longer an issue and Dr. Hu is not concerned with them.
School year in China begins in March.
Dr. Hu was brought to HRCT via the golf course. Billy Wang asked him to help. He came out of retirement to do so. His personal reputation is at stake here. He did not really need HRCT to do this acquiring of schools. Thank the sport of golf for bailing us out.

Franz, Du darfst nicht vergessen, daß unsere Ente jetzt auch Großaktionär von HRCT ist!! Er sitzt mit uns in einem Boot!!! Er hält zwar noch seine Füsse ins Wasser, aber wenn das Boot etwas an Speed gewinnt, wird er sich auch anschnallen und den Ritt genießen...lol.
Mir persönlich gefällt die "konservative" Kalkulation mit 20 Schulen bis 2008 und 50 Schulen bis 2010 auch am besten...!!!

Es hört sich wirklich alles sehr gut an, leider haben sie anscheinend die Katze bzgl. der Finanzierung nicht wirklich aus dem Sack gelassen!? Aber das die vereinbarten Übernahmen eigentlich den Status von "done deals" haben ist sehr erfreulich! Damit werden sie ja wohl im nächsten Quartalsbericht erste Wirkungen zeigen. Weiterhin sind ihre Pläne durchaus langfristig ausgelegt und die Aussicht auf die Übernahme von 50 Schulen mit 200 Mio Umsatz bis 2010 ist überschaubar und hoffentlich auch für uns äußerst lukrativ!!!

No problem David...Dr. Hu is fully confident that the 50 cent shareprice will be achieved..But he also answered the question when it was asked, "what if the shareprice is not 50 cents"..He then said that the deal is done..If theoretically, the shareprice does not hit 50 cents, the deal will still be done..The parties will either agree to more cash or shares...But as I said, Dr. Hu is confident that the 50 cent shareprice will be achieved...
As a man with a complex and well thought out plan, Dr. Hu also addressed the question of a possible reverse split..In my opinion, no one should even come close to thinking that Hrct will be doing a reverse split any time soon..He stated that within his plan Hrct will go to the Nasdaq..No Doubt...Also within the plan that includes many conservative figures for company profits, Hrct is projected to have a shareprice after ten acquisitions, of $1...Of course he also projected 20 acquired schools by 2008 earlier in the presentation...So lets say Hrct is at $2 on the red letter date...To accomplish the task of moving Hrct to Nasdaq, he would do a reverse split at a predetermined date...With all that said, his estimates are highly conservative and he is just accounting for every possibility that could occur as his plan unfolds..As Hrct grows and develops, the market will determine whether Hrct would even need to do a RS..In his planning he leaves no stone left unturned..Imo...No reason for concern in this area..JMHO

A little extra on China Princely...They have an interesting monopoly with the Teachers competency (My word) certificates...There are literally MILLIONS of vocational education teachers in China today...and in conjunction with the MOE, the ONLY company with the government's okay to issue these certificates is our own China princely!.. I found that little tid bit that Dr. Hu did NOT want to overstate or hype in any way shape or form, the most promising potential money maker for Hrct in the next few years..Teachers will be required to take these tests..China Princely will issue the tests..for about $120 USD as I recall..and huge profits to be made just from this required procedure..Quite a large bit of potential even though it is still in the planning stage..
Problems that Dr. Hu and Victor have encountered have been time consuming ones...Not insurmountable but tiresome from their standpoint..They wanted to change the name of AI Asia (a Hrct sub shell) to Hartcourt Education (I believe)..This seemingly small insignificant effort turned into a bureaucratic nightmare that took weeks to overcome..With much persistence, Victor made it happen..He is a real asset to the company and appears highly motivated to produce results...These small headaches that would not seem like much to begin with have to be ironed out and fixed completely before moving forward..Dr. Hu and Victor are meticulous perfectionists when it comes to handling the smallest of details...They will not accept anything sub standard..Which makes me feel really confident as a shareholder.JMHO

I agree..He made a point to let us know how personal this task had become..That his name is all over this company now and that the people he brought in are so well respected , that failure is NOT an option for him..He and Victor spoke with and directness and confidence that they are going all out to succeed..I enjoyed hearing that sort of confidence and also the fact that they are working at a fevered pace and will not rest until this thing is established...They have a lot at stake and will also reap the rewards of a successfully established Hrct Vocational Educational company..The same goes for the folks that receive shares at the schools and the same will apply to us when the shareprice finally reflects the added value...and isn't that what we've been waiting for all these years?..Someone to jump into this with all guns blazing and take charge from bottom to top?..Dr. Hu and co are doing just that..With each successful acquisition and as Hrct fully develops their system and teaching directions, the ball will roll faster and faster..and the organization will get bigger and provide more profits for the whole..
These intital schools and the problems the team has met head on and will overcome will set the table for future schools acquisitions to run in a smoother manner...
Dr. Hu made a point to ask the shareholders for time. He doesn't consider the shareprice on Monday morning to be the top priority..He think that getting the schools in shape from the ground up, is of the utmost importance and that once the basic infrastructure and foundation of the company is on solid ground then Hrct will not have to look back over it's should like it has consistently done in the past, but will be able to move forward knowing that the plan and the execution of the plan is not prone to setbacks..and won't it be a pleasure to be able to know that with each acquisition, Hrct will move forward?...and not the old one step forward and two steps back that we are so used to seeing...

Excellent summary Lugan..It was good to see so many of the longs at the meeting..Dr. Hu's presentation was more than interesting and you must have some kind of banking knowledge to even come close to comprehending the financial strategy he is using to not only, pay for these schools but to upgrade their facilities and provide for expansion...The whole plan appeared from my point of view, to be absolutely a creative stroke of genius...(I have no real knowledge of the technical details of the plan he is using but I could understand how it works to a degree)...
He talked in depth about the agreements and the projected 50 cent shareprice attached to the deals..He said that no matter what, the deal is secure from Hrct's standpoint and that even if Hrct were to come up short in the shareprice, then they would provide more shares or cash to make up the difference...Another interesting point is that when asked about the status of the agreements, he said the definitive agreements were the done deals and that the DA PR constitutes the finished conclusion and no other PR was necessary....The agreements are legally binding and that they are already into the 30 day period that leads to a Hrct payment as stated in recent filings..Once that payment is made the numbers will be reflected in Hrct's quarterly numbers..and he also said that the year end report for Hrct will contain those numbers..So in essence, the deals are done and the next quarter will reflect the additional profit....
