You make a good point. I do believe all will be clear by the next Q... The company has gone to great length and expense to show transparency. It would defy logic if a few loose ends were not tied up.

If you read the MDS acquisition agreement or the Form 10 it clearly states that the $1m was a deferred payment to the selling company, now an affiliate. $250k was paid in 2012 leaving a balance of $750k.

Oh that's right, the company voluntarily filed its Form 10 with the SEC making it subject to SEC regulations. Sounds like they are fine with the extra scrutiny

I attended the Mass seminar the company put on. Well done and truly informative. Bedrick is well spoken and I could care less the idea guy has a past that is wild and reckless as it appears. Still a solid company.

If the inference is that the transaction never existed. The company PR'd about receiving $1m in March based on the transaction you are referring to. Interestingly enough that aligns perfectly with the $1m in share sales not counted as being received yet. In any event, hardly much of anything. The company makes good on its promises and this is what is the topic of discussion? Hilarious....

Any transactions PR'd about would be covered in a 10-Q filing if not on the Form 10. If its not than I would say that is not good for the company.

That is the CPA and Auditors discretion. It really makes no difference as the company PR'd about receiving money in March to the tune of $1m, so in a perfect world it would need to be in a 10-Q which hopefully for the company it is or they will have a lot of splainin' to do!

Note 7 of the footnotes clearly states that in addition to the 2.4 million dollars worth of shares sold an additional $153,250 was deferred to Q1 2013. That means that $153,250 was not issued yet. If the company issues but didn't collect it wouldn't be reflected on cash flow statements. Whatever was on cash flows is what was collected. A fraud claim is ridiculous since it could have just as easily been covered up if there was anything foul.

Looks like they deferred payment on some and the auditor only counted what was collected. Either that or it was mislabeled. They mentioned the share sales revenue elsewhere so if you are claiming "FRAUD"... That is quite a stretch. Fortunately they are getting a new auditor.

Apparently you haven't reviewed the filing as it appears Vincent Mehdizadeh transferred control to Bedrick...Who cares if you are in Vincent's shoes, those shares are locked up anyway.... SMART!
I still feel that way but I guess the company felt good enough about it to go ahead and get it filed. If they follow with a second audit like they announced they would then it was a smart move.

I doubt any one is going to apologize and eat crow but I remember a certain bunch that claimed the Form 10 would never get filed... Ever.

I like the company but not the stock at these levels. It's that simple. The thing could shoot up or down on the drop of a hat. Way too volatile for anyone to play either side on the short or long without having skid marks on the drawers at the end of the day. Just not a smart buy at present levels. The company itself is money though! Great concept and they were really ahead of the curve.
Oh there's manipulation I'm sure... But not the kind you think. It happens everyday and on a ton of stocks without the company's knowledge. Whatever you see happening is purely day traders and market makers at their best (or worst) depending on how you want to look at it. The whole thing is retardedly volatile and it has ZERO reflection on this company in my humble opinion.
Positive press and decent performance for a micro cap means the company's stock will continue to perform. Yesterday was the 4th highest volume day in the company's history. I don't think anyone was expecting that.

I don't form judgments regarding people I haven't met. I look at companies for what they are. I can't speak as to whether he is a model citizen, but what I can tell you for sure is if he was truly a scumbag, the court system had the ability to throw him in jail and they never did. All those charges and not one day in jail? Sounds pretty interesting...
With like 20-30 charges in 15 years, how many others did he do and not get caught 40,50,60,70,80 things?

What I'm trying to figure out is how a client of a law office that sued Vincent and the Attorney Vincent was working for 10 years ago, that then resulted in a judgment owed to the guy you reference and later listed and discharged is somehow related to the price of tea in China?
