CEN Biotech President and CEO is responding ~

""A quick consensus of the general public’s reaction towards the recent premeditated attacks on CEN Biotech has been nothing more than shocking. The public has been baffled by the unexpectedly malicious agenda from the “opposition”, which shows a distinct pattern of bashing from the “fantastic four” intransigent individuals. There are potentially many influencing factors, some of which question the intrinsic moral character of liberals such as Ms. Lilly Davies. It has been speculated that the political strife of Canada’s divided liberals and conservative party have used CEN Biotech as an empty coy to pierce the tranquility of Health Canada’s MMPR program; causing unfortunate collateral damage to the company.
In light of the media drama, investors from different social media platforms such as “free420investors” and CEN Biotech investors Facebook page(s), immediately began to protect their investment and represent fact based evidence the goes beyond the shallow authorship information represented in the Globe and Mail. Mr. Bill Chaaban, the president and CEO of CEN Biotech has been keen to distance himself from the media due to their relentless bashing of his company in both professional and personal arenas. However, most recently Bill Chaaban responded to the allegations of corruption to the public in a Canadian radio broadcast interview on CKLWAM800, found here.
Interesting excerpts of the interview have been transcribed in this article. Please note it is the investor’s responsibility to conduct their own opinions of the radio interview independently.

CEN Biotech President and CEO is responding to a series of articles in a national Canadian newspaper [Globe and Mail] regarding corruption, a letter to the editor in chief was sent to request a retraction of the article or provide a space for the company to provide its own comments.
Bill Chaaban, CEO of CEN Biotech:
It’s absolutely false; there has been no manipulation on my part or company. No one has interfered in the free market and trading of the securities. Any sales of shares of company insiders were fully compliant with SEC rules and regulations and laws, which pertain to insider selling. Share sales complied with the rules applied to insiders.
Peter – There were some comments that some people made flippant responses to documents of signatures.
Bill – The SEC doesn’t care how the name is signed, the SEC will ask “Bill did you sign this document and I submitted to the SEC commission?” I would say yes I Did, thank you very much. I can sign my name different, they don’t care about that. What they care about is that I reviewed the document, signed it, and submitted it.
Peter – This has become a political football, made its way to the House of Commons, Health Canada may not be preceding properly with this. Does this concern you?
Bill – No it doesn’t concern me at all. We have done everything 100% by the book. We never crossed the line. We have fully complied with all the laws, security laws and compliance laws, and health Canada and request of the program. We have all been vetted by the Health Canada security clearance process, and it was indicated we had passed that. We have had no personal issues with HC. We will do everything by the book and we will not have any problems with the law, and nor will we intend to. These are just false allegations and unfortunately we have to address them and that’s what we will do
Peter – Any news on Health Canada Update? When will it be dealt with?
Bill – There has nothing changed with respect to this application. We are in queue. We have finished the pre-license inspection and we are in line with every other applicant. We are just in the process.
Health Canada unfortunately I believe are understaffed and have over 1000 applicants that are in the process. Our facility was ready, we called for inspection on April 21st and were inspected July 31st. We had two minor deficiencies in the inspection which we immediately addressed. The inspection report is public and as a public company we are transparent and have posted it in OTC Market. You’ll see with the respect of the inspector, believes that we should be licensed and start growing.
Peter – Certainly [some reporters] put the company and you in an unflattering light, do you get the sense that there is someone out there with an ax to grind against your application?
Bill – Well you know Peter from the very beginning we had a bold vision, we assessed the market and where the market would be. By doing that we applied to grow and sell 600k kg per calendar year as we believe the market would be growing rapidly; and you had to have a large scale company for such a strong demand. We were the only ones who applied for such large amount, now we didn’t intend to do that in one year, but roll it out over 5-10 years, which is what is required. But [initially] when we wanted to apply we applied for an amount that would be sufficient for the size of the land that would be lease and what the market would need.
Peter – Any update with the Town of Lakeshore?
Bill – I never had an issue with the town of Lakeshore. Unfortunately we are stuck in OMB zone process right now. We had many personal discussions in the homes of many of the concerned neighbors. Attempting to purchase property well above market value, we just couldn’t reach an agreement with the parties, and now we are in the OMB process with Lakeshore.
OMB Decision
Investors should be aware, that there is always a chance—albeit to a small one—that the Ontario Municipal Board [OMB] will render an unfavorable ruling to the correct agricultural zoning of the fully constructed and successfully inspected marijuana facility of CEN Biotech. At that point, CEN Biotech will indeed have news of the company’s progress and circumstances. However, the general public consensus believes that OMB will follow suit with the legal laws of the land and the previous zoning regulations of Lakeshore before retroactively changing the zoning of marijuana facilities to industrial.
CenBio CollageThe OMB council is indifferent to the fact that some concerned neighbors suddenly feel the need to show concern about the facility “blocking their western breeze and sunsets”. Investors should take serious consideration that before the zoning fiasco commenced, CEN Biotech had: 1) correct local zoning issued by the town, 2) correct local municipal city approval for construction, granted by Mayor Bain and the city council, and 3) ample notification of the facility construction was given to agricultural dwellers and the council in two different open house events well before the construction of the building was completed. Quiet Period Ending
Seeing the desirability of the public to determine the faith of CEN Biotech is promising. The radio interview marks an important transition for the company. Addressing serious concerns of corruption has laid a solid transition out of the SEC quiet period. What is particularly interesting is that Bill Chaaban and management have proceeded on an amicable basis with the SEC and Health Canada MMPR program, yet have been tainted by media and competition to unilaterally spread false allegations and misrepresentations of the company. It is a shame that such a company with such great potential can fall victim of media corruption.
Media bullying such as those described suggest to investors that their own due diligence of the company is not only required, but a necessity. Currently, CEN Biotech’s price per share is stagnant, with market makers actively keeping the share price at tight range levels as the company begins its preparations for spin off completion. The official quiet period ends approximately on Feb 17th, 2015. Let the countdown begin. ""

If a person is under suspicion of trying to hide their identity or of committing fraud, then the fact that they have different signatures may be seen as circumstantial evidence of their intent to hide their identity or to commit a crime.

Grant Robertson Sensationalism – A Globe and Mail Commentary

"" I’m writing this commentary on a recently published article by the Globe and Mail by the author Grant Robertson on January 11th, 2015. The original text is the work of Grant Robertson, Published by The Globe & Mail and the text labelled otherwise are my own personal thoughts on the matter. Please note that I am not affiliated with the company CEN Biotech Inc. or Creative Edge Nutrition Inc. and I am writing this response as a shareholder invested in the company. The thoughts expressed in this commentary are my own and where possible I will try to make reference to supportive text. These thoughts are my own, please conduct your own due diligence before making any sort of investment decision.

I’m bringing to you the recent text included in the January 11th, 2015 article and my explanation for why I consider the various statements in this article to be misleading or unproven. For the purpose of this article I will identify Grant’s own writing with the designation “GRANT” my own opinions as “THOUGHTS?”
*It should be noted that the author changed the title of this article soon after to publishing and the new title more than condemns CEN Biotech Inc. and FITX.
*Changes to the original text will be denoted with a “*”.
To begin – let me bring you the article in question.
GRANT – “Cloud of suspicion engulfs firm seeking to supply medical marijuana”
*New title submitted hours after publishing the first – “Public told to contact police with concerns over marijuana firm”
THOUGHTS? – This article begins by suggesting that suspicious activity is involved and the word engulfs is suggestive that there is more than just several areas of concern going on. Before I can debate this title I will need to bring more evidence to refute it.
*The new title suggests that there is an immediate need to contact the police over concerns related to CEN Biotech Inc. and suggests that criminal activity has occurred.
Now let’s get to the body of the article.
GRANT – “Health Canada is instructing anyone with concerns about CEN Biotech – the company seeking to become the country’s largest medical marijuana producer – to contact police or securities regulators.”
THOUGHTS? – If Health Canada were interested in gathering such information they would make a statement. There is no evidence to support such a claim, but in theory any concerns related to a potential Licensed Producer or Licensed Producer would have reasonable grounds to contact the appropriate individuals. I would personally state that this is a general statement which has been focused on CEN Biotech and the reason for the focus is because it meets the needs of the author in the specific case of this article. The author is actually recommending that individuals with concerns actually circumvent the regular process by Health Canada to mitigate the effects and is recommending that individuals contact the police or SEC directly with any concerns – needless to say, I believe the SEC will soon be in receipt of some trivial and fabricated pieces of evidence.
GRANT – “The unusual request comes as allegations of misrepresentation, stock manipulation and falsified documents swirl around the company and its top executive.”
THOUGHTS? – This request is not unusual and is actually a means of retaining that all Potential Licensed Producers and Licensed Producers are maintaining compliance. These acclaimed allegations of misrepresentation, stock manipulation and falsified documents have been acclaimed by investors online who have supplied information to the author – for reference to this see Grant Robertson’s reference to Matt Finston as a source of evidence towards the ticker symbol FITX and CEN Biotech Inc. Matt Finston, as many know is a writer for Seeking Alpha and although he has a known passion for writing he has made an obvious indication of his stance towards the company FITX and has time and time again referenced that he is trying to save investors from losing their money. Matt Finston has never written a positive article about FITX and has ignored significant additions to the Board of Directors along the course of 2014.
GRANT – “Health Canada said it can’t comment on the status of CEN’s licence application, but a department official said the RCMP and other regulators should be notified of concerns, adding that “we work closely with the RCMP.””
THOUGHTS? – This excerpt begins by making an obvious statement backed time and time again by Health Canada in describing that Health Canada cannot comment on the status of applicants for an MMPR license. The second sentence is a valid statement in that the appropriate authorities should be contacted if concerns arise, but the primary contacts should also include Health Canada. The addition of this statement is unnecessary since it is a reworded statement previously used above in the article and it suggests that the actions of CEN Biotech Inc. have been condemning.
GRANT – “CEN Biotech, the Canadian subsidiary of Michigan-based Creative Edge Nutrition, has applied to build a massive marijuana growing facility in Lakeshore, Ont., just east of Windsor. The company wants to sell 600,000 kilograms of the drug a year, making it by far the largest in the new sector.”
THOUGHTS? – Most of this statement is valid, but I would question the authors choice of one particular word – “Drug.” Grant Robertson has used this term before in reference to a current Licensed Producer, Aphria, but in the context of this article, I believe, the term presents in a much more malicious context to condemn the actions of CEN Biotech Inc.
GRANT – “But the company is now under a cloud of suspicion for allegedly issuing false news releases, suspect signatures on documents, and making misleading statements about partnerships and endorsements from Health Canada.”
THOUGHTS? – Again the author references the select terms “cloud of suspicion” and makes such a claim by making reference to false news releases which are not supported by factual references or described in any particular detail. Grant also suggest that suspicion exists surrounding suspect signatures, which he fails to provide a copy of or to properly provide a source for and cites an anonymous internet source as a reference. I’m not sure the reliability of your anonymous source Grant and I’m also even less likely to believe your source because you back up the claim without the communication or evidence to suggest it may be reasonable to believe. Lastly, Grant makes reference to a misleading statement about a partnership with Health Canada. The MMPR process involves the integrated collaboration between an applicant company and Health Canada to ensure compliance is in order. Continued inspection and license renewal are conducted by Health Canada and together the Licensed Producers work alongside the regulations set in place by Health Canada which suggest a continued partnership by Health Canada to maintain its position as a governing body set up to regulate the standards and policies to be followed by Licensed Producers and applicants.
GRANT – “The brewing scandal has become an embarrassment for Health Canada, and for Health Minister Rona Ambrose, since the company has made it to the final stage of approvals with the department.”
THOUGHTS? Grant chooses to refer to the evidence, which he has provided none of thus far, justifies the claim that there is a “brewing scandal” and makes a claim that it has become an embarrassment for Health Canada. This statement has no concrete evidence, is suggestive in nature and directly condemns Health Canada for the work they have done thus far in regulating the MMPR standards and decisions to provide licenses. Grant also suggests that the “scandal,” as he describes it has become an embarrassment for Health Minister Rosa Ambrose, but his only suggestion for this is because CEN Biotech has successfully passed every stage of approval thus far which he condemns as being an illegitimate feature by suggesting that the Health Minister Rosa Ambrosia and Health Canada should be embarrassed. If CEN Biotech was deemed unfit at any step along the way then they would have been elimintated from the pool of applicants.
GRANT – “Multiple misrepresentations helped drive the market value of Creative Edge Nutrition, a penny stock traded on the loosely regulated U.S. over-the-counter market, to more than $350-million (U.S.) this year. But as chief executive officer Bill Chaaban was touting the stock to investors using false claims involving Health Canada, he was quietly selling 71-million shares and pocketing more than $4.6-million in proceeds.”
THOUGHTS? Grant choose to reference “multiple misrepresentations,” but then provides no justifications for what these misrepresentations are. I find this rather odd. Grant then makes reference to the extremely high market cap that Creative Edge Nutrition Inc. soared to in the wake of the Pot Stock Rush. The tremendous gains made by the company have since stabilized to levels closer to before the Rush, but Grant makes no reference to the facts that comparably many other stocks performed similarly in the sector and have since fallen greatly because they could not be held justly for the prices they had reached. Creative Edge has fallen significantly despite many positive press releases by the company. Grant then suggests that Bill Chaaban is pocketing the proceeds he receives from selling shares of the company. I personally have only seen Form 144s which are intents to sell and Bill has suggested in the past that he did not want to lose a large portion of the company to Big Tobacco or other investors and has undergone a different route to do so. Investors believe that Bill is funding the company through the sale of his own shares and this claim cannot be jusitified either without audited confirmation that the funds continue to be within control of CEN Biotech or the parent company Creative Edge Nutrition Inc. (It should be noted that an intent to Spin-off CEN Biotech Inc. From Creative Edge Nutrition Inc. Has been suggested in an Press Release, but official confirmation of the process has yet to be received).
GRANT – “Health Canada has asked those with evidence of impropriety to also contact securities regulators. Due to a loophole in Ontario securities regulations, Creative Edge is beyond the reach of the Ontario Securities Commission or any other Canadian body. It instead falls under the jurisdiction of the U.S. Securities and Exchange Commission.”
THOUGHTS? – Grant makes reference to a similar statement in this excerpt again; this is the third time. Anyone with evidence should contact the appropriate authorities, but unconvincingly Grant has provided no evidence whatsoever so justify his claims.
GRANT – “A spokeswoman for the SEC in Washington said the agency won’t comment on whether or not it is investigating a company. However, two sources have told The Globe and Mail they have been in touch with investigators inside the SEC regarding the company.”
THOUGHTS? – The first statement is taken out of context to suggest that there is something to hide, but if you contacted the SEC with an approach to reach any sort of information that has not been released publicly then it might suggest an attempt to reach insider information from either CEN Biotech Inc. or even from the SEC itself. Grant then makes reference to two sources, or more accurately he states he has two sources who have suggested they’ve been in touch with the SEC regarding the company, but conveniently omits their reasoning for contacting the SEC and also omits to provide any evidence for who these individuals are and what their roles were in contacting the SEC.
GRANT – “Health Canada appears ill-equipped to deal with the problem on its own. Officials with the department have demonstrated a lack of understanding on the matter in conversations with The Globe, and Ms. Ambrose’s office has indicated little comprehension of the severity of the allegations against its biggest applicant.”
THOUGHTS? – Health Canada cannot divulge information on applicants and their status – a point Grant mentions earlier, but seemingly forgets at this moment. Grant suggests that Health Canada is “ill-equipped” to deal with “the problem” on its own. Grant suggests that CEN Biotech Inc. Is problematic and that Health Canada is incapable of running their own program to successfully regulate MMPR standards. Grant then suggests that The Globe has a far greater knowledge base of the on-going activity within the MMPR selection and application process and condemns the knowledge of both Health Canada and Health Minister Rosa Ambrose once again in suggesting that they have “little comprehension of the severity of the allegations” against CEN Biotech. This bashes all three parties in one swoop and I’d like to question Grant once again, where is the evidence for such allegations?
GRANT – “Now, a new case of suspicious-looking documents produced by the company threatens to make the situation more problematic.”
THOUGHTS? – What is the document? Where is the document found? What does the document suggest? How can you justify that the document is misleading or contains fraudulent information? Also, you note the wording “more problematic” which suggests that there is current problems with the company CEN Biotech Inc. Which have not been addressed. This isn’t the first time I’d like to raise concerns over Grant Robertson’s lack of sources.
GRANT – “An anonymous poster on an Internet message board recently produced documents filed by the company to regulators bearing Mr. Chaaban’s signature. A document dated Dec. 29 contains a signature that is distinctly different than others filed by the CEO in 2014. The Globe and Mail subsequently obtained the documents, which are available through filings on Bloomberg and the appearance of the signatures raises questions about their validity. Calls and e-mails to Mr. Chaaban for comment have not been returned.”
THOUGHTS? – Grant suggests that an anonymous user from an internet message board produced documents filed by the company that bears a signature unlike Bill Chaaban’s previous ones and Grant, alike the anonymous user suggests that the

Creative Edge Nutrition, Inc. (PINKSHEETS: FITX), a nutritional supplement company focusing on active lifestyles, today announced that its Board of Directors has approved a plan to spin off CEN Biotech Inc., its Canadian wholly-owned subsidiary, to its shareholders. The parties expect the transaction to take place in the near future.
CEN Biotech Inc. intends to be an independent, publicly-traded company, which will be audited by a registered public accounting firm and fully reporting. It will be led by Mr. Bill Chaaban as Chairman, President and Chief Executive Officer.
All current officers and directors of CEN Biotech Inc. will immediately resign from Creative Edge Nutrition, as Creative focuses its plans and operations on Nutrition under its new Chief Executive Officer, Mr. James Robinson, a noted entrepreneur in the dietary nutrition space.
The decision to spin off CEN Biotech Inc. gives each company, Creative Edge Nutrition and CEN Biotech, the ability to concentrate their respective resources and efforts in their own individual area of specialty. The markets and technologies of each area of specialty are very different. CEN Biotech Inc. will devote its efforts and resources to advance in the area of specialty pharmaceuticals, and Creative Edge Nutrition will devote its efforts and resources on nutrition products.
Upon completion of the spin-off, all shareholders of Creative Edge Nutrition, Inc. will retain their shares in Creative Edge Nutrition while additionally getting shares in CEN Biotech Inc., which will be a new publicly-traded company. The distribution of CEN Biotech Inc. shares will be on a pro rata basis to the Creative Edge Nutrition shareholders based on the number of shares of Creative Edge Nutrition shares owned by each shareholder.
