Well, thank God that life is full of dreamers like Bill Gates and Albert Einstein. ANY business savy person with an eye of exquisite entrepeneurship and has a PASSION for what MZEI is on the brink of, would do ANYTHING and EVERYTHING to DOWNPLAY, HIDE, and even COVER-UP their TRUE interest in hopes of gaining the Golden Goose all for themselves...and NOT having to fight other WELL endowed companies for the right to be our benefactor. LIKELY they (whomever/whatever/ifever) they are will come to the table with a VERY fair, reasonable, workable offer UP FRONT IN ORDER to SHOW good faith in their dealings. MZEI is NOT up for auction, nor are we desparate to find a quick bailout. We ONLY are interested in finding the BEST solution and the BEST parnters in order to CONTINUE the positive hope and direction of this company over the last 20 plus years. Having BEEN a bidder MANY TIMES in like situations, and IF I had the ability, knowledge, passion, business model that COULD take AsepticSure to the moon, I ASSURE you that I would have ALREADY had my TOP TEAM of advisors, bean counters, idea guys, etc., working on this DAY AND NIGHT for a few months now trying to figur out not only a PLAN A, BUT A PLAN B,C,D,E,F,G - backup plans, which would allow my company to change directions very quickly - as if in a road race, in order to ALWAYS be in the lead to aquire/be/etc - the ONLY feasible company that would MAKE SENSE for MZEI to parnter with. I HOPE that such a company is FULL OF DREAMERS - because without them, we'd still be living in the Stone Age.
Believe me when I tell you that that Ed and MZEI deep insiders/board members - of record - are diligently looking at ALL and any possible partners, solutions, situations - almost on an 18 hour basis per day. This is NOT a community/church/city/co-op type of business. This is a PUBLICALLY traded COMPANY with VERY PROPRIETARY solutions/product. You CAN NOT reveal ANY MORE than has ALREADY been revealed AT THIS POINT - all in due time! I'm SURE that WHATEVER/WHOMEVER MZEI is speaking with about ANYTHING has LIKELY INSISTED (maybe in contractural writing) that WHATEVER is being discussed REMAINS COMPLETELY confidential at this point in time. This is USUAL AND CUSTOMARY way that ANY company - INCLUDING a small mom and pop would conduct ANY type of negotiations. ONLY when ALL aspects have come into place and have been ironed out and ALL I's dotted and T's crossed and BOTH (all) parties are in agreement - ONLY THEN can ANY proposal be presented to shareholders (the public). Anything OUTSIDE of THESE parameters would be shamefully amateurish at best. EVERYTHING must happen in DUE TIME. This refers to EVERYTHING - INCLUDING the Beta tests. I suggest everyone just give it a little more time and be THANKFUL that we've come as far as we have in as LITTLE time as we have.
Well, that's the NORMAL way of arriving at the value of a company and if we were selling pencils or tampons or something that a hundred OTHER companies were ALSO producing and selling, I might agree. HOWEVER, we are NOT. There are MANY factors that could make the PPS explode. Government contracts (or even serious government interest for that matter), news of a buyout or news of a strategic agreement with a larger more easily "retailable" company...and don't kid yourself, they ALREADY KNOW what earnings are possible with AsepticSure...and I can ASSURE you they will/would do ANYTHING POSSIBLE to KEEP IT QUIET until they could/will lock up an agreement with MZEI. The LAST thing THEY would want is competition for the rights to acquire all or part of it. CASH from orders received as deposits for the product, etc., etc., etc. Really, UNTIL the FINISH line is WELL in sight, there is NO NEED - AND NO DESIRE to reveal much if ANYTHING other than what has ALREADY been released. You don't tell the opposing team the play you are going to run before the ball is snapped.
Last Tuesday I returned from Armenia - on a plane for 28 hours in 7 days and in airports for another 22 hours. I'm never sick, but since just before my return, I've been fighting the worst sinus infection in my entire life. A trip to my doctor, steroids, a gross of cold medicine, and today still not healed.
FYI BED bugs: This is one of the EASIER kills for our AsepticSure - just thought everyone would like to know. Should be another BIG selling point to our system. Bed bugs terrorize every community at one point or another.
Probably not - unless you had a signed CA with the company. Then you were entitled to and had more information than other shareholders.
This statement was made relative to situations and conversations going back 8-12 years ago. Public companies - whether successful or not, are oftentimes scooped up for/as shell companies etc. It's much easier/cheaper to AQUIRE a public company than to BEGIN a public company. My statement merely was to point out that management has been offered opportunites in the past which might have been better in the SHORT term interest of MZEI management - but not in the best interests of the shareholders, science, etc. But Ed has always taken the high road. ALWAYS I'm willing to go into battle with such people.
Skyhook, the hospital tests will take several days to a couple of weeks at each hospital location. These test will be ongoing indefinetely - even beyond commercialization as MZEI will continue to test/experiment with new materials, bugs, etc. for a long time to come. Since AsepticSure is a completely different and NEW kind of disinfectant, it was unclear to the (first) hospital WHICH faction, group, committee, authority (within the hopital) had to "sign off" on our beta test in order for us to begin. Like many large companies, it's sometimes difficult to get everybody together on the same page at the same time. Our technology is NOT evolutionary but REVOLUTIONARY, and therefore MAXIMUM understanding and careful scrutiny has been employed to make sure no negative reprocussions are possible. It was vital that ALL groups and significant people within the hospital group completely understood how AsepticSure worked and what standards, practices, and regulation we "fell under." As MOST wise people would do, just "taking our word for it" was not satsifactory. Only after thorough DD on the part of the hospital "crew" and a complete, thorough understanding of what our machine/proceedure represented could we be given the "green light" to set up the test inside the hospital. Just normal red tape which has been more time consuming than originally thought, that's all.

You might give Ed a call and relate the story about your dad. There MAY be a treatment of OZONE that MZEI was perfecting many years ago (the initial objective) and I think it might still be available south of the border for now. Hopefully one day, we'll have the resources to not only commercialize AsepticSure but our intial blood initiative as well.

Hey Jbar, Yes I feel that this could be a strong possibility. From the very beginning of this thing, those of us longs close to Ed and helping as much as we can to fund the thing so we can hit escape velocity, have discussed what MIGHT be acceptable and in the best interests of both the shareholders, the science, (the FURTHERING of the science) and the company interested in distribution, sales, etc.

I can vouch for that. I know of more than a few times there were offers from other corps or private parties to scoop MZEI up, but Ed wouldn't abandon the ship...and that was long before we had a perfected "mousetrap."

I've not spoken to him since I last reported here. But, interesting note, I just returned from Cleveland, Ohio delivering a yacht up there to some NEW clients of mine, and one of them is a lead EMERGENCY room administrator for the "health care" SYSTEM in Cleveland. Evidentally she works with BOTH major hospitals there, and ER doctors more or less report to her. I actually stayed with them while up there and when I discovered what she did and who she was, I brought up MZEI. You should have SEEN the look on her face! We then had a two hour conversation about AsepticSure and MZEI. During most of the conversation, she was so excited that I was having a difficult time keeping up with her thoughts/ suggestion/ideas, etc. She said that WHAT WE ARE DOING IS HER BIGGEST NIGHTMARE, AND THAT OUR MACHINE/TECHNOLOGY WOULD COMPLETELY CHANGE HEALTHCARE (positively) FOREVER!! She LAUGHED when she was explaining HOW they NOW "disinfect" an area or a room, to the point that she was ACTUALLY EMBARRASSED because it was SO ineffective - but UNTIL MZEI AND ASEPTICSURE, there was NO OTHER SOLUTION. She thinks once ALL eyes are upon us (ie: through hospital trials) this would NOT be a $3.00 stock, but MUCH MUCH higher....QUICKLY. She was VERY interested in EVERY TIDBIT I could share with her, and I'd NOT be surprised if she isn't an MZEI shareholder SOON. Her husband, also an executive in another business, ALSO was "taking notes" and he as well knows HEAVY HITTERS that could be of benefit to MZEI in the near future. The ONE THING they BOTH kept repeating over and over was "NO FDA approval required!!!" She told me that SO many treatments, drugs, etc., get blown out of the water because of FDA retape or expense and that it was simply a shame. When i told her that ALSO we had presented to the recent G-8, she was astounded. It was all I coud do to keep up with answers to all her questions.
Both Zoutman and Shannon have very close aliances to this hosptial. There's no problem here - other than they had our doctors to come up with a "backup safety plan" before the board signed off on the beta test. Makes sense, as I'm sure that the hospitals' insurance company gets nervous when you start talking about introducing known dangerous viruses - not to mention anthrax spores - INSIDE a working hospital environment to prove you can kill them in some kind of scientific tests - regardless of how experienced and well-run the program is. We've ALL dealt with insurance companies and know how they think. This is likely the very first time ANY hospital or medical center has EVER attempted or offered something of this magnitude to a company such as ours.

The PPL's are typically for 100,000 shares each. The "lockup" period by SEC rule is 6 months from ISSUE of the stock certificate. Once MZEI agrees to sell you a PPL, which is governed by cetain SEC rules about investor understanding, liquidity, and net worth, then MZEI would email you a contract for you to print out, sign, and send back to MZEI. Once they have your signature and your PPL money, they authorize their stock agent to issue you a certificate which you will receive within two weeks via mail. The DATE on the certificate is the date from which the 6 month holding period begins. Once the 6 months is up, you fax/email a letter to MZEI asking for the restriction (legend) to be removed, and within 24 hours MZEI will email you a printable letter by PDF that you must present to the stock transfer agent ALONG with the certificate. Then the stock agent will mail you the new free trading certificate within 24 hours of their receipt. Then you simply present the certificate to your broker for execution, if you wish.
Terms have always been the same. I've bought many PPL's in the last 9 months from anywhere from .10 - .25 per share...the same as everyone else. And yes, I bought a .25 PPL when the share price was only .30, because I know Ed, I believe in the science, the product, and our people, and I know that without funding, we would be dead in the water. I think that as of now, that worry is well behind us.
Good question alsteps. I've no idea why MZEI has not reported on the AMI conference. Perhpas Ed felt like watching the video update was enough? I'm sure whatever money was invested in us there will be reported in the next financials. I've heard personally from some ATTENDING that conference that in fact, Ed took SEVERAL contracts for PPL's amounting to over $100K, but how much exactly, I do not know. Also, I know (because I'm one of them) that in the last three weeks Ed has received 1/2 that amount again in other PPL's, so by now, I believe we are well positioned THROUGH September with no additional fund raising efforts, so this has allowed MZEI to focus/concentrate on more pressing issues, I believe. I'd love to see a press release too, and in spite of some's perception here, I'm not privy to "insider" information and I rarely speak to Ed Marshall by phone OR email, but when I get some extra cash, I invest in PPL's...as I trust Ed completely, as he's never lied, never hurt shareholder positions, but the most important thing is he has a TOTAL grip on EVERYTHING about MZEI down to knowing exactly to the share, and Jill (like most women) is very diligent in keeping everything flowing smoothly and boxed correctly.
Yes Phrantic, I was aware that this was where we are also, and I have NO problem with the silence as a result. It would be a waste of time to publish a statement like that publically. It would also be unwise to publish something that is hype or rah-rah. Only when things transpire can they be reported. While we may be behind a "time reference" suggested 10 months ago, it is NOT due to anything WE can control. We HAVE the money, the people on staff, and the head of steam needed to bring this to full fruition - unlike days of Groundel. BUT, we now only await OTHERS to fulfill THEIR commitments to us. I believe within the next 3-10 days we WILL hear from MZEI that one or MORE of those commitments have been consumated.
These are MY thoughts. Almost always, there is MORE money to be made as a distributor and/or dealer than as a manufacturer. Our patent rights are golden (ask Rambus), but our ability to partner with a large already established distribution agency OR to simply sell them the rights to our technology for cash, commissions, etc. are paramount, I believe, to our greater success….speaking about the RETAIL, NON government aspect of the business. Ed has mentioned before in press releases and shareholder communications that MZEI “intends to hang on to” the government bio-terrorism unit. As I see it, government interest in MZEI would likely be a more top secret project - not unlike development of various military projects over the years. While we could still operate that aspect of the business as a public company, we would not need distributors, dealers, etc., to “handle” that aspect of the unit sales for us. Therefore, I can envision a business idea that we would sell or lease AsepticSure to a multi-national company for cash, perhaps further stock options in THAT company, while at the same time keeping the government variant “in house.” Frankly, this scenario makes the most sense to me. Already, AMI reported what might be a “perceived market value” for AsepticSure at this juncture. I would not be surprised if behind the scenes negotiations are not already taking place pertaining to this with one or more large companies interested in AsepticSure. At what price per share would it take to make a deal? That’s anyone’s guess at this point. I’d THINK it would likely be $10.00 cash per share or higher, maybe with stock options of some kind thrown in as well. I DON’T think we are far from this scenario NOW. Then, MZEI, the government contractor, would be free to concentrate on THAT side of the business. I DON’T think MZEI as a company would be sold, only the technology for use in non-government arenas. Once we get past all of this, I see a scenario which would lead us back into the lab to refresh and fine tune our blood purification variant, which was our original goal dating back 2 decades. IMO.

Cheer up. It's summer. Nothing much happens this time of year anyway. By the time the interest in stocks and the market picks back up late summer/early fall, we will be perfectly positioned to steal the show.
I've not spoken to Ed since last Friday, so I know nothing of the Vail conference yet. My understanding is that the FIRST trial will use a "final prototype" machine - since that trial will take place in the same city as our lab. The follow-up trials will use FULL production models. As has been reported in the last few communications, beta trials will commence in late spring. I'm sure we will be in FIRST trial by June 21.
Actually, I'm not a proponent of paid news coverage. While the MoneyTV is also a paid venue, it's different in it's scope. Personally, I thought Ed's interview and all the subjects covered at the last MoneyTV interview was outstanding and I can't come up with even one thing that he should have done differently.
I'm all FOR new shareholders coming in, but I'd think that at least you'd do a lot deeper DD before you begin posting here. MZEI has been more open than most companies about progress. This is not a pump and dump nor a hype and yeeha company. Of ALL companies that have something to sell, I haven't seen ANY as rock solid as what MZEI is about to unvail. But things must unfold in a timely, orderly manner. If you read every press release and every shareholder communication for the last 2 years, I really DON'T think you'll have any more questions. I PROMISE you that if you DO have legitimate questions, SOME of us LONGS will assist you any way that we can.
I'd rather see management working on bringing this to retail market than spending time in a game show forum answering the same questions over and over. We don't have the manpower for that and frankly, if we DID, we'd be wasting money. Everything will come to fruition in due time. If you do thorough DD, every question one could POSSIBLY ask has been answered at one time or another in press releases or shareholder communications already anyway.
Everyone should remember that we began this AsepticSure idea from NOTHING ONLY 24 months ago. To come even THIS far THIS quickly is amazing in and of itself. When we are able to offer this to the market in just another 2-3 months, is truly an amazing accomplishment. I've known a few people who have made SIMPLE "non life changing, non human well being" related inventions, applied for and received ONLY ONE patent to protect their invention, and then introduced it to retail market and ALL of them worked a MINIMUM of 3 years to get it to that point - most 4 years or more. Even the development cost for the SIMPLEST device IS AROUND ONE MILLION dollars. For MZEI to have developed such a COMPLEX machine with such COMPLEX science, protocols, and proceedures required to achieve what we've ALREADY proven we can achieve...and to have done it in just TWO years for LESS than 3 million in development cost is UHNHEARD of. I can ASSURE you that had this been developed by a Fortune 500 company with all of their internal departments and red tape, this would LIKELY have cost 7 - 10 million or more and had taken maybe 5 years to develop.
We didn't hit Ed's time targets MOSTLY because of "things and issues" out of his (and MZEI's) direct control. Unfortunately, unless you do EVERYTHING "in house," there's always the possibility for someone else to "drop the ball" and cause delays and hick-ups. Finally, we've "picked up the slack" and things and issues are now falling back into place.

Likely, once INSURANCE companies know of MZEI and what we can PREVENT - and who insure these companies from food manufacturers to whomever, they MIGHT require or "highly recommend" or offer premium discounts to thier clients who employ our AsepticSure system.
It's likely that it's a Canadian company, because Dr. Shannon is, of course, Canadian - and it's likely a contact of his through possible past relationships when he headed up the health bla, bla, bla in Canada. Shannon should have MANY such contacts.
