Shareholder Questions: Merger and Investor Awareness

Hope all is well. I was curious about something I have noticed somewhat organic growth this year but it has not translated to a pps increase. I was wondering if there has ever been a thought about perhaps a merger with another company to perhaps give us the cash necessary to put forth marketing efforts to make it into the big box retailers. Just a thought I was wondering if you had considered. I was also curious as to why now you feel an “investor awareness” campaign is appropriate now when it was not in the near past because you wanted to uplist the company. Please do not rush to answer my questions I know how busy you are. Have a happy new year.
ANSWER
A merger is a combination of business units as equals. It is difficult at the moment for Winning Brands to be a negotiating equal prior to having evidence of substantial growth. Furthermore, for Winning Brands common shareholders to benefit from a merger, the company would require a higher than current market capitalization. This is because a sale of a substantial part of the business to another party at the current share price level would represent a sacrifice of the current shareholders and only benefit the merging-in and future shareholders. The WNBD share price has often shown itself capable of moving up easily (even on low volume) if demand exceeds supply on a particular day. The company’s need for financing before the company attained self-sufficiency caused the greater supply than demand for its shares over the past few years. Through a broader range of funding techniques in future, this supply imbalance can be reduced. This will benefit the existing common shareholders, not merely future shareholders.
As to multi-faceted Investor Awareness, the egregious aspect of stock promotion is not the creation of awareness, per se, but rather to promote at a time or in a manner that is not justified by the circumstances of the company. If done in that inappropriate manner, which is unfortunately the usual manner, then the higher price achieved through the (expensive) promotion inevitably spikes quickly, benefiting the relatively few people involved in the scheme. Such campaigns are typified with hype and are obvious for what they are.
In Q4, Winning Brands achieved operational milestones in quick succession. These include activation in New York’s leading drug store chain, activation in a 4,000 member hardware buying cooperative, activation by the U.S. government by means of a Schedule Contract, and activation by Walmart USA’s Sam’s Club division for their Road Show program. These four verified accomplishments followed logically from earlier work and provide a new, higher, platform for the company’s valuation. Accordingly, in my opinion, these are compelling technical reasons why the “inherent” value of Winning Brands is significantly higher than reflected in the current price per share. It’s only natural that this deserves to be communicated. Knowledge of this fact does not create a spike – it establishes a new higher baseline if widely enough known and understood by interested parties. The SEC and regulators abhor paid promotional programs that are linked to financing issuance for the enrichment of the few participants. They do not object to a company making its accomplishments known.

Shareholder Question: Los Angeles County Vendor Registration

I was wondering if you could clarify more on the Los Angeles County blog. Are they buying product from us now or is it like the GSA were we can just bid on contracts?
ANSWER
Some time ago, CLEAN1 had been supplied as a sample for trial use in a power plant in Los Angeles County. The product worked well. The Assistant Chief Engineer at the plant determined that the product and supplier (Winning Brands) needed to be registered as a vendor to the County of Los Angeles in order for the plant to be able to acquire and use the product officially. Following the recent approval of Winning Brands by the U.S. General Services Administration, “GSA”, for this and other products, it became feasible to complete the task of registration with Los Angeles County as a vendor of CLEAN1 for official use.
As a point of clarification of the “bid” portion of your question – the GSA Advantage website also enables any federally authorized procurement personnel to obtain approved products through online ordering, without bid, for amounts less than a maximum level, such as $5,000 or other figure (depending upon department). A live link to a sample GSA Advantage page (showing CLEAN1) is here: https://www.gsaadvantage.gov/advantage/catalog/product_detail.do?contractNumber=GS-07F-0052Y&itemNumber=C1604A Additional CLEAN1 sizes are available, such as a 135 oz, and even 25 oz trigger spray.
It will take time for awareness of our products to spread throughout the group of U.S. federal government agencies, however, we have been given an initial 5 year contract period to accomplish this, with 3 renewal periods of 5 years each thereafter if we prove ourselves. An alphabetical list of such federal agencies served by the GSA can be found here: http://www.usa.gov/Agencies/Federal/All-Agencies/index.shtml In certain cases, State authorities can order goods from GSA sources directly. Winning Brands has agreed to honour the same terms and conditions for its products purchased by States, as it would for the federal government, in those circumstances.
A key feature of the Winning Brands business plan for 2012 is to begin to attain such awareness within the agencies served by the GSA. The U.S. Navy is the first of the agencies to have started preparing formal vendor arrangments with us, as per the CEO Weblog entry of Dec 17, 2011. In the case of the Navy, it will be deployment of 1000+ Stain Remover into some elements of the Navy Exchange Service Command (NEXCOM), for starters. Such arrangements can be considered the “thin edge of the wedge” because experience with our products amongst service personnel or their families will eventually reveal where our products are best used. Authentic growth of this nature, based on successful use, is a more solid foundation for the company’s future than merely selling as much of the product as soon as possible for the moment.

Update GSA: U.S. Navy NEXCOM

.Since receiving our Welcome Letter from the GSA on November 2nd, discussions have been ongoing with candidate agencies. We have been learning more about each other to determine the best starting place.
Our first activation is underway. The U.S. Navy Exchange Service Command (Live Link): https://www.mynavyexchange.com/site_map/site-map.html will be introducing our lead product, 1000+ Stain Remover, into some elements of the NEXCOM system, for starters. The NEXCOM Trading Partner Agreement and EDI details are being worked on now. More information will be supplied, by way of a News Release, when arrangements are finalized.
To the extent that this has occurred within only 6 weeks of securing the GSA Schedule Contract, this development demonstrates that Winning Brands is serious (and capable) in activating opportunities within the U.S. federal procurement environment and that Winning Brands’ systematic approach is yielding results. The positive implication for Winning Brands’ future of this practical start within the GSA is, in my opinion, profound.
I salute our Team Leaders in this sector, Sherry and Marty Doherty, for their dedication to the mission. Our collective thanks to the U.S. Navy for their interest, professionalism and “can do” spirit to get this going.

.Discussions with each Winning Brands NYC Store Ambassador includes a review of their experiences with shoppers in this setting. Are shoppers interested, and if so, in what features and benefits of 1000+ particularly? How is the price point? To which product would 1000+ be compared here? The journey of developing a brand is informed by such findings and all “system elements” are adjusted accordingly. For example, at the 40 Wall Street location, we found that the small size SKU of 1000+ Stain Remover was a perfect addition to the travel section. Store personnel and we conferred on making arrangements during the visit to create a space for it. At 95 Wall Street, a man came into the store and purchased a bottle within minutes of my arrival. Positive relationships are being formed around the emergence of 1000+ Stain Remover between ourselves as manufacturer and our retail partners. We already have a fine relationship with Janovic Paint & Decorating Centers for the sale of 1000+ Stain Remover in Manhattan. The Duane Reade store chain is a very different setting. Such is the versatility of 1000+ Stain Remover to reach across trade categories. Very few products would be as much at home in one as the other. This cross channel relevance is a key to the business plan of 1000+ Stain Remover and its inevitable migration into all sorts of suitable points of sale.

After a pause of one year, Walmart resumed ordering our lead product, 1000+ Stain Remover. Reach was expanded to all Walmart stores in Canada. Delivery of opening inventory was made to Walmart distribution centres by our distributor in Q3. 1000+ Stain Remover started to appear on Canadian Walmart shelves in early October. During that month, more 1000+ was ordered. During November again, additional 1000+ was ordered, in a larger quantity than October. These are early days and caution is appropriate. However, we have two months of operations to state that the situation appears to be normal again and trending upward.

early this I was at home hardware and there were 2 bottles of WC today there were 4 of which I bought 2 at their sale price good deal

Ant it seems its a online flyer for checked location with postal code and came up with the place I visit cashier said a flyer at counter was the only one just a couple of pages not includeing WC on line for the same store shows WC 909 ml for 6.97 price by the bottle showed old price not the sale price
Today I went to one Home Hardware store near me and they didnt have it on sale their normal price and had only 2 bottles in stock
assuming they can do that consistanly and are open from 9am to 9 pm and 7days a week it could realy mount up

New Benchmark

.Operationally, an interesting new accomplishment for the 1000+ Stain Remover Value Pack and Robert Hicks today. During today’s Sam’s Club Road Show, a 3 hour stretch of 5 ($26.88/each) units per hour through the till. It’s not our norm, it’s not sustainable across a chain without an attended showcase event, but it is an interesting fact, nonetheless: a new high for hourly turnover of this SKU in a single location. Remember, we are in the formative/testing stage in all such arrangements. Such benchmarks are important in determining what is possible, given the right circumstances.

We have been seeingincreasing evidence of local initiative within large retailers whereby local staff seek to balance corporate policy with local desire for special accomplishment. Shareholder Question: iHub Posts

.The company routinely receives requests to verify, or deny, comments made by posters on iHub. The reason is that some posters use their anonymity to make statements that are either knowingly false, or contain half-truths, or are intended to be provocative, or based on genuine misunderstanding. It is not feasible for the company to respond to every one of the many comments made by posters with which it disagrees. However, one such question, requires a reply because of the likelihood that it will be taken out of context or misconstrued.
QUESTION:
“… and Takis is claiming that the SEC has had a previous investigation into WNBD. Is this true, or is he spreading FUD? I don’t ever remember an investigation, could you please clear this up on your blog.”
ANSWER:
The SEC has a big job. It monitors the activities of thousands of companies, investors, industry professionals and stock promoters. This is a never ending job. The goal is to identify persons and organizations who violate regulations, in order to protect the public. The methods used by the SEC are sometimes a matter of public record but also contain confidential research protocols so as to be able to gather an understanding of situations without alerting all the affected parties prematurely. The reason for this discretion is no doubt both to maintain the integrity of the information obtained (i.e. to obtain it unaltered and complete) and also to not cause unnecessary alarm or create the impression that the person or organization being investigated is guilty of anything, merely because information is being reviewed. Reviews of this kind are often voluntary, meaning that that information may be requested on a voluntary basis, rather than being demanded.
Winning Brands is no different than many companies in that it had been asked, several years ago, to provide, on a voluntary basis, confirmation of certain facts pertaining to its operations, investors and practices.
To the extent that Winning Brands has always had an above board approach to its operations, such enquiries by authorities of various kinds are not in and of themselves problematic, although they are time consuming and a distraction from ordinary business. The same would be true of government audits of financial records. If a firm makes an effort to represent its transactions properly, then it has nothing more to fear from audits by tax authorities than the time consuming and distracting nature of the exercise.
No futher requests were made of Winning Brands after it provided the requested information several years ago.
“Takis” will know best what his motivation was for making this post, and what effect he hoped to cause. Some posters feel that if they have a capital loss from their trades it provides an entitlement to SEC action. Others may feel that by threatenting to lodge complaints about a company with the SEC that they will be granted special treatment. Others may feel that by making complaints to the SEC that they can bring harm to a company out of spite or other personal motives.
Ultimately, the SEC is not the instrument of personal investor vendettas. It is a large, busy, dedicated organization that has an entire society to care about. It will act where it feels it is appropriate, based on information that it obtains from its various research protocols. It will allocate its resources according to priorities that it assesses in the big picture and will prosocute people and organizations whose behaviours are considered harmful in order to send a message to the community at large with its prosecutions.
Naturally, it is my opinion, the that hardworking people in our firm who are persevering to build a brand through all the challenges that exist in the process, with verifiable results and attorney certified filings, is a good example, not a bad example, amongst its peers.
I can tell you one thing, it is very difficult to balance and satisfy the wide range of interests amongst consumers, business partners, regulators, suppliers, staff and shareholders. In the process, it is always the possibility that someone will feel that they have not received what they wanted from the company at a particular time. Our legitimate effort to develop and build an interesting and successful brand is an inherently good thing. The economy needs more such initiatives, not less, because the overall effect is growth of opportunity for all.
As to the opportunity that Winning Brands represents for the iHub poster who is referred to in the question above, the public record of postings by that individual show a large number of entries in which the poster has expressed a desire for the share price to fall and that the poster has made profits from the company’s shares in trading too, not only losses. The often posted characterization that the typical Winning Brands investor is “down 90%” is patently false. A review of the company’s total stock volume and purchase prices since inception shows that the vast majority of shares have been purchased at less than 2 cents.
In the end, it is not the role of the SEC to reimburse traders for their losses where companies provide adequate current information, as Winning Brands does, nor to claim a portion of the profits that traders obtain. The information that Winning Brands provides to its shareholders is first rate by the prevailing standards for its class of security.
